The City of Yakima's termination shall be effective at midnight on December 30, 2007. Pursuant to Section 3(D) of the Agreement, if the Cooperative Action Agreement is subsequently terminated by 60% of the parties, the City of Yakima understands that it will receive its proportionate share of the sales proceeds of the water tender. Zais, Jr. --) City Manager Encl: 2001 Cooperative Action Agreement Yakima 1111 1994 Yakima County Fire Commissioners Association COOPERATIVE ACTION AGREEMENT Revised August, 2001 PARTIES: YAKIMA COUNTY FIRE COMMISSIONERS ASSOCIATION CITY OF YAKIMA, hereinafter called "YAKIMA" CITY OF UNION GAP, hereinafter called "UNION GAP "; CITY OF SELAH, hereinafter called "SELAH ", TOWN OF TIETON hereinafter called "TIETON "; YAKIMA COUNTY FIRE PROTECTION DISTRICTS NOS. 1, 2, 3, 4, 5, 6, 9, 11,12 and 14 hereinafter called "DISTRICTS" RECIPROCAL: The parties hereto have jointly purchased in 1998, a 1982 Peterbuilt 4,500 gallon Water Tender for the joint use of all of the parties to this agreement. The purchase was by funds generated through the Yakima County Fire Commissioners Association from User Fees from all of the Districts and Municipal Corporations involved. The Yakima County Fire Commissioners Association holds title to Tender 1 in its name and Tender 1 will be housed in one of the cooperative action agreement member Fire Stations. Tender 1 will be driven by one of the trained cooperative action agreement member's personnel and Tender 1 will be insured by Yakima County Fire Commissioners Association and or one of the cooperative action agreement members. The cost of insurance is charged back to all of the departments and districts involved. The cooperative action agreement member that holds the insurance on Tender 1 will be reimbursed the cost of insurance by the Tender 1 committee. RECIPROCAL: The parties hereto have jointly purchased several pieces of radio equipment, repeaters, antennas and back -up power supplies for the joint use of all of the parties to this agreement. The equipment is located at six (6) different repeater sites and the City of Yakima Communications Center. The purchase was by funds generated through the Yakima County Fire Commissioners Association from Fees billed to all of the Districts and Municipal Corporations involved. The Yakima County Fire Commissioners Association holds title to all of the equipment mentioned above. A complete list of all the equipment owned by the Association and its current location are attached to this document labeled Exhibit "A" 1. PURPOSE: The purpose of this Agreement is to establish 'an organization, which will hold legal title to property and equipment purchased and owned jointly by the parties hereto. The Association will provide a permanent arrangement for the use, maintenance, operations, insurance and financing of such property and equipment for the benefit of all the parties hereto. A list of the property and equipment presently owned and operated jointly by the parties to this agreement is attached hereto as Exhibit "A" and incorporated herein by this reference. 2. DURATION: This contract shall commence August 16, 2001 and shall be automatically renewed on December 31, of each and every year thereafter. Unless within not less than thirty days prior to each annual termination date a written notice signed by 60% of the number of the parties to this contract is received by each of the parties to this contract. In the event that 60% of the number of the parties to this contract agrees to terminate the contract, all property and equipment shall be sold and the net proceeds from such sale shall be divided amongst the various parties hereto in the same matter as it is financed as set forth in paragraph below 3.0 3. TERMINATION OF PARTICIPATION IN USE AND OR SERVICE OF TENDER 1. 3. A In the event that any party should desire to terminate their participation in this contract for the use or services of the water tender. They may do so by delivering written notification of their intent to terminate to each party of this contract not less than thirty days prior to the date of termination. 3. B Any party terminating their participation in this contract for the use or service of the water tender shall forfeit all right to the use or services of the water tender as of the date of termination. Any party terminating their participation in this contract for the use and service of the water tender shall be responsible for their proportionate share of funds expended in the housing, operation, maintenance and insuring of such property and equipment for the entire year in which such termination takes place. 3. C Any party terminating their participation in this contract under this section shall forfeit all right, title and interest in the water tender until such time as this contract may be terminated in its entirety in accord with paragraph 2, above. 3. D At such time this contract is terminated in accord with paragraph 2 above any party terminating their participation in this contract for the use and service of the water tender shall be entitled to receive their proportionate share of the sales proceeds of the water tender, 4. TITLE: Title to all property and equipment subject to this agreement shall be held by the Yakima County Fire Commissioners Association so that it may be the technical legal owner thereof. 5. USE: The property and equipment herein involved shall be available to all parties herein on the basis of the first call for its use at any "Emergency ". 6. MANAGEMENT: The Yakima County Fire Commissioners Association shall make appropriate arrangements for the housing, maintenance, operation, financing and insurance coverage for all property and equipment subject to this agreement. The insurance coverage shall be with limits of not less than a combined single limit for bodily injury and or property damage in the amount of $2,000,000.00 per any one accident and such insurance policy shall name all of the parties hereto as insured's under such policy. 7. PAYMENTS OF COSTS: The Yakima County Fire Commissioners Association, shall on an annual basis, provide the parties to this agreement with a budget setting forth the expected costs for the ensuing year. The parties to this agreement shall then pay their proportionate share thereof on or before March 1 of each year. 8. SERVICES: At the end of each calendar year, the Yakima County Fire Commissioners Association will account to the parties hereto for the funds actually expended in the housing, operation, insurance and maintenance of such property and equipment. If the amount is greater than the amount originally budgeted by the Yakima County Fire Commissioners Association, then such parties shall pay their respective shares of such funds to the Yakima County Fire Commissioners Association with the next annual advance payment. 9. FINANCING: The amount to be paid by each of the parties hereto shall be based on the total assessed value of all the participating Fire Districts, the City of Yakima, the City of Union Gap, the City of Selah, and the Town of Tieton for the calendar year during which their next years budget are approved. Using that figure as the denominator and using each District and City's assessed valuation respectively as a numerator. That fraction shall be the District or City's proportionate part of the total cost of such services. 10. NOTICE: The City of Yakima Fire Department and Yakima County Fire District # 5 are not participants in the Communications System, and are not assessed any User Fees. They are only participants of Tender One and are assessed User Fees only for that section only. 11. SIGNATURE: It is further understood and agreed that this contract maybe signed by each district or city separately and the signatures of all Districts, Cities and Towns need not be placed on a single contract.
