A RESOLUTION amending the Block by Block contract, adopted in July of 2012,
regarding pricing of services to the City of Yakima
WHEREAS, the City of Yakima ("City") previously entered into a contract with Block
by Block to provide beautification and community services, including ambassador services
to visitors to the downtown area to the city of Yakima, its residents and visitors, and
WHEREAS, since that contract was entered into the City has amended it three
times, the most recent amendment in 2014 to address increased pricing; and
WHEREAS, Block by Block is requesting a fourth amendment to the contract to
adopt updated pricing information for the year 2016, and
WHEREAS, City staff found that the increase in pricing is reasonable; and
WHEREAS, the City Council finds and determines that amending the Block by Block
contract to update the pricing and costs is in the best interests of the residents of the City
of Yakima and will promote the general health, safety and welfare, now, therefore
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA:
The Mayor is authorized to sign and enter into the Fourth Amendment to the Block by Block
contract, originally adopted in July of 2012, to amend the pricing provisions as outlined in
Exhibit "1" attached hereto

FOURTH AMENDMENT TO THE BLOCK BY BLOCK AGREEMENT FOR
PROFESSIONAL AND AMBASSADOR SERVICES
This Fourth AMENDMENT TO THE AGREEMENT (the "Fourth Amendment") is entered into as
of this day of March, 2016 having an address of 7135 Charlotte Pike, Nashville, TN 37209
('Block By Block") and City of Yakima having an address of 2301 Fruitvale Blvd., Yakima, WA
98902 ("City").
The following provisions form the basis for, and are hereby made a part of, this Fourth
Amendment:
WHEREAS, the parties entered into an AGREEMENT dated July 1, 2012 (the "Agreement")
regarding services for downtown Yakima; and
WHEREAS, the parties now wish to amend certain terms of the Agreement as set forth herein.
NOW, THEREFORE, in consideration of the mutual covenants and conditions set forth herein
and other good and valuable consideration, the receipt and sufficiency of which are hereby
acknowledged by each party to the other, the parties hereto do hereby agree as follows:
1. For purposes of this Fourth Amendment, any capitalized terms not otherwise defined
herein shall have the meanings ascribed to them in the Agreement.
2. The parties agree to amend Section III. Payment(A)(1). Now this section shall contain the following
as the last sentence in this Section:
"As of March 1, 2016 (the "Effective Date" ), the forgoing pricing shall be replaced by the pricing and
cost information set forth in Exhibit A, attached hereto and incorporated herein by this reference."
3. The parties also agree that Exhibit A, attached hereto and incorporated herein by this
reference shall be the Exhibit A referenced in the above amended language for Section III Payment.
4. Except as expressly set forth herein, the Agreement shall remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto have executed this Third Amendment under their
respective hand as of the day and year first written above.

ITEM TITLE: Resolution authorizing fourth amendment to the Block by Block
agreement for Professional and Ambassador Services in the
Downtown Yakima Business Improvement District (DYBID)

SUMMARY EXPLANATION:
In 2012, the Yakima City Council entered into a five year contract with Block by Block to perform
maintenance related services within the boundaries of the Downtown Yakima Business
Improvement District. These services are meant to supplement the basic services the City of
Yakima provides to the downtown district. The services include graffiti removal, litter removal,
weed abatement, flower basket maintenance, irrigation repairs, snow removal services, emptying
of city garbage cans, special event services, and unfortunately, messes leftover from homeless
related issues in downtown.
This fourth amendment to the Block by Block contract updates wages for the three person team
and reflects the new rent paid for their new office location and storage area in the former Yakima
Mall parking garage. The five person Downtown Yakima Business Improvement District Advisory
Board (who are elected by the district ratepayers) participated in this contract addendum
negotiation and approved the contract with a 5-0 vote. At the end of the five year contract, in July
2017, the advisory board intends to put this contract out for competitive bid to ensure best pricing
and services from all interested contractors.
