Customer of the terms of the NEOGOV Services Agreement either affixed hereto or the version most recently published prior
to execution of this Ordering Form available at httos:/hrmw.ne000v,comfservice-soecifcat!ons. Unless otherwise stated, all
capitalized terms used but not defined in this Order Form shall have the meanings given to them in the NEOGOV Services
Agreement.
2.Effectiveness&Modification. The Effective Date shall be the Subscription Start Date. This Order Form may not be modified
or amended except through a written instrument signed by the parties.
3.Summary of Fees.Listed above is a summary of Fees under this Order.Once placed,your order shall be non-cancelable and
the sums paid nonrefundable,except as provided in the Agreement.
4.Order of Precedence. This Ordering Document shall take precedence in the event of direct conflict with the Services
Agreement,applicable Schedules,and Service Specifications.

A. Agreement and Applicable Modifications to the Agreement.
1. Agreement."this Ordering Document and the Services purchased herein are governed by the terms of the Services Agreement either affixed

2. Effectiveness&Modification.Neither Customer nor NEOGOV will be bound by this Ordering Document until it has been signed by its
authorized representative.This Order Form may not be modified or amended except through a written instrument signed by the parties.
B. General Terms Summary.
I. Summary of Fees.Listed above is a summary of Fces under this Order Once placed,your order shall be non-cancelable and the sums paid
nonrefundable,except as provided in the Agreement.
2. The Effective Date.This Order is made and entered into as of the date of Customer signature on this Order Document(the"Effective Date").

4. Billing Frequency.Annual.Net 30 from Customer receipt of NEOGOV invoice
5. Order of Precedence This Ordering Document shall take precedence in the event of direct conflict with the Services Agreement,applicable

6. Offer Validity.This Order is valid for 30 days from the date of Customer receipt of this Ordering Document unless extended by NEOGOV.
C.Special Conditions(if any).
1. Pricing is valid through 3/1/20
2. The Pro-Rated Term for shall commence 3/1/20 and expire on 1/15/21.
3. Pro-Rated SaaS Subscription Fees shall be due net thirty(30)from Customer receipt of NEOGOV invoice.Annual SaaS Subscription
Fee invoices shall commence after expiration of the Pro-Rated Term.

1. Initial Term pricing reflects a waiver of Subscription Fees for the first 3 months(10/1/20—12/31/20) Annual Subscription
Fees shall be invoiced on the Annual Term start date and each anniversary thereafter.
2. Customer may terminate the Services within this Order for convenience by providing written notice to NEOGOV of its intent
to terminate within ninety(90)days from the Effective Date("Termination for Convenience").Termination for Convenience
shall be effective upon NEOGOV receipt of Customer's written notice. In the event Customer elects to invoke its right to
Terminate to Convenience, Customer shall receive a refund of all prepaid Fees for the Subscription Service(s) and
accompanying Professional Service(s)Terminated for Convenience under the applicable Order After ninety(90)days have
passed from the Effective Date,Customer's right to Terminate for Convenience shall expire,and the Parties may terminate
the Service(s)in accordance with the Agreement.

Additionally, during the term of any subscription license,the Customer will be provided the following:
Customer Support—Support shall be provided to the Customer both on-line and by telephone
Monday—Friday, 6:00 AM—6:00 PM PT(excluding NEOGOV holidays).
Product Upgrades to Licensed Software-Customer shall receive all product upgrades to purchased
package. Product upgrades are automatic and available upon the next login following a product
upgrade rollout.

• Custom forms $295 per form(Refers to forms with fillable PDF background image.)
• Dynamic Form$195 per form(Refers to forms with no background image.)
• Updates to existing forms $200 an hour
2.0 NEOGOV Perform (PE)

NEOGOV Setup and Implementation
The following activities are conducted as part of the NEOGOV implementation:
• Customer to review the project kick off tutorial for information on the project timeline,deliverables,
and establish project expectations.
• NEOGOV will provide access to training materials that may be used during training and post-training
to allow the Customer to learn the system and begin defining new roles,responsibilities,or activities
within the Organization.
• NEOGOV will establish the Customer's production environment.
NEOGOV Training
NEOGOV training is available online(web-based,pre-built, content)unless otherwise proposed as

included in the Order Form. All customers shall have full access to the associated training for the
proposed platform.
NEOGOV's pre-built, online training consists of a series of web courses and hands-on exercises
designed to introduce the standard features and functions.All training items may be used as
reference material to conduct day-to-day activities. The pre-built, online training includes materials
designed to allow Customer led training sessions.
Order Form Terms and Conditions:
The Customer agrees that the payment schedule is as follows:
Provide all required software and licenses
• One hundred percent(100%)of the annual license price is payable within thirty(30)days of
execution of this Order Form and Service Agreement.($29,202.09)
Setup and Implementation
• One hundred percent(100%)of the non-recurring costs are to be paid to NEOGOV within thirty
(30)days of the execution of this Order Form and Service Agreement.($5,000.00)
Training
• One hundred percent(100%)of the non-recurring costs are to be paid to NEOGOV within thirty
(30)days of the execution of this Order Form and Service Agreement. ($5,000.00)
