A RESOLUTION authorizing a Contract with Insituform Technologies, LLC. for Project
SC2560 Cured -In -Place Pipe Rehabilitation of Sanitary Sewer Mains
WHEREAS, the City of Yakima (City) maintains the Wastewater Collections System in
accordance with applicable Federal, State and Local regulations; and
WHEREAS, the City's Wastewater Division has identified pipeline segments that require
rehabilitation or replacement; and
WHEREAS, this and future projects will stabilize current conditions of the City's
wastewater pipe system and reduce infiltration of groundwater which will save treatment costs,
improve collection system reliability, and limit the need for upgrades to the Wastewater
Treatment Plant; and
WHEREAS, by Resolution R-2020-034, the City entered into an Agreement with HLA
Engineering and Surveying (HLA) to prepare the plans and contract documents for the
rehabilitation of City's sanitary sewer main lines in various locations within the City, and
WHEREAS, the City's Wastewater Division requires construction services for the
rehabilitation of approximately 18,000 linear feet of deficient collections system pipes; and
WHEREAS, The City used the procedure established by the State of Washington for
competitively bidding projects; and
WHEREAS, Insituform, Inc. submitted the low bid and has the ability to perform the
contact specified work; and
WHEREAS, the City Council finds that it is in the best interest of the City of Yakima and
its residents to enter into a Contract with Insituform Technologies, LLC. to perform the work
detailed in the contract documents for the rehabilitation of approximately 18,000 linear feet of
aging City sanitary sewer main lines by means of cured -in -place pipe; now, therefore
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA:
The City Manager is hereby authorized to execute the attached Contract with Insituform
Technologies, LLC., in the amount of ONE MILLION FOUR HUNDRED THIRTY-ONE
THOUSAND THREE HUNDRED DOLLARS ($1,431,300), for the rehabilitation of approximately
18,000 linear feet of aging City of Yakima sanitary sewer main lines by means of cured -in -place
pipe in various locations within the City.

VV[[NESSETH:
That in consideration of the terms and conditions contained herein and attached and made a pad of this
agreement, the parties hereto covenant and agree as follows:
i The Contractor shall do all work and furnish all bxo|u. materials, labor and equipment for THE

Yakima Project No. SC2560. all in accordance with, and as doaohbod in the attached plans and
specifications and the2U23 Standard Specifications for Road, Bridge, and Municipal Construction which
are by this reference incorporated herein and made part hereof, and shall perform any alterations in or
additions bothe work provided under this contract and every part thereof.
Contract time ohoU begin on the first working day following the NnUoa to Proceed Date and uhoU be
completed in one hundred twenty-five (125) working days. If work has not commenced within the ton
(10) days after the notice to prnoeed, the first chargeable working day uhuU be the eleventh (11th)
working day after the date onwhich the City issues the Notice UuProceed.
Ifsaid work is not completed within the time specified, the Contractor agrees to pay to the Owner the sum
specified in the Standard Specifications for each day said work remains uncompleted after expiration of
the specified time, aaliquidated damages.
The Contractors shall provide and bear the expense of all equipment; work and labor of any sort
whatsoever that may be required for the transfer of mm&*hu|a and for constructing and completing the
work provided for in this ountnoot and every port thereof, except such as are mentioned in the
specifications hobafurnished bythe City ofYakima.
U. The City of Yakima hereby promises and agrees with the Contractor to employ, and does
employ the Contractor to provide the materials and to do and cause to be done the above described work
and 0ocomplete and finish the same according bothe attached plans and specifications and the terms
and conditions herein contained and hereby contracts to pay for the oomo according to the attached
specifications and the nohadu|a ufunit oritemized prices honu0o ottanhed, at the time and in the manner
and upon the conditions provided for inthis contract.
Ui INDEMNIFICATION. Contractor agrees b/release, indemnify, defend, and hold harmless the
City, its elected and appointed officials, officers, employees, agenbo, reproeonbaUvoa, insurers, attorneys,
and volunteers from all liabilities, |oaneu, damagoo, and expenses related to all c|uima, euito, arbitration
octiona, invaotigaUonw, and regulatory orother governmental proceedings arising from or in connection
with this Contract or the aotu, failures to aut, errors or omissions of the Conbactor, or any of Contractor's
agents or uubuonbaotom, in performance of this Contnect, except for n|oimo oouuod by the Chy'o uo|a
negligence. The City'u right to indemnification includes ottumey'o fees and costs associated with
establishing the right toindemnification hereunder infavor ofthe City.
K/ The Contractor for himself, and for his heiro, axooutom, administrabona, sucoeaaono, and
assigns, does hereby agree to the full performance of all the covenants herein contained upon the part of
the Contractor.
V. It is further provided that noliability shall attach to the City ofYakima byreason ofentering

SUMMARY EXPLANATION:
City of Yakima (City) Project SC2560 rehabilitates approximately 18,000 linear feet of aging and
deficient concrete and clay sewer pipe in the seven locations identified on the attached Project
Location Map. Rehabilitating deficient sewer lines reduces groundwater infiltration, improves
collection system reliability, and decreases treatment costs at the Wastewater Treatment Plant. The
Project will utilize cured -in -place pipe technology to minimize surface disturbances.
The City previously entered into an Agreement with HLA Engineering and Land Surveying, Inc.
under City Contract 2020-034 to provide engineering design, bidding, and construction services
for the pipe rehabilitation. The City utilized the procedure established by the State of Washington
for competitively bidding projects. Two contractors submitted bids, with I nsituform Technologies,
LLC. submitting the lowest bid. The Contract in an amount not to exceed $1,431,300 is attached for
City Council review. The Project is funded by Wastewater Capital Fund 476.
