IIA RESOLUTION authorizing execution of a Professional Services Agreement with
the Greater Yakima Hispanic Chamber of Commerce, Inc.

WHEREAS, the City Council desires to foster community development and
citizen participation in the operation of City government; and
WHEREAS, the Greater Yakima Hispanic Chamber of Commerce has expertise in
community development projects and citizen participation in local government; and
WHEREAS, the City and the Chamber desire to contract for the performance of
the aforementioned services, now, therefore,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA:
The City Manager and City Clerk of the City of Yakima are hereby authorized
and directed to execute the attached and incorporated "Professional Services
Agreement" between the City and the Greater Yakima Hispanic Chamber of
Commerce, Inc.

PROFESSIONAL SERVICES AGREEMENT
THIS AGREEMENT is entered into this / day of
1995, by the CITY OF YAKIMA, a Washington munici.al corporation,
hereinafter known as "City" and the GREATER YAKIMA HISPANIC CHAMBER
OF COMMERCE, INC , hereinafter known as "Chamber "
WHEREAS, the City Council of the City of Yakima desires to foster
community development and citizen participation in the operation of City
government, and
WHEREAS, the Greater Yakima Hispanic Chamber of Commerce has
expertise in the development of programs to enhance the community
development and quality of life in the Yakima Valley; and
WHEREAS, the City of Yakima does not have any employees with the
time and expertise to plan and implement said community development
projects, and
WHEREAS, the Greater Yakima Hispanic Chamber of Commerce is
willing to make its community development personnel specifically available to
promote the City's community development efforts, now, therefore, in
consideration of these premises and the mutual covenants herein contained,
the parties hereto agree as follows.
1. SERVICES PROVIDED BY CHAMBER. The Chamber shall provide
professional services to the City for the express purpose of fostering community
development and citizen participation in the operation of City government.
These services shall include, but not be limited to, conducting a seminar for
Women and Minority Businesses and conducting of a survey of Hispanic
businesses to determine necessary assistance and needs
The Chamber's professional services shall be provided in accordance with
all federal, state, and local laws and in conformance with all applicable
standards of professional skill, competence, and care in the community
development profession. The Chamber shall use its best efforts and devote all
necessary personnel to the projects undertaken on behalf of the City The
Chamber shall supply to the City on a semi-annual basis throughout the term
of this Agreement a report of all community development inquiries received by
the Chamber and detailing the Chamber's objectives, efforts, and the results of
community development programs and projects.
2. TIME OF PERFORMANCE. The Chamber shall perform and complete
the services specified in Section 1 of this Agreement between January 1, 1996
and December 31, 1996 The Chamber agrees to make whatever time
investments are required for the full completion of the community development
projects contemplated by this Agreement.

3. CONSIDERATION. In consideration of the professional services provided
by the Chamber, as specified in Section 1 of this Agreement, the City agrees to
pay the Chamber One Thousand Dollars ($1,000 00) per year, with payment to
be made by April 1, 1996
4. INTEGRATION. This written document constitutes the entire agreement
between the parties hereto No changes or additions to this Agreement shall be
valid or binding upon either party unless such change or addition be in writing
and executed by both parties
5. INDEMNITY. The Chamber shall defend, indemnify, and hold harmless
the City of Yakima, its agents, employees, and officials from any and all liability
arising from performance of this Agreement.
6. ASSIGNMENT. The Chamber shall not assign this Agreement to any
other person or entity without prior written consent of the City
7. TERM. The term of this Agreement shall be from January 1, 1996 to
December 31, 1996 The City and the Chamber agree to discuss renewal of
this Agreement and renegotiate its terms as appropriate.

SUMMARY EXPLANATION:
The City Council as part of the 1995 Budget process allocated $ 1,000 for professional
services to the Hispanic Chamber of Commerce of Greater Yakima. The Chamber's goal is to
provide an accurate professional survey of Hispanic owned businesses in the City of Yakima.
In addition, the Chamber has developed its first ever five year plan. The attached resolution
and contract will formalize the agreement and deliverable service.

Dear Dick:
I am pleased.ko be able to provide you and the City of Yakima an
update of the Hispanic Chamber of Commerce of Greater Yakima, (HCC)
1995 activities. The HCC's main focus has been to refine its
mission and goals to better meet and serve the business needs of
our membership. On April 19, 1995 the membership re-elected me to
serve them for one more year. Since then the new Officers, Board of
Directors and myself have developed the "STRATEGIC PLAN 1995 -
2000"
1995 THE FIRST STEP. This plan incorporates the short term plan the
HCC developed in the fall of 1994.
Some of the objectives of the three main goals identified at that
time were met (refer to "three main goals" attachment). Our
Professional Services Agreement request which was approved by the
City Council calls for the HCC to provide a service(s) to the City
of Yakima in three project areas for the allocated amount of
$1,000.
The key component of our project is the conducting of an extensive
Yakima CITY/COUNTY-wide Hispanic Business Survey. The development
of the survey questionnaire has been completed and the actual
survey will be conducted during the month of August and a final
report to the City of Yakima will be submitted by September 19,
1995. The results of the survey will dictate the fulfilling of the
other two parts of our project:
a. SBA or business related workshop for Women or Minority owned
businesses;
b. Contribute to the downtown project and the feasibility study for
a Hispanic owned retail center.

These types of endeavors are what create business goodwill and
allow for collaborative partnerships throughout the entire business
community. The City of Yakima by taking a leadership role along
side the HCC and other business interests will enhance the economic
and social well being of our total community.
The HCC members and myself look forward to further developing our
working relationship with the City of Yakima. We ask for your
favorable consideration to expand on the "Project Services
Contract" to allow the HCC to again fulfill its commitment to the
City of Yakima. In 1995/1996 with your support, the HCC will
accomplish two goals:
1. In November 1995 co -host a Hispanic Business Forum as a result
of our survey;
2. In the summer of 1996 the HCC will ask for your technical and
financial support for the first Regional Hispanic Chambers
"Leadership Conference" which will draw approximately three to
four hundred people from six western states.
Let's get together soon and discuss the merit of the HCC plan.
