R-94 - • A RESOLUTION authorizing the Director of Finance and Budget of the City of Yakima to execute a contract with Armored Car Dispatch, Inc. WHEREAS, it is necessary for the city to make security arrangements for transporting money from the city offices to various banks, and WHEREAS, Armored Car Dispatch, Inc. has offered to provide that service in accordance with the provisions, terms and conditions of the attached contract document; and the City Council deems it to be in the best interests of the city that the attached contract be executed for that purpose, now, therefore, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA: The Director of Finance and Budget of the City of Yakima is hereby authorized and directed to execute an agreement with Armored Car Dispatch, Inc for the purpose mentioned above, a copy of which agreement is attached hereto and by reference made a part hereof ADOPTED BY THE CITY COUNCIL this `s�- day of November, 1994 c?oLt ATTEST: HDB-DAILY JH 2 CITY CLERK MAYOR A RMORR I» CAR DISP ATC ; , EEL Insured Carrier For Money and Valuables P.O. BOX 1180 YAKIMA, WA. 98907 (509) 452-1860 CONTRACT FOR SERVICE WITH ARMORED CAR DISPATCH, INC. This agreement, made and entered into this 26th day of August > 1994 by and between ARMORED CAR DISPATCH, INC., hereinafter called "Carrier", and City of Yakima Treasury, 129 N. Second St., Yakima, WA. , hereinafter called "Shipper". 1. Carrier agrees to furnish Shipper with the armored car service described and contained on Schedule A annexed hereto, and by this reference incorporated herein. 2. Shipper agrees that all shipments of money, notes, securities and similar valuable property shall be contained in securely locked and sealed bags or packages, unopened and untampered with, which are received by the Carrier under the terms of this contract. Responsibility of Carrier shall begin when said shipments have been physically delivered to Carrier or its employees, and shall terminate upon physical delivery by Carrier to consignee or depository Carrier's maximum liability for any shipment shall be in the amount disclosed on Schedule B hereto attached. As used herein, the term "shipment" shall mean all items tendered to Carrier by Shipper at each of Shipper's origin points identified on Schedule A hereto attached. 3. Carrier reprensents and maintains policies of insurance with a resonsible insurance company covering Carriers liability under this contract for loss or theft of, or damage to, said property for any cause while being transported in armored cars by Carrier, and while being delivered by Carrier's employees to and from its armored cars and while in Carrier's safes and vaults, and agrees to keep said insurance in force during the period of this contract. 4. Carrier shall not be required to receive any bag or package not properly locked or sealed in a manner satisfactory to it. In case any deposit or shipment delivered to Carrier is not properly locked or sealed, Carrier shall in no event be liable or responsible for any shortage claimed with respect to the contents of such shipment, or any part thereof, not properly locked or sealed. 5. Carrier agrees to furnish at all times expeditious and efficient service; provided, however, Carrier shall not be liable for nonperformance or delay caused by circumstances beyond Carrier's control including, but not limited to, strikes, riots or acts of God; further provided, that Carrier shall be responsible and liable for any loss of property which is received in accordance with this contract, not exceeding the amount set forth in Paragraph 2 hereinabove. 6. Carrier shall not be liable for loss or damage arising from war, invasion, hostilities, rebellion, insurrection, seizure or destruction under quarantine or customs regulations, confiscation by order of government or public authority, or risks of contraband or illegal transportation and/or trade. 7. This contract is subject to the power and authority of the Washington Utilities and Transportation Commission to fix, alter or amend just, fair and reasonable classifications, rules and regulations and minimum rates and charges of contract Carrier's intrastate service. 8. This contract shall become effective on the 1St day of October >1994 > and shall remain in full force and effect for a period of one years from said effective date and thereafter from year to year, subject to the right of termination of either party as hereinafter provided. In the event that either party elects to terminate their obligations under this agreement, said party shall give written notice of such termination at least 30 days prior to any anniversary date hereof. In such event, Carrier shall give written notice of such termination to the Washington Utilities and Transportation Commission at least 5 days prior to the effectife date of termination. 9. For the above service, Shipper agrees to pay Carrier, on or before the 10th day of each month, the amount earned for the previous month. The rates to be charged for services redendered are contained on Schedule B annexed hereto. 10. In the event of any lawsuit between parties to this contract for collection of Carrier's charges hereunder, the prevailing party shall be entitled to, in addition to all sums due and owing, costs and disbursements, incurred in said lawsuit including a reasonable attorneys fee. At Carrier's option, venue shall lie in Yakima County, WA. Done the date above first written. 41TY CONTUCT PO: -(1/-1 CARRIER, ARMORED CAR DISPATCH, .INC. SCHEDULE A TO CONTRACT FOR SERVICE WITH ARMORED CAR DISPATCH, INC. AND CITY OF YAKIMA TRANSIT Carrier agrees to pick up deposits once per week at Shipper's place of business and deliver same shipment to Shipper's designated bank. This service is to be provided on a day and at a time agreeable to Shipper and Carrier. SHIPPER, - CITY OF Y BY: TITLE: DATE: CARI3-IE ARMORS BY SCHEDULE B TO CONTRACT FOR SERVICE WITH ARMORED CAR DISPATCH, INC. AND CITY OF YAKIMA TRANSIT Maximum liability of Carrier for any shipment tendered as described in Schedule A, hereto attached, shall be $25,000.00.
