RESOLUTION NO. P 6234
A RESOLUTION authorizing execution of a Professional Services
Agreement with the Greater Yakima Chamber of
Commerce, Inc.
WHEREAS, the City Council desires to foster community_development
and citizen participation in the operation of City government; and
WHEREAS, the Greater Yakima Chamber of Commerce has expertise in
community development projects and citizen participation in local government;
and
WHEREAS, the City and the Chamber desire to contract for the
doperformance of the aforementioned services, now, therefore,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA:

The City Manager and City Clerk of the City of Yakima are hereby
authorized and directed to execute the attached and incorporated "Professional
Services Agreement" between the City and the Greater Yakima Chamber of
Commerce, Inc.

PROFESSIONAL SERVICES AGREEMENT
THIS AGREEMENT is entered into this day of January, 1993,
by CITY OF YAKIMA, a Washington municipal corporation, hereinafter
known as "CITY" and the GREATER YAKIMA CHAMBER OF
COMMERCE, INC., hereinafter know as "CHAMBER."
WHEREAS, the City Council of the City of Yakima desires to foster
community development and citizen participation in the operation of City
government; and
WHEREAS, the Greater Yakima Chamber of Commerce has expertise
in the development of programs to enhance the community development and
quality of life in the Yakima Valley; and
WHEREAS, the City of Yakima does not have any employees with the
time and expertise to plan and implement said community development
projects; and
WHEREAS, the Greater Yakima Chamber of Commerce is willing to
make its community development personnel specifically available to promote
the City's community development efforts, including but not limited to,
programs such as the "Leadership Yakima Program," the "Clean Up Green
Up Campaign," and the "All America City Award Program"; now, therefore,
in consideration of these premises and the mutual covenants herein
contained, the parties hereto agree as follows:
1. SERVICES PROVIDED BY CHAMBER. The CHAMBER shall
provide professional services to the CITY for the express purpose of
fostering community development and citizen participation in the
operation of CITY government. These services shall include, but not be
limited to, the planning, and full implementation of the "Leadership
Yakima Program," the "Clean Up Green Up Campaign," and the "All
America City Award" application process; provided, however, that
copies of all award application papers, reports, and other
documentation shall be submitted to the City Council. Specifically, the
purpose of the "Leadership Yakima Program" shall be to provide a

minimum of twenty (20) participants for 1993 and twenty (20)
participants for 1994 who have sufficient exposure to Yakima
community affairs to make them desirable as appointees to City boards
and commissions. Further, the purpose of the annual "Clean Up Green
Up Campaign" shall be to encourage and promote the health and
welfare of Yakima through refuse removal.
The CHAMBER's professional services shall be provided in accordance
with all federal, state, and local laws and in conformance with all
applicable standards of professional skill, competence, and care in the
community development profession. The CHAMBER shall use its best
efforts and devote all necessary personnel to the projects undertaken on
behalf of the CITY The CHAMBER shall supply to the CITY on a
semi-annual basis throughout the term of this Agreement a report of all
community development inquiries received by the CHAMBER and
detailing the CHAMBER's objectives, efforts, and results of community
development programs and projects.
2. TIME OF PERFORMANCE. The CHAMBER shall perform and
complete the services specified in Section 1 of this Agreement between
January 1, 1993 and December 31, 1994 The CHAMBER agrees to
make whatever time investments are required for the full completion of
the community development projects contemplated by this Agreement.
3. CONSIDERATION. In consideration of the professional services
provided by the CHAMBER, as specified in Section 1 of this
Agreement, the CITY agrees to pay the CHAMBER two thousand four
hundred dollars ($2,400.00) per year, with payment to be made by April
1, 1993 for the first year and by April 1, 1994 for the second year,
provided that the semi-annual report required in Section 1 of this
Agreement is current at the time payment is due. Otherwise, payment
will be withheld pending semi-annual report submittal.
4. INTEGRATION. This written document constitutes the entire
Agreement between the parties hereto No changes or additions to this
Agreement shall be valid or binding upon either party unless such
• change or addition be in writing and executed by both parties.

5. INDEMNITY. The CHAMBER shall defend, indemnify, and hold
harmless the CITY OF YAKIMA, its agents, employees, and officials
• from any and all liability arising from performance of this Agreement.
6. ASSIGNMENT. The CHAMBER shall not assign this Agreement to
any other person or entity without prior written consent of the CITY.
7. TERM. The term of this Agreement shall be from January 1, 1993 to
December 31, 1994. The CITY and the CHAMBER agree to discuss
renewal of this Agreement and renegotiate its terms as appropriate.
