D 6 2 1 4 A RESOLUTION authorizing the execution of Fire Communications Services Contract with Yakima County Fire Protection District No 14 WHEREAS, Yakima County Fire Protection District No. 14 has requested the Cit) of Yakima to provide it with fire dispatch and communication services; and WHEREAS, the Yakima Fire Department possesses the capability to provide such services to Yakima County Fire Protection District No. 14, and WHEREAS, the City of Yakima currently provides similar services to other cities and fire protection districts, and WHEREAS, City Council deems it to be in the best interest of the City of Yakima to enter into the contract described below, now , therefore, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA. The Cit) Manager and Cit) Clerk are hereby authorized and directed to execute the attached and incorporated Fire Communications Services Contract Yakima Count) Fire Protection District No 14 ADOPTED BY THE CITY COUNCIL this10 av o , 1992 - ATTEST Mayor Cit) Clerk cmunczn FIRE COMMUNICATIONS SERVICES CONTRACT PARTIES: CITY OF YAKIMA, hereinafter called "City" and YAKIMA COUNTY FIRE PROTECTION DISTRICT NO. 14, hereinafter called "District." RECITALS: The City has heretofore provided alarm services to fire districts and cities for the handling and processing of fire, alarm, and emergency calls. The parties desire to enter into a contract for such services, now, therefore, for and in consideration of the covenants and conditions hereinafter contained, THE PARTIES MUTUALLY AGREE AS FOLLOWS: 1. FIRE DISPATCH CENTER. The City shall continue to operate a central facility to be known as the Fire Dispatch Center within the City of Yakima and shall use the same for the purpose of receiving fire and emergency service calls from the area served by the District, and shall dispatch fire apparatus of the District in answer to any such fire or emergency calls and for the purpose of receiving and transmitting mutual aid calls to various other cities and districts which assist the District with mutual aid. 2. AUTHORITY OF DISPATCH CENTER. It is agreed that the duty of operating the Fire Dispatch Center and the complete management thereof is vested in the City and that the City shall have the full, complete, and exclusive authority to operate and manage such Fire Dispatch Center, including, but not limited to, the authority to hire and fire employees and operators for such office. 3. EXPENSE OF MAINTENANCE AND OPERATION. The expense of continued maintenance and operation of the Fire Dispatch Center, including the expense of operating all telephone lines terminating at the Fire Dispatch Center, and including the maintenance of equipment located within the Fire Dispatch Center belonging to the District shall be borne by the City. 4. Tam. This contract shall commence on this 10th day of November, 1992 and shall terminate on December 31, 1993 5. COST OF SERVICE. The City shall maintain a record of all the District's alarm calls, and the District shall be charged by the City for each call as stated herein. During the calendar year 1992, the cost per alarm call shall be EIGHTEEN DOLLARS AND EIGHTY-NINE CENTS ($18.89) The cost per alarm call for 1993 shall be increased by a percentage equal to the percentage increase in the Consumer Price Index for the Seattle Metropolitan Statistical Area as published by the Page 1 of 3 (1s)agr/fire cmunctn jv 410 10 Bureau of Labor Statistics. If there is no increase or there is a decrease, there will be no change in cost per alarm call for that year. The District shall be billed in January of 1993 for the actual number of alarm calls dispatched by the Yakima Fire Dispatch Center in 1992. In addition, the District at the same time shall prepay for 1993 services which amount shall be the product of the price per call stated above times the projected number of calls for 1993 The projected number of calls for 1993 shall be calculated based upon the monthly average of calls for 1992. Within ninety (90) days of the termination or extension of this agreement, the City shall give the District an accounting based on actual alarm calls for 1993 The District or the City shall pay the other within thirty (30) days of such accounting that amount needed to reconcile the cost of actual alarm calls with the prepaid amount for 1993 6. PAYMENT FOR ALARM CALLS. The District shall pay for each year's billing for alarm services within ninety (90) days after billing by the City. Payment shall be made to the City Director of Finance and Budget, City Hall, Yakima, Washington. 7 DEFINITION OF ALARM CALLS. A call to be charged for under the terms of this agreement is defined as follows: A. An alarm call is defined as a call requiring the dispatch of equipment from the District. Any number of vehicles from the responsible District may answer any such alarm call. All communications dealing with such alarm call shall be deemed one (1) alarm call. 13. Mutual Aid. In the event the District requests mutual aid it shall pay for each additional alarm call it requests. 8. Mt Ul • OLII tlif e parties to this contract agree this contract will be terminated if a combined communications center is placed into operation as a result of implementing a 911 system, which replaces the existing Fire Dispatch Center A combined communication center is defined as a central receiving point and dispatching center for all police, fire, emergency medical services, and related emergencies. If the combined communications center is placed into operation at a time other than the end of the calendar year, the Cities and Districts will be responsible for payments for that calendar year only through the time the services provided by the City of Yakima are through the time the services provided by the City of Yakima are terminated. If payment for the entire calendar year has been paid, a pro -rata refund through the date of service provided will be made. Page 2 of 3 (1s)agr/fire cmunctn jv 9. OLD HARMLESS The District shall defend, indemnify, and hold harmless the City, its agents, officers, and employees from any and all liability arising out of the performance of this contract.
