W. Beck and Associ- ates and the City of Yakima for the Chesterly Park Well and Pump Station is hereby amended as follows: PROJECT: Change name to "Domestic Water Well Project" PART I - SCOPE OF SERVICES Change Parts I and II to the following: I. General The project consists of developing a domestic water well to replace the capacity lost when the City closed its Raney wells. The work will proceed in three phases. First, a hydrogeologic survey of selected sites shall be performed and a report prepared for the City. Second, after a site has been selected, specifications will be prepared and issued for drilling the well. Third, a pump station and water main connecting the well to the City's existing system will be designed and contract docu- ments prepared. II. Well Survey and Construction 1. Hydrogeologic Survey and Report The Consultant will conduct a hydrogeologic survey of the Yakima area to evaluate the feasibility of developing a well with a capacity be- tween 2,000 and 3,000 gallons per minute (gpm) at one or more of sev- eral selected sites. The Consultant will provide a report summariz- ing hydrogeologic and engineering considerations and making recommen- dations resulting from the study. The City will determine the pre- ferred site for development. 2. Well Specifications The Consultant will prepare specifications for drilling a well at the proposed well site so that the City can advertise a contract to pros- pective well drillers. The Consultant shall prepare and deliver a camera-ready master of the specifications to the City for advertising and bidding the project. Amendment No. 1 -2- October 26, 1990 3. Services During Well Construction The Consultant shall attend pre -construction conference, monitor the well construction including full time (8 hours per day) on-site in- spection during drilling of the lower section, document well con- struction, prepare geologic log of the well, witness pump test and geophysical logging, and make recommendations for the design of the well and pump. Based on a water quality sample, the consultant shall identify any treatment requirements for the well. PART II - PAYMENT Change the first sentence in the third paragraph to the following: "On the basis of the Scope of Services outlined in this Agree- ment, the estimated total amount to be paid by the Client for services furnished and expenses reimbursed will be approximately $84,320. Except as specifically modified herein, the Professional Services Agreement between R. W. Beck and Associates and the City of Yakima shall re- main in full force and effect. Beck and Associates, Consulting Engineer, upon submission of monthly invoices, an amount equal to the actual hours of services furnished multiplied by the product of the Consulting Engineer's established hourly salary costs, which include allowance for personnel benefits, and a factor of 2.4 In addition, the Client shall reimburse the Consulting Engineer each month: at cost for all out-of-pocket expenses directly chargeable to the work; at cost plus 10% for services of Special Consultants and Subcontractors; and at the Consulting Engineer's then current rates for computer and reproduction services. Beck and Associates ' PART III — STANDARD PROVISIONS IIIA. Consulting Engineer's Organizations R. W. Beck and Associates is a partnership and R. W. Beck and Associates, Inc. is a corpora- tion owned and controlled by the partnership. Both entities are organized and operated under the laws of the State of Washington. It is expressly agreed that the partnership may be changed by addition or reduction in the number of the partners or redis- tribution of the partnership interests and this Agreement may be assigned to the partnership or to the corporation. The Consulting Engineer may as- sign the compensation from this Agreement to any other entity. III.B. Professional Services 1. The Consulting Engineer shall be consul- tant and advisor to the Client as an independent contractor and shall not be an employee of the Cli- ent. The Consulting Engineer shall not be an agent or representative of the Client except that the Consulting Engineer may act as the Client's agent in providing construction management services to the degree specifically authorized in Part IV - Special Provisions of this Professional Services Agreement. 2. The Consulting Engineer represents that the services furnished under this Agreement will be in accordance with generally accepted professional practices. Any estimate of cost of equipment, con- struction, ownership or operation furnished by the Consulting Engineer shall' be the Consulting Engi- neer's opinion based upon its professional judgment and experience. The Consulting Engineer makes no other representation or warranty, express or im- plied. III.C. Change in Scope and Delays 1. If the provisions for payment in this Agreement provide for a fixed fee or a maximum payment for services, such fee" or maximum is for the Scope of Services described in the Agreement. If the Scope of Services is modified so that more or less work or time is required, and such modification is accepted by the Client and the Consulting Engineer, the fee or maximum and the time shall be equitably adjusted. 2. In the event of delays in or failures of performance of the Consulting Engineer caused by circumstances_ beyond its control, the Consulting Engineer's fee or maximum and the time allowed shall be equitably adjusted, and such delays or failures shall not constitute a default or give rise to any claim against the'Consulting Engineer. III.D. Relating to Payment 1. The Consulting Engineer's "Salary Costs" allow for basic salary and personnel benefits, including: life, accident, disability and medical insurance; sick leave, holiday and vacation pay; social security, workers' compensation, unemploy- ment compensation and pension retirement contribu- tions; and similar employment-related costs. Basic salary per hour shall be twelve times current monthly salary for employees or current monthly drawings in lieu of salary for partners, exclusive of overtime, bonus or other profit participation payments, divided by 2,080. 2. The Consulting Engineer's "Out -of -Pocket Expenses" are those expenditures made by the Consulting Engineer, other than Salary Costs, costs of reproduction and computer services and costs of Special Consultants and Subcontractors, which are directly chargeable to the project and which would not otherwise have been incurred. Such expendi- tures include, but are not limited to, transporta- tion, lodging, subsistence, communications, liability and other insurance premiums when required by the Client in addition to the types and amounts currently carried by the Consulting Engineer, taxes other than those levied on the profits or net income of the Consulting Engineer, equipment rentals and repair, and special mailing, forms, materials and supplies required during the progress of the work. Reimbursement for out-of- pocket expenses shall be an amount equal to the cost thereof. 3. "Computer services" as used herein shall mean the use of electronic computing and informa- tion processing equipment, word processing equip- ment, data communications equipment, computer software, and related facilities and services of personnel necessary to operate and maintain such equipment and facilities. "Reproduction services" as used herein shall mean the use of printing and copying equipment, photographic equipment, and similar facilities and services of personnel to operate and maintain such equipment and facil- ities. Charges for computer and reproduction services shall be at the Consulting Engineer's established-- rates therefor which are in effect at the time.,of such usage. 4. -In event of the "inability or failure of the Client to pay' -'as --agreed, interest commencing sixty days after the date of invoice shall be paid by the Client to the_,Consultinp Engineer on the last day of each month on4)all,_'unpaid amounts due the Consulting- Engineer- at -the- interest rate for borrowed funds then- currently available to the Consulting Engineer at the Rainier National Bank of Seattle. Q R. W. Beck and Associates PART III — STANDARD PROVISIONS III.E. Insurance The Consulting Engineer shall maintain in effect, to the extent that such insurance is avail- able at reasonable cost, employer's liability, pro- fessional liability, comprehensive general liabil- ity (bodily injury and property damage) and compre- hensive automobile liability (bodily injury and property damage) insurance with respect to employ- ees and vehicles of the Consulting Engineer assigned to the prosecution of work under this Agreement, with each policy having maximum limits of not less than $5,000,000, and statutory workers' compensation protection. Upon written request, the Consulting Engineer will supply to the Client a description of each such insurance policy currently in effect, specifying the amount thereof. The Con- sulting Engineer will obtain and thereafter main- tain in effect, if reasonably available, such addi- tional insurance as may be requested by the Client, the cost of which shall be reimbursed by the Client. III.F. Liability In partial but specific consideration of the execution of this Agreement, the Client and Consulting Engineer agree as follows: 1. The Consulting Engineer shall indemnify and hold harmless the Client and its governing board, officers and employees from all claims, expenses and liability, following operation of applicable rights of contribution, arising out of negligent acts, errors or omissions of the Consulting Engineer and its employees, including claims made by employees of the Consulting Engineer; provided, however, such indemnification and hold harmless shall not exceed (a) the proceeds of any applicable insurance required to be maintained by the Consulting Engineer under the provisions of this Agreement or (b) $250,000, whichever is greater. 2. The Client shall indemnify and hold harm- less the Consulting Engineer, its partners, offi- cers,"employees and subcontractors from all claims, expenses and liability, following operation of applicable rights of contribution, arising out of negligent acts, errors or omissions of the Client and its employees, including claims made by employees of the Client and claims related to construction, use, occupancy, ownership, operation, maintenance or control of facilities related to services to be performed under this Agreement. 3. The Client shall limit any and all claims of the Client against the Consulting Engineer, its partners, officers, employees or subcontractors arising out of the performance of this Agreement, to an amount not to exceed (a) the proceeds of any III -2 applicable insurance required to be maintained the Consulting Engineer under the provisions this Agreement or (b) $250,000, whichever greater. by of is 4. For amounts in excess of any proceeds of the insurance required to be maintained by the Con- sulting Engineer under the provisions of this Agreement, the Client shall indemnify the Consult- ing Engineer, its partners, officers, employees and subcontractors against all expense or liability of any kind arising out of any claim for loss of life, bodily or personal injury, property damage or other loss from any cause related to the furnishing of the services covered by this Agreement; provided, however, this indemnity shall not apply to the sole negligence of the Consulting Engineer. 5. The Client and the Consulting Engineer shall not be liable to each other in any event for interest (except as otherwise provided); loss of anticipated revenues, earnings or profits; in- creased expense of operations; loss by reason of shutdown or non -operation due to late completion or otherwise; and consequential damages. 6. In any and all claims involving an employee of the Consulting Engineer or the Client, the indemnification obligation under this paragraph entitled "Liability" shall not be limited in any way by any limitation on the amount or type of damages, compensation or benefits payable under workers' or workmen's compensation acts, disability benefit acts or other employee benefit acts. III.G. Suspension or Termination of Services The Client or the Consulting Engineer may suspend or terminate any or all services covered in this Agreement at any time upon written notice in which event the Client shall pay the Consulting Engineer upon submission of invoices for all services rendered and expenses incurred to the effective date of such suspension or termination. III.H. Construction Contractor's Performance and Safety The Consulting Engineer shall not be responsible: for safety on the Client's premises or project site, except for the safety. of personnel of the Consulting Engineer, its Special Consultants and Subcontractors; for providing or assuring a safe place for the performance of the construction contractor's work; for safety precautions; programs or equipment; for construction means, methods, techniques, sequences or procedures; or for the construction contractor'sfailure to perform the work in accordance with the Contract Documents. Q W. is eck and Associates PART III — STANDARD PROVISIONS III.I. Disposition of Documents 1. Upon completion of the services provided under this Agreement, the Consulting Engineer shall deliver to the Client one copy of all Reports, Specifications and Contract Documents and one transparency of each of the Drawings. The orig- inals of all Reports, Specifications, Drawings and Contract Documents shall be retained by the Con- sulting Engineer and upon request by the Client, the Consulting Engineer will furnish copies to the Client at actual cost of duplication and mailing. If such Reports, Specifications, Drawings or Con- tract Documents or reproductions thereof, or any other items relating to the services of the Con- sulting Engineer are changed in any way or used by the Client for any other project or purposes, the Client shall indemnify, defend and hold harmless the Consulting Engineer from all loss, damage, lia- bility or expense arising out of such change or use. 2. Except as specifically provided to the contrary in this Agreement, all computer programs, computer code and documents related thereto ("computer software") developed by or used by the Consulting Engineer in conjunction with the Con- sulting Engineer's work hereunder shall remain the sole and exclusive property of the Consulting Engi- neer, and the Client shall have no right or title to or interest in such computer software. In the event the Consulting Engineer releases any such computer software to the Client, the Client shall protect the confidentiality of such computer soft- ware and shall not release or divulge such computer software to any other person or organization or let any other persons or organization use such computer software. In the event Client uses any such com- puter software or allows such computer software to be used by others, the Client shall indemnify and hold harmless the Consulting Engineer from all loss, damage, liability or expense arising out of such use. III.J. Equal Opportunity The Consulting Engineer will not knowingly discriminate against any employee or applicant for employment because of age, race, color, religion, sex, national origin, marital or veteran status or physical handicap. The Consulting Engineer will take affirmative action to the end that applicants are employed, and that employees are treated during employment, without such discrimination. III.K. Severability and Headings 1. If any part of tl:iis Agreement, including, but not limited to, any provision, paragraph, clause, phrase or words, :is found to be in conflict I1I-3 with applicable laws, such part shall be inopera- tive, null and void insofar as it is in conflict with said laws, but the remainder shall be given full force and effect. 2. W. Beck and Associates EXHIBIT A -- SCOPE OF SERVICES SEWER DESIGN PROJECTS I. General The project consists of the design of three separate sewer system extensions to the City of Yakima System identified as the 1) Scenic Drive Sew- er Extension (approximately 5,000 if), 2) the Appleview L.I.D. (aproximately 5,200 lf), and 3) the Westview L.I.D. (approximately 4,800 lf). The design shall be completed according to preliminary layouts prepared by the City of Yakima. The length of the Scenic Drive Sewer will be determined by the area along Scenic Drive that can be physically served by a gravity sewer. The scope will also include investigating the feasibility of extending the exist- ing sewer which runs north from Mari Lane to Scenic Drive and directing sewage from areas to the west along Scenic Drive to this sewer. The sewer will be designed with stubs to connect side sewers from existing homes, but the design and construction of the side sewers are not part of the project. II. Work To Be Performed By The Consulting Engineer During the Design Phase 1. Field Investigations The City has aerial mapping with 5 -foot contour intervals prepared in 1982 which will be used as the base map for the project. The Consultant shall establish the centerline of the road right-of-way survey spot ele- vations along the route of the interceptor in order to verify the eleva- tions for design purposes and as an aid in determining which houses and service area can be directed to the new sewer. The consultant shall also survey the basement elevations of houses along the route. 2. Design Report The Consultant shall prepare a design report, establishing the final route, pipeline size and materials, identifying service to existing and future development, and discussing alternatives considered. The report shall include a preliminary plan and profile for the pipeline. This re- port shall be reviewed and approved by the City before proceeding with final design. 3. Contract Drawings Contract Drawings for bidding the project will consist of plan/profile drawings at a scale of 1:40 prepared from City mapping and survey data discussed under Paragraph No. II, 1, and drawings showing construction details necessary for the construction of the project, including man- holes, connections, pipeline crossings, road restoration, etc. Exhibit A (Continued) Page 2 4. Contract Specifications Technical specifications shall be prepared in the CSI format with the WSDOT/APWA specifications used where appropriate. The general and spe- cial conditions shall be prepared using the City's format. 5. Engineer's Estimate The Consultant shall prepare a detailed Engineer's Estimate of the proba- ble construction cost as of the date that the design is completed. 6. City Review and Final Contract Documents The Contract Documents including the drawings, technical specifications, general and special conditions, and bidding instructions shall be submit- ted in draft form to the City for review. The Consultant shall meet with the City to review the design and will incorporate any comments into a final set of Contract Documents. The Consultant will deliver a camera- ready set of the Contract Specifications and reproducible master of the Contract Drawings to the City for its use in advertising the construction. III. Additional Services The City may request additional services from the Consulting Engi- neer which may include consulting services during construction, the design of additional sewers, or other services as may become necessary or desirable dur- ing the course of the project. Payment for additional services shall be the subject of a supple- mental agreement acceptable to both parties. IV. Services To Be Provided By The City The City shall provide the following assistance and services: 1. Obtain any easements required for the project. 2. Satisfying envi ronmental requirements for the project. 3. "As -built" drawings with invert elevations for the existing sewers. 4. Any other information, reports, or other documents as may be neces- sary to facilitate the design. 5. Reproducible copies of the aerial base maps with 5 -foot contour intervals prepared for the area. 6. Printing the Contract Documents and advertising the project for construction. - End of EXHIBIT A - (A6924e) RWB-272C R. W. Beck and Associates PART III - STANDARD PROVISIONS (Subconsultant Agreements) The Subconsultant and Beck agree that the following Standard Provisions shall supersede any conflicting provisions of this Agreement. III A. Insurance 1. The Subconsultant shall provide and shall pay the premiums for workmen's compensation insurance and unemployment insurance on behalf of its employees to the insuring limits set by law. The Subconsultant shall pay when due all social security, federal income tax deductions and any other taxes or payroll deductions required by law for or on behalf of its employees. The Subconsultant shall maintain in effect comprehensive general liability (bodily injury and property damage), comprehensive automobile liability (bodily injury and property damage) and employer's liability insurance with respect to employees and vehicles of the Subconsultant assigned to the prosecution of work under this Agreement in an amount not less than $1,500,000 combined single limit. In addition, the Subconsultant shall maintain in effect professional liability insurance in the amount of not less than $500,000 per occurrence and in the aggregate during each annual policy period for not less than three years following completion of all services under this Agreement. 2. The Subconsultant agrees to furnish certificates of insurance to Beck within 15 days from the date of this Agreement which certify the amount of such insurance and that its insurance companies will notify Beck 15 days prior to the effective date of any termination, cancellation, material change or reduction of said insurance coverages. 3. The Subconsultant shall indemnify, defend and hold Beck harmless from any and all claims, demands and actions based upon or arising out of errors, omissions or negligent acts of Subconsultant or its partners, officers, employees, subcontractors or agents related to this Agreement. III.B. Assignment The services to be provided under this Agreement shall not be assigned by the Subconsultant without the prior written approval of Beck. III.C. Suspension or Termination of Services Beck may suspend or terminate any or all of the services covered by this Agreement upon written notice in which event equitable payment will be made for all services rendered and expenses incurred to the effective date of such suspension or termination. III.D. Limitation of Liability Prohibited No limitation of liability of any kind is provided to the Subconsultant by Beck under this Agreement. III.E. Complete Agreement This Agreement combines all understandings relative to the services to be provided into a single agreement superseding all previous correspondence, discussions and proposals. - End PART III - R.W. The revised project includes the Appleview and the Westview Local Improvement District as well as the Scenic Drive Sewer which was previously included in the scope. The scope of work is essential- ly the same for each of the three areas. There is some economy in combining the three projects and the new total price is $64,700. We have made several assumptions in our estimate: 1. We have not included any geotechnical investigations, assuming that these should not be necessary. 2. We have included surveying by Huibregtse, Louman Associates, Inc. for each of the project areas to establish spot elevations along the sewer route, to establish a baseline for construction, and to determine base- ment elevations for houses that will be connected to the sewer system. 3. We are assuming that the topographic mapping that was prepared by Olympus Associates, Inc. is available for the Appleview and Westview areas. Beck & Associates has offered to perform those professional services; and the City Council deems it to be in the best interest of the City that an agreement document be executed by the City, now, therefore, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA: The City Manager and City Clerk of the City of Yakima are hereby authorized and directed to execute an agreement with R. W. Beck & Associates for the purpose mentioned above, the estimated costs and description of tasks which are to be incorporated 'in the agreement attached hereto and by reference, made a part hereof.
