RESOLUTION NO. D 5940
A RESOLUTION authonzing execution of an interagency agreement
with the Washington State Department of Ecology for
assistance in the Visioning Yakima 2010 Project.
WHEREAS, the City of Yakima is participating in a Visioning
Yakima 2010 Project for long-range planning of growth management,
education and employment training, economic development, health care,
environment, humanity and family, housing, quality of life and
agriculture, and
WHEREAS, the Washington State Department of Ecology has
completed its Focus 2010 Environment process, and
WHEREAS, the Washington State Department of Ecology desires to
assist in the Visioning Yakima 2010 project and coordination of a
Sustainable Communities Forum, and
WHEREAS, the Washington State Department of Ecology has
awarded the City a $10,000 grant to assist in the Visioning Yakima 2010
process and participate in a Sustainable Communities Forum, now,
therefore,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
YAK IMA:
The City Manager and City Clerk of the City of Yakima are hereby
authorized and directed to execute the attached and incorporated
agreement, "Interagency Agreement Between the State of Washington
Department of Ecology and City of Yakima."

INTERAGENCY
AGREEMENT
BETWEEN
THE STATE OF WASHINGTON
DEPARTMENT OF ECOLOGY
AND
CITY OF YAKIMA
THIS AGREEMENT is made and entered into by and between the
Department of Ecology, hereinafter referred to as "ECOLOGY" and the City
of Yakima, hereinafter referred to as "CONTRACTOR".
IT IS THE PURPOSE OF THIS AGREEMENT TO assist the City in designing
and publicizing its Visioning Yakima 2010 demonstration project, with
an emphasis on public participation to integrate the City's long-range
efforts in: growth planning, education and employment training, economic
development, health care, environment, humanity and family, housing,
quality of life and agriculture. Assist the City in organizing and
co -hosting the Environment 2010 Sustainable Communities conference.
IT IS MUTUALLY AGREED THAT:
STATEMENT OF WORK
The CONTRACTOR shall:
A. Convene Visioning Yakima 2010 Steering Committee, provide
necessary background material, assign sub -committee responsibilities and
tasks, develop timeline by March 15, 1991.
B. Conduct beliefs and needs assessment by March 28, 1991.
C. Assess status of local environment, develop draft vision
statement by April 11, 1991.
D. Organize, publicize, hos' � and facilitate major community forum
to present preliminary vision statement and draft action recommendations
by May 30, 1991.
E. Develop, publish and distribute community forum proceedings,
vision statement and action recommendations by December 31, 1991.
F. Assist Department in designing statewide Sustainable Community
conference agenda and program, drafting and mailing invitation letter
and printed materials, and developing invitee list. Assist Department
with conference registration and logistics. 'Provide a presentation at
conference and discussion group facilitation by December 31, 1991.
TERMS AND CONDITIONS
All rights and obligations of the parties to this agreement shall be
subject to and governed by the Special Terms and Conditions contained in
the text of this agreement.
PERIOD OF PERFORMANCE
Subject to its other provisions, the period of performance of this
agreement shall commence on March 15, 1991, and be completed on
December 31, 1991, unless terminated sooner as provided herein.
IN CONSIDERATION WHEREOF:
ECOLOGY shall pay the CONTRACTOR as follows: The sum of $10,000 to be
paid upon receipt of deliverables A, B, C, and D under Statement of
Work.
BILLING PROCEDURE
ECOLOGY will pay the CONTRACTOR upon receipt of properly executed
vouchers. Claims for payment submitted by the CONTRACTOR for costs due
and payable under this agreement, that were incurred prior to the
expiration date shall be paid by ECOLOGY if received within 30 days of
the expiration date.
NON-DISCRIMINATION
In the performance of this agreement, the CONTRACTOR shall comply with
the provisions of Title VI of the Civil Rights Act of 1964
(42 USC 200d), Section 504 of the Rehabilitation Act of 1973
(29 USC 794) and Chapter 49.60 RCW, as now or hereafter amended. The
CONTRACTOR shall not discriminate on the grounds of race, color,
national origin, sex, religion, marital status, age, creed, Vietnam -era
and Disabled Veteran status, or the presence of any sensory, mental or
physical handicap in:
a) Any terms or conditions of employment to include taking
affirmative action necessary to accomplish the objectives of
this part; and
b) Denying an individual the opportunity to participate in any
program provided under this agreement or otherwise afforded to
others.
In the event of noncompliance or refusal to comply with the above
provisions, this agreement may be rescinded, canceled, or terminated in
whole or in part, and the CONTRACTOR declared ineligible for further
agreement with ECOLOGY. The CONTRACTOR shall, however, be given a
reasonable time in which to cure any noncompliance. Any dispute may be
resolved in accordance with the "Disputes" procedure set forth herein.
COMPLIANCE WITH LAWS
The CONTRACTOR shall comply with all applicable laws, policies and
regulations of the state and federal government in the performance of
duties under this agreement.

ENVIRONMENTAL REQUIREMENTS
The CONTRACTOR shall comply with all standards, orders and regulations
issued under the federal Clean Air Act of 1970 and the federal Water
Pollution Control Act.
HOLD HARMLESS
Each party shall protect and hold harmless the other party from and
against all claims, suits or actions arising from any intentional or
negligent act or omission of that party's employees, agents and/or
authorized subcontractor(s) while performing under the terms of this
agreement.
MAINTENANCE OF RECORDS
All records supporting every request for payment shall be maintained in
a manner which will provide an audit trail to the expenditures for which
state support is provided. Original source documents shall be
maintained by the CONTRACTOR and made available to the department or a
duly authorized audit representative upon request.
TERMINATION
Either party may terminate this agreement upon thirty days written
notification. If this agreement is so terminated, the terminating party
shall be liable only for performance occurring prior to the effective
date of said termination.
SAVINGS
In the event funding from state, federal or other sources is withdrawn,
reduced, or limited in any way after the effective date of this
agreement and prior to normal completion, ECOLOGY may terminate the
agreement under the "Termination" clause, subject to renegotiation under
those new funding limitations and conditions.
CONTRACT MANAGEMENT
The work described herein shall be conducted under the coordination of
Joan Pelley who shall approve any payments made to the CONTRACTOR.
DISPUTES
In the event that a dispute arises under this agreement, it shall be
resolved as follows: The directors of ECOLOGY and the CONTRACTOR shall
each appoint a member to a Dispute Board. They shall jointly appoint a
third member to the Board. The Dispute Board shall make a decision
resolving the dispute. The determination of the Dispute Board shall be
final and binding on the parties hereto.
ORDER OF PRECEDENCE
In the event of an inconsistency in this agreement, unless otherwise
provided herein, the inconsistency shall be resolved by giving
precedence in the following order:
a) Applicable Federal and State statutes and regulations;

b) Special Terms and Conditions;
c) Statement of Work; and
d) Any other provision of the agreement whether incorporated by
reference or otherwise.
AGREEMENT ALTERATIONS AND AMENDMENTS
ECOLOGY and the CONTRACTOR may mutually amend this agreement. Such
amendments shall not be binding unless they are in writing and signed by
personnel authorized to bind the CONTRACTOR and ECOLOGY.
ALL WRITINGS CONTAINED HEREIN
This agreement contains all the terms and conditions agreed upon by the
parties. No other understandings, oral or otherwise, regarding the
subject matter of this agreement shall be deemed to exist or to bind any
of the parties hereto.

SUMMARY EXPLANATION:
The State Department of Ecology has awarded the City of Yakima a $10,000 grant for assistance in the
Visioning Yakima 2010 project and for our involvement in a Sustainable Communities Forum to be held
later this year.
Chris Waarvick, Chairman of the Environment Community Action Team, Visioning Yakima 2010, and Dave
McFadden, member of the Steering Committee and liaison to the Environment Community Action Team
initiated the discussions to secure this award. The State Department of Ecology has been interested in
the Visioning process in Yakima and how it may be part of the recently completed Focus 2010
Environment process they completed last year.
The $10,000 awarded to the City will be used for printing and publishing costs of the final Visioning
Yakima 2010 reports and any newsletters, videos or other Visioning materials that will be part of the final
reports.
Attached is the Interagency Agreement agreement between the City and the Department of Ecology.
