A RESOLUTION authorizing the City Manager and City Clerk of the
City of Yakima to execute an agreement with Bell -
Walker Engineers, Inc. for professional services.
WHEREAS, it is necessary to engage professional services for
the Pierce Avenue, West Lincoln Avenue and West "B" Street Couplet
Traffic Study; and
WHEREAS, local and state law including RCW 39.80 to the
extent required have been complied with the procurement of this
contract, and
WHEREAS, Bell- Walker Engineers, Inc. has offered to perform
those professional services in accordance with the provisions of
the attached agreement document; and the City Council deems it to
be in the best interest of the City that the agreement document be
executed by the City, now, therefore,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA:
The City Manager and City Clerk of the City of Yakima are
hereby authorized and directed to execute an agreement with Bell -
Walker Engineers, Inc. for the purpose mentioned above, a copy of
which agreement is attached hereto and by reference made a part
hereof.

AGREEMENT
THIS AGREEMENT, made and entered into this r't' day of 'l ,ote' L , 19 9 by and
between the City of Yakima, Washington hereinafter called "City ", and Bell — Walker Engineers, Inc.,
hereinafter called "Engineer ", is for the provision by the Engineer to City of professional services
for the Pierce Ave., W. Lincoln Ave. and W. "B" Street Couplet Traffic Study, hereinafter called
"project ".
In consideration of the covenants and agreements herein contained and the terms and conditions
hereof, the parties agree as follows:
1. Services. Engineer shall provide the City professional consulting engineering services as
described in Exhibit A, scope of work, attached hereto and by this reference incorporated herein.
2. Time Period for Performance of Services. When authorized by the City, the Engineer shall
commence such services as are described in the scope of work in accordance with the time
schedules set forth therein and shall proceed with the provision of such services in a diligent
manner. The Engineer shall not be responsible for delays caused by factors beyond the
Engineer's control or which could not reasonably have been foreseen by the parties at the time
the task order was executed. The anticipated schedule for the project is shown as Exhibit B.
3. Payments to Engineer.
A. Payment to the Engineer. The Engineer shall be paid by the City for completed work for
services rendered under this Agreement as provided hereinafter. Such payment shall be full
compensation for work performed or services rendered and for all labor, materials, supplies,
equipment, and incidentals necessary to complete the work.
1. The Engineer will be paid by the City for work done, based upon mutually agreed
hourly rates for labor classification listed below. The listed rates shall be applicable
through the life of this Agreement. The rates are inclusive of actual salaries, overhead,
and profit.

Compensation for the following expenditures will be allowed when these costs are
incurred directly in fulfilling the terms of this Agreement: subconsultants, travel,
reproduction, printing, supplies, computer, and telephone.
2. The maximum amount payable by the City to the Engineer under this Agreement shall
not exceed Twenty Six Thousand Two Hundred and Sixty and no /100 Dollars
($26,260.00), unless a supplemental agreement has been negotiated and executed by the
Agency prior to incurring any costs in excess of the maximum amount payable. The
fee estimate is shown in Exhibit C.
C. Renegotiation of Fee. The Engineer reserves the right to renegotiate the fee specified in
any task if the scope of services are modified by the City or by others or by conditions
beyond the control of the parties hereto whereupon additional expenses shall be incurred
by the Engineer. The City and Engineer shall agree to such a change in fee and services
in writing prior to the Engineer's provision of such modified or changed services.
D. Time of Payments. Engineer shall periodically submit invoices for the unbilled portion of
the services completed to that date. City agrees to pay the invoiced amounts within 30 days
from the date of receipt of the invoice.
E. Payments in the Event of Termination. In the event of termination of this agreement,
Engineer shall be compensated for services performed under this agreement to the date of
termination in accordance with the terms above.
F. Notices and Advertising. City shall pay all costs for mailing of notices or advertising and
all other project fees normally paid by the City for a public works project.
5. Stanclajd for Performance. Engineer shall perform its services in accordance with generally
accepted engineering and consulting standards and shall be responsible for the technical
soundness and accuracy of all work and services furnish pursuant to this agreement.
6. Termination. Either party may terminate this agreement at any time upon 30 days written notice
to the other party.
7. Opinions of Cost. Engineer has no control over the cost of labor, materials, equipment, or
services provided by parties other than Engineer and its subcontractors. Engineer has no control
over contractor's methods of determining prices, or other competitive bidding or market
conditions, and its opinions of probable project or construction costs are to be made on the basis
of its experience with the construction industry. However, Engineer can not and does not
guarantee that estimates of construction costs will not vary from opinions of probable costs
prepared by it.
8. Ownership of Documents. The originals of all documents, including drawings and specification,
prepared by Engineer shall remain the property of the Engineer. The Engineer shall provide the
City with a reproducible and /or non — reproducible copies of the documents, drawings, and
specifications, and other work products as specified in each task order. Such documents,
drawings, and specifications are not intended or represented by the Engineer to be suitable for
reuse by the City or others on extensions of the services provided for the intended project or
on any other project. Any reuse without written verification or adaptation by the Engineer will
be at the City's sole risk and without liability or exposure to the Engineer, and the City shall
indemnify and hold harmless the Engineer from all losses, claims, damages, and expenses,
including attorney's fees arising out of or resulting therefrom. Any such verification or
adaptation by Engineer will entitle the Engineer to further compensation at rates agreed upon
by the parties.
9. Indemnity. The Engineer shall defend, indemnify, and hold harmless the City from any and all
claims or liabilities arising out of Engineer's negligent performance of this Contract, including
City's reasonable attorney's fees and costs in defense of any such claims or liabilities.
The Consultant shall comply with all federal government, state, and local laws and ordinances
applicable to the work to be done under this Contract.
Prior to beginning work under this Contract, the Consultant shall provide Certificates of
Insurance as evidence that policies providing the following coverage and limits of insurance are
in full force and effect.
A. General Comprehensive Liability
With respect to liability for injuries to or death of persons and with respect to liability for
destruction of or damage to property, the insurance coverage shall be $500,000 combined
single limit and such coverage shall include the special provision listed below:
1. The City, its officers, employees, and agents shall be named as an additional insured
and the coverage shall be applicable to and protect the City, its officers, employees, and
agents from liability arising from or relating to Engineer's activities relating to the
Contract. Such insurance shall be primary and other insurance maintained or carried
by the City shall be separate and distinct and shall not be contributing with the
insurance listed hereunder.
2. Such insurance shall not include explosion, collapse, or underground exclusions
commonly referred to as the "XCU" hazards.
B. Automobile Comprehensive Liability
With respect to liability for injury to or death of persons and with respect to liability for
destruction of or damage to property, the City, its officers, employees, and agents shall be
named insured and the insurance coverage shall be $500,000 combined single limit. Such
insurance shall be primary and other insurance maintained or carried by the City shall be
separate and distinct and shall not be contributing with the insurance listed hereunder.
Failure of either or all of the named insured to report a claim under such insurance shall not
prejudice the rights of the City, its officers, employees, and agents thereunder. The City, its officers,
employees, and agents will have no obligation for the payment of premiums because of its being
named as an insured under such insurance. None of the policies issued pursuant to the requirements
contained herein shall be canceled, allowed to expire, or changed in any manner so as to affect the
rights of the City thereunder until thirty (30) days after written notice of such intended cancellation,
expiration, or change.
Prior to the beginning work for property acquisition, development of contract plans and
specifications, and construction management the Engineer or its subcontractors shall provide
evidence of errors and omissions coverage for a minimum of $500,000.
10. Additional Services At the City's option and direction, Engineer shall provide additional
engineering and/or planning services authorized by mutually agreed task orders.
11. Entire Agreement. This Agreement constitutes the entire agreement between the City and the
Engineer and supersedes all prior or contemporaneous oral or written representations or
agreements. This agreement shall not be modified, except with an agreement signed by both
parties.
12. Attorney's Fees. In the event suit or legal action is instituted to enforce any of the terms or
conditions of this agreement, the losing party shall pay to the prevailing party, in addition to
the costs and disbursements allowed by statute, such sum as the court may judge reasonable as
attorney's fees in such suit or action, in both trail and appellate courts.
13. Assignment. Neither party to this agreement shall assign the agreement, nor any interest arising
herein, without the written consent of the other. The Engineer shall be authorized to employ
or subcontract with any other party or entity it deems necessary for the performance of any of
the services to be provided by the Engineer pursuant to the terms of this agreement.
14. Separate Agreement. In the event any of the terms or clauses of this agreement is held to be
illegal or unenforceable by any court or arbitrator, the remaining clauses and terms shall
continue in full force and effect and shall be enforceable.
15. Governing L This agreement is governed by the laws of the State of Washington.
16. Subcontractors. Engineer anticipates utilizing the following subcontractors for the services
listed.

EXHIBIT A
SCOPE OF WORK
TRAFFIC STUDY
PIERCE AVE., W. LINCOLN AVENUE
AND W. "B" STREET COUPLET
The following work program outlines the tasks necessary to prepare the Pierce Ave., Lincoln & B
Couplet. This program has been developed based on the request for proposals and discussions with
your staff. The work schedule showing the tasks related to a 18 week study period is in Exhibit B.
TASK I — INVENTORY AND BACKGROUND
Subtask I — Reports, Plans, and Records: Copies of all appropriate plans, reports, and records
that relate to the development of this study will be obtained from the City of Yakima. City and
YVCOG transportation planning information will be the primary base of the analysis in this study.
City planning data will be obtained to included the current comprehensive plan, zoning, rezone
proposals, and all related development information.
Subtask 1 - Inventory and Physical Features: Using available records, plans, mapping, and
supplementing this information with field inspections, a completed inventory of the physical features
of the existing streets will be accomplished. Appropriate dimensional criteria, speed limits, marginal
facilities, and other elements will be recorded. A video tape log of the system will be made for
review in the office.
Subtask 1 - 3 Traffic Control Devices: An inventory of the existing signing, lighting and traffic
signals, will be obtained from records and field inspection. Existing intersection geometrics and
channelization will be inventoried with sketches developed for key intersections.
Subtask 1 - Traffic Characteristics: Traffic information will be obtained from the City and
YVCOG. Supplemental counts will be obtained as required to have a complete understanding of
local traffic characteristics. The additional traffic counts will be accomplished by the City based
on the recommended program form the consultant.
Subtask I - Accident Data: Summary accident information for the past three years will be
obtained from the City.
Subtask 1 - 6 Non — Motorized Transportation Modes: Information will be obtained concerning
all facilities for bicycles and pedestrians which will include routes and key physical features.
Subtask 1 -7 Evaluation Criteria and Standards: A joint meeting of the consultant and City will
be conducted to establish evaluation criteria and standards for the study. This will include
performance and operational characteristics. This meeting will review the goals and objectives and
information to be used in the development of the traffic plan.
TASK II — ANALYSIS OF TRANSPORTATION SYSTEM
Subtask II -1 Traffic Capacity: Existing traffic capacity for the key intersections will be
computed utilizing the 1985 Highway Capacity Manual procedures.
Subtask 11 -2 Operational Review: Street geometrics, channelization, turning lanes, sight
distances and safety related features will be reviewed to identify deficiencies.
Subtask II-3 License Plate 0 — D Survey: A license plate O —D survey will be accomplished
using lap —top computers. This will determine the distribution of traffic between the couplet and W.
Lincoln Avenue and Summitview Avenue.
Subtask 11 -4 Accident Analysis: An accident analysis will be prepared to determine high accident
locations and possible corrective actions.
TASK III — TRAFFIC FORECAST MODEL
Subtask III -1 Modify Traffic Model: The current YMATS transportation model (converted to
TMODEL 2) of the Yakima area will be utilized to analyze future travel. This model will be
modified to reflect the arterial street system through the study area.
Subtask III -2 Prepare Future Traffic Assignments: Future traffic volumes will be run for each
of the alternatives. The alternative assignments will be compared to the existing system to
determine the relative effectiveness of the alternatives.
TASK IV — DEVELOP ALTERNATIVES
Subtask IV -1 Review Previous Concepts: Several concepts for traffic flow in the study area
have been developed as part of previous plans. These concepts will be reviewed to determine their
effectiveness considering both existing and future travel demand.
Subtask IV -2 New Concepts: Based on the analysis of the existing system and considering future
travel demand alternative concepts will be developed. This will include alternatives that will utilize
the existing right —of —way and concepts involving property acquisition.
TASK V — EVALUATE SYSTEMS
Subtask V - Traffic Service: Each alternative system will be evaluated with respect to the
following items:
o Capacity
o Operation
o Safety
o System Integration
o Cost
Subtask V - Compatibility: The systems will be evaluated and rated considering the compatibility
with the community. The following items will be considered:
o Property impacts
o Conformance with other plans
o Visual and aesthetic impacts
o Environmental factors
Subtask V - Cost — Benefit Analysis: The construction and right —of —way costs will be
estimated and compared to the improved operating and safety costs. The analysis will include
performance measures at each alternative including vehicle miles of travel, vehicles hours of travel,
fuel consumption, average speed, and delay.
Subtask V - Evaluation Matrix: A comparative matrix of all evaluation criteria will be prepared
that weight each factor.
TASK VI — RECOMMENDED PLAN
Subtask VI - Arterial Street Plan: A plan that defines the arterial street concept with short and
long —term improvements to the will be prepared.
Subtask VI - Funding Plan: Preliminary concepts for project funding will be recommended to
include potential sources of funding assistance. Consideration will be given to local resources,
private resources, state and federal funding.
Subtask VI - Implementation Plan: A plan for accomplishing the recommended improvements
will be prepared that outlines priorities of activities and staged development.
TASK VII — COMMUNITY INVOLVEMENT
Brief newsletters describing the project and proposed alternatives will be sent before each meeting
to those on the mailing list. Key community leaders will also be telephoned before public meetings
to encourage active participation.
Subtask VII -1 Issues Assessment: The first step will be the identification of the major issues and
the most appropriate public involvement techniques, based on interviews with key staff, official and
citizens. This will provide a more thorough understanding of the growth and development concerns
in the study area, and the feelings of the community and developers about these issues and potential
traffic impacts.
Subtask VII -2 Information Exchange: Information techniques will include:
o Brief newsletters will be written before each meeting, describing the project, study results
and altematives.
o News releases will be sent to the local newspaper and other relevant publications
announcing the meetings.
o Feature articles in the newspaper will also be sought, to describe the study and alternatives
in more detail and obtain broader publicity of the issues.
Subtask VII — 3 Community Meetings and Public Hearing: The public meetings will be the
primary means of consulting with the community, providing opportunities for citizens to highlight
their concerns, discuss the findings of the study, and review the alternative plans. Comment forms
will be distributed at each meeting. Both written comments and questions will be summarized and
integrated into the planning process. Activities will be scheduled so that public review and input
will be timely, allowing public preferences to be effectively reflected in the final alternatives. A
final pre — design hearing will be held to present the recommended plans prior to finalizing the study
report.
