A RESOLUTION declaring the Strand CCR600 dimmer bank, related
dimmer modules, and cross -connect patch panel
(Inventory No. 2112, 2113, and 2114) surplus and
authorizing the transfer of ownership of such
property from the City of Yakima to the Warehouse
Theatre Company.
WHEREAS, the City of Yakima owns a Strand CCR600 dimmer
bank, related dimmer modules, and the cross -connect patch
panel (Inventory No. 2112, 2113, and 2114) for which the City
has no foreseeable use or future need and all of which are
surplus to the City's needs; and
WHEREAS, the City of Yakima has received information that
the dimming and control system has little or no value, see
attached Exhibits "A" and "B" which are incorporated herein as
if fully set forth; and
WHEREAS, the cost of removing said property from the
Capitol Theatre would exceed the salvage value and/or fair
market value of said equipment, see attached Exhibits "C" and
"D" which are incorporated herein as if fully set forth; and
WHEREAS, the City has received an offer to remove said
equipment from its current location at the Capitol Theatre at
no cost to the City except for the right of ownership by
Warehouse Theatre Company; and
WHEREAS, the City of Yakima will save money and expense
by the Warehouse Theatre Company removing said equipment from
the Capitol Theatre; now, therefore,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA:
The City Manager of the City of Yakima is hereby autho-
rized to dispose of said surplus property owned by the City by
transferring ownership of said property to the Warehouse
Theatre Company in consideration of the Warehouse Theatre
Company removing said property from the Capitol Theatre at no
cost to the City, and upon the Warehouse Theatre Company's
agreement to pay for any damages or loss incurred to the City
of CTC Corporation in removal of said equipment and to defend,

indemnify, and hold harmless the City of Yakima and the Capi-
tol Theatre from any and all claims regarding removal of said
equipment and transfer of said equipment to the Warehouse
Theatre Company.
This resolution shall not be valid until the Warehouse
Theatre Company agrees to its terms and signs the acknowledge-
ment below.

The WAREHOUSE THEATRE COMPANY hereby approves and accepts
the terms and conditions of this resolution.
