RESOLUTION NO.

authorizing the execution of an agreement with the
Allied Arts Council of Yakima Valley for an
"ArtsVan Program".
WHEREAS, the City of Yakima owns and operates a number of
public parks within the City of Yakima; and
WHEREAS, Allied Arts is a private, non-profit corporation
serving as an umbrella agency for arts groups representing visual
and performing artists; and
WHPRT1.S, Allied Arts has developed and refined an ArtsVan
project as a means of providing visual and performing arts
exposure to the public through informal classes in City of Yakima

The Cat% Manager and City Clerk of the City of Yakima are
hereby authorized and directed to execute the attached ArtsVan
agreement is incorporated into this resolution as if it were

ARTSVAN AGREEMENT
WHEREAS, the City of Yakima owns and operates a number of
public parks within the City of Yakima, and
WHEREAS, Allied Arts is a private, non-profit corporation
serving as an umbrella agency for arts groups representing visual
and performing artists; and
WHEREAS, Allied Arts has developed and refined an ArtsVan
project as a means of providing visual and performing arts
exposure to the public through informal classes in City of Yakima
parks; and
WHEREAS, the City of Yakima wishes to enhance park use and
enjoyment by its citizens through the use of the ArtsVan project,
now, therefore,
THE PARTIES MUTUALLY AGREE AS FOLLOWS:
1. Parties. The parties to this agreement are the City of
Yakima, hereinafter called City, a first-class Washington
municipal corporation, and the Allied Arts Council of the Yakima
Valley, a Washington private non-profit corporation, herein after
called Allied.
2. Classes. Allied shall provide classes in visual and
performing arts at each of ten City parks or other locations open
to the public within the City of Yakima. Allied may select the
park or other location but it shall coordinate its class schedule
with the City Park and Recreation Manager. Allied shall select
the content of its classes, however, there shall be an emphasis on
individual participation. Each class shall be not less than three
hours in length and shall be open to the general public with a
special emphasis on children. Such classes shall be scheduled
between July 6 and August 26 of the year 1990. Allied shall
conduct a minimum of ten classes per week. Each class shall be
conducted by at least two visual or performing artists who shall
be subject to Allied's exclusive direction and control. Allied
and the City mutually agree that such artists shall not be
employees of the City. Allied shall select, interview, train,
hire, and compensate each artist.
3. Compensation. The City shall pay Allied eight thousand
dollars ($8,000) which shall be due and payable in the following
manner: eight thousand dollars ($8,000) on or before July 31,
1990. Payment shall be made to the executive Director of Allied
at Allied's main office located at 5000 West Lincoln, Yakima,
Washington.
4. ArtsVan. In conducting the classes mentioned in this
agreement, Allied shall use a motor vehicle van which shall have
distinctly displayed on it the words "ArtsVan."

5. Material and Supplies. Allied shall provide all
necessary visual and performing arts materials and supplies in
sufficient quantities for class participants. Materials shall
include, but not limited to, paper, drawing instruments, paints,
and costumes.
6. Scheduling and Advertising. On or before June 15 of
1990 Allied shall prepare and provide to the City Parks and
Recreation Division a schedule of classes containing the time,
date, place, content, and name of the class teacher. Allied shall
use its best efforts to make City residents aware of the ArtsVan
project and its schedule of classes.
7. Indemnity. Allied shall defend, indemnify, and hold
harmless the city of Yakima, its employees, officers, and agents
from any and all liability arising out of the performance of this
contract. Allied shall purchase and maintain in effect during the
term of this agreement personal injury and property damage
liability insurance in the amount of 2 million dollars
($2,000,000) coverage and designate the City, its officers,
agents, and employees as named insureds.
8. Cancellation. Either party may cancel the 1990
performance portion of this contact by giving the City Manager of
the Direct of Allied, as the case may be, written notice of
cancellation on or before May 1 of 1990. The parties agree that
in the event of such cancellation in a timely fashion no
compensation shall be due by either party to the other due to
cancellation.
