Terms used in this Agreement and not otherwise defined herein, shall have the meanings specified in the Agreement. No waiver, modification, or amendment of this Work Order shall be valid unless, in writing, signed by both parties. EXECUTIVE: This Statement of Work (SOW) sets forth the terms and conditions under which YAKIMA has engaged SUMMARY: PARADISE CANYON to provide professional services labor for consultation of EMC SourceOne Best Practices, system re- configuration, UDA Folder activation and to provide knowledge transfer services for both SourceOne Email Admin and Discovery Manager. YAKIMA is the stakeholder of 900 SourceOne Email and 20 Discovery Manager Licenses. YAKIMA journals mails to the SourceOne Servers from two (2) Microsoft® Exchange 2010 Servers. As part of this project, the SourceOne Server system will be upgraded and re -sized with additional resources as recommended below. TERMS & Unless stated otherwise, parties agree that all services provided herein, are quoted on a Time and CONDITIONS: Materials basis. The following terms and conditions will be effective with the signing of this agreement: Validity: This SOW is valid for a period of sixty (60) days from 2/23/2015. If this SOW is signed by Customer after the expiration date, then performance of the consulting services will be at the then current list prices. The consulting services must commence within sixty (60) days of signature of this SOW by Customer, otherwise the performance of the consulting services will be at the then current list prices. The parties agree to set forth in writing, signed by the parties, such additional fees, as applicable. Invoicing: As a general rule, invoices will be generated at the completion of the 'final' sign -off. For projects longer than two (2) weeks, PARADISE CANYON reserves the right to invoice at agreed to mile - markers. All invoices are issued with NET 30 -Days terms. Deposit Check timelines apply separately. Deposit: No Deposit Check is required to activate these services. Travel: Travel and accommodation expenses are billable for all on -site work. All expenses will be issued at actual cost and shall consist of only necessary expenditures such as: airfare, lodging, transportation, meals, and administrative costs relating to the project. The consulting fee estimates provided herein do not include any miscellaneous expenses, including travel and per diem. Travel £t Expenses have been fixed at (and not to exceed) $ 2.500.00 for this project. Postponement In the event that CUSTOMER desires to postpone an already agreed upon commencement date, as set forth below, Policy: within five (5) business days of arrival, PARADISE CANYON reserves the right to invoice CUSTOMER for any actual out -of- pocket fees already incurred, as a result of such postponement. In the event the CUSTOMER suspends the engagement for thirty (30) days or longer, PARADISE CANYON reserves the right to invoice the CUSTOMER for all pre- installation project management, consulting and documentation fees. For the purposes of this SOW, a suspension in the engagement is defined as any condition where there is a break in the delivery schedule not created by PARADISE CANYON. Cancellation In the event CUSTOMER desires to out -right cancel the consulting and delivery services set forth here, the Customer Policy: shall notify PARADISE CANYON in writing (which shall include via email). If the CUSTOMER cancels as outlined herein less than five (5) days prior to the scheduled start date, PARADISE CANYON reserves the right to invoice the CUSTOMER an amount equal to the entire project and payment of any expenses associated with cancellation including, but not limited to, airline tickets and hotel. Additional The inclusion of any functionality and /or services that are beyond the Scope of activities described herein, that Statement of Work 6 SourceOne Infrastructure Services Para City of Yakima n' yo February 11th, 2015 (866) 891 - 841/ STATEMENT OF WORK Work: adversely affect the delivery timelines, shall activate a change of scope. Upon mutually agreed to terms, a Change Order will be set forth, in writing, as an add -on to the Agreement. Hours: Unless otherwise agreed to in writing by the parties, Consulting and Delivery Services will be performed during normal business hours (Monday through Friday, 8:00am to 5:00pm local time, excluding holidays). Services performed outside of normal business hours may be subject to an additional charge. Second and third shift work will be billed at 1.5 times the Daily Billing Rate. Weekend rate will invoiced at twice the posted hourly rate. Holiday and Weekend Holiday rates will be invoiced at 2.5 the rate published herein. Separation: Licensee acknowledges that any purchase of EMC software licenses is independent and wholly separate from this purchase of EMC or PARADISE CANYON consulting services. With respect to the consulting services provided by PARADISE CANYON, Licensee hereby waives any right of refund to any EMC software license fees paid. Conflict: CUSTOMER acknowledges that PARADISE CANYON provides Consulting Services to other companies of similar business. The CUSTOMER agrees that nothing in this Agreement shall be deemed, or construed, as a deterrent from moving forward. In situations whereby the CUSTOMER perceives a conflict, PARADISE CANYON shall sign a mutually agreed to Non - Disclosure Agreement (MNDA). Ownership: The CUSTOMER acknowledges and agrees that PARADISE CANYON will retain all rights, title and interest in any know - how or personally developed intellectual property, as it relates to the MANUFACTURER' proprietary software. License CUSTOMER and MANUFACTURER will each retain ownership of their respective pre - existing intellectual property and no Grant: transfer of any rights herein is intended. The MANUFACTURER grants the CUSTOMER a non-exclusive license, without right of sublicense, solely for the CUSTOMER's own business purposes, but not for marketing, distribution or resale. Warranty PARADISE CANYON warrants that Consulting Services will be performed in a professional and competent manner, Disclaimer: without further warranty of any kind, either express or implied. All other warranties, express or implied, are hereby Disclaimed. Liability PARADISE CANYON's liability will be limited to the replacement of any lost data. No liability will be levied for any loss of CUSTOMER USER labor. PROJECT Experienced PARADISE CANYON Consulting Services personnel will work closely with YAKIMA staff to OVERVIEW: manage the EMC SourceOne Email Management Re- Architecture, Upgrade, and User Directed Archive Implementation. PARADISE CANYON will also provide Discovery Manager training. During this engagement, PARADISE CANYON will: O Assign a Project Manager to coordinate installation and meetings as necessary. O Provide full system Health Check. O Upgrade one (1) SourceOne "Master" Server [Exchange] and upgrade one (1) SourceOne "Worker Service" Server [Exchange]. O Activate one (1) dedicated Discovery Manager "Worker Service" Server [Exchange] for load balancing. O Implement User Directed Archive folders per YAKIMA staff specifications. O Conduct Discovery Manager training. O Complete documentation and perform all Knowledge Transfer services. O Obtain Customer signoff on the Project Acceptance Certificate. O Verify Customer readiness. • Ascertain customer decisions vs. recommendations. El Identify who the Subject Matter Experts (SMEs) and Storage System Administrators (SSAs) are. O Schedule implementation activities to minimize customer business disruptions. 2 Review customer's requirements and planned use of Si Compliance Edition features /functions. Phase Assumptions: O Customer will make subject matter experts available as needed. Resources Required: O Project Manager O Executive Sponsor O SourceOne Administrator(s) PHASE TWO - Configuration and Validation: During this phase, PARADISE CANYON will conduct a work session to validate the customer requirements for the solution against the product functionality. PARADISE CANYON will also review the Test and Acceptance Plan (TAP) during this phase. The areas to be validated include the following: O Business objectives, requirements, and success metrics for the S1 archiving project. O Logical and physical architecture for S1 archiving system. O Server and storage sizing. Cll Security requirements. tEl Retention policies, inclusion /exclusion rules, and application configuration. 2 Test and Acceptance Plan Resources Required: O Project Manager O SourceOne & Messaging Administrator(s) O Network Administrator O Security and /or DB Administrator(s) O Storage Administrator PHASE THREE - Production Deployment: During this phase, PARADISE CANYON will conduct activities focusing on building out the production environment with SourceOne components residing on three (3) servers. These activities are: 2 Upgrade and configure one (1) instance of the S1 Master Server. El Upgrade and configure one (1) instance of the S1 Worker Server [EMAIL]. O Install and configure one (1) additional Si Worker Server [EMAIL /DISCOVERY MANAGER]. El CUSTOMER can provide the appropriate technical resources to support network connectivity, server operating system configuration and security, database configuration and security, intranet access and security, and relevant client interfaces. El CUSTOMER will be responsible for the installation of the database server software and any clustering software required for SourceOne. El CUSTOMER will be responsible for the installation of any clustering software requirements. El PARADISE CANYON has completed the EMC SourceOne Sizing Report and forwarded to the CUSTOMER prior to the start of the engagement. El PARADISE CANYON Consultant(s) have the necessary Manufacturer' training and certifications to perform all tasks. El PARADISE CANYON has active Professional, General and Workers Compensation to satisfy CUSTOMER'S on -site service requirements. OUT OF SCOPE: PARADISE CANYON is responsible for performing only the services described in this Statement of Work. The following services will be deemed outside of the scope of the project, unless otherwise identified: El Installation, configuration or testing of hardware or software not specified herein. El Load testing or performance benchmarking relative to the solution deployed in this SOW. El All customizations or integrations other than LDAP /Active Directory and out of the box email notification are not included in this work package. El Configuration of any network load balancing configuration. El Custom LDAP query development. EI Any activities relative to disaster recovery or business continuity planning, execution of disaster recovery backups, recovery or validation activities, or formal backup /recovery procedures or documentation. El Installation of an intranet environment (e.g. HTTP server, J2EE application server, web access). CUSTOMER OBLIGATIONS: CUSTOMER shall have obtained and provide validated software license keys for all software. CUSTOMER shall Software have downloaded all required software prior to the commencing this engagement. Permissions: CUSTOMER will provide all the necessary access and permissions required to deliver services outlined herein. All requirements will be communicated to the CUSTOMER prior to the engagement. Unless specified, in writing, by the CUSTOMER, PARADISE CANYON will not be unduly denied. Coordinator: CUSTOMER shall appoint, at a minimum, a manager and /or an alternate who will act as a liaison for all technical communications with PARADISE CANYON hereunder (the "Project Coordinator "). All technical communications by CUSTOMER to PARADISE CANYON shall be made only by this Project Coordinator or the designated alternate. Customer PARADISE CANYON will require, from time to time, the support of Customers' staff in order to ensure the Support: timely completion of this project. Technical and /or business support for identified areas must be provided in a timely manner in order to not delay any project tasks. Additionally, PARADISE CANYON expects Customers' management to resolve issues in a timely manner in order to not impede Project progress. Current During the course of this Project Statement, CUSTOMER shall have valid and properly maintained Software at a License: version that will support the installation software. If Customer has elected not use current version, PARADISE CANYON shall have no obligation to perform its responsibilities as set forth herein and this Project Statement shall be deemed terminated. Test Data: CUSTOMER will provide sample test data as necessary in order to be able to perform any tests on the systems. Subject Matter CUSTOMER will provide at least one Subject Matter Expert (SME) throughout the Project to work with the Expert PARADISE CANYON consultant. Network and CUSTOMER shall provide and maintain all appropriate hardware, software, power, network connections, Applications: database applications, LAN environment and facilities as may be necessary to operate the software in accordance with its specifications and the appropriate license(s) to avoid lateness in the project schedule. It is expected that CUSTOMER will have installed and correctly configured all non -EMC software, including application servers and databases before the installation phase begins. Access: CUSTOMER will provide access to their network, storage and computing environments as required by PARADISE CANYON, so as not to impede project progress. This may include User IDs with sufficient access Privileges for tasks to be performed by PARADISE CANYON as identified within this document. Internet: CUSTOMER will provide internet access to PARADISE CANYON while on -site. If external access cannot be provided, PARADISE CANYON reserves the right to utilize a third -party wireless broadband access point. PARADISE CANYON will invoice the CUSTOMER for any associated internet access charges. Work Space: CUSTOMER shall provide PARADISE CANYON with accurate and complete information and access to all facilities, personnel, and other resources determined to be necessary by PARADISE CANYON in the performance of the SOW. CUSTOMER will also provide sufficient cubicle or work space for Engineering personnel while on site, as well as voice and data telephone lines, and access to a printer. Back -Ups: CUSTOMER must have a complete and current backup of any existing data on affected storage. PARADISE CANYON will have no liability for any loss or recovery of data or programs. At the time of installation, journaling was transferred to SourceOne leaving EmailXtender operating in a parallel, co- existence mode. While in this operational state, EmailXtender messages have be in a 'read -only' mode and retrievable only through the SourceOne Search engine only. In February 2011, EMC had a purpose -built migration tool manufactured. This tool known as the EMC EX Migration Tool allows for the seamless and automated migration of EmailXtender messages into the new SourceOne database. The process provides users full access to all mail while simultaneously creating statistics for an audited , 'chain -of- custody' Reports. This tool will be used for the archive migration. Once the transfer is verified, YAKIMA will be allowed to 'turn -down' the EmailXtender services, thus operating totally from the SourceOne environment. The following information details the processes (Chain -of- Custody) involved in transitioning all data to the new location. YAKIMA has chosen to migrate the EmailXtender archive for the reasons of 1) eliminate duplicate server expenses 2) eliminate issues experienced with the EX environment 3) reduced electrical expenses 4) improved message search accuracy and 5) reduced administration support requirements. TERMS and Unless stated otherwise parties agree that that all services provided herein, are quoted on a time and CONDITIONS: materials basis. The following terms and conditions will be effective with the signing of this agreement: validity: This SOW is valid for a period of sixty (60) days from 10/24/2012. If this SOW is signed by Customer after the expiration date, then performance of the consulting services will be at the then current list prices. The consulting services must commence within sixty (60) days of signature of this SOW by Customer, otherwise the performance of the consulting services will be at the then current list prices. The parties agree to set forth in writing, signed by the parties, such additional fees, as applicable. Invoicing: EmailXtender migration projects may require multiple payments. PARADISE CANYON reserves the right to invoice at agree to mile - markers as indicated. All invoices are issued with NET 30 -Days terms. The migration license costs associated with the Transitioning Tool are also based on an estimate of the amount of data to be migrated and the data management services to be provided. The total time allocated to each stage, however, may vary dependent upon the results of the Pre - Migration Planning and Proof of Concept stages. It may also be influenced by many environmental aspects. Therefore, PARADISE CANYON reserves' the ability to be able to adjust the project scope and associated costs as more detailed analysis and testing takes place. Unless otherwise requested, migration and monitoring services will be conducted via an agreed upon on -line connection. Business expenses will be procured at the most reasonable, but comfortable rates. All TEtE expenses will be invoiced at actual cost and appear as a separate line item with supporting receipts. T &E will consist only of necessary expenditures such as: airfare, lodging, transportation, meals, and administrative costs relating to the project. The consulting fee estimates provided herein do not include any miscellaneous expenses, including travel and per diem. Travel and Accommodation expense have been fixed at $ 1,500.00. Postponement In the event that Customer desires to postpone an agreed upon scheduled commencement date of the consulting services set Policy: forth in this SOW upon less than five (5) business days notice to PARADISE CANYON, PARADISE CANYON reserves the right to invoice Customer, and Customer shall pay for any actual out of pocket change fees incurred as a result of such postponement plus actual number of days of services provided at PARADISE CANYON's then standard hourly rates. This policy also applies in the event the Customer suspends the engagement and provides PARADISE CANYON with less than five (5) business days notice. In this instance, Customer shall pay for any actual out of pocket expenses incurred as a result of such suspension plus actual number of days of services at PARADISE CANYON's then standard hourly rates. For the purposes of this SOW, a suspension in the engagement is defined as any condition where there is a break in the delivery schedule not created by PARADISE CANYON. Cancellation In the event Customer desires to cancel the consulting services set forth in this SOW, then Customer shall notify PARADISE Policy: CANYON in writing (which shall include via email). If Customer cancels the consulting services set forth in this SOW less than five (5) days prior to the scheduled start date, PARADISE CANYON shall have the right to invoice Customer, an amount equal to project and payment of any expenses associated with cancellation including, but not limited to, airline tickets and hotel. In addition, Customer will be charged for any expenses that could not be cancelled (i.e. airline ticket, hotel rooms, etc.). Additional The inclusion of any functionality and /or services by PARADISE CANYON Consulting Services that are beyond the scope of Work: activities described in this Statement of Work justifies supplementary negotiable service fees and may adversely affect the delivery timelines. Any changes to the scope of work will be set forth in writing, via a change order, and signed by both parties. Unless otherwise agreed to, in writing by the parties, Consulting Services will be performed during PARADISE CANYON's normal business hours (Monday through Friday, 8:00am to 5:00pm local time, excluding holidays). Delays in the project schedule may result in additional fees and expenses which will be detailed in writing via a change order and signed by both parties. Services performed outside of normal business hours may be subject to an additional charge. If these additional charges are not defined in the Pricing section in this proposal, or if no Pricing section exists, PARADISE CANYON's default billing rates for non-standard hours will apply. Accounts and Customer will provide all required accounts, access, and permissions required to deliver services outlined on Permissions: the statement of work. Requirements will be communicated to the Customer prior to the engagement via the SourceOne Customer Pre - Installation Checklist. Unless specified in writing by the Customer, PARADISE CANYON will expect all requested permissions to be granted. Project Customer shall appoint, at a minimum, a system manager and alternate who will act as Customer's liaison Coordinator: for all technical communications with PARADISE CANYON hereunder (the "Project Coordinator "). All technical communications by Customer to PARADISE CANYON shall only be made by the Project Coordinator or the designated alternate. All information and materials provided to Customer by PARADISE CANYON pursuant to this Agreement will be routed to the Project Coordinator. Project Unless otherwise stated in the Statement of Work section of this document, Project Management shall be the Management: responsibility of Customer. Technology Customer will provide access to their network, storage and computing environments as required by PARADISE Access: CANYON as not to impede project progress. This may include User IDs with sufficient access privileges to perform the tasks to be performed by PARADISE CANYON as identified within this document. Internet Customer will also provide internet access to PARADISE CANYON while at the customer site. If external access Access: cannot be provided to PARADISE CANYON, PARADISE CANYON will utilize wireless broadband access or other access methods. PARADISE CANYON will invoice any associated charges for Internet access to the Customer. Accurate Data Customer shall provide PARADISE CANYON with accurate and complete information and access to all facilities, and Access personnel, and other resources determined to be necessary by PARADISE CANYON in the performance of the to Premises: SOW. Terms used in this Agreement and not otherwise defined herein, shall have the meanings specified in the Agreement. No waiver, modification, or amendment of this Work Order shall be valid unless in writing signed by the parties. EXECUTIVE: This Statement of Work (SOW) sets forth the terms and conditions under which YAKIMA has engaged SUMMARY: PARADISE CANYON to provide professional services labor for the consultation, installation, configuration and knowledge transfer as it relates to the implementation of an EMC SourceOne for Email [Microsoft® Exchange] and SourceOne Discovery Manager. As part of this process, a health check and system upgrade will be performed on EmailXtender Server and associated SQL Server database. Upon the installation of the SourceOne Server, existing and /or new retention policies, journaling and short -cut services will be transferred from the EmailXtender server. Based the volume of activity and the network architecture, PARADISE CANYON is recommending a best practice minimum two (2) VMware Server configuration. With the transfer of journaling to SourceOne, EX archive(s) will be assigned as `Read Only' and will remain in co- existence mode until moved to the new SourceOne system. YAKIMA is the stakeholder of 800 EmailXtender licenses managing approximately 500 GB of message archive. The software was originally purchased and installed in June 2008. With the installation of the new SourceOne environment, YAKIMA has agreed to purchase (100) additional licenses to match the current mailboxes being archived in EmailXtender. TERMS and Unless stated otherwise parties agree that that all services provided herein, are quoted on a Time and CONDITIONS: Materials basis. The following terms and conditions will be effective with the signing of this agreement: Validity: This SOW is valid for a period of sixty (60) days from 10/22/2012. If this SOW is signed by Customer after the expiration date, then performance of the consulting services will be at the then current list prices. The consulting services must commence within sixty (60) days of signature of this SOW by Customer, otherwise the performance of the consulting services will be at the then current list prices. The parties agree to set forth in writing, signed by the parties, such additional fees, as applicable. Invoicing: Invoices will be generated weekly. Payment is due to PARADISE CANYON within 30 days of invoice date. Travel: Travel expenses will be billed at actual cost at the conclusion of the project. These expenses will consist of only necessary expenditures such as: airfare, lodging, transportation, meals, and administrative costs relating to the project. The consulting fee estimates provided herein do not include any miscellaneous expenses, including travel and per diem. Customer will be charged for actual travel and out -of- pocket expenses incurred. Where project are scheduled to last longer than two weeks, PARADISE CANYON reserves the right to invoice TEtE in phases. Travel Et Expenses have been fixed at $ 1,500.00 per week for the SOW. Postponement In the event that Customer desires to postpone an agreed upon scheduled commencement date of the consulting services Policy: set forth in this SOW upon less than five (5) business days notice to PARADISE CANYON, PARADISE CANYON reserves the right to invoice Customer, and Customer shall pay for any actual out of pocket change fees incurred as a result of such postponement plus actual number of days of services provided at PARADISE CANYON's then standard hourly rates. This policy also applies in the event the Customer suspends the engagement and provides PARADISE CANYON with less than five (5) business days notice. In this instance, Customer shall pay for any actual out of pocket expenses incurred as a result of such suspension plus actual number of days of services at PARADISE CANYON's then standard hourly rates. For the purposes of this SOW, a suspension in the engagement is defined as any condition where there is a break in the delivery schedule not created by PARADISE CANYON. Cancellation In the event Customer desires to cancel the consulting services set forth in this SOW, then Customer shall notify PARADISE Policy: CANYON in writing (which shall include via email). If Customer cancels the consulting services set forth in this SOW less than five (5) days prior to the scheduled start date, PARADISE CANYON shall have the right to invoice Customer amount equal to project and payment of any expenses associated with cancellation including, but not limited to, airline tickets and hotel. In addition, Customer will be charged for any expenses that could not be cancelled (i.e. airline ticket, l rooms, etc.). Statement of Work 5 , SourceOne Implementation City of Yakima Paradis yo October 18` 2012 (866) 891 -8411 STATEMENT OF WORK Additional The inclusion of any functionality and /or services by PARADISE CANYON Consulting Services that are beyond the Scope of Work: activities described in this Statement of Work justifies supplementary negotiable service fees and may adversely affect the delivery timelines. Any changes to the scope of work will be set forth in writing, via a change order, and signed by both parties. Unless otherwise agreed to in writing by the parties, Consulting Services will be performed during PARADISE CANYON's normal business hours (Monday through Friday, 8:00am to 5:00pm local time, excluding holidays). Delays in the project schedule may result in additional fees and expenses which will be detailed in writing via a change order and signed by both parties. Services performed outside of normal business hours may be subject to an additional charge, see Pricing Notes in the proposal. If these additional charges are not defined in the Pricing Notes section in this proposal, or if no Pricing Notes section exists, PARADISE CANYON's default billing rates for non - standard hours will apply. In this instance, a Change Order will be submitted. Non - standard hours are defined as Third Shift work, which is from approximately 11:00pm to 8:00am Sunday through Thursday night; and weekend work, which is from approximately 11:00pm on Friday to 11:00pm on Sunday. Third shift work and weekend work will be billed at 2.0 times the Daily Billing Rate. Separation: Licensee acknowledges that any purchase of EMC software licenses is independent and wholly separate from this purchase of the PARADISE CANYON consulting services. With respect to the consulting services provided by PARADISE CANYON, Licensee hereby waives any right of refund to any EMC software license fees paid. Ownership Customer acknowledges that both PARADISE CANYON provides Consulting Services to other customers, and agrees that and nothing in this Agreement shall be deemed or construed to prevent both from carrying on such business. Customer License acknowledges and agrees that PARADISE CANYON will retain all rights, title and interest in any know -how or Grant: intellectual property related in any way to EMC's proprietary software or consulting methodology, which it discovers or creates in the course of performing Consulting Services under this SOW (hereinafter "Materials "). Customer and EMC each retain ownership of their respective pre - existing intellectual property and no transfer of any rights herein is intended. EMC grants Customer a non - exclusive license, without right of sublicense, to use the Materials, solely for Customer's own business purposes, but not for marketing, distribution or resale. Warranty PARADISE CANYON warrants that the Consulting Services will be performed in a professional and workmanlike manner, Disclaimer: without further warranty of any kind, either express or implied. All other warranties, express or implied, are hereby disclaimed. Liability PARADISE CANYON will not be liable under any legal or equitable theory, whether based upon Limitation contract, tort or other basis, arising out of or relating to this SOW for: a. any indirect, special, incidental, or consequential damages, however caused b. damages for lost profits or lost data c. cost of procurement of substitute goods or services d. amounts in excess of those received by EMC and PARADISE CANYON under this SOW. These Warranty Disclaimer and Limitation of Liability provisions will survive expiration of this SOW. PROJECT Experienced PARADISE CANYON Consulting Services personnel will work closely with YAKIMA staff to OVERVIEW: manage the EMC SourceOne Email Management Installation Service. During this engagement, PARADISE CANYON will: 5 Assign a Project Manager to coordinate installation and meetings as necessary 5 Install and configure one (1) SourceOne Email Management "Master" Server [Exchange]. This will be an approved configuration. [Microsoft SQL Server to be a separate Server] 5 Install and configure one (1) SourceOne "Worker Service" Server [Exchange] as described in Project Implementation, Week One, Day Two. 5 Configure S1 Offline Access. Migration or conversion of any historical, legacy or archived data [email, archives or backup etc.] other than data not specifically described in this SOW. This includes migration of archive data from an existing EmailXtender 4.X system. 5 Debugging or troubleshooting data quality issues of any external data [PST, NSF, SMTP, .MSG] ingested into the system. 5 Upgrade of any existing EmailXtender 4.X systems to SourceOne, or configuration of SourceOne to coexist with existing EmailXtender 4.X systems [unless otherwise stated]. 5 Creation and /or follow -up on support tickets opened through the EMC Support Desk which is not related to this Service. 5 Specific client training other than EmailXtender or SourceOne. CUSTOMER Customer shall have obtained and validated all required software license keys for all EMC software and any OBLIGATIONS: additional software required for installation as required and outlined in this statement of work. Customer License Keys shall have downloaded the required software prior to the commencing this engagement. Accounts and Customer will provide all required accounts, access, and permissions required to deliver services outlined on Statement of Work 12 SourceOne Implementation City of Yakima yon October 1 8 2012 (866) 891 - 8411 • STATEMENT OF WORK Permissions: the statement of work. Requirements will be communicated to the Customer prior to the engagement via the SourceOne Customer Pre - Installation Checklist. Unless specified in writing by the Customer, PARADISE CANYON will expect all requested permissions to be granted. Project Customer shall appoint, at a minimum, a system manager and alternate who will act as Customer's liaison coordinator: for all technical communications with PARADISE CANYON hereunder (the "Project Coordinator "). All technical communications by Customer to PARADISE CANYON shall only be made by the Project Coordinator or the designated alternate. All information and materials provided to Customer by PARADISE CANYON pursuant to this Agreement will be routed to the Project Coordinator. Project Unless otherwise stated in the Statement of Work section of this document, Project Management shall be the Management: responsibility of Customer. Customer shall assign a Project Manager from the appropriate technical and /or business area, which will assist and support the project efforts. The PARADISE CANYON Consultant(s) will work with the designated Project Manager to execute the Project task list. Desktop Software Customer shall be responsible for the development of any scripts, procedures, installation files, or processes Distribution: necessary to distribute any required end - client software. Customer PARADISE CANYON will require the support of Customer's staff in order to ensure the timely completion of Support: this project. Technical and /or business support for identified areas must be provided in a timely manner in order to not delay any project tasks. Additionally, PARADISE CANYON expects Customer's management to resolve issues in a timely manner in order to not impede Project progress. current License: During the course of this Project Statement, Customer shall have valid and properly maintained Software at the then current version and release level. If Customer has elected not use any current Update of the Software, Customer may continue to use a prior release, however, in such case, PARADISE CANYON shall have no obligation to perform its responsibilities as set forth herein and this Project Statement shall be deemed terminated. Customer shall pay to PARADISE CANYON all fees specified herein plus all reimbursement of all incurred travel and living expenses prior to such termination. Test Data: Customer will provide sample test data as necessary in order to be able to perform any tests on the systems. Subject Matter Customer will provide at least one Subject Matter Expert (SME) throughout the duration of the Project to Experts: work with the PARADISE CANYON consultant. Environment: Customer shall provide and maintain appropriate hardware, environment, power, network connections, database applications, LAN environment and facilities as may be necessary to operate the software in accordance with its specifications and the appropriate license to avoid lateness in the project schedule. It is expected that Customer will have installed and correctly configured all non -EMC software, including application servers and databases before the installation phase begins. Technology Customer will provide access to their network, storage and computing environments as required by PARADISE Access: CANYON as not to impede project progress. This may include User IDs with sufficient access privileges to perform the tasks to be performed by PARADISE CANYON as identified within this document. Internet Customer will also provide internet access to PARADISE CANYON while at the customer site. If external access Access: cannot be provided to PARADISE CANYON, PARADISE CANYON will utilize wireless broadband access or other access methods. PARADISE CANYON will invoice any associated charges for Internet access to the Customer. Accurate Data Customer shall provide PARADISE CANYON with accurate and complete information and access to all facilities, and Access personnel, and other resources determined to be necessary by PARADISE CANYON in the performance of the to Premises: SOW. Customer will also provide sufficient cubicle or work space for Engineering personnel while on site, as well as voice and data telephone lines, and access to a printer. Complete Backup: Customer must have a complete and current backup of any existing data on affected storage. PARADISE CANYON will have no liability for any loss or recovery of data or programs. When a change is desired, the requestor (PARADISE CANYON or CUSTOMER) shall notify the PARADISE CANYON 'Primary Contact who will: o Prepare a preliminary Project Change Request Form to identify the nature of the change o Acknowledge receipt of the Change Request o Conduct an initial Impact Assessment to determine the effects, if any on the consulting and implementation service's schedule as well as any costs associated with utilizing resources to perform a full Change Request analysis. If the Impact Assessment indicates using resources to analyze the Change Request affects the consulting and implementation services schedule or costs, PARADISE CANYON shall obtain the Customer' approval before performing the Change Request analysis. o Report the Change Request status in the Progress Reports Review and Approval: 5 If the Customer approves a full Change Request analysis, PARADISE CANYON shall prepare a Project Change Request Form detailing the change and its justification for the change, directing the analysis effort to the appropriate resources. This analysis shall result in a final Project Change Request Form containing estimated cost, schedule and resource requirements, technical feasibility, and recommended disposition such as: o Implementation without adjusting current cost or delivery schedule o Implementation with impact to the Customer's cost of delivery schedule o Recommendation as a follow -on project 5 If PARADISE CANYON finds the project not technically or economically feasible, an explanation will be provided detailing the reason. 5 PARADISE CANYON will review the Project Change Request Form with the Customer and mark as "accepted" or "withdrawn," and signed by both parties.
