For Cayenta Utilities System Project-Coordination Services
This agreement is effective January 1, 2015 by and between the City of Yakima, a
Washington municipal corporation, hereinafter referred to as the "City", and the Contractor
identified below.
I. Recitals
WHEREAS, the City finds and determines that it is necessary Ao maintain oversight and
control of the implementation of the Cayenta Utilities System Software;
WHEREAS, the City finds and determines that oversight and control are best
accomplished by a dedicated project coordinator;
WHEREAS, the City does not have the staffing levels or the specialized expertise
necessary to provide said services;
WHEREAS, the Contractor agrees to provide said services under the terms and conditions
of this Contract;
II. Agreement
WHEREFORE, in consideration of the mutual covenants, conditions and promises herein,
the parties agree as follows:

2. Place for Contracted Work:
The City will provide office space and computer equipment to accommodate secure network
connections required for the work to be performed and space to meet with various staff as
indicated for project activities.
3. Dates and Times of Contracted Performance:
Work will be performed primarily during City Hall hours (between 8am and 5pm, Monday -
Friday) such that network and system support are available from Information Technology
Services and such that staff needing report design and assistance will have access to
Contractor.
The period of performance under this contract commence January 1, 2015 and continue
until December 31, 2015. The contract may be renewed for one year upon the approval of
both parties.
This contract may be terminated by either party without cause at any time during the term of
the . agreement by 14 days written notice.

.4. Statement of Work:
In conjunction with City staff, especially Information Services and Finance, Contractor will
coordinate the process to convert City to the new Cayenta Utilities System software.
Activities will include planning, support of City staff, preparation of existing systems and new
processes, and other implementation work necessary to a successful outcome. Preparation
activities may include evaluation and clean -up of existing data, preparation of financial
system, preparation of work management system.
5. Compensation for Services:
The City agrees to pay Contractor at the rate of $42 per hour. The contract amount
shall not exceed $80,000 in 2015.
Contractor will mail or deliver invoices for hours of work performed to the City at the following
address:

Any additional service(s) provided by the Contractor which are to be paid by the City must
have prior written approval of the City.
6. Taxes:
Contractor shall have sole responsibility for the payment of any applicable federal, state and
local arising from the monies paid by the City under this agreement.
7. Independent Contractor:
Contractor shall at all times be an independent contractor and not an agent or representative
of the City with regard to performance of the services. Contractor shall not represent that it
is, nor hold itself out as, an agent or representative of the City. In no event shall Contractor
be authorized to enter into any agreement or undertaking for or on behalf of the City. The
Contractor is not entitled to any benefits that the City provides its employees. The Contractor
acknowledges that they are not an employee of the City and that the Contractor is solely
responsible for any insurance, taxes, or other liabilities resulting from this agreement.
8 Governing Law — Venue: This Contract shall be governed by and construed in accordance
with the laws of the State of Washington and venue for any action arising out of the
performance or breach of this agreement shall lie in Yakima County, Washington.
In Witness whereof, this Agreement is executed by the parties below, and effective on the datefirst
above written.
