R- 2014 -145 A RESOLUTION authorizing and directing the City Manager of the City of Yakima to take such actions as are necessary to register the City of Yakima as a participating public agency with the Northern Arizona Intergovernmental Public Transportation Authority ( NAIPTA). WHEREAS, the City of Yakima, desires to arrange for making cooperative purchases of Gillig buses with NAIPTA; and the City Council of the City of Yakima deems it to be in the best interests of the City that such an arrangement be carried out; and, WHEREAS, pursuant to the provisions of RCW 39.34, the City of Yakima may enter into intergovernmental cooperative purchasing agreements with other public agencies in order to allow the parties of said agreements to cooperatively purchase or acquire supplies, equipment, and materials under contract and to utilize each other's contracts, as needs arise; and WHEREAS, NAIPTA will extend an "intergovernmental agreement of mutual cooperation and assistance to achieve certain economies and efficiencies in the competitive procurement of new buses "; and WHEREAS, it is recommended to City Council that the City of Yakima register as a participating public agency with NAIPTA, now, therefore, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA: The City Manager is hereby authorized and directed to take such actions as are necessary to register the City of Yakima as a participating public agency with NAIPTA for the purpose mentioned above, a copy of the NAIPTA letter of agreement is attached hereto and by reference made a part hereof. NAIPTA prepared a competitive RFP #2013 -100 Manufacture and Delivery of Transit Buses for the purchase of 35 and 40 foot buses as well as 60 foot articulated buses to be used for operation of transit programs in accordance with Federal Transit Administration (FTA) rules and regulations. NAIPTA agrees to mutually cooperate and assist City of Yakima in the procurement of the new buses as specified in RFP #2013 -100 Manufacture and Delivery of Transit Buses as follows: 1. City of Yakima has been provided access to a full copy of the RFP package and the proposal as submitted by Gillig LLC. 2. City of Yakima has been given a copy of NAIPTA Board of Director staff report which includes evaluation of proposals, justification of purchase, and contract decision. 3. City of Yakima has been given a copy of NAIPTA's pre -Award audit, including Purchaser's Certification, FMVSS Certification, and Buy- America Certification. 4. It is understood that NAIPTA and City of Yakima are independently contracting with the successful bidders to RFP #2013 -100 Manufacture and Delivery of Transit Buses, Gillig LLC and New Flyer, and any issue or dispute arising out of the contract awarded to the successful bidders will be the responsibility of the contracting party. 5. Cooperation: This transaction does not involve an Intergovernmental Agreement. This intergovernmental understanding is an agreement of mutual cooperation and assistance to MOYNTAIN 2,003 achieve certain economies and efficiencies in the competitive procurement of new buses. This letter assigns three (3) of the option buses to City of Yakima from Gillig LLC, using the RFP to acquire buses from the bus manufacturer. This 3 letter establishes that there is no relationship between NAIPTA and City of Yakima when City of Yakima enters into a contract with Gillig LLC. Delivery: It is understood between NAIPTA and City of Yakima that each party will be responsible for inspection and acceptance of their own vehicles in accordance with the bid and contract documents.
