A RESOLUTION authorizing the sole source and purchase of VeriPic Digital Photo Lab
Core Server and Digital Evidence Manager
WHEREAS, Article VI, Section 6 of the City of Yakima Charter and the Yakima Municipal
Code Chapter 1.80 generally require that purchases in excess of $25,000 be done by
competitive bid, subject to certain exceptions; and
WHEREAS, the law recognizes a "sole source purchase" exception from bidding
requirements, when due to the uniqueness of the product to be purchased and the fact there is
only one source for the product, it would be futile to utilize competitive bidding; and
WHEREAS, the Yakima Police Department has a need to secure digital evidence; and
WHEREAS, Police and Information Technology staff have researched and determined
that the VeriPic system best suits the needs of the Police Department; and
WHEREAS, VeriPic holds U.S. Patent 7,480,796 dealing with the security of digital file;
and
WHEREAS, the Yakima City Council finds it to be in the best interest of the City to
authorize the purchase of the VeriPic Digital Photo Lab Core Server and Digital Evidence
Manager as a sole source purchase without calling for bids; now, therefore
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA:
The City Manager of the City of Yakima is hereby authorized to purchase the VeriPic
Digital Photo Lab Core Server and Digital Evidence Manager as a sole source purchase without
calling for bids..

3. Addition of your new camera models to our camera compatibility list while support is active. Customer pays postage for sending equipment to us.
"Note' In very rare cases, some dameras have security flaws that prevent camera driver creation, In these cases, the photos from such cameras may still
be Secured and stored in the VeriPic System but Ault entiction may not be pos-Bible. VeriPic, Inc, is not responsible for security flaws designed into some
cameras. You may wish to discuss such camera design flaws with the rmera manufacturer. Carrera driver creation will be done only if our technical staff
determines that it is technically possible.
4. Defective, Damaged or Last Hardware Key_
Free replacement if key is defective or battery in hardware key nuns out. Old key must be returned to VeriPic first, VeriPic is not responsible for acts cif

5. Lost or stolen or damaged Hardware Keys:
—One (1) lost or damaged or stolen key (or any key that is not classified as defective) is replaced per year (no questions asked).

purchased from VeriPic nor does it cover damage due to abuse, damage or misuse by the customer_).

16. Support service will cover all aspects of the normal operation, maintenance and usage of the VeriPic System, but exclude any discussion and disclosure
of VeriPic trade seaet5 it accordance to the California Uniform Trade Secret Act.

VeriPic software return policy applies to packages sold directly from the factory. If a package is returned unopened within 30 days of the original shipment
date, the customer will receive a full refund. If within that 30 day period from shipment date the pace ge is returned opened, there will be a 15% restocking
charge deducted from the refund amount due to the customer. After 30 days from the shipment date, here will not be a refund due to the customer.
2. If within 90 days of the original shipment date there is a defect in material or workmanship in the disk or manual, VeriPic will replace the defective disk or
manual at its awn expense --including shipping costs. The defective disk or manual must he shipped by the customer to VeriPic in order for the customer to
receive a new desk or manual,
