Performance by Contractor 3.1 DdlWation of ft&sMOqqj-S&rVjgLs. The services provided under this Contract shall be performed by Contractor, and no person other than Contractor shall be engaged on such work or services. Contractor shall not (by contract, operation of law or otherwise) delegate or subcontract performance of any Services to any other person or entity without the prior written consent of the City. Any such delegation or subcontracting without the City's prior written consent shall be voidable at the City's option. Section 4. Compliance with Laws 4.1 Contractor shall comply with all applicable laws, ordinances, rules, regulations, orde licenses, permits, and other requirements of any governmental authority (including, but n limited to, such requirements as may be imposed upon the City and applicable to t Services). Contractor shall furnish such documents as may be required to effect evidence such compliance. All laws, ordinances, rules and orders required to incorporated in agreements of this character are incorporated in this Contract by th reference. 11 OTUNIMINTUT =W�- 5.1 Contractor shall be solely responsible for and shall pay all taxes, deductions, a assessments that Contractor is required to pay, including but not limited to federal inco tax, FICA, social security tax, assessments for unemployment and industrial inju insurance, and other deductions from income which may be required by law or assess against either party as a result of this Contract. In the event the City is assessed a tax assessment as a result of this Contract, Contractor shall pay the same before it becom. due. Section 6. Nondiscrimination Provision 6.1 During the performance of this Contract, Contractor shall not discriminate in violation of any applicable federal, state and/or local law or regulation on the basis of race, age, color, sex, religion, national origin, crecd, marital status, disability, honorably discharged veteran or military status, pregnancy, sexual orientation, political affiliation, or the presence of any sensory, mental or physical handicap, and any other classification protected under federal, state, or local law. This provision shall include but not be limited to the following: employment, upgrading, demotion, transfer, recruitment, advertising, layoff or termination, rates of pay or other forms of compensation, selection for training, and the provision of Services under this Contract. Section 7. Inspection and Production of Records 7.1 The records relating to the Services shall, at all times, be subject to inspection by and with the approval of the City, but the making of (or failure or delay in making) such inspection or approval shall not relieve Contractor of responsibility for performance of the Services in accordance with this Contract, notwithstanding the City's knowledge of defective or non -complying performance, its substantiality or the ease of its discovery. Contractor's records relating to the Services will be [provided • the City upon the City's request. 7.2 Contractor shall promptly furnish the City with such information and records which are related to the Services of this Contract as may be requested by the City. Until the expiration of three years after final payment of the compensation payable under this Contract, or for a longer period if required by law or by the Washington State Secretary of State's record •'I schedule, Contractor shall retain and provide the City access to (and the City shall have the right to examine, audit and copy) all of Contractor's books, documents, papers and records which are related to the Services performed by Contractor under this Contract. 7.3 All records relating to Contractor's services under this Contract must be made available to the City, and also produced to third parties, if required pursuant to the Washington Public Records Act, Chapter 42.56 RCW or by law. All records relating to Contractor's services under this Contract must be retained by Contractor for the minimum period of time required pursuant to the Washington State Secretary of State's record retention schedule. Section 8. Property and Confidential Information 8.1 Contractor shall not, without the prior written consent of the City, disclose to third parti any information received in connection with the Services unless: i (a) information is known to Contractor prior to receiving the same directly • indirectly in connection with the Services; ''Mmmmarms TOM "SM, (c) information is received by Contractor from a third party who does not have an obligation to keep the same confidential. Section 9. Indemnification and Hold Harmless �1. I 10.1 At all times during performance of the Services, the Contractor shall secure and maintain in effect insurance to protect the City and the Contractor from and against all claims, damages, losses, and expenses arising out of or resulting from the performance of this Contract. Contractor shall provide and maintain in force insurance in limits no less than that stated below, as applicable. The City reserves the right to require higher limits should it deem it necessary in the best interest of the public. 10.2 Automobile Liabil#y Insuranc . The insurance shall be with an insurance company or companies rated A-VII higher in Best's Guide and admitted in the State of Washington. 10.3 Rtq&gi&fiM Liability Insurance. Before this Contract is fully executed by the parties, Contractor shall provide the City with a certificate of insurance as evidence of Professional Errors and Omissions Liability Insurance with coverage of at least $1,000,000.00 per occurrence and an annual aggregate limit of at least $1,000,000.00. The certificate shall clearly state who the provider is, the amount of coverage, the policy number, and when the policy and provisions provided are in effect. The insurance shall be with an insurance company or companies rated A-VII or higher in Best's Guide. Section 11. Changes 11.1 The City may, at any time by written notice thereof to Contractor, make changes in the Services within the general scope of this Contract (including, but not limited to, additions to or deletions from any Services, suspension of performance and changes and location of performance). 11.2 If any change under paragraph 12.1 causes a significant increase or decrease in the cost of the time required for performance of the Services, an equitable adjustment in the compensation and schedules under this Contract shall be negotiated to reflect such increase or decrease, and this Contract shall be modified in writing accordingly. Such equitable adjustment shall constitute full compensation to Contractor for such change. If any change under paragraph 12.1 results in a decrease in the Services to be performed, Contractor shall not be entitled to anticipated profit on Services not performed and the loss of anticipated profit shall not reduce the decrease in compensation under this • resulting from such exchange. Further, Contractor shall not be entitled to any reallocation of cost, profit • overhead. Section 12. Miscellaneous 12.1 Asgament. This Contract, or any interest herein, or claim hereunder, shall not be assigned or transferred in whole • in part • Contractor to any • person • entity without the prior written consent of the City. It allows interested candidates to learn about the community, the organization, and the Position Profile that establishes what is being sought in your ideal candidate. A link to the brochure will be provided for posting on Client's website if applicable. The posting of the brochure is the `official kick-off" of the search campaign and the basis of the timeline. 1.2 ADK Network and Direct Sourcing ADK retains staff who are industry specialists for a reason. We are widely known throughout the U.S., have personal knowledge of available talent, and know what the typical requirements are for the positions we are retained to help fill. We use our direct outreach process to actively recruit qualified and diverse candidates for this position. Our knowledge of the industry and nationwide outreach also allows purposeful involvement of women and minority candidates in our selection pool. Many of the most talented candidates we have placed come from our direct sourcing and targeted outreach through personal and direct telephone contacts as well as our industry leading e-newsletter. Through our vetted and thorough screening phases, meassess background and skill sets, level ofenthusiasm for the position, cultural and personality fit, reputation, and leadership style. We determine the closest match to background and experience that isrelevant tothe position. Level 1 Screening: 2J0Job Specific Questionnaire: These questions are the first screening questions that are presented to the candidates atthe time they apply. Professional references give us a great deal of supporting information about the candidates. A full -service search will include DISC assessments for the candidates invited for final interviews. There are some states, cities, ani counties that have passed regulations prohibiting background checks until someone is selected for a position. At Client's request, ADK will perform background checks (credit, criminal, education, and motor vehicle) through our third party provider (ISP) for an additional fee. See compensation section for details. 4.2 Final Interviews ADK has years of experience in assisting and conducting final interviews for our clients. We will collaborate with the Client to assist in the final interview process commensurate with Client's established processes and preferences. We can assist in helping to plan and be a part of the interview process, prepare the hiring manager for the interviews, handle the logistics for the candidates' and provide specific targeted questions to be used by Client, as needed and requested. 4.4 Negotiations and Close-out Negotiations and hiring assistance are natural for us. While some clients prefer to do their own negotiations, we always offer assistance upon request from our clients for all of our searches. Background checks are performed by our 3rd party provider, ISP Pro Mesa. Checks include criminal, credit, education, and motor vehicle checks. Checks normally take 3-5 business days to complete after receipt of consent from candidate. Background checks can be provided at $300.00 per candidate upon request from Client. Any additional staff placements by Client that occurs within 12 months of a placement whereby the candidate was identified in this specific recruitment process, shall incur an additional fee of $10,000.00 for Full -Service searches and $7,000.00 for HR Assist searches. Travel Expenses: The professional fees above do not include any travel related expenses. With client's approval, ADK's Search Manager will travel to client's location as part of the search process. Client will be invoiced for applicable travel expenses at cost. For an HR Assist search, an additional fee would be incurred for the Search Manager's time. • We do not add any overhead fees to the fees described above. • This is not a contingency search. ADK's fees are consistent with the standards of the retained search profession. • ADK is due full payment of the professional fee above regardless of the source of the candidate chosen by Client to fill the position. • Out-of-pocket expenses, as approved and requested by Client in writing, for ADK travel, lodging, and search committee meeting expenses are billed separately at cost. • There is no charge for video recordings. • We do not charge an additional fee for administrative and clerical support, teleconferencing, office copies, and computer/telephone usage. The Primary Search Manager for overall project oversight and direct responsibility for the search process will be designated, in writing, at the time oi a notice to proceed on the contract is received. Client has the right to approve any proposed placement or replacement of the Primary Search Manager upon request. In MOT The posting of the recruitment brochure is the "official kick-off" of the search for the timeline. The time to develop the brochure depends on how quickly the client furnishes the necessary information. Once the brochure is posted, a firm timetable can be provided byADK for the various phases of the Scope of Work. Variables to be considered forthe search schedule include the type of search selected, the process for Cl'entto confirm and approve the recommended candidates, the establishment of the final interview dates, and the actual interview process itself. Holidays, vacations and conference schedules need to be considered as well. Relocation time for the selected candidate also needs to be considered.
