A RESOLUTION authorizing and directing the City Manager to execute Contract
Amendment No. 3 and Lease Amendment No. 2 modifying the current
contract and lease between the City of Yakima and A-1 Tri -City Taxi, Inc.
providing Dial -A -Ride Paratransit transportation services for the City of
Yakima
WHEREAS, the City of Yakima operates the public transportation service in the Yakima
metropolitan area, providing fixed route service; and making available Dial -A -Ride services on
the same days and during the same hours as Yakima Transit fixed route service; and
WHEREAS, in accordance with the Americans with Disabilities Act (ADA)
Complementary Paratransit guidelines, Dial -A -Ride services must comply with all applicable
federal, state and local regulations; and
WHEREAS, on August 15, 2006, the City of Yakima and A-1 Tri -City Taxi, Inc.
executed a Contract and Vehicle Lease to provide federally mandated Paratransit services for
the City of Yakima; and
WHEREAS, in August 22, 2009 the current DAR contract and Vehicle lease was up for
renewal and utilizing the first of two one-year renewal options, Amendment No. 3 extended the
current contract until November 23, 2009, to evacuate a request for rate adjustment as well as
other operational matters; and
WHEREAS, the City has concluded negotiations with A-1 Tri -City Taxi and deems it to
be in the best interest of the City of Yakima to enter into the attached modification to the Dial -
A -Ride Contract and Vehicle Lease between the City of Yakima and A-1 Tri -City Taxi, Inc. to
continue the provision of Paratransit services for the City of Yakima for one year from
November 23, 2009 to November 23, 2010; therefore
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA:
The City Manager is hereby authorized and directed to execute the attached and
incorporated "Contract Amendment No. 3 and Lease Amendment No. 2."' The City Manager is
further authorized to execute all documents necessary for any subsequent contract extension
allowed under the original Dial -A -Ride contract and Vehicle Lease between the City of Yakima
and A-1 Tri -City Taxi, Inc. providing Dial -A -Ride Paratransit transportation services for the City
of Yakima.

THIS CONTRACT AMENDMENT NO. 3, LEASE AMENDMENT NO. 2, is made and entered
by and between the City of Yakima, a Washington municipal corporation (hereinafter "City")
and A-1 Tri -City Taxi, Inc. (hereinafter "Contractor")
WHEREAS, City and Contractor executed a "Contract" on August 15, 2006, providing for
ADA Paratransit Service for the City pursuant to the above -referenced RFP; and
WHEREAS, both parties have determined that it is in their mutual interest to modify the
Contract;
NOW THEREFORE, in consideration of the mutual covenants, promises, and agreements
set forth herein, it is agreed by and between the City and the Contractor as follows:
SECTION I, RFP REVISIONS
Page 13, Item 3, Insert new paragraph 2:
II FUEL
The City will provide and pay for fuel (both diesel and unleaded) for vehicles used to
transport Dial -A -Ride clients. Fueling will be done by Yakima Transit Staff ONLY at the
Public Works facility or other location designated by the City during limited hours on
limited days designated by the City. Every Dial -A -Ride vehicle fueled with City fuel must
be used exclusively to transport Dial -A -Ride clients. Contractor will be solely
responsible to provide and pay for fuel used in all other vehicles it uses to perform the
services required by this contract, including administrative and supervisory vehicles.
In order to minimize staff time of both City Staff and DAR Drivers, as well as limit
unnecessary trips fueling, Dial -A -Ride vehicles are not to be brought in for fueling unless
the gas tank shows slightly more than half full or less.

2. CHANGES IN SERVICE
The City reserves the right, at any time by written order, to make changes within the
general scope of the contract regarding the services to be performed. Such changes
might include, but are not limited to: changes in the method of operations, requirements
for record keeping, passenger assistance, customer service, and driver training.

The contractor shall combine passenger trips (bundle trips) when possible to improve
efficiency, reduce fuel costs and wear & tear on vehicles. Yakima Transit staff is
researching integrated Paratransit management software programs. This software will
hopefully assist in trip reservation, routing, scheduling, trip assigning, dispatching,
reporting, etc. If it is determined that such software will be beneficial, Yakima Transit will
purchase and own the software. Yakima Transit and Contractor will utilize the program to
improve efficiency, customer service and reporting.
The City shall notify Contractor no less than thirty (30) days in advance of any required
change. If the Contractor believes the required change would have a substantial effect
on its cost of operations, the Contractor shall notify the City within thirty (30) days of the
receipt of the written order requiring the change, and shall negotiate an equitable
adjustment in the rates of compensation in effect at that time.
This section does not apply to expansion of the contract service area, which is
addressed in section 1, paragraph C of this RFP.

reservations for transportation via a toll free telephone system. The two telephone
numbers used to schedule and cancel rides shall be owned by the City. The Contractor
shall pay for the telephone numbers and be reimbursed for that cost by the City. All
other telephone costs in performing the services required by this contract shall be the
responsibility of the Contractor.
The Contractor shall provide reservation access to non-English speakers and to the
hearing and speech impaired. Such ride scheduling service shall be provided at a
minimum during the following hours: Monday through Saturday, 8:00 a.m. to 4:30 p.m.,
and Sundays from 8 a.m. to 1:00 p.m.
Contractor shall provide a system utilizing time and date stamped messaging or
answering service for clients to cancel scheduled trips when the ride reservations office
is closed.
Currently the majority of trip reservations are made utilizing pre-set return times. Will
Call return rides, which have a maximum wait time of 30 minutes from the time the return
request is called in, are only permitted for medical/dental trips. These trips comprise
approximately 30% of daily rides.
The Contractor shall provide sufficient trained, competent staff and phone lines to handle
all ride reservations without clients encountering hold times of two (2) minutes or longer.
To assist in reducing the length and number of individual ride reservations called in, the
Contractor shall utilize dedicated telephone/Fax lines for written ride request schedules
from group homes, nursing homes, human service agencies, and other entities
designated by Yakima Transit.
Contractor shall have sufficient computer equipment of sizes and capacity to maintain,
access and store all client information necessary to verify client eligibility, schedule trips,
develop and printout schedules, and perform other duties necessary to the provision of
services.

Dial -A -Ride service is provided through reservations made no later than the day prior to
a scheduled trip. Rides may be scheduled up to 14 days in advance. Same day service
is not provided. Dial -A -Ride is a non -emergency transportation service; no emergency
transportation is provided.
Dialysis trips must have scheduled retum rides; not eligible for Will Call' return rides.

3. DIAL -A -RIDE FARES
Dial -A -Ride passengers shall be charged a fare of $1.50 per one-way trip. This fare is
subject to change by the Yakima City Council. Fare changes may affect DAR ridership.
The Contractor shall deduct fares collected from the invoices for services it performs and
submit a net billing to the City.
The Contractor shall make available for sale Dial -A -Ride ticket books for prepayment of
fares. The City shall provide the ticket books to the Contractor.
Any tickets sold to passengers prior to this Contract taking effect shall be accepted by
the Contractor for the payment of fares. These fares shall be noted separately on the
invoice and shall not be deducted from the Contractor's billing.
Page 18, Item 5, Paragraph 2 — Delete and Replace:
5. FINANCIAL STATEMENTS
The Contractor shall provide the City with annual audited financial statements, prepared
by an independent CPA, within 120 days of the company's fiscal year-end, in a format
that displays Balance Sheet, Income Statement and Statement of Cash Flows and
applicable Notes to the Financial Statements for the company's Yakima Operation and
also a set of Consolidated financial Statements and Notes to the Financial Statements
on a consolidated basis for the Company as a whole, including the Yakima Operation.
Per March 11, 2008 letter to Al Coyner, quarterly signed statements stating that Tri -City
Taxi and it's operating company/companies are in sound financial position and able to
meet any and all expenditures required to fulfill the Yakima Transit Dial -A -Ride contract
for at least the next 180 days, shall be required instead.
The Contractor shall provide the City with access, upon reasonable notice during
business hours, to the Contractor's financial data including, but not limited to, Bank
Statements, Profit and Loss Statements, information on cash or ride tickets received
from customers, and other such information as the City in its sole discretion shall deem
appropriate.
Except to the extent required by RCW Chapter 42.17, 42.56, or other applicable laws,
these documents will be considered to be proprietary and confidential and will not be
released to the public.

3. TRAINING PROGRAM
The Contractor shall develop, implement, and maintain a formal training and retraining
program for all of its employees. This program shall be subject to review and approval
by Yakima Transit. Yakima Transit reserves the right to require additional training of any
or all of the Contractor's employees as deemed necessary at the Contractor's expense.
During the contract, a current outline of the training program, including periodic updates,
shall be provided to Yakima Transit.

Drivers must complete and be trained to proficiency in all required training a maximum of
30 consecutive calendar days after hiring as a Dial -A -Ride Driver.

1. BACKGROUND INVESTIGATIONS/ VIOLATIONS
The Contractor shall obtain criminal background checks for new prospective employees
and for all employees at the start of the contract and annually thereafter. Such checks
must comply with state law including RCW 43.43.830 and related statutes and be
provided prior to operating any City of Yakima Dial -A -Ride equipment or transporting any
Dial -A -Ride clients.
Contractor's employees must report any criminal charges they receive related to crimes
against persons or property. Drivers must report any traffic violations received, on or off
duty, within 24 hours of citation. The Contractor must report all such charges and
violations immediately to Yakima Transit.
Page 21, Item 7, Section A, Insert new beginning of paragraph 2 - Delete "no
conviction" and replace with... (remaining sentence left unchanged).
7. DRIVERS
A. MINIMUM CRITERIA
Dial -A -Ride drivers must meet the following minimum criteria:
All Dial -A -Ride drivers must have a valid Washington State Drivers license with
appropriate endorsements to drive the vehicle they operate (For example, Commercial
Driver's License (CDL) and passenger endorsements and a DOT physical.)
An acceptable, current Department of Licensing Complete Drivers Abstract must be
provided to appropriate Contractor staff prior to the driver operating any City of Yakima
Dial -A -Ride vehicle or transporting any Dial -A -Ride client. An acceptable license shall
not include any convictionsof a felony, misdemeanor, gross misdemeanor or release
from prison or jail in the last seven (7) years for any crime related to theft, robbery,
embezzlement, assault, mistreatment, or any charge related to personal injury or death;
or conviction of any drug and/or alcohol offense within the last seven (7) years. Not
more than one speeding ticket for more than 10 miles over the speed limit within the last
three (3) years.

D. APPEARANCE:

1. Drivers shall maintain a neat appearance and practice appropriate hygiene to
ensure that they are visibly clean and do not present offensive odors.
2. Drivers' hair shall be clean, neat, and present a commonly accepted appearance
of being trim and groomed. Hair shall be wom so that the operator's vision is not
obstructed in any way.
3. Sideburns, mustaches, and beards shall be neat, clean, and trimmed so as to
give a well -tended appearance.
Page 22, Item E, Add sentence at end of number 2. —
E. UNIFORMS:
1. Must be worn at all times when on duty.
2. Shall be clean and presentable at all times. Any non-uniform apparel worn by
Dial -A -Ride drivers must be clean, neat and professional in appearance at all
times while on duty. Contractor Dispatcher shall observe drivers clothing at
report time to ensure compliance.
3. Uniform designs, colors, and ID tags are subject to Yakima Transit approval.
4. Nametag must be prominently displayed at all times.
5. Must have and wear a watch in good working order.

J. DRUG AND ALCOHOL TESTING
The Contractor agrees to establish and implement a drug and alcohol testing program
that complies with 49 CFR Parts 653 and 654, produce any documentation necessary to
establish its compliance with Parts 653 and 654, and permit any authorized
representative of the United States Department of Transportation or its operating
administrations, the State Oversight Agency of Washington, or the City of Yakima to
inspect the facilities and records associated with the implementation of the drug and
alcohol testing program as required under 49 CFR Parts 653 and 654 and review the
testing process.
The Contractor agrees further to certify annually its compliance with Parts 653 and 654
before December 31 and to submit the Management Information System (MIS) reports
before March 15 to the FTA Drug and Alcohol Program Manager. To certify compliance
the Contractor shall use the "Substance Abuse Certifications" in the "Annual List of
Certifications and Assurances for Federal Transit Administration Grants and Cooperative
Agreements," which is published annually in the Federal Register.
Contractor will be responsible for the costs of establishing and maintaining the required
drug and alcohol program and for all costs of defending related claims and actions
regarding the program.
Dial -A -Ride drivers shall not be trained until a negative drug and alcohol test result is
received.
DRUG AND ALCOHOL TESTING LANGUAGE REQUIRED BY FEDERAL TRANSIT
ADMINISTRATION -DRUG & ALCOHOL TEST REPORTING POLICY

As a provision of this contract, Contractor will provide, on a quarterly basis, written
documentation of all Drug and Alcohol testing of employees covered under the Dial -A -
Ride contract with Yakima Transit. This documentation shall include a breakout of all
pre-employment, random, post accident, retum to duty, and reasonable suspicion tests.
Contractor will also provide a year-end report, a list of all employees and documentation
of each employee who has completed a Drug and Alcohol training during the last year.
Failure to provide a quarterly report on time may result in the withholding of payment for
services until such time the report is accepted by the City of Yakima. In such a case,
payment will be paid to Contractor no later than (30) thirty days after receiving the report.
Page 25, Section F, 1, add paragraph D:
F. SERVICE VEHICLES The following provisions apply to service vehicles
used by the Contractor whether or not the City chooses to supply such
vehicles. These provisions set forth the Contractor's responsibilities
regarding service vehicles, not the City's responsibilities.
1. GENERAL REQUIREMENTS.
A. Vehicle Logo: All vehicles in service in the Dial -A -Ride contract shall
display the contractor's logo in a way agreed upon with the City.
B. Vehicle Identification: Each vehicle will have a unique alpha/numeric
number on the exterior front, back, each side and in the front interior to
enable passengers or motorists to identify the vehicle by number. These
identification numbers will be 3" high and black in color.
C. Vehicle Damage: Vehicles must have no apparent body or interior
damage. All damage to vehicles shall be repaired within thirty (30) days
of the occurrence in a high-quality manner. Any deviation from this
timeline must be requested in writing from Yakima Transit and approved
prior to the expiration of the 30 -day timeline.
D. Body damage repairs include all dents, rips or tears in the body, damage
to frame or unit construction, bent or collapsed bumpers, broken or
missing lights, glass, windows, windshields, vents, steps, seats, seatbelts,
any and all additional accessories added to the vehicle body, inside and
out. Body damage shall also include cosmetic repairs, excluding minor
door dings. In summary, all damage that could determine an unsafe
operational condition for passengers and operator and/or lesson the value
of such vehicle or otherwise cause a misrepresentation of the safety,
quality and professionalism of the Contractor and Yakima Transit.
SECTION Il, CONTRACT REVISIONS:
Page 5, Item 10.1, paragraph 1, delete last sentence only:
10.1 INSURANCE FOR PARATRANSIT SERVICE VEHICLES

In accordance with Schedule 2 of the RFP, which the City hereby selects, the City shall
provide General Liability and Automobile Liability only for paratransit service vehicles
operated by the Contractor pursuant to this Contract with limits of up to $12,000,000.00
per occurrence through the City's participation in the Washington State Transit
Insurance Pool (WSTIP). Coverage is subject to WSTIP's approval and coverage is
limited to those perils covered by WSTIP.
Page 5, Item 10.1, paragraph 1, insert new sentence at end:
10.2 INSURANCE FOR PARATRANSIT SERVICE VEHICLES
In accordance with Schedule 2 of the RFP, which the City hereby selects, the City shall
provide General Liability and Automobile Liability only for paratransit service vehicles
operated by the Contractor pursuant to this Contract with limits of up to $12,000,000.00
per occurrence through the City's participation in the Washington State Transit Insurance
Pool (WSTIP). Coverage is subject to WSTIP's approval and coverage is limited to those
perils covered by WSTIP. . For vehicles leased from the City, the contractor will be solely
responsible for the first $5,000 per occurrence for repairs to the vehicle, whether caused
by comprehensive or collision -type perils.
SECTION Ill, VEHICLE LEASE REVISIONS:
Page 1, Item ll. Contractual Payment, Insert new paragraph 2:
Contractual Payment. Contractor agrees to pay the City a monthly rental charge of
One Hundred Dollars ($100.00) per vehicle per month during the term of this Lease plus
Washington State sales tax. The City shall present an invoice to Contractor at the
conclusion of each month or whenever prudent for bookkeeping. Contractor shall pay
the City no later than thirty (30) calendar days after receipt of the invoice. In the
altemative, Contractor may choose to pay the rental charge through a deduction on its
invoices to the City for paratransit services. The monthly rental charge for each vehicle
shall be prorated in the first and last month of use based on when the vehicle is picked
up or returned.
All vehicles provided to Contractor at beginning of original contract in 2006 and still in
use to provide client transportation will have lease payment waived. Invoices by City to
Contractor for use of those vehicles will show such payment waiver.

Il. Insurance.
1. All vehicles leased to the Contractor pursuant to this Lease will be insured by the City for
General Liability and Automobile Liability only pursuant to Section 10.1 of the Paratransit
Services Contract. In the event of damage to the leased vehicles that would ordinarily
be covered by the vehicle owner's comprehensive or collision insurance, the City will
repair and/or replace vehicles, when necessary, and as agreed-upon between the
parties.

1. All vehicles leased to the Contractor pursuant to this Lease will be insured by the City for
General Liability and Automobile Liability only pursuant to Section 10.1 of the Paratransit
Services Contract.
SECTION IV, PRICE INCREASE:
In lieu of a price increase which would be outside the Price Increase clause as stated in
the RFP, Page 13, under Section III Scope of Service, General Information, negotiations
between Contractor and the City reduced the Early Pay price reduction offered by
Contractor to 1/2 of one percent (0.5%) This results in an overall increase to Contractor
of 1.5% on monthly fees.
Prices charged per trip by Contractor will continue at January 1, 2009 rates of:
Ambulatory $10.73
Non -Ambulatory $15.22
No -Show $4.84
SECTION V, CONTRACT EXTENSION:
Per Page 2, Item 6 of the contract, the City agrees to extend this Contract for one (1)
additional one (1) year period, effective November 23, 2009 to November 23, 2010.
Except as expressly modified herein, all other terms and conditions of the contract dated
August 15, 2006, including any approved formal amendments and modifications, shall
remain in full force and effect.

ITEM TITLE: A Resolution Authorizing an Agreement Modification to the Dial -A -Ride
Contract and Vehicle Lease with A-1 Tri -City Taxi, Inc.

SUMMARY EXPLANATION:
Submitted for Council consideration is a resolution authorizing an amendment to the current
Dial -A -Ride contract with A-1 Tri -City Taxi, Inc. to provide ADA paratransit services.
Utilizing the first of two, one-year options, the existing service contract and vehicle lease with
A-1 Tri -City Taxi, Inc. ("Al") was extended until November 23, 2009. This extension was
necessary to evaluate the contractor's rate adjustment request and other operational matters
as they relate to transportation services provided, level of service clarification, and lease
performance provisions. A-1 Tri -City Taxi, Inc. submitted a rate adjustment request on July 28,
2009. The City initially countered that since the cost of living formula would have resulted in a
slightly negative adjustment, Al could only expect a modest adjustment.
Through further negotiations with A-1 Tri -City Taxi, it was agreed that the 2% early pay
incentive offered by the contractor in the original contract would be modified to 1/2 of 1 %
(0.5%) resulting in an overall raise for services performed of 1.5%. The City will continue to
honor the intent of the early pay incentive by processing billings within the original timeline.
In addition, during negotiations it was also agreed to waive the $100 monthly lease payments
for all vehicles provided to A-1 Tri -City Taxi at the inception of the original contract (7/15/06)
that are still in Dial -A -Ride service. All vehicles provided for that use were purchased used; the
larger, lift -equipped vehicles were from another Transit Agency for between $1,750 and $2,500
each.

Councilmember Micah Cawley called the meeting to order at 4:00 pm in the Community & Economic
Development (CED) Conference Room at City Hall, Ken Mehin opened the session with the status
on the Transit budget status which was the first item on the agenda. Mehin reported that there will be
no budget cuts to service for 2009 and 2010 due to grants received that added services. Chris
Waarvick commented that they are not recommending fare increases at this time. Waarvick added
that most transit agencies have made dramatic cuts in their service but Yakima Transit has been able
to maintain its service. Waarvick continued to say that Transit has added newer buses to their fleet
and still have 5 new fuel efficient and more mechanically inclined buses that they have ordered with
the Federal Grant Stimulus money they received.
The second item was the transit service out to the Pacific Northwest University of Health Sciences
(PNWU) in Terrace Heights Mehin commented that it is an extension to Route 6 and is a one-year
project that they hope will continue. Mehin said that ridership is starting to increase and he will have
a report at the next scheduled CCTC meeting. Bill Lover questioned whether Dial -A -Ride would be
included if the route became permanent and Mehin responded that it would have to be provided with
their transit service.
The third item mentioned was the DAR Contract status, which Mehin reported the contract has been
extended to November 23rd and they are currently working with the contractor. Waarvick added that
they should have the contract negotiations finalized really soon and are optimistic on the outcome.
Additional information shared by Mehin was bus ridership has been down by 4% but is increasing
again due to the rising cost of fuel Mehin added that the vanpool vans in service have gone down as
well because of economy but have a few groups in the forming which should soon bring them to
about 24 vanpool vans in service. Mehin shared a letter of request from the Yakima School District
for transit services to a Greenway event coming up in October which Transit provides every year
Lover asked if it would be an additional cost to Yakima Transit. Both Mehin and Waarvick responded
that it would not be because it is within the city limits and along the bus route.
Last comments made by Mehin were that Yakima Transit will again have free bus shuttle service to
and from the Central Washington State Fair and the Gateway Center.
The transit meeting adjourned at 4:10 pm.

Staff informed the Committee that the traffic calming study by Kitteleson & Associates is complete.
The BCNA has some disagreements with the findings and recommendations of the study but agree
that the majority of their concerns are addressed and the process should move forward. Staff is to
develop an implementation plan based on the recommendations of the study, neighborhood
comments by mid-October.
A ballot will be developed for neighborhood property owners to vote on whether they want traffic
calming; and, if so, are they willing to pay for traffic calming measures beyond what can be
implemented with the $50,000 set aside by the city. The ballot is to be sent out in November with
responses to be back within two weeks. The exact level of a passing vote has not yet been
determined but is expected to be in the range of 50% of a significant portion of the neighborhood.
Gary Forester informed the Committee of the BCNA's concurrence to the process.
The Committee voted unanimously to proceed with the process as outlined by the staff.
