A RESOLUTION authorizing the City Manager of the City of Yakima to execute an
Interlocal Agreement with the City of Selah and Nob Hill Water Association
to cooperate in the Upper Valley Automated Meter Reading Evaluation.
WHEREAS, the desire and need to improve water meter reading accuracy has become
a priority for the Water/Irrigation Division and other local utilities, and
WHEREAS, the City of Selah, Nob Hill Water Association and the City recognize that
improving water meter reading accuracy may be accomplished by one or more of the emerging
automated water meter reading technologies; and
WHEREAS, the City of Selah, Nob Hill Water Association and the City recognize that a
cooperative effort is the most effective and efficient way to address long-term planning, design,
sharing of resources, maintenance, and operation of said infrastructure; and
WHEREAS, the City of Selah, Nob Hill Water Association and the City desire to utilize
existing multiple water resource planning efforts, the assistance of an engineering firm to help
address public infrastructure needs in the area through a coordinated Upper Valley Automated
Meter Reading Evaluation; and
WHEREAS, the City Council deems it to be in the best interest of the City to authorize
execution of the attached Interlocal Agreement for the implementation of the Upper Valley
Automated Meter Reading Evaluation; Now, Therefore
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA:
The City Manager of the City of Yakima is hereby authorized and directed to execute the
attached and incorporated "Interlocal Agreement for the implementation of the Upper Valley
Automated Meter Reading Evaluation" with the City of Selah and Nob Hill Water Association.

INTERLOCAL AGREEMENT FOR THE UPPER YAKIMA VALLEY AUTOMATED
METERING EVALUATION
THIS INTERLOCAL AGREEMENT is entered into between the City of Yakima,
Washington (hereinafter "Yakima"), whose address is 2301 Fruitvale Blvd , Yakima,
Washington 98902, City of Selah (hereinafter "Selah") whose address is 115 W.
Naches Ave., Selah, Washington 98942, , and Nob Hill Water Association (hereinafter
"Nob Hill") whose address in 6111 Tieton Dr., Yakima, Washington 98908, pursuant to
chapter 39.34 RCW.
Yakima, Selah, and Nob Hill find that it is in their mutual interest to cooperatively
conduct an Upper Valley Automated Meter Reading Evaluation The Evaluation will
consist of a professional consultant's analysis and review of various Automated Meter
Reading (AMR) and Automated Meter Infrastructure (AMI) Technology review,
AMR/AMI Approaches, Financial Analysis and Alternatives, Joint Meetings, and
Recommendations for AMR/AMI installation and utilization by the participating parties
hereto.
WITNESSETH:
In consideration of the terms and conditions contained herein, the parties hereto agree
as follows.
1. Yakima, Selah, and Nob Hill agree to utilize a professional consultant to analyze
and evaluate multiple aspects of AMR/AMI technology that may be beneficial to
the parties' interests. To accomplish the necessary analysis and evaluation the
parties agree to supply information about their individual water meters and water
billing systems to the consultant so evaluations regarding AMR/AMI system
compatibility and efficiency may be accomplished.
2. Yakima shall be responsible to contract with the consultant to accomplish the
necessary evaluation and analysis and shall administer the consultant contract.
All signatories shall have full access and joint ownership in all documents
produced from the study.
3. Selah and Nob Hill agree to reimburse Yakima for all reasonable documented
expenses incurred in the completion of the Upper Valley Automated Meter
Reading Evaluation. The total costs of the consultant's performance, as set forth
in the professional services contract to be entered between the City and the
consultant, and as may be amended in writing between the parties thereto, shall
be divided between the parties at the following percentages; Selah 10 2% - Nob
Hill 13.2% The City of Yakima's share will be 76.6%
4. This interlocal agreement contains all terms and conditions agreed upon by the
parties hereto. No change or addition to this Agreement shall be valid or binding
upon any party unless such change or addition is in writing and executed by all
participating parties.
5. The parties hereto agree that they shall not discriminate against any person on

the grounds of race, creed, color, religion, national origin, sex, age, marital
status, political affiliation or belief, or the presence of any sensory, mental or
physical handicap in violation of the Washington State Law Against
Discrimination (RCW chapter 49.60) or the Americans with Disabilities Act (42
U S.0 12101 et seq) or any other applicable state, federal or local law, rule or
regulation.
6. Yakima shall not assign or subcontract any portion of the contracted activities
without obtaining the prior written approval from Selah and Nob Hill.
7. Any party may terminate this contract upon sixty (60) days written notice sent by
certified mail to the addresses listed above. As long as two parties are still
participating in this agreement it may remain valid. If Selah or Nob Hill
terminates their participation, the percentage of reimbursement to Yakima by the
remaining party shall be renegotiated and approved in writing.
8 Each party shall indemnify and hold harmless the other parties, the other parties'
elected officials, directors, officers, members, agents, and employees, from all
liability, loss or damage, including attorney's fees and costs of defense they may
suffer as a result of claims, demands, actions, damages, costs or judgments
which result from the actions performed by an indemnifying party, its agents,
employees, or subcontractors pursuant to this Agreement.
9. The parties hereto each certify that they have commercial liability insurance with
coverage in the sum of at least One Million Dollars ($1,000,000.00) per
occurrence and shall provide proof of insurance to each of the other parties if
requested.
10. This Agreement shall be governed by the laws of the State of Washington. Any
action, suit, or judicial proceeding for the enforcement of this Agreement shall be
brought in the Superior Court for the State of Washington in Yakima County,
Washington.
11. The term of this Agreement shall begin on the date of final execution and shall
continue until midnight, Dec. 31, 2010, and may be extended from year to year,
not to exceed three years in total, by mutual written consent of the parties prior
to the Agreement's established termination date.
12. This Interlocal Agreement does not create any separate legal or administrative
entity and no property shall be acquired, accumulated or held as a result of this
Agreement.

ITEM TITLE: Consideration of a Resolution authorizing execution of an interlocal agreement
with the City of Selah and Nob Hill Water Association to complete an evaluation
of automating water meter reading and to evaluate some shared resources.

SUMMARY EXPLANATION: The water/Irrigation Division has been evaluating some methods
to improve water meter reading accuracy. That evaluation resulted in discussions with several
surrounding Utilities about conducting additional evaluations to determine the viability of using
automated meter reading technology and to determine if the utilities could share some
resources.
The City of Selah and Nob Hill Water Association desire to enter into an evaluation of this type
of automated water meter reading technologies and to find some method where we might share
some resources. Yakima will enter into a contract with Gray and Osbome, Inc. to conduct the
Upper Valley Automated Meter Reading Evaluation. Selah and Nob Hill Water Association will
reimburse Yakima for their share of the evaluation.
Financial support for this project will be from appropriations in the 477 Water Improvement
Fund, 102% from the City of Selah and 13.2% from Nob Hill Water.
