HomeMy WebLinkAboutJEM Development Real Estate - Event Parking AgreementCITY OF YAKIMA EVENT PARKING AGREEMENT This Agreement is made and entered into this OD* day of,Ar`il, 2013 by and between: JEM Development Real Estate, Inc., a Washington corporation, hereinafter referred to as "Lessor" and City of Yakima, a Washington Municipal corporation, hereinafter referred to as "Lessee." RECITALS The Lessor and its affiliates are the owners of the following described parking facilities situated in the City of Yakima: North Fourth Street Parking Lots (North of the JEM Development Real Estate Parking Garage) situated on the North side of East "A" Street between North Naches Avenue and North Fourth Street. The highlighted areas per the Yakima County GIS map and abbreviated legal description of the said North Fourth Street Parking Lots are set forth on Exhibit "A" attached hereto and by this reference incorporated herein and made a part hereof the same as though set forth in full. East Chestnut Street Parking Lot situated on the Northwest corner of the block bordered by South Naches Avenue on the West and by East Chestnut Street on the North. The highlighted areas per the Yakima County GIS map and abbreviated legal description of the said East Chestnut Street Parking Lot is set forth on Exhibit "B" attached hereto and by this reference incorporated herein and made a part hereof the same as though set forth in full. The Tower Building Parking Lot (South of the building commonly known as The Tower Office Building Complex) situated on the block bordered by South Naches Avenue on the East, East Chestnut Street on the South, South Fourth Street on the West and East Yakima Avenue on the North. The highlighted areas per the Yakima County GIS map and the abbreviated legal description of the properties encompassed by the said Tower Building Parking Lot property is set forth on Exhibit "C" attached hereto and by this reference incorporated herein and made a part hereof the same as though set forth in full. The City of Yakima has various occasions during which it has a need for additional dedicated parking facilities to accommodate special events conducted by the City for persons or organizations which request and have been granted permits by the City for parking of motor vehicles in the general vicinity of one or more of the Lessor's hereinabove described Parking facilities, and for persons attending said special events, and desires to enter into a continuing Agreement with the Lessor for the temporary use of one or more of the hereinabove described parking facilities. is \shared \legal assistant\ em development \city of yakima event parking agreement 4 23.docx 4/23/2013 Various said parking facilities or portions thereof are leased to other third parties. The parties have negotiated and reached an Agreement for permitting or leasing or otherwise allowing the City and its specifically designated permittees and /or other intended users attending the special event and meeting the conditions specified in section i -iv below, temporary use of one or more of the herein described parking facilities and now desire to memorialize that Agreement in this formal manner: NOW THEREFORE it is hereby agreed by and between the parties hereto as follows: �1. The Lessor hereby agrees to grant to the City and its designees, the right to temporarily use and the right to permit its designees to use temporarily one or more of the Lessor's parking facilities herein above described on the following terms and conditions: The Tower Building Parking Lot is leased to third parties and the rights granted to the City hereby shall not include the right to permit the use by the City's designees between the hours beginning with 8:00 AM and ending at 5:00 PM on any weekday. ii) Certain Tenants of the Lessor and its affiliates have been guaranteed parking privileges in the Tower Building Parking lot. These Tenants include various government offices, for whom security of the premises are a highly important condition of their various Leases. If any current Tenant or future Tenant of any space within the Tower Building should raise substantial complaints which reasonably threatens the suitability of their space for their purposes then and in that event the Lessor reserves the right to cancel this Event Parking Agreement by a written notice to the City addressed as follows: Either hand delivered or sent by a nationally recognized courier service. In such a case, the cancellation of this Lease shall be effective on the date said notice is delivered to the City. iii) As a condition to such permitted use, the Lessee agrees to provide and install in a manner mutually acceptable to Lessor and Lessee, for each event, all necessary signage, security personnel and clean up, including graffiti. The Lessee shall be responsible to oversee that users of the temporary parking privileges are not parking in restricted areas, or in areas marked or designated as reserved for any Tenant of the Lessor. iv) Notice Requirement: In order to exercise its rights granted herein the Lessee agrees to provide Lessor advance written notice at the following address: JEM Development Real Estate, Inc. 402 E. Yakima Ave., Ste. 1200 Yakima, WA 98901 is \shared \legal assistant\jem development \city of yakima event parking agreement 4 23.docx 4/23/2013 Which notice must be provided by the Lessee to Lessor not earlier than 21 days nor later 'than 14 days prior to the dates Lessee desires to effectuate its rights under this Lease. Such notice shall specify: The precise dates of use requested; Inform the Lessor of the precise parking facilities the Lessee intends to use including the number of parking spaces required; Describe briefly the event for which the parking will be used. (In the event that the Lessee is not able to provide the advance notice required, the Lessor agrees to accommodate the Lessee's parking for the event to the extent that the same can be done without risking interference with rights of its Tenants having a prior right to use of the desired parking facilities.) V) Rental Rates: In not less than three (3) business days following the expiration of the dates for which the City has requested the use of the parking facilities, Lessee agrees to pay to the Lessor for such use, in lawful money of the United States, at the following rates: $1.00 per parking space, on events for which parking has been requested. A minimum payment of $200.00, per requested lot per event, will be required regardless of the amount of parking vehicles using the various facilities. vi) Lessee to Provide Liability Insurance: As a condition to granting such use, the Lessee agrees to indemnify and hold harmless the Lessor and its agents and employees from any and all claims of liability for injuries to any person or property sustaining damage while using or occupying any of the designated parking facilities, which are or are claimed to be caused by the use of any of the parking facilities authorized under this Agreement, for any cause whatsoever, including but not limited to any condition of the parking facilities and or any actual or perceived and /or alleged fault or negligence of the Lessor herein, its officers, employees, or any other user of the parking facilities Not less than 48 hours prior to the date and time for which the parking use is requested by the Lessee, the Lessee shall provide to Lessor a Certificate of Liability Insurance from the Lessee in such form as is provided in Exhibit "D" attached hereto and by this reference incorporated herein and made a part herein. The Lessee will be required to name JEM Development Real Estate, Inc., its directors, officers, employees and affiliates as Additional Insured and a Waiver of Subrogation in favor of JEM Development Real Estate, Inc. will apply. Vii) Jurisdiction, Attorneys Fees and Venue: This Agreement shall be governed by the laws of the State of Washington.
