HomeMy WebLinkAboutAlta Mesa Group, LLC - Executive Leadership Workshop 4t PROFESSIONAL SERVICES AGREEMENT Executive Leadership Workshop - Alta Mesa Group THIS PROFESSIONAL SERVICES AGREEMENT, hereinafter an "Agreement," is made and entered into by and between the City of Yakima, a Washington State municipal corporation (hereinafter the "City "), and Alta Mesa Group, LLC (hereinafter "Consultant "). WHEREAS, the executive administration of the City has undergone significant reorganization and expansion in recent months, and has recognized a need for training to enhance leadership skills for the benefit of individual directors and managers and the leadership team. WHEREAS, Consultant has experience and expertise regarding leadership training, and agrees to perform said services for the City under the terms and conditions set forth in this Agreement. NOW, THEREFORE, in consideration of the mutual covenants, conditions, promises, and agreements set forth herein, it is agreed by and between the City and the Consultant as follows: 1. Scope of Work. The Consultant shall provide leadership training services, staff, specialized equipment, and otherwise do all things necessary for or incidental to the performance of the following work: a. Conduct a leadership training workshop on or February 13, 2013, or such other date as mutually agreed, for the benefit of City administrative executives, department directors and managers, designated by the City Manager, at a location within the City as arranged by City. b. Workshop to be conducted by William Chiat, President of Alta Mesa Group, LLC, to include the objectives and agenda substantially conforming to the Consultant's description of such described in the attachment to Consultant's letter dated December 28, 2012, a copy of which is attached hereto and incorporated herein as Exhibit "A." c. Workshop will include administration of the DISC Interpersonal Inventory for each City attendee (estimated to be 17 persons). Upon execution of this Agreement, Consultant and City Manager (and /or his designee) shall consult to confirm the date and location for the workshop, and to approve a final agenda and materials for the workshop. City will arrange and pay any applicable fee for reservation of a suitable location for presentation of the workshop, and will provide audio /visual equipment, refreshments and expenses necessary or appropriate for conducting the workshop which are not specifically listed as Contractor's responsibility. Page 1 of 5 Consultant will provide all workshop materials to City for duplication at least five days prior to the date the workshop is presented. City will be responsible for payment of all copying costs. 2. Compensation. The City shall compensate Consultant for all services provided hereunder at the rates stated below: Professional Fee Consultation, preparation and facilitation of one -day leadership workshop $3,520 Expenses* Travel expenses to Yakima (airfare, lodging) 576 DISC Interpersonal Inventory — 17 @ $18 /person 306 TOTAL $4,402 Local agency discount <$520> TOTAL Not to Exceed $3,882 * All expenses billed on actual costs, and will not exceed listed expenses without prior approval of City. Consultant shall provide City with copies of invoices supporting and documenting expenditures for which Consultant seeks reimbursement. As set forth above, total compensation to Consultant under this Agreement shall not exceed $3,882.00. The City shall make payment to Consultant within thirty (30) calendar days upon receipt of invoice. All payments are expressly conditioned upon Consultant providing services hereunder satisfactory to the City. 3. Term of Agreement. The term of this Agreement shall commence upon full execution by all parties and shall terminate upon full performance of Consultant's service hereunder and City's payment of compensation. This Agreement may be terminated by either party in accordance with Section 13 of this Agreement. 4. Status of Consultant. The Consultant and the City understand and expressly agree that Consultant is an independent contractor in the performance of each and every part of this Agreement. The Consultant, as an independent contractor, assumes the entire responsibility for carrying out and accomplishing the services required under this Agreement free from supervision by the City over the methods and details of performance except as provided herein. Additionally, and as an independent contractor, Consultant and its employees shall make no claim against the City for employment benefits, social security, and /or retirement benefits. Nothing contained herein shall be interpreted as creating a relationship of servant, employee, partnership or agency between Consultant or any officer, employee or agent of Consultant and the City. Page 2 of 5 • • 5. Taxes and Assessments. Consultant shall be solely responsible for compensating his employees and for paying all related taxes, deductions, and assessments, including but not limited to, federal income tax, FICA, social security tax, assessments for unemployment and industrial injury, and other deductions from income which may be required by law or assessed against either party as a result of this Agreement. In the event the City is assessed a tax or assessment as a result of this Agreement, Consultant shall pay the same before it becomes due. 6. Non - Discrimination. During the performance of this Agreement, Consultant shall not discriminate in violation of any applicable federal, state and /or local law or regulation on the basis of race, color, sex, religion, national origin, creed, marital status, political affiliation, or the presence of any sensory, mental or physical handicap. This provision shall include but not be limited to the following: employment, upgrading, demotion, transfer, recruitment, advertising, layoff or termination, rates of pay or other forms of compensation, selection for training, and the provision of services under this Agreement. 7. Compliance With Law. Consultant agrees to perform all services under and pursuant to this Agreement in full compliance with any and all applicable laws, rules, and regulations adopted or promulgated by any governmental agency or regulatory body, whether federal, state, local, or otherwise. 8. No Conflict of Interest. Consultant represents that he and /or his employees do not have any interest and shall not hereafter acquire any interest, direct or indirect, which would conflict in any manner or degree with the performance of this Agreement. 9. No Insurance provided by City. It is understood the City does not maintain liability insurance for Consultant and /or his employees. 10. Assignment. This Agreement, or any interest herein, or claim hereunder, shall not be assigned or transferred in whole or in part by the Consultant to any other person or entity without the prior written consent of the City. In the event that such prior written consent to an assignment is granted, then the assignee shall assume all duties, obligations, and liabilities of Consultant as stated herein. 11. Integration. This written document constitutes the entire agreement between the parties. With the exception of confirming the date of the workshop and finalization of the workshop materials and agenda as described in Section 1 above (which may be accomplished by email or other agreed method), no changes or additions to this Agreement shall be valid or binding upon either party unless such change or addition be in writing and executed by both parties. 12. Non - Waiver. The waiver by Consultant or the City of the breach of any provision of this Agreement by the other party shall not operate or be construed as a waiver of any subsequent breach by either party or prevent either party thereafter enforcing any such provision. Page 3 of 5 13. Termination. The Consultant or the City may terminate this Agreement, with or without cause, by giving the other party at least ten (10) days advance written notice of termination. In the event of such termination, the Consultant shall be compensated for actual expenses incurred, which cannot be reversed, up to the termination date in accordance with Section 2 of this Agreement. In such event, Consultant shall provide City with invoices supporting and documenting such expenses. 14. Survival. Any provision of this Agreement which imposes an obligation after termination or expiration of this Agreement shall survive the term or expiration of this agreement and shall be binding on the parties to this Agreement. 15. Notices. Unless stated otherwise herein, all notices and demands shall be in writing and sent or hand delivered to the parties at their addresses as follows: To City: Tony O'Rourke City Manager City of Yakima City Hall 129 North 2nd Street Yakima, WA 98901 To Consultant: William Chiat President, Alta Mesa Group, LLC 324 Alta Mesa Circle Napa, CA 94558 or to such addresses as the parties may hereafter designate in writing. Notices and /or demands shall be sent by registered or certified mail, postage prepaid or hand delivered. Such notices shall be deemed effective when mailed or hand delivered at the addresses specified above. 16. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Washington. 17. Venue. The venue for any action to enforce or interpret this Agreement shall lie in the Superior Court of Washington for Yakima County, Washington. Page 4 of 5 18. Effective Date. This Agreement shall be effective as and from the date signed by the last party to sign. City of Yakima department directors and senior managers. The opportunity now presents itself for the City's executive team to focus on how it will collectively manage the City and accomplish the strategic priorities identified by the City Manager and the recently adopted 2013 Strategic Plan. There have been a number of changes to the City's executive team. There is a new city manager, a number of new department directors, a few reorganizations within the City, the completion of a Citizen Survey and the adoption of a Council strategic plan. This workshop provides an opportunity for the executives and senior managers to step back and examine their leadership practices, assess how well they are working together, and create strategies to improve collective leadership practices to achieve the outcomes identified in the Strategic Plan. Additional goals include establishing expectations of executives and identifying strategies to improve the leadership team's work in managing the City. Ideally the group will regularly assess itself in the future to measure changes in performance as it provides leadership to the City. Alta Mesa Group, LLChas facilitated executive leadership and teambuilding workshops for many state and local public agencies. Our approach for Yakima would facilitate a full day intensive, hands -on workshop with the senior management team. We understand the participants will include approximately 17 people. We typically plan for a 7 -8 hour session, including lunch and perhaps an outside activity. Our emphasis is on building the leadership practices of senior executives in order for them to be more effective in accomplishing the strategic priorities of the City. Among the elements of the workshop are: Assess personal leadership strengths, weaknesses and opportunities Teambuilding activities focused on effective team strategies such as communications, decision making, mutual support, sharing resources, focus on shared goals Explore j(" dividual pr of leadership in key areas of personal literary, relationship dexterity, resource stewardship, strategic agility and public service advocacy Build trust, credibility and interpersonal relationships amongst executive team members • Establish ongoing leadership development plans to which contribute to accomplishing City fiscal, business and strategic plans • 324 ALTA MESA CIRCLE, NAPA, CA -94558 * 91 6/719 -6517 {" City of Yakima Executive Leadership Workshop Proposal Page 2 Establish actions to tie executive team leadership practices to progress on implementation of the City's 2013 strategic priorities The workshop includes the DiSC Interpersonal Profile. We have facilitated this multi -level learning instrument for over 30 years and have found it to be indispensible in building executive team leadership practices in communication, trust and conflict resolution skills. Because there is an added expense we have included separately in the proposal. We charge our cost . for the instruments. Every team we have facilitated has found the cost well worth the value received. Personnel All services will be provided by AMG president William "Bill" Chiat. Mr. Chiat has extensive experience in facilitating leadership and teambuilding workshops for local agency executive teams. Mr. Chiat brings over 30 years of experience as an organizational development facilitator and executive coach. Mr. Chiat also has practical experience as a senior executive and chief executive in a number of local and state agencies. Timeframe The one -day session is planned for Wednesday, February 13, 2013. It is expected the session will run the full day. A draft agenda for the workshop is attached. Upon acceptance of this proposal Mr. Chiat will consult with yourself and the City Manager to finalize the workshop agenda and materials. Mr. Chiat will provide all workshop materials for duplication at least five days prior to the workshop. Project Cost Proposal AMG recognizes the severe budget constraints of local governments and strives to keep•our costs as economical as possible. To reduce costs we recommend the City be responsible for all copying costs and the costs for facilities and meetings. Our proposal includes all .professional fees and expenses for preparing and facilitating the leadership workshop. Our proposal includes a reduced local government professional fee and a not -to- exceed total which includes all expenses. Nor have we included costs for organizing the workshop (room reservations, confirmations, registration).
