The original contract with BBB was executed on July 1, 2012 by Resolution No. R- 2012 -85. The additional work consists of graffiti removal and abatement within the downtown and proximate locations. The funding is from a successful federal ARRA grant in the amount of approximately $17,000. BBB will abate approximately 27,500 square feet of graffiti. The work is scheduled to commence August 13, 2012 and end by September 28, 2012 (6 weeks). R -2012- A RESOLUTION authorizing and directing the City Manager to execute the First Amendment to the Block By Block Agreement for Professional and Ambassador Services WHEREAS, the City requires a contractor to provide services for assessed properties and owners of businesses in the Downtown Yakima Business Improvement District (DYBID); and WHEREAS, the City has recently entered into an Agreement with Mydatt Services Inc. d.b.a. Block by Block dated July 1, 2012 (Contract No. 2012 -55); and WHEREAS, Block by Block has the experience and expertise to provide the necessary additional cleaning and graffiti abatement services and is willing to do so in accordance with the terms and conditions of the attached amendment to the agreement; and WHEREAS, the City Council deems it to be in the best interest of the City of Yakima to execute an agreement amendment with Mydatt Services, Inc. dba Block by Block, now, therefore, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA: The City Manager is hereby authorized and directed to execute the attached and incorporated First Amendment to the Block by Block Agreement for Professional and Ambassador Services for cleaning and graffiti abatement services for the Downtown Yakima Business Improvement District (DYBID) and adjacent locations. ATTEST: Micah Cawley, Mayor Sonya Claar Tee, City Clerk FIRST AMENDMENT TO THE BLOCK BY BLOCK AGREEMENT FOR PROFESSIONAL AND AMBASSADOR SERVICES For City of Yakima, Washington This FIRST AMENDMENT TO THE BLOCK BY BLOCK AGREEMENT FOR PROFESSIONAL AND AMBASSADOR SERVICES For City of Yakima, Washington (the "Amendment Agreement ") is entered into as of this 26th day of July, 2012 ( "Effective Date ") by and between Mydatt Services, Inc. dba Block by Block having an address of 7135 Charlotte Pike, Nashville, TN 37209 ( "BBB ") and The City of Yakima, Washington having an address of 2301 Fruitvale Blvd., Yakima, WA 98902 ( "City "). The following provisions form the basis for, and are hereby made a part of, this Amendment Agreement: WHEREAS, the parties have entered into an AGREEMENT dated July 1, 2012 (the "Agreement "). WHEREAS, the parties now wish to amend certain terms of the Agreement as set forth herein. NOW, THEREFORE, in consideration of the mutual covenants and conditions set forth herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged by each party to the other, the parties hereto do hereby agree as follows: 1. For purposes of this Amendment Agreement, any capitalized terms not otherwise defined herein shall have the meanings ascribed to them in the Agreement. 2. City requests BBB to perform an additional quantity of services than set forth in the original Agreement. Attached hereto, and incorporated herein by this reference, is Addendum A which shall be incorporated into the Agreement. 3. Except as expressly set forth herein, the Agreement shall remain in full force and effect. DBA BLOCK BY BLOCK By: By: Tony O'Rourke, City Manager Date: Date ATTEST: Sonya Claar Tee, City Clerk City Agreement No. City Resolution No. Addendum A Scope of Additional Work: The parties desire to supplement the scope of work described in the Agreement to include the following additional work: Graffiti abatement and removal within the downtown PBIA and adjacent and proximate areas. A description of activities and costs is attached and incorporated herein. Compensation for above referenced Additional Work For the performance of the above referenced extra work, the City shall pay BBB the sum of up to $16,667 as follows: Up to $12,327 ($22.66/hr) for the labor to address approximately 27,500 square feet of graffiti with the remaining amount for supplies and fuel. Requests by BBB for purchases of, or reimbursement of costs for, fuel and supplies shall be supported by documentation and /or invoices satisfactory to City. The work is anticipated to last 6 weeks from 8/13/12 to 9/28/12. The work will be performed by a Team of two BBB employees. Reports will be submitted by BBB sufficient to accommodate federal ARRA grant reporting requirements of the City. Compensation for labor and purchase of necessary supplies and fuel, combined, shall not exceed $16,667.
