Estimate of Cost: Actual cost of labor, plus administrative overhead to create and provide environmental
documentation required by FHWA for tenant use of interstate highway right of way (with costs not
to exceed $;'500.00).
Description of work: MOT agrees to provide written environmental documentation associated with City of Yakima
monitoring well PROJECT, for only the location shown in the attached Exhibit "A ".
This AGREEMENT, made and entered into this Z3�day of February, 2010, between the State of
Washington, Department of Transportation, acting by and through the Secretary of the Department of
Transportation, hereinafter called the "STATE" and the City of Yakima, 129 N 2 "d Street, Yakima,
Washington, 98901, hereinafter called the "CITY ".
WHEREAS, the CITY (working through SLR International Corporation, Bothell, WA) is constructing a
network of groundwater monitoring wells, hereinafter called the "PROJECT ",
WHEREAS, the STATE and the CITY have agreed to the construction and operation of part of the
PROJECT within the interchange "Limited Access Right-of-Way" under the STATE's control (L /A),
and
WHEREAS, the CITY has funding resources including, but not limited to local and STATE funds, but
excluding Federal funds, and
WHEREAS, the parties hereto desire to enter into an AGREEMENT providing for the STATE to
perform the PROJECT environmental documentation and to ensure all PROJECT work is completed in
accordance with the specifications of Federal environmental regulations and specifications, and
WHEREAS, the STATE and the CITY now wish to define the responsibility for the completion-of the
proposed work.
NOW THEREFORE, it is mutually agreed between the parties hereto as follows:
The STATE agrees to perform the work described above for the location shown on Exhibit "A ", at 100
percent CITY expense and responsibility. Any change of work from that provided for in this agreement
and at the location shown on Exhibit "A" must be approved by the CITY prior to beginning such work.

Upon execution of this AGREEMENT by the STATE and the CITY, the STATE agrees to the timely
completion of the PROJECT work required under this AGREEMENT. All material and workmanship
shall conform to the Washington State Department of Transportation Standard Specifications for
Environmental Documentation under Federal NEPA and SEPA guidelines.
A cost estimate for work to be performed by the STATE at the CITY'S expense has been done and the
amount is noted in Exhibit `B ", attached hereto and by this reference made part of the agreement. The
CITY, in consideration of the faithful performance of the work to be done by the STATE, agrees to
reimburse the STATE for the actual direct and related indirect cost of the work. The CITY agrees that if
payment for the work is not made within ninety (90) days after receipt of billing, the STATE may
withhold any tax monies which the CITY is entitled to receive from the Motor Vehicle Fund until
payment for the work is received by the STATE. In the event unforeseen conditions require an increase
in the cost from that agreed to on Exhibit `B ", this AGREEMENT will be modified by a supplemental
agreement covering said cost increases.
No liability shall attach to the STATE or the CITY by reason of entering into this AGREEMENT except
as expressly provided herein.
IN WITNESS WHEREOF, the parties hereto agree to these conditions as of the day and year first above
written.
