A RESOLUTION authorizing the City Manager to execute a Professional Services
Agreement between the City of Yakima and The Mercer Group, Inc. for
executive recruitment services for the position of Chief of Police of the City
of Yakima.
WHEREAS, the City Council anticipates that the City Manager will hire a new Chief of
Police for the City of Yakima during 2011 due to the resignation of the previous Chief of Police;
and
WHEREAS, in February 2011, the City sent a request for qualifications requesting a
written proposal to seven executive recruitment consultants; all seven who received the request
responded with a written proposal, and the Office of the City Manager reviewed the written
proposals; and
WHEREAS, The Mercer Group, Inc. was determined to meet the qualifications and
expectations of the City Manager to provide this service to the city; and
WHEREAS, the City Council desires to engage the professional services of The Mercer
Group, Inc. to assist with the recruitment and selection process for the position of Chief of
Police; and
WHEREAS, The Mercer Group, Inc. is willing to provide recruitment services for the
Chief of Police position in accordance with the terms and conditions of the proposed
Agreement; and
WHEREAS, the City Council deems it to be in the best interest of the City of Yakima to
authorize execution of an Agreement with The Mercer Group, Inc.; now, therefore,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA:
The City Council authorizes the Interim City Manager to execute a Professional Services
Agreement with The Mercer Group, Inc. to provide executive recruitment services for the
position of Chief of Police of the City of Yakima as provided in the Agreement with The Mercer
Group, Inc. The Interim City Manager is further authorized to negotiate any specific terms in the
proposed Agreement that would be beneficial to the best interests of the City of Yakima.

AGREEMENT
THIS AGREEMENT, effective upon the date last executed below (the "Agreement"), by
and between the CITY OF YAKIMA, a Washington municipal corporation, hereinafter referred
to as the "CITY" and THE MERCER GROUP, INC., hereinafter referred to as the
"CONSULTANT."
WITNESSETH:
WHEREAS, the CITY has made a request for proposals dated February 6, 2011, to hire
an executive recruiter to conduct a search for a Chief of Police for the CITY; and
WHEREAS, the CONSULTANT has submitted a proposal in response to the CITY's
request; and
WHEREAS, the CITY has selected CONSULTANT's proposal as the proposal that best
meets its needs and the CITY desires to hire CONSULTANT to conduct the CITY's search for a
Chief of Police;
NOW, THEREFORE, in consideration of the mutual covenants and promises and other
good and valuable consideration contained herein, the receipt and adequacy of which is
acknowledged by the parties hereto, the CITY and the CONSULTANT covenant as follows:
1. General Purpose
The CITY retains CONSULTANT to recruit and recommend qualified candidates for the
position of Chief of Police (the "Position"), and to fulfill the duties relating to those services as
described herein.
2. Representations of CONSULTANT
CONSULTANT makes the following representations to the CITY, which the CITY relies
upon in entering into this Agreement:

A. CONSULTANT is a corporation, duly organized, existing and in good
standing and licensed with the power and authority to enter into this Agreement;
B. The execution, delivery, consummation, and performance under this
Agreement shall not violate or cause CONSULTANT to be in default of any provisions of its
governing documents or rules and regulations or any other agreement to which CONSULTANT
is a party, would constitute a default thereof or would cause acceleration of any obligation of
CONSULTANT therein;
C. The individuals executing this Agreement and related documents on behalf of
CONSULTANT are duly authorized to take such action, which action shall be, and is, binding on
CONSULTANT;
D. CONSULTANT is unaware of any actions, suits or proceedings pending or
threatened against or affecting CONSULTANT or its principals in any Court or before or by any
Federal, State, County or Municipal department, council, board, bureau, agency or other
governmental body which would have any material or adverse effect on CONSULTANT's
ability to fully perform its obligations pursuant to this Agreement;
E. CONSULTANT has the ability, skill and resources to complete its
responsibilities as required by this Agreement;
F. The standard of care for all professional services furnished by CONSULTANT
and its agents under this Agreement shall be the skill and care used by professions providing
executive recruitment services on behalf of clients in the state of Washington;
G. The CITY shall be entitled to rely upon the accuracy and completeness of any
information, background checks and investigation supplied by the CONSULTANT or by others
authorized by the CITY and the CONSULTANT under this Agreement.
3. Services Provided by CONSULTANT
During the term of this Agreement, the CONSULTANT shall provide those executive
search services specifically described in this Agreement together with those included in
CONSULTANT'S Objectives, Scope of Services, Work Plan and Schedule included in its
Proposal to the City dated February 28, 2011 (the "Proposal"), attached hereto and incorporated
herein by this reference as Exhibit "A". The Services shall generally include, but shall not be
limited to, the identification of the desired skills, traits and experience for the Position through
interviews with the City Manager and select CITY representatives; preparation of a recruitment

brochure acceptable to the CITY Manager that contains a profile of both the Position and the
CITY; advertisement of the Position; recruitment for the Position; review and screening of
applications; conduct interviews; thorough reference and background checks of candidates
selected for more in-depth review; recommendation of finalist candidates; coordinate interviews
with the finalists and CITY representatives and shall assist designated CITY officials in
negotiating an employment agreement with the selected candidate.
4. CONSULTANT's Guarantee
The CONSULTANT warrants and guarantees that any consulting and professional services
performed by it shall be performed in accordance with that degree of care and skill ordinarily
exercised by members of CONSULTANT's profession. If the CITY is not satisfied with the
candidates identified in the recommended list of finalists, the CONSULTANT will continue
recruitment efforts until the CITY makes a selection. If the selected Chief of Police leaves the
CITY within the first two years of employment for any reason, CONSULTANT shall repeat the
search at no charge to the CITY except the reasonable direct expenses of such search.
CONSULTANT agrees that it shall not approach any CITY staff for two years from the date of
placement without the specific permission of the CITY. This guarantee shall survive the term of
this Agreement.
5. Term of Agreement
The term of this Agreement shall begin upon the date both parties have executed the
Agreement and shall continue until a Chief of Police is selected by the CITY Council or is
otherwise terminated by the parties hereto, whichever occurs first, unless otherwise extended by
the specific Warranty provisions of Paragraph 4.
6. The CITY's Responsibilities
The City Manager agrees to reasonably cooperate with the CONSULTANT's request to
schedule meetings to provide guidance or direction, review and comment on a proposed short list
of candidates, select a list of finalists, and interview the finalists on a timely basis and in a
professional and legal manner.
The CITY shall be responsible for reimbursing candidates for any reasonable expenses
associated with their travel, meals and necessary incidentals during the interview period upon
appropriate authorization of the City Manager. Furthermore, the CITY shall provide selected
finalists the a Yakima Police Department organizational chart, any current strategic and long

range plans, a copy of the Yakima Police Policy Manual and any other materials defining the
role and duties of the Chief of Police together with any evaluations of the organization
completed in the last year.
CONSULTANT shall provide candidates' permission for, and CITY shall order, NCIC
criminal background investigations on finalist candidates as a supplement to background
investigations conducted by CONSULTANT.
7. Compensation to CONSULTANT
The CITY agrees to compensate the CONSULTANT in the amount not to exceed Twenty
One Thousand Five Hundred Dollars ($21,500.00) for all professional services and an amount
not to exceed Nine Thousand Dollars ($9,000.00) for CONSULTANT's expenses associated
with CONSULTANT's services that have been accepted by the CITY, as specifically described
in Paragraph 3 herein, together with Exhibit "A", pages 28-31, of this Agreement. The cost for
final candidates to travel to interview with the CITY is not included in these expenses, and shall
be reimbursed by the CITY directly to the candidates. Payments to the CONSULTANT shall be
made in accord with the specific provisions set forth at pages 20-21 of the Proposal.
8. Termination of Agreement
A. Without Cause. Either party may terminate this Agreement without cause by
giving ten (10) business days' written notice thereof to the other party. Notice shall be
considered issued within seventy-two (72) hours of mailing by certified mail to the address of the
other party as set forth in this Agreement. Should either party terminate this Agreement without
cause, the CITY shall only be obligated to pay the CONSULTANT for those services
satisfactorily completed as of the date of termination.
B. Termination for Breach. Either party may terminate this Agreement upon the
breach by the other party of any material provision of this Agreement, provided such breach
continues for fifteen (15) days after receipt by the breaching party of written notice of such
breach from the non-breaching party, thereby affording the breaching party a reasonable
opportunity for consultation and for cure with the terminating party before termination. Notice
shall be considered issued within seventy-two (72) hours of mailing by certified mail to the
address of the other party as set forth in this Agreement. Should either party terminate this
Agreement for breach, the CITY shall only be obligated to pay the CONSULTANT for those
services satisfactorily completed as of the date of termination.

9. Additional Services
In the event that the CITY elects to have the CONSULTANT provide additional services
not enumerated in this Agreement or in the CONSULTANT's Proposal, attached hereto and
incorporated herein, additional fees for those services shall be agreed upon in writing by the City
and the CONSULTANT in advance.
10. Independent Contractor
It is expressly agreed that CONSULTANT's performance of all work, services,
and activities under this Agreement, is and shall be as an independent contractor and not an
employee, agent, principal or servant of the CITY. Nothing in this Agreement shall be construed
to create a partnership or joint venture relationship between the CITY and CONSULTANT. All
persons engaged in any work, service or activity performed pursuant to this Agreement shall at
all times be subject to CONSULTANT's sole direction, supervision and control.
CONSULTANT acknowledges that it shall have no authority to bind the CITY to any
contractual or other obligation whatsoever.
11. Indemnification
The CONSULTANT agrees to defend, indemnify, and hold harmless the CITY, its
elected officials, officers, agents and employees against any loss, damage or expense (including
all costs and reasonable attorneys' fees and appellate attorneys' fees) suffered by CITY from (a)
any claim, demand, judgment, decree, or cause of action of any kind or nature arising out of any
error, omission, or negligent act of CONSULTANT, its agents, servants, or employees, in the
performance of services under this Agreement, (b) any breach or misconduct by the
CONSULTANT under this Agreement, (c) any inaccuracy in or breach of any of the
representations, warranties or covenants made by the CONSULTANT during the performance of
this Agreement, (d) any claims, suits, actions, damages or causes of action arising during the
term of this Agreement for any personal injury, loss of life or damage to property sustained by
reason or as a result of CONSULTANT's or CONSULTANT's agents, servants or employees
performance of this Agreement. Such obligation to defend, indemnify and hold harmless shall
include all costs, expenses and liabilities incurred by the CITY in connection with any such
claim, suit, action or cause of action, including the investigation thereof and the defense of any
action or proceeding brought thereon and any order, judgment or decree which may be entered in
any such action or proceeding as a result thereof. CONSULTANT 'acknowledges and agrees that

CITY would not enter into this Agreement without this indemnification of CITY by
CONSULTANT, and that CITY's entering into this Agreement shall constitute good and
sufficient consideration for this indemnification. These provisions shall survive the expiration or
earlier termination of this Agreement. Nothing in this Agreement shall be construed to affect in
any way the CITY's rights, privileges, and immunities as set forth in Washington Statutes.
12. Nondiscrimination:
During the performance of this Agreement, CONSULTANT shall not
discriminate in violation of any applicable federal, state and/or local law or regulation on the
basis of age, sex, race, creed, religion, color, national origin, marital status, disability, honorably
discharged veteran or military status, pregnancy, sexual orientation and anyother classification
protected under federal, state, or local law. This provision shall include but not be limited to the
following: employment, upgrading, demotion, transfer, recruitment, advertising, layoff or
termination, rates of pay or other forms of compensation, selection for training and the provision
of services under this Agreement.
13. Confidentiality
A. All information communicated to CONSULTANT by the CITY during the
term of this Agreement and the material created by CONSULTANT for the CITY under this
Agreement shall be received and maintained in confidence by CONSULTANT and will be used
only to provide services to the CITY under this Agreement. No such information or material
may be disclosed by CONSULTANT without the prior written consent of the CITY. The
provisions of this Section will not apply to information or material which is (a) considered a part
of the public record and is not exempt from disclosure under established law; (b) is authorized in
writing to be disclosed by the CITY; (c) generally is available as part of the public domain prior
to disclosure by the CITY, or becomes so available through no fault of CONSULTANT; or (d) is
independently developed by CONSULTANT or is received by CONSULTANT from a third
party with no breach of any duty owed by the third party to the CITY.
B. Certain information and/or data gathered by CONSULTANT may be
provided by identifiable individual employees of the CITY or by other identifiable individuals.
In the interest of information accuracy and data quality, such individual information and the
identities of those persons providing the same shall be held confidential and will not be provided
to any parties outside of the CONSULTANT, including to CITY.

14. General Conditions
A. This Agreement, together with the attached and incorporated Exhibit "A",
contains the entire understanding between the parties hereto with respect to the matters covered
in the Agreement. No other agreements, representation, warranties or other matters, oral or
written, shall be deemed to bind the parties hereto with respect to the subject matter of this
Agreement.
B. This Agreement shall be construed in accordance with the laws of the State of
Washington and any litigation arising from this Agreement shall be filed and litigated in Yakima
County, Washington. The parties hereby waive any right to a trial by jury in any litigation
arising from this Agreement.
C. The CITY and CONSULTANT both agree that in the event that any dispute
arises between the parties, the complaining party shall promptly notify the other of the dispute in
writing. Each party shall respond to the other party in writing within ten (10) business days of
receipt of such notice. The parties shall strive to resolve all conflicts through negotiation in good
faith as the preferred approach to dispute resolution and may consider mediation, or another form
of dispute resolution, as a supplement or alternative to litigation where mutually agreed to by the
parties in writing.
D. All notices required in this Agreement shall be sent by certified mail, return
receipt requested, and shall be mailed to:

Notice shall be considered issued and effective upon receipt thereof by the
addressee -party, or seventy-two hours after mailing by certified mail to the place of business set
forth above, whichever is earlier.
E. This Agreement may not be assigned by either party without the prior written
Consent of the other party.
F. CONSULTANT shall be required to record and keep complete and accurate
records and accounts related to the services rendered pursuant to this Agreement and for any
expenses identified herein for which CONSULTANT requests reimbursement. All such books
and records shall be available at reasonable times for examination by the CITY and/or its
designee and shall be kept and maintained after completion of all the services to be performed
under this Agreement for a minimum of three (3) years and as required by applicable laws
thereafter.
G. In the event of a conflict between the provisions of this Agreement and the
provisions of the Proposal, the provisions of this Agreement shall prevail.
H. A waiver by either party hereto of a breach by the other party hereto of any
covenant or condition of this Agreement shall not impair the right of the party not in default to
avail itself of any subsequent breach thereof. Leniency, delay or failure of either party to insist
upon strict performance of any agreement, covenant or condition of this Agreement, or to
exercise any right herein given in any one or more instances, shall not be construed as a waiver
or relinquishment of any such agreement, covenant, condition or right.
15. Insurance

It is understood the CITY does not maintain liability insurance for
CONSULTANT or its officers, directors, agents and employees.
A. Professional Liability Insurance. On or before the date this Agreement is
fully executed by the parties, the CONSULTANT shall provide the CITY with a certificate of
insurance as evidence of professional liability coverage with a limit of at least One Million
Dollars ($1,000,000.00) for each claim and an annual aggregate limit of at least Two Million
Dollars ($2,000,000.00). The certificate shall clearly state who the provider is, the amount of
coverage, the policy number, and when the policy and provisions provided are in effect. The
insurance shall be with an insurance company rated A -VII or higher in Best's Guide. If the
policy is on a claim made basis, the retroactive date of the insurance policy shall be on or before
the date this contract is executed by both parties hereto, or shall provide full prior acts coverage.
The insurance coverage or substantially identical coverage sufficient to fully satisfy these
requirements shall remain in effect during the term of this Agreement and for a minimum of
three (3) years following the termination of this Agreement.
B. Commercial Liability Insurance. On or before the date this Agreement is
fully executed by the parties, the CONSULTANT shall provide the CITY with a certificate of
insurance as proof of commercial liability insurance with a minimum liability limit of One
Million Dollars ($1,000,000.00) per occurrence/aggregate limit bodily injury and property
damage. The certificate shall clearly state who the provider is, the amount of coverage, the
policy number, and when the policy and provisions provided are in effect. Said policy shall be in
effect for the duration of this Agreement. The policy shall name the CITY, its officials, officers,
agents, and employees as additional insured as to this project only and shall contain a clause that
the insurer will not cancel or reduce in limits the insurance without first giving the CITY thirty
(30) calendar days' prior written notice. The insurance shall be with an insurance company or a
company rated A -VII or higher in Best's Guide and admitted in the State of Washington.

Agreement is fully executed by the parties, the CONSULTANT shall provide the CITY with a

The Mercer Group, Inc. is pleased to submit this proposal to assist the City of Yakima to
recruit regionally and nationally and to develop exceptionally well-qualified candidates for the
position of Police Chief. We are most interested in assisting the City of Yakima with this critical

Schedule
Our search process normally takes about 90 to 120 days from date of approval of the Position
Profile by the client. The more time we have, within reason, of course, the more effectively we
can conduct thorough evaluation and background checks on finalist candidates.
Firm Qualifications and Staffing
Our firm has branch offices in California; Arizona; New Mexico; Colorado; Texas; Oklahoma;
Michigan; Illinois; Georgia; North Carolina; Louisiana and Virginia. This search will be
conducted from our California office in the Sacramento area. The principal consultant to be
utilized for this engagement would be Mr. Clark Wurzberger, Senior Vice President of our firm
and Manager of our California office. Mr. Wurzberger has served as lead consultant in hundreds
of search and selection processes for clients in the public sector in California and other states
over the past nineteen years. He will be assisted by Mr. Gary Suiter, Senior Vice President and
Manager of our Colorado office. Mr. Michael Kime, Chief of Police for the City of Madera,
California (Pop. 60,000) will be available to serve as a technical advisor on an as -needed basis.
The quality of our work is evidenced by the amount of repeat business we receive from our

Mr. Wurzberger brings to this assignment over twenty-eight years of diverse public sector
experience, serving for the past nineteen years as a consultant to local governments in California
and other states throughout the country. He specializes in public sector search and selection and
holds a Bachelor's Degree in English from San Diego State University. Mr. Wurzberger
established the Mercer Group's California nine years ago and most recently served as lead
consultant in the recruitments of Police Chief and Fire Chief for the City of Tracy, California;
Fire Chief and Deputy Chief, Operations for the Sacramento Metropolitan Fire District; and
Chief of Police for the Rhode Island Airport Corporation (T.F. Green Airport). He also assisted
the City of Des Moines, Iowa (Pop. 500,000) with the recruitment of their Chief of Police.
Additional Police Chief recruitments in California completed with Mr. Wurzberger's assistance
while serving with a previous firm have been for the California cities of: Anaheim, Barstow,

Guarantees
We offer several guarantees of our work. The four most important are:
1. We will keep working until the placement is made.
2. We will not recruit the placement for other positions without your permission.
3. We will not recruit any of your staff for two years from the date of the placement,

This section presents our understanding of the City of Yakima's requirements for this search, as
well as the objectives and scope of the project.
A. Introduction and Background
It is our understanding that:
• The City of Yakima is seeking "turn -key" executive search and selection services and
support in connection with the recruitment of a new Police Chief.
• The City of Yakima is interested in identifying outstanding candidates and filling
the position of Police Chief.
• Services required include position analysis and preparation of a position profile,
recruitment for the position through eye-catching advertisements and a creative, high
quality recruitment brochure; inviting potential candidates to apply; reviewing and
screening applications; conducting interviews, reference and background checks of
selected candidates; recommendation of a list of semi-final candidates and development
and administration of a tailored Executive Assessment Center evaluation process;
coordination of final interviews; negotiating; and following up.
• The City of Yakima wishes to conduct a comprehensive regional and national recruit-
ment process to ensure that the most qualified candidates are found and that the most
qualified individuals who are acceptable can be hired.
• The annual salary and benefits package for the position will be discussed with the City
officials as required.

B. Objectives
The objectives that we will meet in order to help find the best qualified candidates for the
position are as follows:
• To conduct on-site needs assessment for the new Police Chief.
• To develop a comprehensive position profile.
• To reconcile any differences in points of view with regard to specifications for the
position.
• To encourage top level law enforcement executives to apply who would otherwise be
reluctant to respond to an advertisement.
• To save a considerable amount of the City official's time in establishing a position
profile and reviewing applicants.
• To comply with appropriate personnel regulations and state laws (i.e., EEO, Affirmative
Action, etc.).
• To independently and objectively assess the qualifications and suitability of candidates
for the position.
• To develop and administer a comprehensive Executive Assessment Center evaluation
process to assist the City officials in reaching a final decision.
• To assist in recommendation of a pool of finalist candidates to the City officials.

• To respond to all candidate inquiries and produce all correspondence throughout the

C. Scope
The scope of the project will be sufficiently broad and in-depth so as to meet the requirements of
the City of Yakima. However, for the fee proposed it will not address recruitment of additional
candidates for positions other than the one specified.

II. OUR APPROACH, WORK PLAN AND SCHEDULE
This section presents our approach, work plan and schedule for the search project.
A. Approach
Our approach and style are interactive. That is, we form a partnership with our client to conduct
a project. The City of Yakima will benefit through ease of implementation and by gaining more
in-depth knowledge of executive search and management consulting techniques and expertise.
B. Work Plan
We recommend an eight (8) -step search process as follows:
• Position Analysis - We will define work relationships, job qualifications and
requirements for the position - the "Position Profile".
• Recruitment Process - We will recruit regionally and nationally for the position and
network to locate qualified candidates.
• Resume Review - We will identify qualified candidates.
• Candidate Screening - We will thoroughly screen prospective candidates.
• Background Investigation - We will thoroughly evaluate prospective candidates.
• Interview Process - We will make recommendations and assist in selection.
• Executive Assessment Center — We will develop and administer a tailored and thorough
candidate evaluation process.

. Negotiation and Follow-up - We will facilitate employment and follow-up to ensure
complete integrity of the process.
This process is illustrated in Exhibit I, and each step is described below.
1. Position Analysis
We will have extensive consultation with the designated City officials, other City staff and
local leaders selected by them, as well as other individuals or groups (if you wish) to
determine the City's vision/mission, goals and objectives, the needs and issues, require-
ments of the job, and to obtain information about the environment within which the
position functions. In addition, we will spend a considerable amount of time at the
beginning of the process in the City of Yakima in order to determine the level of experi-
ence and training needed.
During this process, we will initiate individual interviews with the City officials, citizen
organizations, department heads and key staff and others of your choice to identify
expectations, perceptions, and concerns regarding the position.
Based on those meetings, we will prepare a draft position profile and review it with the
City officials in order to arrive at a general agreement regarding the specifications for the
position. The final position profile will include information about the City of Yakima, the
community, major issues to be faced, the position, and the selection criteria established.
Highly qualified candidates typically appreciate the detailed information provided in a
position profile that accurately describes the community and its values, the Department, its
facilities, personnel and the community's desired approach to policing and crime
prevention. The best candidates correlate their professional experience, values and goals to
the described needs of the City and apply with a focused understanding of those needs
accompanied with the required knowledge, skills and abilities needed to succeed.

2. Recruitment Process
Because we have recently completed similar searches, we will first review our database to
determine those candidates whom we may already know and/or already have on file who
may meet the City's specifications.
Although this process is valuable, we will rely most heavily on our own contacts in the
public safety field and on our own experience. In other words, through "networking" and
proactive sourcing, we will conduct a regional and nation-wide professional search for the
best qualified candidates and invite them to apply for the position.
We will provide the City officials with several advertising alternatives with varying
degrees of cost and their associated benefits. Based on our discussions with the City
officials, we will place ads in professional journals, in national, in-state and local newspa-
pers, and in various minority and women's publications to encourage applicants to apply.
3. Resume Review
We will review and analyze each applicant's background and experience against the
position profile criteria.
We will acknowledge all resumes received and keep candidates informed of their status.
4. Candidate Screening
Criteria for the preliminary screening will be contained in the approved "Recruitment
Profile." They may include such items as education, technical knowledge, experience,
accomplishments, management style, personal traits, etc. Screening of candidates against

those criteria will be based on data contained in the resumes and other data provided by the
candidates and on our knowledge of the organizations in which they work. At this stage,
each must meet the minimum qualifications specified in the Recruitment Profile.
We will be responsible for screening the applications received. This initial screening will
be conducted by telephone and/or interactive video with the prospective candidate. We
will conduct interviews with references who may know the candidate's background and
expertise by telephone. Where feasible, we will also conduct personal interviews with top
candidates.
Once the initial screening is completed, we will select the prospective candidates who most
closely match the criteria established by the City of Yakima. The output of this step in the
process will be a matrix display of the top candidates showing how each rates against the
selection criteria established by the City (Exhibit II). This matrix will be reviewed with the
City officials in one-on-one meetings and guidance obtained prior to proceeding. One
contingency here is that the City officials may not approve of any of the candidates. If that
should occur, we would, of course, keep searching until the City of Yakima's needs are
clearly met.
After review by the City stakeholders, we will personally interview each using various
interview techniques. We will closely examine their experience, qualifications and
achievements in view of the selection criteria and our professional expertise in evaluating
the quality of such qualifications and achievements.
We also request that all candidates provide us, in writing, substantial information about
their accomplishments and their management style and philosophy. This information will
be verified and, at the City official's option, may be further tested by having the finalists
complete management and leadership style inventories. We interpret these instruments for
the City as well.

5. Background Investigations
As part of our process in evaluating top candidates, we make detailed and extensive
reference checks. In conducting these, it is our practice to speak directly to individuals
who are now or have previously been in a position to evaluate the candidates' job
performance.
We ask each candidate to provide us with a large number of references. We then network
these references to other persons who know the candidate. In this way, we thoroughly
evaluate each candidate. We have talked to as many as 23 references concerning a single
finalist candidate. These references and evaluations are combined to provide frank and
objective appraisals of the top candidates. We also verify past employment difficulties, if
any, including any legal action filed against former employers.

As part of our evaluation process, we verify undergraduate and graduate college degrees.
We arrange for credit checks, criminal checks, and, as an additional option, can arrange for
psychological (or similar) testing of the candidates that may be desired. As a part of this
project we can provide the results of a Teleometrics Management Style Inventory on the
finalist candidates (these may be extra cost items). We will recommend background
investigation criteria to the City officials which will make the final decision on the specif-
ics of the background check.
6. Interview Process
Based on the preceding steps, a recommended list of semi finalists for the position of
Police Chief will be compiled. We will prepare a written summary on each semi finalist.
The information will cover, but not be limited to, 1) present position, 2) total years
experience, 3) salary requirements, 4) education, 5) previous positions held, 6) notable
projects, 7) management style, 8) skills and abilities, 9) interests, and 10) professional
goals.
This information will be presented to the City officials in a detailed written format
combined with the results of the background investigation and candidate screening. We
typically will make a recommendation on a group of eight (8) to twelve (12) semi finalists.
The City officials shall make the final decision on which and how many candidates will be
interviewed and ultimately recommended for further consideration.
Our report will be presented in a meeting with the City officials in which we will discuss
our recommendations and provide background information, sample questions and a rating
form for the interviews. In particular, we will explain which, if any, of the applicants
specifically meet the total criteria established by the City officials or whether the final
group simply represents the best available talent.

We will also provide the City officials with our recommendations relative to timing,
sequencing, location, setting, format, and conduct of interviews with the finalists. We will
provide information about trends in employment, employment contracts and agreements,
relocation expenses, perquisites, appropriate role for spouses, receptions, etc. We will
arrange schedules for top candidate interviews with the City officials and will coordinate
the process.
7. Assessment Centers
As an added benefit to our client, The Mercer Group, Inc. has entered into an exclusive
strategic alliance with Jack Clancy Associates, the premier provider of assessment center
programs to the public sector. Assessment centers provide a means of gathering relevant
information, under standardized conditions, about an individual's capabilities to perform in
a management position. The assessment center method gives recommended candidates the
opportunity to demonstrate their abilities in a variety of situations which may not be readily
observable in day to day job activities. The assessors who evaluate candidate behavior in
the assessment center process see all individuals from a common frame of reference during
the various assessment activities. Assessment centers help to ensure that the judgments
made about them are relatively free from the many forms of rater bias and can serve as the
basis for accurate predictions of a candidate's managerial potential. A tailored Executive
Assessment Center process will be provided for the further evaluation of recommended

8. Negotiation and Follow-up
We will also assist in the negotiation process relative to salary, benefits and other
conditions of employment. We feel that we can be especially helpful because we have
proposed a fixed fee rather than one based on a percentage of salary. One contingency here
is that an agreement may not be able to be arranged. If that is the case, we will work with
the City officials to select an alternate candidate.
We will properly handle any and all media relations. Unless otherwise directed, it is our
standard practice to tell all media that we are working on behalf of the City of Yakima and
that any public statement should come directly from the appropriate City offices. We will
maintain confidentiality of candidate information, to the degree possible, under Washingon
law.
Finally, we will notify by letter all unsuccessful candidates who were not recommended for
further consideration with the City officials and of the final decision reached. We suggest,
however, that it is more proper for the City officials to play a role in directly notifying all
unsuccessful candidates whom they interviewed of the final result.
Once the new Police Chief has been on board for 30 days or so, if desired we will conduct
a session with the City officials and with the new Police Chief in order to establish mutual
performance criteria and goals for the position. In this regard, we will work with the City
officials to define the role of the new Police Chief within the City of Yakima. We will
follow-up periodically with the City officials and Police Chief during the first year in order
to make any adjustments that may be necessary.

We will keep the City officials closely informed and involved in decisions concerning the
search process at all times. We will prepare and send to the City officials regular updates
and a formal progress report at the mid -point of the search. These reports will contain a
progress report on the recruitment and specific steps to be taken to meet the City's dead-
lines and an itemization of expenses incurred -to -date and expected to be incurred during
each succeeding project step.
Support from the City officials will be needed, as follows:
o Arranging interviews with the designated City officials and key staff
o Providing budget, organization charts and other documents
o Place of contact for the search
o Processing invoices for payment
C. Schedule
The search process normally takes 90-120 days to complete and typically adheres to the pattern
illustrated in Exhibit III. Our proposed schedule of meetings with the City officials is shown in

Expenses are for consultant travel, lodging and per diem, telephone, correspondence, advertising,
research, sourcing, reference and background investigation, report preparation and delivery.
Because of our other ongoing consulting and search work and our experience, expenses should
be kept to a minimum. The cost for final candidates to travel to interview with the City of
Yakima is not included. Such costs are typically paid by the client on a reimbursement basis,
directly to the candidates. These costs are extremely difficult to estimate because they depend on
where the candidates are located. Typically, out-of-state costs run about $750 to $1,000 per
person.
The City of Yakima's liability to The Mercer Group, Inc. for services rendered under this
agreement will not exceed the agreed upon price unless an increase is authorized by the City of
Yakima in writing.

We will submit monthly invoices for fees and expenses. It is our practice to bill one-third at the
start of the search, one-third at the end of 30 days, and one-third upon delivery of the Final
Report. Each invoice is due and payable upon receipt for professional services. Expenses will
be billed in addition and shown as a separate figure. Exhibit V is a pro -forma invoice showing
the level of accounting detail we will provide.
We will comply with all applicable laws, rules and regulations of federal, state and local
government entities.
Our ability to carry out the work required will be heavily dependent upon our past experience in
providing similar services to others, and we expect to continue such work in the future. We will,
to the degree possible, preserve the confidential nature of any information received from you or
developed during the work in accordance with our professional standards.
We assure you that we will devote our best efforts to carrying out the engagement. The results
obtained, our recommendations and any written material provided by us will represent our best
judgment based on the information available to us. Our liability, if any, will not be greater than
the amount paid to us for the services rendered.
This proposal constitutes the agreement between us. It cannot be modified except in writing by
both parties. Our agreement will be interpreted according to the laws of the State of Washington.

A. Firm Qualifications
The Mercer Group, Inc. is an independent management consulting firm incorporated in the State
of Georgia and operating nation-wide. The firm was founded by James L. Mercer, a long-term
public management consultant.
Mr. Mercer started his own firm in 1981 and, in 1984, merged it with another consulting firm,
Wolfe & Associates, Inc. On June 1, 1986, Mr. Mercer acquired the Human Resource and
Organizational Consulting Practice of Wolfe & Associates, Inc. This acquisition formed the

2. Clark Wurzberger, Senior Vice President - California Office
Mr. Wurzberger manages our California office and has over twenty-six years of diverse
public sector experience. He established The Mercer Group's California office nine years
ago. Previous to that, he served for seven years as Senior Associate with a highly regarded
California-based public sector management consulting firm and before that served as Vice
President in the San Francisco office of Boyden International, one of the country's top ten
executive search firms. Mr. Wurzberger also has served as District Representative for a
California State Assemblyman in Los Angeles County, Legislative Assistant for the
California Manufacturers Association in Sacramento and Legislative Management Officer
representing two federal agencies, the U.S. Agency for International Development and
U.S. Department of State in Washington, D.C. Subsequently, Mr. Wurzberger was
appointed as a senior level personnel manager in the State Department and later moved to
the Department of Defense in the same function where he was selected as a Member of
the U.S. Senior Executive Service and oversaw civilian personnel matters in the Pentagon
on behalf of the Secretary of Defense. Upon his departure from the Pentagon, he was
awarded the Department of Defense Medal for Distinguished Public Service by the
Secretary of Defense. Mr. Wurzberger specializes in public sector executive search and
holds a Bachelor's Degree in English from San Diego State University. Mr. Wurzberger
previously served for five years on the Board of Directors of the Cow Palace in the City
and County of San Francisco, a large agricultural and entertainment facility that hosts
national and regional public events on behalf of the State of California. He has served as
a volunteer member of the Placer County Sheriffs Search and Rescue Team for the
previous five years and has also served as a local Board Member for the U.S. Selective
Service System since 1993.

3. Gary Suiter, Senior Vice President — Colorado Office
Mr. Suiter has had a distinguished public sector career of over thirty years, serving in
chief executive positions of several local governments in Colorado, which included city,
county, airport and emergency preparedness management positions in rural, urban and
resort communities. Since starting his own consulting firm in 2002, he has assisted many
municipalities and organizations throughout the West with executive recruitment,
strategic planning, group retreats, major land use applications, annexations, organizational
analysis and performance management. He has recently affiliated with The Mercer Group
and is conducting executive searches for local governments in the western United States.
Mr. Suiter is a graduate of the University of Colorado with both a Bachelor of Arts degree
in Urban Geography and a Master of Public Administration. He is recognized as a leader
in the local government management profession and has served as President of the Board
of the Colorado City and County Management Association. Some of Mr. Suiter's

For more than thirty years, Jack Clancy has specialized in designing and conducting
assessment procedures for the public sector. His experience has been in the area of
personnel assessment and development for professional -level and general
supervisory/management positions. Specialty practice areas include job analysis,
assessment centers, executive selection, validation research and management coaching.
Mr. Clancy has an M.S. in Industrial/Organizational Psychology and designed his first
assessment center in 1972. Since then he has developed well over 300 assessment centers
and presented many training courses in this area. Mr. Clancy is one of the founding
members and Past President of the Personnel Testing Council of Northern California. He
is a member of the American Psychological Association, the International Public
Management Association for Human Resources (IPMA-HR) and the International Public
Management Assessment Council (IPMAAC). He was also a member of the international
task force that drafted the 1989 Guidelines and Ethical Considerations for Assessment
Center Operations. Mr. Clancy has lectured widely on topics related to personnel
selection and public safety assessment centers at such professional gatherings as the
International Congress on the Assessment Center Method; the International Association
of Chiefs of Police Assessment Center Conference; the International Public Management

5. Matthew Gruver — Principal, Jack Clancy Associates
Matt Gruver specializes in the development and administration of public sector
selection and leadership development programs. Over the past 15 years, Mr. Gruver
has designed and developed performance tests and assessment centers for the full
range of supervisory and management positions within the public safety field. He was
closely involved in the U.S. Transportation Security Administration's (TSA) efforts
to federalize and staff the nation's airports and arm commercial pilots as part of the
Federal Flight Deck Officer program following the tragic events of 9/11. He is
considered an expert in the fields of public safety assessment and selection and was the
primary architect of the TSA's assessment interviews for Law Enforcement and
Supervisory Law Enforcement Officers.
Prior to joining Jack Clancy Associates, Mr. Gruver was the Senior Manager of testing
and assessment services for CPS Human Resource Services in Sacramento, California.
Mr. Gruver is a frequent presenter at regional and national conferences on issues related
to selection and assessment and is active in the International Association of Chiefs of
Police (IACP), International Association of Fire Chiefs (IAFC), International Association
for Human Resources (IPMA-HR), the International Congress on the Assessment Center
Method and the International Public Management Association Assessment Council
(IPMAAC). He holds an M.A. degree in Industrial/Organizational Psychology from
California State University, Sacramento.

6. Michael B. Kime — Technical Advisor
Michael Kime has served as Chief of Police of the Madera Police Department in California
(Pop. 60,000) for the past nine years. The agency has 85 employees, Volunteers and
Explorers, 61 sworn. The agency encompasses 15 square miles with an operating budget of
$7 million. The Department is comprised of several divisions: Administration, Operations,
Investigations, Technical Services and Animal Control. Before his appointment as Chief of
Police in Madera, Mr. Kime served for seventeen years with the Sacramento Police
Department, an agency with 1,200 employees, 750 sworn, that serves a population of
425,000 residents, encompassing 100 square miles with an operating budget of $75 million.
His assignments included Supervising Manager, Office of Operations, Watch Commander,
Office of Operations, Manager of the Joseph E. Rooney Police Facility and Chief of Police
for the Grant Joint Union School District Police, among other management and supervisory
assignments. Chief Kime has an A.S. in Police Science from Sacramento City College and a
B.A. in Criminal Justice from California State University, Sacramento. He is a graduate of
the FBI National Academy and holds the California POST Basic, Intermediate, Advanced,
Supervisory, Management and Executive Certifications.

determination of dimensions that are important in a Police Chief's position and
then, through a computer program, determine specific questions that we should
ask prospective candidates that will allow us to systematically determine
whether or not those individuals have those characteristics. (For example, one

• Dimensions Matrix - We also use a matrix approach to display the candidates

GUARANTEES
VII. THE MERCER GROUP, INC. GUARANTEES
The ten (10) guarantees of our search work are explained below:
1. Client Organization: The client is defined as the entire entity, including all
departments, divisions, sections and groups. This assures that all of our
guarantees apply to the entire client organization.
2. Two -Year Off Limits: We will not recruit candidates from a client organization
for two years after completion of a search assignment without the full agreement
of the client.
3. Placement Off Limits Forever: We will never recruit a candidate whom we
have placed in a client organization as long as he/she is employed by that
organization without the full agreement of the client.
4. Continue the Search: If, for any reason, the client does not feel comfortable
selecting a candidate from our original recommended group of candidates, we will
continue the search until the client can make a selection. The only caveat is that
we may need to charge additional out-of-pocket expenses only for this additional
work.
5. Replacement of Successful Candidate: If the candidate we place with the client
leaves the client organization for any reason during the 24 month period following
the date of placement with the client, we will replace the candidate for the out-of-
pocket expenses only that it costs us to make the new placement.
6. Parallel Candidate Presentation: We will not present a candidate simulta-
neously to more than one client. This permits our firm to represent one client
organization without any conflicts of interest.

1 7. Client Conflicts: If asked, we will disclose to our clients the names of the
organizations which are "Off Limits" that logically would be target organizations

considered as deceptive or misleading.

AGREEMENT
This AGREEMENT, made as of this _ day of , 2011, by and between THE
MERCER GROUP, INC. and the CITY OF YAKIMA, WASHINGTON, a municipal
corporation.
WITNESSETH:
WHEREAS, the City of Yakima, Washington, (hereinafter referred to as the "City") has
made a request for proposals dated February 16, 2011, to hire an executive recruiter to conduct
a search for a Police Chief for the City, and
WHEREAS, The Mercer Group, Inc. (hereinafter referred to as "Mercer") has submitted
a proposal in response to the City's request; and
WHEREAS, the City has selected Mercer's proposal as the proposal which best meets
its needs and the City desires to hire Mercer to conduct the City's search for a new Police
Chief, and
WHEREAS, Mercer desires to assist the City in conducting the City's search for a
Police Chief,
NOW THEREFORE, in consideration of the following mutual covenants and other
good and valuable consideration, the receipt and adequacy of which is hereby acknowledged by
all parties hereto, Mercer and the City hereby agree as follows:
1. Mercer agrees to provide services and support to the City in the conduct of the
City's search for a Police Chief. Mercer agrees to conduct the City's project in
accordance with scope of services outlined in its Proposal to the City dated February
28, 2011 in response to the City's request for proposal.
Mercer's proposal is incorporated by reference and thus made a part of this
Agreement.
2. The City agrees to compensate Mercer for its services in the amount of $21,500 for
professional services and an amount not -to -exceed $9,000 in expenses as outlined
on pages 19-22 of Mercer's proposal to the City.

3. The City and Mercer both agree that this Agreement shall be governed by the
laws of the State of Washington.
4. The City and Mercer both agree that in the event that any dispute arises between
the parties, the complaining party shall promptly notify the other of the dispute
in writing. Each party shall respond to the other party in writing within ten (10)
working days of receipt of such notice.
5. The City and Mercer both agree that any amendments to this Agreement shall be
made in writing, and executed by both parties. No proposed amendment which
is not in writing and executed by both parties shall effect the terms of this
Agreement.
6. The parties shall have the right at either parties' convenience to terminate this
Agreement following ten (10) days written notice to the affected party. Should
either party terminate this Agreement the City shall only be obligated to pay
Mercer for those services already provided.

1. Why should a public sector organization utilize an executive recruiter?
We have the experience, time and a vast array of national contacts in public agencies.
This will save your organization time and money in filling key positions with candidates
of exceptional quality.
1 The trend is that more and more public agencies, both large and small, are turning to
executive search firms to recruit key executives and managers who may be happy and
successful elsewhere. This trend has developed because of the complexity and time
consuming nature of locating and selecting high quality persons for public sector
organizations and by the tremendous success of specialty firms such as ours in meeting
client needs quickly and efficiently.
2. How is an executive search conducted?
Our methods have been successfully tested over a number of years. We normally meet
with the key clients and appointed officials who engage us in order to determine the
1 selection criteria for the position. These criteria usually include education and
professional development, related experience, management style and abilities, and
personal characteristics. We then seek out exceptionally well-qualified individuals and
1 invite them to become candidates. We screen candidates against the selection criteria and
thoroughly evaluate the background of the most promising candidates. We submit to you
a detailed report on the top five or so candidates who best meet the criteria.
We arrange interviews of the candidates with you, attend the interviews ourselves,

negotiate with selected finalists if you wish, and notify remaining applicants of your
' decision. Throughout the process, we acknowledge all applicants and keep you informed
of progress. We will also conduct a goal and objective -setting session with you and the

key executive to fully establish him/her within the organization. Where possible, we
maintain confidentiality of all information in accordance with our professional standards.
3. When can results be expected?
A national search process normally takes 90 days from agreement to submission of the
' final report. Interviews can be conducted immediately after the report is submitted and
negotiations with the selected candidate can be concluded shortly thereafter. More
limited searches can usually be completed more quickly.

4. What are the chances of success?
We have an outstanding success rate on all of our executive search assignments and will
be pleased to offer numerous references as tributes to our work.

5. What will the electorate think?
' They are concerned with excellent quality and timeliness of service and with cost
efficiency. Our process assures you that these constituent objectives are being met most
effectively.
6. What is the role of the client?
' The client is the key decision -maker. We will not usurp the client's authority relative to
the process and the key decisions. We work closely with our client to assure that final
results are highly acceptable.
' 7. What does it cost?
' We charge a fixed professional service fee that does not depend upon salary paid. Our
consulting expenses are in addition to the professional service fee. Our fees vary
according to local circumstances.
' 8. What other services are provided?
If, for some reasons, the selected candidate leaves within the first two years, we
guarantee that we will conduct a replacement search for expenses only. In addition, we
guarantee that we will not attempt to recruit any of the client's key people for other
positions for a period of two years from the completion of the search.

The Tracy Fire Department provides Fire Services
to the jurisdictional area of the South County Fire
Authority (SCFA). The City of Tracy and the Tracy
Rural Fire District (TRFD) comprise the two member
agencies of the South County Fire Authority,
organized under a Joint Powers Agreement (JPA).
A third entity, the Mountain House Community
Services District (MHCSD) contracts for fire services
with the Tracy Rural Fire District. All employees of the
Fire Department are employees of the City of Tracy.
The jurisdictional area of the SCFA is approximately
170 square miles, serving a population of
approximately 100,000 residents. The Fire
Department operates seven (7) Engine Companies
and one (1) Truck Company out of seven (7) Fire
Stations.There are three (3) fire stations within the
corporate limits of the City of Tracy, three (3) fire
stations within the boundaries of the Tracy Rural Fire
District and one (1) fire station serving the Mountain
House Community Services District. The Tracy Fire
Department Administration operates out of an
additional city -owned facility.

personnel. In an effort to control expenditures
during Fiscal Year 2009/2010, TRFD is variably staffing
their stations to fill vacancies. When this variable
staffing occurs, the unit is reduced from three (3)
persons to two (2) persons. Variably staffing TRFD
stations will assist them in keeping expenditures in-
line with revenues for the current fiscal year.
The Fire Department is a non -transport advanced
life support (ALS) provider. The Department staffs six
(6) of its eight (8) units with a licensed Paramedic.
Staffing for each unit is a Fire Captain, Fire Engineer
and a Firefighter (BLS) or Firefighter/Paramedic
(ALS). The Tracy Fire Department is organized as

The Fire Department operates on a three (3)
platoon system; A, B & C Shills. The shill schedule
is referred to as 48/96, resulting in two consecutive
work days followed by four consecutive days off.
Each shift is supervised by a Fire Division Chief. The
Division Chiefs work a 40 hour work week in addition
to assigned shill supervision on the 48/96 schedule.
As the Department Head, the Fire Chief manages
the entire organization with direct supervision
of the Department's Division Chiefs. The current
staffing levels include 78 total personnel. Tracy's
City Manager serves as Executive Director of the
JPA and the Fire Chief of the Tracy Fire Department
serves as the Fire Chief for the City of Tracy, the
Rural District and the JPA. The Fire Chief reports
directly to the Assistant City Manager, who serves
as Chief Operating Officer (COO).
Each agency within the SCFA determines the level
of service to provide to their respective geographic
area of responsibility. At present, each unit in the
Tracy Fire Department is staffed with three (3)
personnel with the exception of TRFD

to approximately 7,000 fire/life safety incidents.
Calls are dispatched from a "dedicated fire only"
center at the Stockton Fire Department. Tracy Fire
runs automatic aid with the area Fire Departments
of Manteca FD, Manteca -Lathrop FD, Cal Fire
(California Department of Forestry), Alameda
County FD, Stanislaus County FD, Tracy Defense
needed in its rural areas, the new Chief should
possess expertise in mutual aid response. Other
challenges the new Chief will have the opportunity
to address at the Tracy Fire Department are:
• Construction and strategic relocation of two
fire stations where the site, location and associated
costs and benefits are currently under discussion
• Continuation of the streamlining process of the
Bureau of Fire Prevention workload to Department
of Engineering Services
• Implementation and coordination of the EMS
Membership Program
• Continuation with Standards of Cover
recommendation implementation
• Assessment of the Department's HazMat
applications, now and into the future
• Governance structure to ensure effective
communication, policy and operational direction

Tracy is seeking a proven, well-rounded and
progressive fire services manager who will bring
a fresh perspective to a quality Department
that wishes to build upon its strengths. While the
new Chief's primary focus will be to continue
to ensure that the Department provides high
levels of service to the South County Authority's
residents and businesses, he/she must also bring
to the position a collaborative, team -oriented
management style. The Fire Chief serves as an
important senior member of the City's Executive
Leadership Team and will be expected to
actively participate in improving and shaping
a progressive organization. Candidates may
qualify with a combination of education, training
and experience with at least three years of
full-time employment in a fire department in
a management or administrative capacity
equivalent to the Battalion
chief rank or higher. The

ITEM TITLE: A Resolution authorizing the City Manager to execute an agreement with Mercer
Group, Inc. to provide recruitment services for the position of Chief of Police.

SUMMARY EXPLANATION:
On February 6, 2011, the Office of the City Manager invited seven executive recruitment firms to
.submit statements of qualifications for review and consideration of a contract to recruit the next
Chief of Police for the City of Yakima. Upon review of the statements of qualifications, staff
recommends selection of The Mercer Group, Inc. for this contract. The fees for this service are
$21,000 base fee, plus expenses capped at $9,000. The funding source for the contract will
come from salary savings in the Police Administration budget.
Chief of Police is a critical hire for a city, and will be the first high level appointment made by the
next city manager. The recruitment and selection process is expected to take from 4 to 6
months, so approval of this contract will allow the process to be well underway by the time the
next city manager takes office.
