R-97-15 7 A RESOLUTION authorizing the City Manager and City Clerk of the City of Yakima to execute an Amendment to Yakima Transportation Selah Line Compromise Purchase and Sale Agreement. WHEREAS, the City of Yakima owns the Yakima Valley Transportation electric railroad system and has contracted for trolley operations with the Yakima Interurban Lines Association, and WHEREAS, on July. 21, 1993, the City of Yakima, the Yakima Interurban Lines Association (YILA), and the City of Selah entered into an Agreement, recorded under Yakima County Auditor's File No. 3010370, relating in part to the relocation of the YILA railroad track adjacent to the western side of South First Street in the City of Selah, and WHEREAS, as part of the Department of Transportation's development of a new access route for ingress and egress to the City of Selah, the City of Yakima and the City of Selah have agreed that retention of a functional passing siding in the immediate vicinity of Southern Avenue is no longer necessary; now, therefore, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA: The City Manager and the City Clerk of the City of Yakima are hereby authorized and directed to execute the attached and incorporated "Amendment to Yakima Transportation Selah Line Compromise Purchase and Sale Agreement." ATTEST: cmc City Clerk (Ikire M7 amendment/rip • • AMENDMENT TO YAKIMA TRANSPORTATION SELAH LINE COMPROMISE PURCHASE AND SALE AGREEMENT WHEREAS, on July 21, 1993, the City of Yakima, the Yakima Interurban Lines Association (YILA), and the City of Selah entered into an agreement, recorded under Yakima County Auditor's File No. 3010370, relating in part to the relocation of the YILA railroad track adjacent to the western side of South First Street in the City of Selah, and WHEREAS, as part of the Department of Transportation's development of a new access route for ingress and egress to the City of Selah, certain covenants contained in the above -referenced July 21, 1993 agreement are no longer necessary or applicable. Therefore, the parties hereto are in agreement that the following language contained in the July 21, 1993 agreement shall be deleted from the agreement and shall have no further force and effect. The language to be deleted is contained on page 3, paragraph 6 of the above reference agreement and reads as follows: For purposes of this project and as part of the track relocation process, Selah shall retain a functional passing siding in the immediate vicinity of Southern Avenue in accordance with the directions and specifications provided by Yakima All other terms and conditions of the July 21, 1993 agreement referenced above shall remain in full force and effect. Paolella/575-6030 SUMMARY EXPLANATION: In meetings held earlier this year between various entities including the City of Selah, the City of Yakima, and the Washington State Department of Transportation regarding the construction of new state highway facilities near Selah, it was agreed that the functional passing siding for the Yakima Valley Transportation electric railroad system should be relocated from Southern Avenue in the City of Selah to South of the Naches River. The attached contract Amendment reflects that this modification has been made as a result of the Washington State Department of Transportation highway construction project.
