R-98-4 0 A RESOLUTION authorizing execution of a contract with Golder Associates Inc., Consulting Engineers, for engineering services related to an evaluation of the possibility of developing a new groundwater source to provide either emergency (back-up) or supplemental source of water. WHEREAS, the City of Yakima has need for consulting services related to developing a new groundwater source; and WHEREAS, the City does not possess adequate in-house staff, nor the time to perform the necessary work involved in these evaluations; and WHEREAS, the City of Yakima has complied with the provisions of RCW 39.80 which concerns the procurement of engineering and architectural services by a city; and WHEREAS, the City Council deems it to be in the best interest of the City to contract with Golder Associates Inc., Consulting Engineers for the engineering services related to developing a new groundwater source, now, therefore, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA: The City Manager, City Clerk, and the Assistant City Manager are hereby authorized and directed to execute the attached and incorporated "Consulting Agreement" together with its attachments. ATTEST: Karen Roberts, City Clerk John Puccinelli, Mayor • AGREEMENT This Agreement, made and entered into this 2nd day of March , 1998 , by and between the City of Yakima, Washington, hereinafter called the "CITY", and Golder Associates Inc., Consulting Engineers, hereinafter called "ENGINEER", is for the provision by the Engineer to the City, professional services in support of the City's efforts to construct a new water supply well. In consideration of the covenants and agreements contained herein, and the terms and conditions hereof, the parties agree as follows: 1. SERVICES Engineer shall provide the City, professional consulting engineering services through a series of task orders as provided in Section 2, below. The professional services to which the parties may agree by task orders may include, but are not limited to those listed in Exhibit A, attached hereto and by this reference incorporated herein. 2. TASK ORDERS Prior to commencement of any services, the City and Engineer shall mutually agree upon and execute a task order for the specified services. The task order shall describe the services to be provided, the time for performance of the service, the provisions for fees for the services, and any provisions additional to this agreement. Execution of this Agreement and Task Order No., 1 by the Ciy and the Engineer authorizes the Engineer to proceed with the services described in Task Order No., 1. Execution of each subsequent task order shall incorporate each subsequent task order into this agreement. The execution of this agreement does not obligate either of the parties hereto to provide or accept any services unless and until the parties have mutually agreed upon and executed a specific task order for such services. 3. TIME PERIOD FOR PERFORMANCE OF SERVICES The Engineer shall commence such services as are described on executed task orders in accordance with the time schedule set forth therein, and shall proceed with the provision of such services in a diligent manner. The Engineer shall not be responsible for delays caused by factors beyond the Engineer's control or which could not reasonably have been foreseen by the parties at the time the task order was executed. The anticipated schedule for the project is shown as Exhibit B. 4. PAYMENT TO ENGINEER A. Fees for Services. For each specified task order executed by the parties, the payment to be made to the Engineer for services performed shall be either (1) a fixed fee amount, or (2) pay the Engineer utilizing the hourly rate and expense schedule, "Fee Schedule", attached hereto as Exhibit C and by this reference incorporated herein. Said fee Schedule is subject to revision by the Engineer not sooner than one year after the execution of this agreement, and no more that once each year thereafter. Under the fee schedule method, the parties shall agree on an amount which represents the maximum fee to which Engineer shall be entitled under that task order. That amount shall represent the best estimate of the parties of the maximum cost of the Engineer's services specified in that task order. In the event the cost of services will exceed that estimate, the Engineer shall advise the City in advance, and in writing of such excess costs and shall provide no services in excess of the original estimated costs, without written approval of the City. B. Estimated Fees. The estimated fees for anticipated task orders are shown in Exhibit A. WTRJIRRG96 C. Renegotiation of Fees. The Engineer reserves the right to renegotiate the fee or estimate of fee specified in any task order if the scope of services as specified in the task order is modified by the City or by others or by conditions beyond the control of the parties hereto, whereupon additional expenses shall be incurred by the Engineer. The City and the Engineer shall agree to such a change in fee and services in writing prior to the Engineer's provision of such modified or changed services. D. Time of Payments. Engineer shall periodically submit invoices for the un -billed portion of the services completed to that date. City agrees to pay the invoiced amounts within 30 days from the date of receipt of the invoice. The invoice format and complete billing instructions are contained in Exhibit D which are incorporated and made a part of this agreement. City agrees to pay Engineer a late charge of 1.5 percent per month or the maximum amount allowed by taw, if less, on all amounts remaining unpaid, starting 45 days following the invoice date. City agrees to assess and pay the late charge without further invoicing from Engineer. In the event City questions some element of an invoice, that fact shall be made known to the Engineer immediately. Engineer will assist effect resolution and transmit a revised invoice as necessary. Amounts not questioned by City shall be promptly paid to Engineer in accordance with the above payment procedures. E. Payment in the Event of Termination. In the event of termination of this Agreement, Engineer shall be compensated for services performed under this Agreement to the date of termination in accordance with the terms above. F. Permits and Advertising. City shall pay all regulatory permitting and advertising fees and all other project fees normally paid by the City for public works projects. 5. STANDARD OF PERFORMANCE Engineer shall perform his services in accordance with generally accepted engineering and consulting standards and shall be responsible for the technical soundness and accuracy of all work and services fumished pursuant to this Agreement. The work to be performed under this agreement for professional services shall be done under the direct supervision of David Banton who will serve as Project Manager. It is agreed that other staff members may perform tasks under Mr. Banton's direction. However, should Mr. Banton be unavailable to serve as Project Manager, this agreement will be subject immediate termination. 6. TERMINATION Either party may terminate this Agreement at any time upon 30 days written notice to the other party. 7. OPINIONS OF COST Engineer has no control over the cost of labor, materials, equipment, or services (provided by parties other than Engineer and its subcontractors. Engineer has no control over contractor's methods of determining prices, or other competitive bidding conditions or market conditions, and its opinions of probable project or construction costs are to be made on the basis of its experience with the construction industry. However, Engineer cannot and does not guarantee that proposals, bids, or actual project or construction costs will not vary from the opinions of probable costs prepared by the Engineer: 8. CONSTRUCTION AND SAFETY Engineer shall not be responsible for the means, methods, techniques, sequences, or procedures of construction selected by contractors or the safety precautions and programs and programs incident to the work of contractors. WTR/IRRG96 • • • 9. OWNERSHIP OF DOCUMENTS The originals of all documents, including drawings and specifications, prepared by the Engineer shall remain the property of the Engineer. The Engineer shall provide the City with 'reproducible and/or non -reproducible copies of the documents, drawings, and specifications, and other work 'products as specified in each task order. It may further be required that the engineer provided additional copies on computer media of all documents, drawings, and specifications, and other work products as specified in each task order. Such documents, drawings, and specifications are not intended or represented by the Engineer to be suitable. for reuse by the City or others on extensions of the services provided for the intended project or on any other project. Any reuse without the written verification or adaptation by the Engineer will be at the City's sole risk and without liability or exposure to the Engineer, and the City shall indeinnify and hold harmless the Engineer from all loses, claims, damages, and expenses, including attorney's fees arising out of or resulting therefrom. Any such verifications or adaptations by the Engineer will entitle the Engineer to further compensation at rates agreed to by the parties. Engineer shall provide a reproducible copy of the final record drawings showing the construction project measurements when authorized to do so by task order. 10. DESIGN INTENT Engineer shall prepare design documents, drawings, and specifications with the understanding that he may be observing the quality and progress of resulting construction, for compliance with the intent design, and furthermore that such observation of any construction will be compensated by the City at the rates agreed upon by the parties hereto. 11. INDEMNITY The Engineer shall defend, indemnify, and hold harmless City from any and all claims or liabilities, including reasonable attomeys fees, arising out of Engineer's negligent performance of this Agreement. Engineer shall comply with all federal government, state and local laws and ordinances applicable to the work to be performed under this Agreement. Prior to beginning work under this Agreement, Engineer shall provide "Certificates of Insurance" as evidence that polices providing the following coverage and limits of insurance are in full force and effect. A. General Comprehensive Liability With respect to liability for injuries to or death of persons and with respect to liability for destruction of or damages to property, the insurance coverage shall be $500,000 combined single limit and such .coverage shall include the special provisions listed below: 1. The City, its officers, employees, and agents shall be named as an additional insured and the coverage shall be applicable to and protect the City, its officers, employees, and agents from liability arising from or relating to Engineer's activities relating to this Agreement. Such insurance shall be primary and other insurance maintained or carried by the City shall be separate and distinct and shall nor be contributing with the insurance listed hereunder. 2. Such insurance shall not include explosion, collapse, or underground exclusions commonly referred to as the "XCU"hazards. B. Automobile Comprehensive Liability WTRIIRRG96 With respect to liability for injury to or death of persons and with respect to liability for destruction of or damage to property, the City, its officers, employees, and agents shall be named as additional insured and the insurance coverage shall be $500,000 combined single limit. Such insurance shall be primary and other insurance maintained or carried by the City shall be separate and distinct and shall not be contributing with the insurance listed hereunder. Failure of either or all of the named insured to report a claim under such insurance shall not prejudice the rights of the City, its officers, employees, and agents thereunder. The City, its officers, employees, and agents will have no obligation for the payment of premiums because of its being named as additional insured under such insurance. Prior to beginning work for property acquisition, development of contract plans and specifications, and construction management, the Engineer or its subcontractors shall provide evidence of errors and omissions coverage for a minimum'of $250,000. City shall defend, indemnify and hold Engineer harmless from all claims or liabilities, including attorney's fees, arising out of City's negligent acts. 12. ATTORNEY'S FEES In the event suit or legal action is instituted to enforce any of the terms or conditions of this Agreement, venue shall be in Superior Court for Yakima County. The losing party shall pay to the prevailing party, in'addition to the costs and disbursements allowed by statute, such sum as the court may judge reasonable as attorney's fees in such suit or action, in both trial and appellate courts. 13. ADDITIONAL SERVICES At the City's option and direction, Engineer shall provide additional engineering, observation, and/or planning services as authorized by mutually agreed task orders. 14. INDEPENDENT CONTRACTOR The parties intend that Consultant at all times be an independent contractor and not an employee of the City, and shall not be entitled to compensation or benefit of any kind except as specifically provided for herein. 15. GOVERNING LAWS This Agreement is govemed by the laws of the State of Washington. 16. COMPLETE AGREEMENT This agreement and referenced attachments contains the complete and integrated understanding and agreement between the parties and supersedes any understanding, agreement or negotiation whether oral or written not set forth herein. Amendments, changes, or modifications hereto shall not be valid unless in writing and duly executed by both parties. 17. NO THIRD PARTY BENEFICIARIES OTHER THAN THE STATE OF WASHINGTON The agreement gives no rights to anyone other than the City , Engineer, and the State of Washington, and has no other third -party beneficiaries. 18. ASSIGNMENT Neither party to this Agreement shall- assign the Agreement, nor any interest arising herein, without the written consent of the other. The Engineer, with the City's consent, shall be authorized to employ or subcontract with any other party or entity it deems necessary for the performance of any of the services to be provided by the Engineer pursuant to the terms of this Agreement. SEVERABILITY OF AGREEMENT In the event any of the terms or clauses of this Agreement is held to be illegal or unenforceable by any court or arbitrator, the remaining clauses and terms shall continue in full force and effect and shall be enforceable. 20. MINORITY- AND WOMAN -OWNED BUSINESS; CITY -SPECIFIED SUBCONTRACTORS Engineer will comply with the City's directives in utilizing the services' of City -specified subcontractors and/or minority and women -owned businesses on the Project. The firm selected by Engineer to meet said directives will be subject to approval by the City. Engineer's liability arising from the work of said subcontractors or businesses is limited to proceeds available from their insurance. 21. STANDARD OF CARE Engineer shall exercise the same degree of care, skill, and diligence in the performance of the services as is ordinarily possessed and exercised by a professional engineer under similar circumstances. No other warranty; express or implied, is included in this 'Agreement or in any drawing, specification, report, or opinion produced pursuant to this Agreement. 22. LIMITATIONS To the fullest extent permitted by law, Engineer shall not be liable to City for any special, indirect, or consequential damages resulting in any way from the performance of the services stipulated herein. To the fullest extent permitted by law, Engineer's total liability to City for all claims, losses, damages, and expenses resulting in any way from the performance of the services shall not exceed the total compensation received by Engineer under this Agreement. City of Yakima By: Glenn Rice, Assistant City Manager Date Engineer By: Date EXHIBIT B SCOPE OF WORK FOR CITY OF YAKIMA NEW WELL Purpose The City of Yakima would like to evaluate the possibility of developing a new groundwater source to provide either an emergency (back-up) or supplemental source of water. A minimum well capacity of 2,000 to 2,500 gpm is required, with the new well drilled and pump tested by fall of 1,998. The work to be carried out under this scope of work is an initial evaluation of the potential to develop a new well. Should the initial evaluation be favorable in terms of groundwater supply potential, then additional work will be performed consisting of the preparation of drilling and testing specifications, observation of drilling and testing of a new well and reporting of project activities. Scope of Work The following tasks will be carried out by the Consultant as part of this work. Each task or subtask shall be authorized by the City prior to the Consultant commencing work. • Task 1 - Review of Existing Information and Preparation of Recommendations for Well Location and Design. • Task 2 — Preparation of Well Construction Specifications • Task 3 — Observation of Well Drilling, and Pump Testing. • Task 4 — Analysis and Reporting • Task 5 - Project Management. Task 1 - Review and Evaluation of Existing Data and Recommendations for Drilling Objectives: • To develop an understanding of the hydrogeotogy and subsurface conditions in the vicinity of the northeast area of Yakima, and identify the potential todevelopthe required groundwater supply; • To undertake a contaminant source inventory and identify potential sources of contamination; and • To determine the most appropriate location(s) for a production well to evaluate the groundwater supply potential. Approach: The approach will be to review, and evaluate all pertinent existing data and records related to the local hydrogeotogical conditions. This will include well logs, drilling reports, hydrogeologic investigations, and other relevant studies. We will sub -contract with a WTR/IRRG96 • • specialized firm to complete a contaminant source inventory of the local area. The inventory will identify possible CERCLA and state clean-up sites and underground storage tank location. We will contact the Department of Ecology and other local groundwater users regarding groundwater supply problems. We will review and evaluate existing well logs collected from the State of. Washington Department of Ecology, relevant reports, maps and water quality data covering the local vicinity to determine the geologic conditions, extent and nature of potential aquifers, groundw3ter flow directions, well yields, and groundwater quality. Land parcels owned by the City of Yakima will be evaluated to determine which areas show the greatest potential for groundwater supply development. Product: • A letter summarizing the hydrogeologic conditions, and potential well yields, identification of potential sources of contamination and including recommendation for well location and construction. The cost of a new well will be estimated. Cost Assumptions: • • The City shall provide the Consultant with available reports regarding groundwater contamination investigations in the vicinity of the City. Task 2 — Preparation of Specifications for Well Drilling and Pump Testing Objectives: • To prepare specifications for drilling and testing; and • To provide assistance to the City in the evaluation of bids and selection of contractor. Approach: The Consultant will prepare well construction and testing specifications according to standard practices. The specifications will be provided to the City for review. The Consultant will revise the specifications based upon the City's review. The City will then be responsible for preparing a bid package including contract documents. The City shall request bids. rhe Consultant shall assist the City in the review of the bids and recommend a Contractor to perform the work. Product(s): • Well construction and pump testing specifications; and • Letter covering bid evaluation and recommendation of contractor. Cost Assumptions: • The City will prepare contract documents and request bids for the well drilling. WTR/IRRG96 Task 3.- Observation of Drilling and Pump Testing Objectives: • To drill, install, and pump test one production well to be used as a back-up water -supply source; and • To evaluate aquifer potential and groundwater quality. Approach: Golder shall provide a hydrogeologist to monitor and direct the drilling and testing of the well. The hydrogeologist will describe the soil samples during drilling, prepare a geologic log for the borehole, evaluate drilling progress and groundwater supply potential of aquifers encountered, collect water and soil samples for analysis, determine the depth of the borehole, and determine the well completion. Upon completion of drilling, the Golder shall oversee well completion and pump testing. The well will be step -tested to determine well performance. A constant -rate test (of up to three days in duration) shall then be performed to determine aquifer characteristics and long-term well yieid. The actual test duration shall be determined by the Consultant as the test proceeds based on the data collected. Water levels shall be monitored in the well and in close -by observation well(s) and domestic wells where access is available to determine the impact of pumping on local wells, and to determine aquifer properties distant from the well site. Two water samples will be taken during the pump test; one after the first few hours of pumping and the second at the end of the test. Each sample will be analyzed for those parameters required by • the State of Washington Department of Health. Measurements of conductivity, pH and water temperature will also be taken during the test. Cost Assumptions: • On-site supervision assumes 15 days; • Grain size analyses will be run on six samples; • Water levels shall be monitored in two other wells during the pump test in addition to the new well. Electronic transducers will be used for data collection; • The City shall provide survey services for wellhead elevations; and • The City shall be responsible for water quality analyses. Task 4 — Analysis and Reporting Objective: • To determine aquifer properties and water quality; • To determine the long-term yield of the well; and • To determine the possible wellhead protection area for the well. Data from the pump test will be analyzed to determine well performance and aquifer properties. The data will be corrected if affected by recharge, barometric or earth tide -effects to develop WTR)IRRG96 • • • • true drawdown data. The data will be analyzed using well hydraulics techniques to determine aquifer transmissivity, storativity, leakage and boundaries. A memorandum will be prepared for the installation and testing of the back-up well. The memorandum will include a well log, grain -size information;. water quality data, pump test data and interpretation, well yield and impact on other close -by wells. A preliminary assessment of the potential wellhead protection area will be conducted. Products: • Five copies of a memorandum discussing the well drilling and pump testing work. The memorandum shall include an assessment of the hydrogeologic characteristics based on the pump test including, aquifer parameters, water quality analysis, and potential interference effects with other wells. Recommendations will be provided regarding the long term yield of the well and pumping water level. Likely wellhead protection area will be identified. Cost Assumptions: • Wellhead area delineation will be based upon the hydrogeologic characterization. Modeling will not be performed. Objectives: Task 5 - Proiect Manaciement • To provide the City with update of work progress and to gain input from the City to critical stages in project development and construction. • To ensure that the project tasks are completed in a timely and efficient manner. • To provide monthly billing and status reports to the City regarding budget and work progress. Approach: The Consultant shall attend meetings as required by the City to plan the development of the project and to present the results of work carried out. These meetings shall be held at the City's offices. Where necessary, meeting will also be held with construction contractors. The Consultant shall provide monthly billings for the City. accompanied by a brief status report which documents progress, costs, schedule, and unanticipated project developments and future costs. Products: • Golder attendance at two meetings; and • Monthly billing and status reports. WTR/IRRG96 EXHIBIT C FEE SCHEDULE Fees for services estimated in the proceeding tasks, are based on the rate schedule set forth below. Rates shown include salary costs, overhead costs, profit. All rates shown are on a per hour basis. This work will be performed within the BPA contracting period (August 2003 to June 2004), and will involve implementation of the activities prescribed for Phase 2 of the project: Master Plan Implementation Phase. It is anticipated that this new scope of work and corresponding budget would be an amendment to our current contract. This amendment would be completed under existing terms and conditions between the City of Yakima and Golder Associates Inc., Task Order No. 7 of City Contract No. 98-34 (signed March 2, 1998), for the Yakima Habitat Improvement Project. Golder reference is project number 023-1097. This scope of work details our services to assist in the development of an outreach and education program and habitat restoration and acquisition activities. The budget for this scope of work is $292,000. The City also has a budget of approximately $57,000 for project administration under this BPA contract. This work will be completed under existing terms and conditions, using rates established by Golder Associates Inc. for the City of Yakima effective April 1, 2003. The budget for this scope of work includes a waiver of CAD computer fees ($20/hr) within our GIS/CADD services. If these terms and scope of work are acceptable to the City, please arrange for the appropriate authority to sign below and return a copy to us. Background The Yakima Habitat Improvement Project was funded through a grant from the Bonneville Power Administration (BPA) to the City of Yakima (project sponsor) under BPA's Fish and Wildlife Program FY 2002 funding cycle. In the first year of the project (August 2002 to May 2003), a Yakima Habitat Improvement Project Master Plan was developed. The Master Plan provides the justification, structure and guidance for future. habitat acquisition activities to protect fish and wildlife habitat within the Yakima Urban Growth Area. The Plan also provides support for application to BPA for continued funding of the recommended habitat acquisition projects. This Statement of Work addresses services to be provided by Golder Associates, Inc. (Golder) in the continuation of Yakima Habitat Improvement Project activities during the next BPA funding cycle (August 2003 through June 2004). Golder support includes education and outreach; continued habitat program implementation, and continued project coordination efforts. Work to be Performed I. OVERALL OBJECTIVE: Planning and Design Objective 1: Education and Outreach Activities Develop and implement an education and outreach program for the citizens of the Yakima Urban Area focusing on the fish and riparian and aquatic ecology of the rivers and streams of the Yakima Urban Area. The goals of the Education and Outreach Working Group are to (1) assess and develop an integrated description of current and proposed E&O activities associated with riparian and aquatic habitat and fish in the Yakima Urban Area, and (2) develop an integrated vision and description of how these activities will can be expanded and improved in the future by the Yakima HIP project Develop a summary of the status of education and outreach efforts recently completed or in progress by major agencies and stakeholders. Deliverable An outreach work group will be convened, and an. organizational meeting will be held. Organized summary of existing and completed environmental education and outreach efforts. Information will be summarized on the Yakima HIP project website and incorporated into educational materials. Task 120 Implement Education and Outreach Activities Yakima HIP Education and Outreach has three primary constituencies: K-12 Education Community, ServiceNolunteer Organizations and the General Public. The goals of the Yakima HIP Education and Outreach Program are: • To increase the awareness and understanding of riparian and aquatic ecology and salmonids and their habitat within the Yakima Urban Area and to help infuse interest in the importance and preservation of these communities • To increase the general public knowledge and understanding of the Yakima HIP goals and projects and to create excitement and active public and volunteer participation and involvement in Yakima HIP projects Activities to be completed include: Review existing environmental education teaching modules and materials that are currently available and work with Outreach and Education Work Group to determine additional needs. Develop new habitat teaching modules as necessary. Conduct or coordinate a minimum of 8 school/service group outreach and education programs. Develop a minimum of 4 press releases, information spots, and/or newsletters. Deliverable Summary of pertinent existing environmental education materials. New teaching materials. Teaching topics will include riparian ecology and importance andfunctions of riparian habitat, fish biology, fish habitat components, impacts on urban streams, litter, plant identification, fish identification, riparian restoration techniques, wetlands, macroinvertebrates, etc. _ Press releases, information spots, newsletters. Task 130 Maintain and expand project website Deliverable The current project website will be expanded to include outreach and education materials and will continue to be maintained to post • downloadable project information, including, quarterly status reports and final reports. Task 210 Identify existing applicable habitat programs Identify existing habitat restoration and land management programs and funding applicable to Yakima Urban Area lands (e.g. CREP, Partners for Wildlife, etc). Identify options for implementation of habitat projects in the Yakima Urban Area from all agencies and organizations. Two types of plans may be developed: 1. Long term management plans for properties to be acquired. Cost share and partnerships will be identified (Nothing will be done on this task until acquisition activities are allowed per BPA) 2. Develop habitat restoration plans as described in Habitat Master Plan Number of habitat plans to be completed will be determined by the number of landowners interested in habitat acquisition/restoration activities. A minimum of 2 habitat restoration/management plans will be completed, more if possible. Activities may include, but are not limited to: riparian restoration/enhancement, live stake or container plantings; cattle exclusion fencing; streambank stabilization or natural channel design; removal of fish barriers; native grass seeding; noxious weed or invasive species control.
