A RESOLUTION authorizing and directing the City Manager and the City Clerk of
the City of Yakima to execute a Professional Services Contract
with TModel Corporation to conduct an update of the Yakima
Metropolitan Area Transportation model, in support of urban area
and regional transportation planning and programming.
WHEREAS, the City of Yakima is the central city within the Yakima Valley
Metropolitan Planning Organization and is responsible for transportation planning in
compliance with the Washington State Growth Management Act requirements; and
WHEREAS, in Yakima Valley Council of Governments provides the coordinated
transportation planning for the entire Yakima Metropolitan Area as well as administration
and compliance of State and Federal grant program requirements; and
WHEREAS, the City of Yakima agreed to provide contract support for the update
of the Yakima Metropolitan Area Model, as well as provide a 13.5 percent local match to
allocated federal Surface Transportation Program funds; and;
WHEREAS, TModel Corporation is a professional traffic engineering consulting
firm, selected by the Yakima Valley Conference of Governments Technical Advisory
Committee, which specializes transportation modeling and has the experience and
expertise to provide the required services in accordance with the terms and conditions of
the attached agreement; and
WHEREAS, the City Council deems it to be in the best interest of the City of
Yakima to enter into an agreement with TModel Corporation., for professional services in
accordance with the terms and conditions of the attached agreement; now, therefore,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA:
The City Manager and the City Clerk of the city of Yakima are hereby authorized
and directed to execute the attached and incorporated agreement with TModel
Corporation Inc., for professional services related to Update of the Metropolitan Area
Transportation Model Project.

THIS AGREEMENT, made and entered into this day of , 2002, between City of
Yakima, Washington, hereinafter called the "CITY", and the above organization hereinafter called
"TModel".
WITNESSETH THAT:
WHEREAS, City desires to accomplish the above referenced project, and
WHEREAS, the CITY does not have sufficient staff to meet the required commitment and therefore
deems it advisable and desirable to engage the assistance of TMODEL to provide the necessary services
for the PROJECT; and
WHEREAS, TMODEL represents that it is in compliance with the Washington State Statues relating to
professional registration, if applicable, and has signified a willingness to furnish Consulting services to
City,
NOW THEREFORE, in consideration of the terms, conditions, covenants and performance contained
herein, or attached and incorporated and made a part hereof, the parties hereto agree as follows:
I. GENERAL DESCRIPTION OF WORK
The work under this Agreement shall consist of the above described work and services as herein defined
and necessary to accomplish the completed work for this PROJECT. TMODEL shall furnish all services,
labor and related equipment necessary to conduct and complete the work as designated elsewhere in this
AGREEMENT.
II. SCOPE OF WORK
The Scope of Work and project level of effort for this project is detailed in Exhibit "B" attached hereto,
and by this reference made a part of this AGREEMENT.
III. GENERAL REQUIREMENTS
A. All aspects of coordination of the work on this AGREEMENT, with
outside agencies, groups or individuals shall receive advance approval by
the CITY. Necessary contacts and meetings with agencies, groups or
individuals shall be coordinated through the CITY.
B. TMODEL shall attend coordination, progress and presentation meetings
with the CITY or such Federal, Community, State, City or County
officials, groups or individuals as may be requested by the CITY. The
CITY will provide TMODEL sufficient notice prior to meetings
requiring TMODEL participation. The minimum number of hours or
days notice — required shall be agreed to between the CITY and
TMODEL and shown in Exhibit "B" attached hereto and made part of
this AGREEMENT.
C. All reports, and data furnished to TMODEL by the CITY shall be
returned. All maps. documents, and other work products prepared by
TMODEL prior to completion or termination of this AGREEMENT are
instruments of service for this PROJECT and are property of the CITY.
Reuse by the CITY or by others acting through or on behalf of the CITY
of any such instruments of service, not occurring as a part of this
PROJECT, shall be without liability or legal exposure to TMODEL.
IV. TIME FOR BEGINNING AND COMPLETION
TMODEL shall not begin any work under the terms of this AGREEMENT until authorized in writing by
the CITY. All work under this AGREEMENT shall be completed by the date shown in the heading of
this AGREEMENT under completion date.
The established completion time shall not be extended because of any delays attributable to TMODEL,
but may be extended by the CITY, in the event of a delay attributable to the CITY, or because of
unavoidable delays caused by an act of GOD or governmental actions or other conditions beyond the
control of TMODEL. A prior supplemental agreement issued by the CITY is required to extend the
established completion time.
V. PAYMENT
TMODEL shall be paid by the CITY for completed work and services rendered under this AGREEMENT
as provided in Exhibit "D" attached hereto, and by this reference made part of this AGREEMENT. Such
payment shall be full compensation for work performed or services rendered and for all labor, materials,

supplies, equipment, and incidentals necessary to complete the work specified in Section 11, "Scope of
Work". TMODEL shall conform with all applicable portions of 48 CFR 31.
VI. SUBCONTRACTING
No part of this work shall be subcontracted.
VII. EMPLOYMENT
TMODEL warrants that it has not employed or retained any company or person, other than a bona fide
employee working solely for TMODEL, to solicit or secure this contract, and that it has not paid or agreed
to pay any company or person, other than a bona fide employee working solely for TMODEL, any fee,
commission, percentage, brokerage fee, gift, or any other consideration, contingent upon or resulting from
the award or making of this contract. For breach or violation of this warrant, the CITY shall have the
right to annul this AGREEMENT without liability, or in its discretion, to deduct from the AGREEMENT
price or consideration or otherwise recover the full amount of such fee, commission, percentage,
brokerage fee, gift, or contingent fee.
Any and all employees of TMODEL or other persons while engaged in the performance of any work or
services required by TMODEL under this AGREEMENT, shall be considered employees of TMODEL
only and not of the CITY, and any and all claims that may or might arise under any Workmen's
Compensation Act on behalf of said employees or other persons while so engaged, and any and all claims
made by a third party as a consequence of any act or omission on the part of TMODEL's employees or
other persons while so engaged on any of the work or services provided to be rendered herein, shall be the
sole obligation and responsibility of TMODEL.
TMODEL shall not engage, on a full or part time basis, or other basis, during the period of the contract,
any professional or technical personnel who are, or have been, at any time during the period of the
contract, in the employ of the United States Department of Transportation, the Washington State
Department of Transportation (WSDOT), the State of Washington, or the CITY, except regularly retired
employees, without written consent of the public employer of such person.
VIII. NONDISCRIMINATION
During the performance of this AGREEMENT, TMODEL, for itself, its assignees and successors in
interest agrees to comply with the following laws and regulations:

IX. TERMINATION OF AGREEMENT
The right is reserved by the CITY to terminate this AGREEMENT at any time upon ten (10) days written
notice to TMODEL.
No payment shall be made for any work completed after ten days following receipt by TMODEL of the
Notice to terminate. If the accumulated payment made to TMODEL prior to Notice of Termination
exceeds the total amount that would be due computed as set forth herein above, then no final payment
shall be due and TMODEL shall immediately reimburse the CITY for any excess paid.
If the services of TMODEL are terminated by the CITY for default on the part of TMODEL, the above
formula for payment shall not apply. In such an event, the amount to be paid shall be determined by the
CITY with consideration given to the actual costs incurred by TMODEL in performing the work to the
date of termination, the amount of work originally required which was satisfactorily completed to date of
termination, whether that work is in a form or a type which is usable to the CITY at the time of
termination; the cost to the CITY of employing another firm to complete the work required and the time
which may be required to do so, and other factors which affect the value to the CITY of the work
performed at the time of termination. Under no circumstances shall payment made under this subsection
exceed the amount which would have been made using the formula set forth in the previous paragraph.
If it is determined for any reason that TMODEL was not in default or that TMODEL's failure to perform
is without it or it's employee's fault or negligence, the termination shall be deemed to be a termination for
the convenience of the CITY in accordance with the provision of this AGREEMENT.
In the event of the death of any member, partner or officer of TMODEL or any of its supervisory
personnel assigned to the project, or, dissolution of the partnership, termination of the corporation, of
disaffiliation of the principally involved employee, the surviving members of TMODEL hereby agree to
complete the work under the terms of this AGREEMENT, if requested to do so by the CITY. The
subsection shall not be a bar to renegotiation of the AGREEMENT between the surviving members of
TMODEL and the CITY, if the CITY so chooses.
In the event of the death of any of the parties Listed in the previous paragraph, should the surviving
members of TMODEL, with the CITY's concurrence, desire to terminate this AGREEMENT, payment
shall be made as set forth in the second paragraph of this section.

Payment for any part of the work by the CITY shall not constitute a waiver by the CITY of any remedies
of any type it may have against TMODEL for any breach of this AGREEMENT by TMODEL, or for
failure of TMODEL to perform work required of it by the CITY. Forbearance of any rights under the
AGREEMENT will not constitute waiver of entitlement to exercise those rights with respect to any future
act or omission by TMODEL.
X. CHANGES OF WORK
TMODEL shall make such changes and revisions in the complete work of this AGREEMENT as
necessary to correct errors appearing therein, when required to do so by the CITY, without additional
compensation thereof. Should the CITY find it desirable for its own purposes to have previously
satisfactorily completed work or parts thereof changed or revised, TMODEL shall make such revisions as
directed by the CITY. This work shall be considered as Extra Work and will be paid for as herein
provided under Section XIV.
XI. VENUE, APPLICABLE LAW AND PERSONAL JURISDICTION
In the event that either party deems it necessary to institute legal action or proceedings to enforce any
right or obligation under this AGREEMENT, the parties hereto agree that any such action shall be
initiated in the Superior court of the State of Washington, situated in the county the CITY is located in.
The parties hereto agree that all questions shall be resolved by application of Washington law and that the
parties to such action shall have the right of appeal from such decisions of the Superior court in
accordance with the laws of the State of Washington.
TMODEL's relation to the CITY shall be at all times as an independent contractor.
TMODEL specifically assumes potential liability for actions brought by TMODEL's own employees
against the CITY and, solely for the purpose of this indemnification and defense, TMODEL specifically
waives any immunity under the state industrial insurance law, Title 51 RCW. TMODEL recognizes that
this waiver was specifically entered into pursuant to the provisions of RCW 4.24.115 and was the subject
of mutual negotiation.
Unless otherwise specified in the AGREEMENT, the CITY shall be responsible for administration of
construction contracts, if any, on the project. Subject to the processing of an acceptable, supplemental
agreement, TMODEL shall provide on-call assistance to the CITY during contract administration. By
providing such assistance, TMODEL shall assume no responsibility for: proper construction techniques,
job site safety, or any construction contractor's failure to perform its work in accordance with the contract
documents.
XII. HOLD HARMLESS
TMODEL shall indemnify and hold the CITY and the STATE, and their officers and employees harmless
from and shall process and defend at its own expense all claims, demands, or suits at law or equity arising
in whole or in part from TMODEL's negligence or breach of any of its obligations under this
AGREEMENT; provided that nothing herein shall require a TMODEL to indemnify the CITY and the
STATE against and hold harmless the CITY and the STATE from claims, demands or suits based solely
upon the conduct of the CITY and the STATE, their agents, officers and employees and provided further
that if the claims or suits are caused by or result from the concurrent negligence of (a) TMODEL's agents
or employees and (b) the CITY and the STATE, their gents, officers and employees, this indemnity
provision with respect to (1) claims or suits based upon such negligence, (2) the costs to the CITY and the
STATE of defending such claims and suites, etc. shall be valid and enforceable only to the extent of
TMODEL's agents or employees.

XIII. INSURANCE COVERAGE
TMODEL shall obtain and keep in force during the terms of the AGREEMENT, or as otherwise required,
the following insurance with companies or through sources approved by the State Insurance
Commissioner pursuant to RCW 48.
A. Worker's compensation and employer's liability insurance as required by
the State of Washington
B. General commercial liability insurance in an amount not less than a
single limit of one million and 00/100 Dollars ($1,000,000.00) for bodily
injury, including death and property damage per occurrence.
XIV. EXTRA WORK
The CITY may at any time, by written order, make changes within the general scope of the
AGREEMENT in the services to be performed.
A. If any such change causes an increase or decrease in the estimated cost of,
or the time required for, performance of any part of the work under this
AGREEMENT, whether or not changed by the order, or otherwise affects
any other terms and conditions of the AGREEMENT, the CITY shall
make an equitable adjustment in the (1) maximum amount payable; (2)
delivery or completion schedule, or both; and (3) other affected terms and
shall modify the AGREEMENT accordingly.
B. TMODEL must submit its "request for equitable adjustment" (hereafter
referred to as claim) under this clause within 30 days from the date of
receipt of the written order. However, if the CITY decides that the facts
justify it, the CITY may receive and act upon a claim submitted before
fmal payment of the AGREEMENT.
C. Failure to agree to any adjustment shall be a dispute under the Disputes
clause. However, nothing in this clause shall excuse TMODEL from
proceeding with the AGREEMENT as changed.
D. Notwithstanding the terms and condition of paragraphs (a) and (b) above,
the maximum amount payable for this AGREEMENT, shall not be
increased or considered to be increased except by specific written
supplement to this AGREEMENT.
XV. ENDORSEMENT OF PLANS
TMODEL shall place its endorsement on all plans, estimates or any other data that it furnishes.
XVI. FEDERAL AND STATE REVIEW
The Federal Highway Administration and the Washington State Department of Transportation shall have
the right to participate in the review or examination of the work in progress.

XVII. CERTIFICATION OF TMODEL AND THE CITY
Attached hereto as Exhibit "A-1", are the Certifications of TMODEL and the CITY, Exhibit "A-2"
Certification regarding debarment, suspension and other responsibility matters - primary covered
transactions.
XVIII. COMPLETE AGREEMENT
This document and referenced attachments contains covenants,

not be bound by or be liable for, any statement, representation, promise or agreement not set forth herein.
No changes, amendments, or modifications of terms hereof shall be valid unless reduced to writing and

TITLE VI ASSURANCES
A. Compliance with Regulations: The TMODEL shall comply with the Regulations relative to
non-discrimination in federally assisted programs of the THE CITY, Title 49, Code of Federal
Regulations, Part 21, as they may be amended from time to time (hereinafter referred to as the
"REGULATIONS"), which are herein incorporated by reference and made a part of this
AGREEMENT.
B. Non-discrimination: The TMODEL, with regard to the work performed during the
AGREEMENT, shall not discriminate on the grounds of race, color, sex, or national origin in the
selection and retention of sub-TMODELs, including procurement of materials and leases of
equipment. The TMODEL shall not participate either directly or indirectly in the discrimination
prohibited by Section 21.5 of the REGULATIONS, including employment practices when the
AGREEMENT covers a program set forth in Appendix B of the REGULATIONS.
C. Solicitations for Sub-TMODELs, Including Procurement of Materials and
Equipment: In all solicitations either by competitive bidding or negotiations made by the
TMODEL for work to be performed under a sub -contract, including procurement of materials or
leases of equipment, each potential sub-TMODEL or supplier shall be notified by the TMODEL
of the TMODEL'S obligations under this AGREEMENT and the REGULATIONS relative to
non-discrimination on the grounds of race, color, sex, or national origin.
D. Information and Reports: The TMODEL shall provide all information and reports required
by the REGULATIONS or directives issued pursuant thereto, and shall permit access to its books,
records, accounts, other sources of information, and its facilities as may be determined by THE
CITY or the Federal Highway Administration (FHWA) to be pertinent to ascertain compliance
with such REGULATIONS, orders and instructions. WHERE any information required of a
TMODEL is in the exclusive possession of another who fails or refuses to furnish this
information, the TMODEL shall so certify to the THE CITY or the FHWA as appropriate, and
shall set forth what efforts it has made to obtain the information.
E. Sanctions for Non-compliance: In the event of the TMODEL'S non-compliance with the
non-discrimination provisions of this AGREEMENT, the THE CITY shall impose such
AGREEMENT sanctions as it or the FHWA may determine to be appropriate, including, but not
limited to:
• Withholding of payments to the TMODEL under the AGREEMENT
until the TMODEL complies, and/or,
• Cancellation, termination, or suspension of the AGREEMENT, in whole
or in part
F. Incorporation of Provisions: The TMODEL shall include the provisions of paragraphs (1)
through (5) in every sub -contract, including procurement of materials and leases of equipment,
unless exempt by the REGULATIONS, or directives issued pursuant thereto. The TMODEL
shall take such action with respect to any sub-TMODEL or procurement as THE CITY or FHWA
may direct as a means of enforcing such provisions including sanctions for non-compliance.
Provided, however, that in the event a TMODEL becomes involved in, or is threatened with,
litigation with a sub-TMODEL or supplier as a result of such direction, the TMODEL may
request the THE CITY enter into such litigation to protect the interests of the THE CITY and, in
addition, the TMODEL may request the United States enter into such litigation to protect the
interests of the United States.

EXHIBIT C
SCOPE OF WORK, BUDGET, AND DELIVERABLES
This scope of work describes the effort required to update and recalibrate the Yakima Metropolitan
Area Transportation Study Traffic Model with current land use data, traffic volume counts, and
network characteristics.
This model update effort will improve upon the current level of detail in the Metropolitan model.
YVCOG Staff and the consultant have identified a number of desired improvements to incorporate
into the model.
Update the network to insure that itmatches existing conditions. Node classes will be evaluated and
revised to cover more specific intersection types. This is to better model signalized and un -
signalized intersections as well as at -grade railroad crossings. Evaluate revising link class coding to
incorporate link operational class which reflects the operation of a street rather than the desired
function of that street. Analysis of intersections and street segments should be used to refine the
model link and node delay functions match Yakima area conditions. Other parameters that should be
considered are coding on -street parking, transit routes, and transit stops.
Land use data should be updated for the real traffic analysis zones (TAZs) rather than disaggregating
from the county model resolution. Refinement of categories should be considered to better replicate
actual and forecast land use. Consider cross classification or stratification of residential land use to
reflect different trip making characteristics of different socioeconomic groups.
Use data from an Origin -Destination study to incorporate data on trip generation rates, trip purpose
distributions, and trip length frequency distributions. Evaluate including truck trips as a separate trip
purpose with truck trip generation rates and routes.
The calibration must be supported with directional, peak hour count data. This includes intersection
counts, counts on all screenline locations, counts on major facilities of interest, state highway main
routes, and ramps.
The transportation model development, training and forecasting effort is described below. TModel
Corporation staff feels very strongly that a more robust, supportable model will result from working
directly with COG staff and other interested agencies in the Conference of Governments. The COG
staff will be involved in all model assumptions and processes.
I. MODEL DEVELOPMENT
Review Current Model and Establish Model Goals - A meeting will be held to review the current
model including strengths and weaknesses. Discussion will be held and documented of the model
goals. The model framework shall be established as a working document to develop the 2002 model.
A field review will be conducted at the beginning of this process. The consultant team will review
the major transportation facilities and make a videotape for review during the calibration process. It
is our experience that this effort enhances the quality of the model and calibration.
The base year of the land use data, traffic counts, and network conditions must all be the same. The
current base year for the model is 1999. It is recommended that the base year be updated to
September 2002. It is important that the traffic counts, network conditions, land use inventory and
other data must all be for the same base year. This will match the date of the traffic counts and
origin/destination study.
Products: Memo documenting the updated model framework with data parameters and needs from
participating agencies.
11. NETWORK DATA
Update Network - The team will review the network streets to be included in the base network.
Revisions will be made as necessary. The existing model network will be re -registered with the
TIGER 2000 Layer file and/or a layer file exported from the City/COG GIS. The underlying layer
file will be used for model checking. All facilities that will be modeled and analyzed will be
included in this network. The network will include the region's arterial and collector system, as well
as other necessary connections. Additional load points will be added as necessary.
Review/Revise Zones - The existing zone structure will be reviewed in the context of the model
goals and should incorporate changes made in the block groups in the 2000 census. Changes in the
TAZ structure should be implemented in the GIS. A new graphic layer should be exported for use in
the model and for new land use summaries.
Select Assignment Points - Multi -Point Assignment (MPA) points will be established at mid -points
in links in the network. MPA percentages will be established by the consultant and reviewed by the
COG. Any revisions will be coded into the model database by the consultant.
Specify Required Count Data - Traffic count data requirements will be specified. Directional, peak
hour traffic counts will be required for all screenline locations, selected individual links, state
highways, interchange ramps, and all external links. Locations where the model will be used for
design should have sufficient counts to verify the accuracy of the model. Existing count locations
should be plotted and reviewed and then additional count locations should be specified as necessary.
Plot and Refine Network - Data attributes from the current model will be plotted for review by the
COG. The reviewed and marked up plots will be used to update the model network database. A
subsequent set of plots will be provided for a second iteration of the review. These reviewed plots
will again be used to update the model network database.
Enter/Update Base Count Data - Count data should be supplied to the consultant either on a model
network plot or with locations identified on a network plot as a key to data supplied on count sheets
or in electronic spreadsheets. Count data will be entered into the model network database by the
consultant. A check plot will be provided to the COG for review. Revisions will be coded by the
consultant.
Refine/Update Screenlines - The study team will refine the previous screenlines for checking the

model's calibration. Additional screenlines will be added as necessary. The screenline data will be
entered into TMODEL and the screenline file updated.
Evaluate Link and Node Speed/Delay Parameters — The directional PM peak hour operating
speed studies and intersection capacity analysis worksheets conducted by the City of Yakima will be
used to adjust the model link and node speed/delay equations. Correlations will be made between v/c
ratios in the model with the delay experienced in the field.
III. LAND USE DATA AND TRIP GENERATION
Enter Land Use Data - The updated revised base year land use data will be entered into TMODEL.
This will be data in each of the selected land use categories or cross -classification categories for
each TAZ. It is assumed that the revised base year land use data will be supplied by the COG to the
consultant in electronic form, either in ASCII, database, or spreadsheet format. Land use summaries
by zone will be supplied to the COG for review and checking. Comparisons will be made with the
earlier effort to uncover anomalies. Assistance will be provided to the COG to derive and collate
these values by zone.
Analyze Origin/Destination Data — The consultant will provide advice to the COG in the
development of the Origin/Destination Study to insure that data will be appropriate for use in the
model. Data resulting from the O/D study will be analyzed in the context of the model. The analysis
will be used to derive trip generation, trip purpose, and trip -length frequency distribution
parameters.
Select Trip Generation Rates - The consultant team and the COG will develop trip generation
parameters. These will be based on the previous models developed in the area, the O/D survey data,
the current edition of the Institute of Transportation Engineers Trip Generation Report, and NCHRP
187 and 365. The trip generation process will be completed by multiplying the base year land use
data by the selected trip generation rates to generate starting origins and destinations for each zone
within the model area. From the collected traffic data, the external zone counts will be entered to
represent origins and destinations for these zones. This data will then be combined and the origins
and destinations balanced.
Develop External Traffic Relationships - The study team will develop appropriate internal -
external origins and destinations by trip types from the previous model, the Yakima County
Regional model, and available O/D data. This data will be reviewed by the COG. Revisions will be
made as necessary during the calibration process.
IV. MODEL CALIBRATION
The consultant team will calibrate the model with review by the COG. Assignment volumes on all
screenlines and links will match base year adjusted ground counts within limits imposed by graphs
on allowable screenline calibration errors and allowable link calibration errors in NCHRP 255 (pp
41, 49). The process is iterative --
• All data and assumptions will be quantified and coded for
modeling.

• A distribution and assignment will be run.
• Resulting volume assignments will be compared against
screenline and link volume adjusted ground data.
• Volumes which are not sufficiently well modeled will be analyzed
for possible data or assumption errors.
• Solutions will be recoded into the network, land -use, and or driver
behavioral function coefficients.
• Justifications for alterations will be documented.
• The process will be repeated until calibration accuracies are
achieved.
Calibration review products to be supplied to the COG include the trip generation summary
spreadsheet, plot of model volumes, plot of operating speeds, plot of traffic counts, plot of model
deviations from counts, scattergram comparing link volumes to counts, table with calibration
statistics by link class, and the screenline summary report. An interactive calibration review meeting
will be conducted to discuss the calibration and model parameters.
The budget presented in the cost section assumes calibration for a selected peak hour. Typically, this
is the PM peak hour.
Products: Calibrated model files including all files necessary to make model runs will be supplied to
the COG. Plots showing the model volumes, v/c ratios, and LOS using operating speed will be
supplied to the COG.
V. TRAFFIC FORECASTS
Traffic volumes will be forecast using the Preferred Land Use Alternative for two future horizon
years. These traffic volume forecasts include up to 3 network alternatives each, for a total of 6
forecast runs. The COG will supply the forecast land use data.
After the forecasts are made, the forecast volumes, projected volume to capacity ratios, Level of
Service and operating speeds will be plotted for COG analysis.
Products: All forecast model files and plots of the forecast volumes, projected v/c ratios, and LOS
using operating speeds will be supplied to the COG.
VI. DOCUMENTATION
Documentation provided to the COG will allow a knowledgeable TMODEL user to repeat all the
processes undertaken and to run alternative scenarios based on the information it contains along with
the set of computer files. This will be an update of the previous documentation.
Products: Documentation describing the modeling process, all inputs, calibration statistics, and
forecast process will be supplied in electronic form, one printed and bound copy, and one set of
masters for reproduction will be supplied to the COG.

VII. MEETINGS AND ADMINISTRATION
The budget contains time for meetings and project administration. This time includes travel,
meetings, and project coordination. Travel Time is billed at '/2 normal rates. This anticipates 2
meetings in Yakima. These meetings include: 1) Kickoff meeting to discuss model evaluation
and model goals, 2) Preliminary review of calibration, and 3) Final review of calibration and
forecasts. Travel time will be also involved in conducting the field review. Informal meetings
will be conducted in conjunction with these field review efforts.

VIII. BUDGET
The budget for this scope of work is based upon the estimated level of effort. The attached table
shows the number of hours estimated for key personnel. It assumes that minor shifts may occur
between tasks. It does not assume significant changes in the estimated levels of effort.

METHOD OF PAYMENT
Payment Agreement
Payment for all consulting services for this project shall be made in a manner consistent with the
procedures established by THE CITY.
The total amount for awarded for the project shall not exceed the amount in the heading of the
AGREEMENT. The fmal sum shall be awarded to TMODEL CORPORATION at the completion of the
project, and with the receipt of all contracted deliverables by THE CITY.
Maximum Total Amount Payable
The Maximum Total Amount Payable, the THE CITY to TMODEL CORPORATION under this
agreement shall not exceed the amount shown in the heading of this AGREEMENT.
Final Payment
Final payment of the gross amount earned by the TMODEL CORPORATION will be made within thirty
(30) days of submittal of invoice to THE CITY, and verification by THE CITY of completion and receipt
of all work contracted under this AGREEMENT.
Acceptance of such fmal payment by the TMODEL CORPORATION shall constitute a release of all
claims for payment, which the TMODEL CORPORATION may have against THE CITY unless such
claims are specifically reserved in writing and submitted to THE CITY by the TMODEL
CORPORATION prior to its acceptance. Said final payment shall not be a bar to any claims that THE
CITY may have against TMODEL CORPORATION or to any remedies that THE CITY may pursue with
respect to such claims.
It is agreed that the payment of any billing will not constitute agreement as to the appropriateness of any
item and that at the time of final audit, all required adjustments will be made and reflected in a final
payment. In the event that such final audit reveals an overpayment to the TMODEL CORPORATION,
the TMODEL CORPORATION agrees to refund such overpayment to THE CITY within thirty (30) days
of notice of such payment. Such refund shall not constitute a waiver by the TMODEL CORPORATION
for any claims relating to the validity of a finding by THE CITY of overpayment.
Review Of Records
The TMODEL CORPORATION shall keep available for inspection by THE CITY, the State of
Washington, the Washington State Department of Transportation (WSDOT), and the Federal Highway
Administration (FHWA) for a period of three (3) years after fmal payment the cost records and accounts
pertaining to this AGREEMENT and all items related to it or bearing upon these records with the
following exception: should any litigation, claim, or audit arising out of it, in connection with, or related
to this contract is initiated before the expiration of the three-year period, the cost records and accounts
shall be retained until such litigation, claim, or suit involving the records it complete.

On February 20, 2002, the Conference Executive Committee directed $35,000 of Federal Surface
Transportation Program funds to the City of Yakima for the purpose of updating the metropolitan
traffic model: (Resolution #2002-2 attached) This project has been planned and coordinated with
Mr. Chris Waarvick, Public Works Director and Ms. Joan Davenport, Traffic Engineer. Our intent
is for the City to take project lead, provide the required federal match (approx. 15%), and work
jointly with Conference staff and TModel Corp. This team effort to update the metropolitan traffic
model will support the City's transportation planning efforts and enable the Conference to provide
needed traffic modeling to the City of Yakima and the other jurisdictions within the metropolitan
area.
The release of these funds depends upon filing a local agreement and project prospectus with
WSDOT's South Central Region (SCR) Office. Mr. Roger Arms at the SCR office (577-1781) has
offered his assistance in completing this step. Please contact him at your earliest convenience.

A RESOLUTION of the Yakima Valley Metropolitan Planning Organization/
Regional Transportation Planning Organization (MPO/RTPO) Executive Committee
allocating $35,000 in federal Surface Transportation Program funds to the City of
Yakima for the purpose of contracting for, and conducting an update of the Yakima
Metropolitan Area Transportation Model, in support of metropolitan area and regional
transportation planning and programming.
WHEREAS, the Yakima Valley MPO/RTPO serves as the designated
MPO/RTPO for the Yakima Metropolitan Area/Yakima Valley Region; and
WHEREAS, the MPO/RTPO serves as the regional allocation agency for federal
Surface Transportation Program funds; and
WHEREAS, the MPO/RTPO has determined a need exists to update the Yakima
Metropolitan Area Transportation Model, for the purposes of providing Tong -range
transportation data, pursuant to maintaining the most current information available for
long-range transportation planning guiding the development of transportation
improvements for the Yakima Metropolitan Area and the Yakima Valley Region; and
WHEREAS, the City of Yakima has agreed to be responsible for contracting for,
and conducting an update of the Yakima Metropolitan Area Model in support of
metropolitan and regional transportation planning and programming; and
WHEREAS, the City of Yakima will be responsible for providing a 13.5 percent
local match to allocated federal Surface Transportation Program funds; and
WHEREAS, the MPO/RTPO has set aside a portion of federal Surface
Transportation Program funds for the purposes of supporting regional transportation
planning and programming.
NOW, THEREFORE, BE IT RESOLVED, the Yakima Valley MPO/RTPO
Executive Committee directs that the sum of $35,000 in federal Surface Transportation
Program funds, attributable to the Yakima Valley Region, be allocated to the City of
Yakima for the purpose of contracting for, and conducting an update of the Yakima
Metropolitan Area Transportation Model, in support of metropolitan area and regional

SUMMARY EXPLANATION:
The City of Yakima is assisting the Yakima Valley Conference of Governments (YVCOG) in the
update of the Metropolitan Transportation Model using software developed by TModel
Corporation and implemented by the YVCOG. The Metropolitan model provides an assessment
of the capacity of arterial streets within the upper valley area and identifies streets which may have
capacity constraints in the 20 year horizon required for planning under the Growth Management
Act. The YVCOG provides modeling services to all the communities within the upper valley area
as a result of this project. The model was last updated in 1994.
The City of Yakima was awarded $35,000 in Federal Surface Transportation Program funds
(STP) in order to contract professional services from TModel Corporation for updating the
Metropolitan model. YVCOG could not provide the local match of approximately $5,462 and
therefore requested the City of Yakima "sponsor" the project and provide the local match and
contract administration. Likewise, Yakima County is "sponsoring" the Origin and Destination
Study. The attached appropriation ordinance authorizes a total project budget of $40,462.
