S UM M ARY E X P L ANAT I O N:
A lex Meyerhoff was engaged by the City in November, 2019 for a six-month term as the I nterim
City Manager. On A pril 7, 2020, the City Council approved moving forward with a formal
employment advertising process for the City Manager position. The hiring process will extend
beyond Mr. Meyerhoff’s present I nterim City Manager contract term and therefore the City
Council wishes to extend Mr. Meyerhoff’s term of employment to either December 31, 2020 or
the hiring and swearing in of a new City Manager, whichever shall first occur, as set forth in the
attached A mendment No. 1 to the I nterim City Manager Employment A greement.

RESOLUTION NO. R-2020-
A RESOLUTION relating to administration; extending Alex Meyerhoff’s term as the Interim City
Manager to either December 31, 2020 or the hiring and swearing in of a new
City Manager, whichever first occurs.
WHEREAS, the City Council is authorized by the Yakima City Charter and
RCW 35.18.140 to appoint an interim city manager at such time as the previous City Manager is
no longer available to serve in that position; and
WHEREAS, the City Council identified Alex Meyerhoff as the Interim City Manager in
November, 2019 and entered an Agreement with him to serve in that role for a six-month term
that could be extended as necessary; and
WHEREAS, the City Council has determined to move forward with a formal City Manager
hiring process and would like to extend Mr. Meyerhoff’s contract through either December 31,
2020 or the hiring and swearing in of a new City Manager, whichever shall first occur; and
WHEREAS, Alex Meyerhoff has agreed to the extension of his term as Interim City
Manager in accordance with the terms set forth in Amendment No. 1 to the underlying
Employment Agreement, attached hereto and incorporated herein by this reference; now,
therefore,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA:
Alex Meyerhoff’s term of employment as the Interim City Manager is extended through
either December 31, 2020 or the hiring and swearing in of a new City Manager, whichever shall
first occur, as set forth in Amendment No. 1 to the Interim City Manager Employment Agreement,
attached hereto and incorporated herein by this reference.

AMENDMENT NO. 1 TO EMPLOYMENT AGREEMENT
BETWEEN
CITY OF YAKIMA AND ALEX MEYERHOFF
FOR INTERIM CITY MANAGER POSITION
1. Date and Parties. This Amendment No 1. to the Employment Agreement
Between City of Yakima And Alex Meyerhoff For Interim City Manager Position
(“Agreement”), dated April _____, 2020, is entered into between the City of Yakima, a
Washington municipal corporation (“City”) and Alex Meyerhoff, (“Mr. Meyerhoff”).
2. Intent and Purpose. The purpose of this Amendment No. 1 to the Agreement is to
amend Paragraph No. 4 to extend the term of the Agreement. Paragraph No. 4 is amended to
state:
4. Term. Mr. Meyerhoff’s appointment as Interim City Manager shall be extended
beyond the initial six (6) month term. The extended term of the Employment Agreement shall
terminate upon either the hiring and swearing in of a new City Manager or on the date certain of
December 31, 2020, whichever shall first occur.
All other provisions, terms and conditions set forth in the underlying Employment
Agreement Between City of Yakima And Alex Meyerhoff For Interim City Manager Position
shall remain in full force and effect unless otherwise amended in writing per the provisions of
said underlying Contract.

Alex Meyerhoff represents and acknowledges that he has read this Agreement in its
entirety and has had an opportunity to review the Agreement. He further represents and
acknowledges that it is his understanding that this Agreement has been reviewed and approved
by the Yakima City Attorney on behalf of the City only, and not on behalf of Mr. Meyerhoff. By
virtue of this passage, he further acknowledges that he has been advised that he has the right to
consult independent counsel concerning this Agreement, and that by signing this Agreement he
acknowledges that he has afforded himself the opportunity to do so, or hereby expressly waives

his right to have the Agreement reviewed by independent legal counsel, and agrees to the terms
hereof by signing the same.
