R- 2011 -36 A RESOLUTION authorizing the City Manager to approve use of budgeted funds for the completion of the Engineering Services described in the April 23, 2003 Agreement between City of Yakima and Black & Veatch Corporation for Professional Services. WHEREAS, the 2004 City of Yakima Wastewater Facility Plan identifies the requirements by regulatory mandates, growth (capacity) issues, replacement of aging facilities, and improved efficiencies that are going to be needed over the next 20 years; and WHEREAS, Black & Veatch Corporation completed the Facility Plan, Phase One Pre - Design, Phase One Final Design, Phase One Bid Phase Services, NPDES Permit Services and Metals Studies, began the Collection System Evaluation, and continues providing Construction Services for the Digester Cover Replacement Project, as described in the Agreement between the City of Yakima and Black & Veatch Corporation made and entered into on April 23, 2003; and WHEREAS, Council authorized execution of budgeted funds for Work Packages 1 through 5 on 2/23/03, 5/18/04, and 7/7/04 for Engineering Services. On 12/13/05 an amendment to the Professional Services Agreement with Black & Veatch Corporation was authorized by Council for implementation of the Phase One WWTP Improvements and has approved additional requests for use of budgeted funds for the Professional Services of Black & Veatch on 11/17/06, 10/19/07 and 7/15/08; and 10/6/09; and WHEREAS, additional compensation for completion of the Tasks described in the 2003 Agreement between the City of Yakima and Black & Veatch Corporation is required; and WHEREAS, this additional request for compensation is due to delays and factors beyond the Engineers control or factors which could not reasonably have been foreseen ; and WHEREAS, any additional Professional Engineering Services required hereafter for future improvements to the City of Yakima Wastewater Treatment Facility and Collection System will be provided under new Professional Services Agreements; and WHEREAS, authorizing the use of budgeted funding for completing the Engineering Services described in the 2003 Agreement is in the best interest of the City of Yakima, now, therefore BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA: The City Manager is authorized to approve the use of budgeted funds, described in Work Package 14, to complete the Engineering Services described in the April 23, 2003 Agreement between City of Yakima and Black & Veatch Corporation for Professional Services. OBJECTIVE — WORK PACKAGE 14 These BASIC SERVICES include completion of the Engineering, Consulting and Construction Administration Services related to the following: • Continuation of current Construction Services. • Completion of all Record Drawings 2. TIME OF PERFORMANCE The time of performance for Work Package 14 is through June 31, 2011. 3. COMPENSATION CITY shall pay ENGINEER for performance of BASIC SERVICES. Compensation for Work Package 14 shall be paid to ENGINEER on the basis of labor plus reimbursable expenses. e l Total compensation to ENGINEER for the Scope of Services defined for Work Package 14 shall not exceed $ 70,000, plus any applicable taxes, unless specifically authorized by CITY in accordance with subsection 5.2 of the AGREEMENT BETWEEN CITY OF YAKIMA, WASHINGTON AND BLACK & VEATCH CORPORATION FOR PROFESSIONAL SERVICES. WORK PACKAGE 1 Amount Task Description Not to Exceed Task Series 5000, 6000, 9000— Continue Construction Services for the $ 70,000 Digester Cover Replacement Project. 4. SCOPE OF SERVICES The BASIC SERVICES for Work Package 14 will be executed in tasks summarized as follows: • Task Series 5000 — Digester Cover Replacement Project Construction Services • Task Series 5010 — Record Drawings • Task Series 6000 — Commissioning Services • Task Series 9000 — Project Management • 1 WORK PACKAGE # 14 • TASK SERIES 5000 — CONSTRUCTION ADMINISTRATION SERVICES ENGINEER shall provide final Construction Services for Work Package 14. Work Package 14 consists of the ongoing Construction Services for Digester Cover Replacement Project. It also consists of completion of all Record Drawings for construction projects administered by the Engineer and scoped in Work Packages 1 through 14 per the 2003 Agreement between the City of Yakima and Black & Veatch Corporation. ENGINEER shall provide Construction Administration Services for Work Package 14 as needed in accordance with Task Series 5000, 6000 and 9000 of the AGREEMENT BETWEEN CITY OF YAKIMA, WASHINGTON AND BLACK & VEATCH CORPORATION FOR PROFESSIONAL SERVICES. ENGINEER shall continue to provide services as needed through June 31, 2011. Task 5010 — Construction Services and Record Drawings ENGINEER shall complete all Construction Phase Services for the completion of the Digester Cover Replacement Project. ENGINEER shall provide a revised set of all construction contract Record Drawings for all construction projects completed in accordance with Task Series 5010 of the AGREEMENT BETWEEN CITY OF YAKIMA, WASHINGTON AND BLACK & VEATCH CORPORATION FOR PROFESSIONAL SERVICES. • TASK SERIES 6000: COMMISSIONING /OPERATIONS ASSISTANCE ENGINEER shall assist the City in commissioning the new equipment including blowers, Dystor and Daft upgrades. Primary work shall be performed by Conley Engineering in support of the new SCADA system and controls for the new equipment. The level of effort will be determined based upon coordination with the City during construction and startup. TASK SERIES 9000 — PROJECT MANAGEMENT / CITY COORDINATION The ENGINEER shall manage the work of its project team and conduct activities to maintain coordination of the work with the CITY. Task 9300: Monthly Progress Reports. ENGINEER will submit monthly reports summarizing the progress of the project by Task, for its duration. The reports will be submitted along with ENGINEER's monthly invoices. The progress reports will document progress made toward completion of the project, and provide updated information on budget and schedule. It is anticipated that 15 such reports will be provided during this Work Package. Task 9400: Project Administration. The engineering consulting firm of Black & Veatch Corporation provided NPDES Permit Services, began the Collection System Evaluation, completed a Metals Study, Facility Plan, the Pre-Design, Final Design, Bid Phase Services, and continuing • Construction Services for the current mandated Wastewater Improvements as described in the April 23, 2003 Agreement between City of Yakima and Black & Veatch Corporation for Professional Services. The Engineer's Services have been authorized and performed in a series of Work Packages of which the terms and conditions of the Agreement applied to each Work Package except as amended. The Agreement between the City of Yakima and Black & Veatch Corporation for Professional Services has authorized expenses for completing the mandated Facility Plan, mandated NPDES permitting requirements for Collection System Infiltration and Inflow Evaluation, required regulatory compliance evaluations and plans, Odor Evaluation and Survey, Collection System and VVVVTP Project Design, Construction and Construction Services totaling over $26,000,000. The additional $70,000 requested to complete the required Task Items included in the 2003 Agreement with Black & Veatch Corporation will bring the total for Engineering Services to $8,028,000. See Exhibit A (Summary of Work Packages). This additional request for compensation is due to delays beyond the Engineer's control or factors which could not reasonably have been foreseen at the time of the Agreement or development of additional Work Packages. The Engineer and City Project Manager have agreed to compensation not to exceed $70,000 to complete Task Series 5000, 6000 and 9000 of the 2003 Agreement for all construction projects completed and ongoing to date. See Work Package 14. This additional compensation will conclude the 2003 Agreement between the City of Yakima and Black & Veatch. Any additional Professional Engineering Services required hereafter for future improvements to the City of Yakima VVVVTP and Collection system will be provided under new Professional Services Agreements and will be funded as resources become available. The 478 Wastewater Facility Project Fund (project # 2221) in the 2011 adopted budget includes appropriations to accommodate the expenditures required to complete these remaining tasks. • 11111 Page 2
