This Agreement is estab!ished between Alex Meyerhoff (Client) and Geoffrey Gray (GG) and is subject to
the terms and conditions specified below.
SCOPE OF WORK
The Client has requested that GG conduct a wetland and ordinary high water mark (OHWM) investigation for
Yakima County parcel #18132934009, incorporating West Valley Community Park, within the city limits of
Yakima, ¥akima County, Washington. The local regulatory Iead is the City of Yakima.
COST ESTIMATE
The scope of worwill be conducted on a time and materials basis. The total value for the services provided
pursuant to this Agreement shall not exceed the total cost below unless otherwise agreed to by both parties in
a written Project Change Request.

Description
Collaboration and site research. Wetland delineation
and OHWM survey along Wide Hollow Creek within the
boundary of Yakima County parcel #1813293400. The
purpose is to complete a five-year update for the
wetland and OHWM findings reported in Widener &
Associates (March 2016).
Total Cost (Lump Sum
$3,000
DELIVERABLES
1 Wetland and OHWM memorandum including forms and maps (electronic format).
2 GPS/GIS data for wetland boundaries and OHWM (shapefile format, ESPG 2927 projection).
INVOICING
Invoices shall reference the Agreement number and reflect charges for the tasks completed. Payment shall
be due within 21 days of the invoice date. For late payment, a 5% surcharge will be added to the unpaid
balance each calendar month after the invoice date.
STATEMENT ON LIABILITY
All services provided by GG are without warranty, express or implied, except that services provided under this
Agreement are performed by GG in good faith and to the standards commonly practiced by professional
wetland scientists. GG shall not be responsible for, and disclaims all liability for, any loss, liability, damage
(whether direct, indirect, or consequential), personal injury, or expense of any kind which may be suffered by
any person, or any third party (including a company), as a result of, or which may be attributable, directly or
indirectly, to the services provided.

CONFLICT OF INTEREST
GG may not represent the Client in any proceedings that might conflict with GG's roles and responsiblities as
an employee with the Washington State Department of Transportation.
TERMINATION
This Agreement can be terminated in writing, at any time, by either the Client or GG. However, the Client shall
submit payment for services rendered up to the termination date.
PROJECT CHANGE REQUEST
A Project Change Request (PCR) will be the vehicle for addressing modifications in project scope, schedule,
and/or budget and can be initiated by either GG or the Client (Parties). Both Parties must agree to the
changes in writing.

IN WITNESS WHEREOF, the Parties hereto cause this Agreement to be effective as of the date first written
above.
