HomeMy WebLinkAboutSeattle Police Department - Cost Reimbursement AgreementTHIS AGREEMENT is made and entered into by and between The Seattle Police Department (SPD), a
department of the City of Seattle, hereinafter referred to as "SPD", as represented by Chief of Police
Carmen Best; and the Yakima Police Department (YPD) hereinafter referred to as "Subject Party" for
purposes of reimbursing expenses incurred in the course of purchasing a Magnet Axiom License, as
requested in advance by YPD. SPD will reimburse the Subject Party for expenses incurred during
2.ctivities described in Section 2, as requested in advance by YPD and as specified below. This Cost
Reimbursement Agreement contains six (6) Sections.
15nder the direction otfff-e-7Cffi—ef7o—rdelegated authorized representative, the Subject Party shall be
eligible for approved expenses related to the activities described below. All reimbursable expenses
shall be as specified herein, based on requests from YPD in advance.
Yakima Police Department, investigates ICAC cyber -tips for the city and assists other agencies with
investigations that occur inthe region. The purchase nfaMagnet Axiom License would greatly
increase the Police Department's ability toprocess cases.
The maximum amount allowed for reimbursement shall not exceed $5,065.00, during the term of this
Agreement. Requests shall be submitted to the Fiscal Section, Seattle Police Department, PO Box
34986, Seattle, Washington 98124-4986 The Subject Party shall also include all
applicable supporting documentation and receipts to support the request, including a current W-9
form to be supplied by SPD.

This contract is funded with federal grant funds under CFDA #16.543. The grant is the FY18
Washington ICAC Task Force Program, Award #2018-MC-FX-KO54. All Federal financial and grant
management rules and regulations must be adhered to in the execution of this contract. For
reference, Federal Grant Award Documents are attached.
No modifications or amendment of the provisions hereof shall be effective unless in writing and
signed bvauthorized representatives ufthe parties hereto. The parties hereto expressly reserve the

The Subject Party releases and shall defend, indemnify, and hold the City and its officers, employees
and agents harmless from all losses, liabilities, claims (including claims arising under federal, state o
local laws or regulations) (and including, but not limited to, claims for infringement of any copyright
patent, trademark, or trade secret), costs (including attorneys' fees), actions or damages of any sort
whatsoever arising out of the Subject Party's performance or nonperformance of the services to be
provided under this Agreement attributable to the acts or omissions, willful misconduct, or breach o
this Agreement by the Subject Party, subconsultants, its servants, agents, officers or employees. Th
Subject Party's obligations shall not be eliminated or reduced by any alleged negligence on the part
the City. In furtherance of these obligations, and only with respect to the'City and its officers,
employees, and agents, the Subject Party waives any immunity it may have or limitation on the
amount or type of damages imposed under Title 51 RCW, or any other industrial insurance, worker's
compensation, disability, employee benefit, or similar laws. The Subject Party acknowledges that th
foregoing waiver of immunity was mutually negotiated, and that the contract price reflects this
negotiation. The indemnification provided for in this section shall survive any termination or
expiration of this Agreement.
