YAKIMA POLICE DEPARTMENT AND
COMPREHENSIVE HEALTHCARE
Acute Care/Diversion Services
I. Introduction
This agreement between the Yakima Police Department herein referred to as YPD and
Comprehensive Healthcare -Acute Care (Crisis) and Diversion Services (hereinafter
referred to as CHC) establishes a reciprocal relationship which will facilitate professional,
appropriate, effective and confidential services to persons who are contacted by Yakima
Police Department and referred to the services of CHC.
II. It is mutually agreed that the Yakima Police Department shall:
A. Allow CHC staff, identified as a Designated Mental Health Professional, to ride
along with a patrol officer during their shift, at the discretion to the Chief of Police
or his designee.
B. Provide training for CHC staff necessary as determined by YPD that will promote
safe interactions and responses when contacting individuals or are necessary for
YPD operations.
III. It is mutually agreed that Acute Care -Diversion Services of Comprehensive
Healthcare shall:
A. Screen individuals as requested by YPD officers to determine the need for further
evaluation or provide referral and resource information.
B. Facilitate Diversion referral process if determined appropriate.
C. If the need for further evaluation by a DMHP is necessary, will either facilitate
referral to primary DMHP or will conduct the evaluation on their own.
D. Provide consultation and in-service training to staff of the Yakima Police
Department when needed.
E. Cooperate with all criminal prosecutions to include being called as a witness.
F. Bear all expenses relevant to this agreement for the DMHP assigned to the YPD
to fulfill the terms of this Agreement.
G. Allow the assigned DMHP to be screened for a Criminal Background Check to
comply with CJIS security requirements.
H. At all times during performance of the Services, the CHC shall secure and
maintain in effect insurance to protect the City and the CHC from and against all
claims, damages, losses, and expenses arising out of or resulting from the
performance of CHC. CHC shall provide and maintain in force insurance in limits
no less than that stated below, as applicable.
Commercial Liability Insurance. CHC shall provide the City with a
certificate of insurance as proof of commercial liability insurance with a minimum
liability limit of Five Million Dollars ($5,000,000.00) per occurrence combined
single limit bodily injury and property damage, and Five Million Dollars
($5,000,000.00) general aggregate. If CHC carries higher coverage limits, such
limits shall be shown on the Certificate of Insurance and Endorsements and the
City of Yakima, its elected officials, officers, agents, and employees shall be
named as additional insureds for such higher limits. The certificate shall clearly
state who the provider is, the coverage amount, the policy number, and when the
policy and provisions provided are in effect. Said policy shall be in effect for the
duration of this Agreement. The policy shall name the City of Yakima, its elected
officials, officers, agents, and employees as additional insureds, and shall
contain a clause that the insurer will not cancel or change the insurance without
first giving the City thirty (30) calendar days prior written notice. The insurance
shall be with an insurance company or companies rated A -VII or higher in Best's
Guide and admitted in the State of Washington.
Professional Liability Insurance. CHC shall provide the City with a
certificate of insurance as evidence of professional liability coverage covering
services provided pursuant to this Agreement with a limit of Ten Million Dollars
($10,000,000.00) for each wrongful act and an annual aggregate limit of Ten
Million Dollars ($10,000,000.00). This certificate shall clearly state who the
provider is, the amount of coverage, the policy number, and when the policy and
provisions provided are in effect. The insurance shall be with an insurance
company rate A -VII or higher in Best's Guide. If the policy is on a claims made
basis, the retroactive date of the insurance policy shall be on or before the date
of execution of this Agreement, or shall provide full prior acts. The insurance
coverage shall remain in effect during the term of this Agreement and for a
minimum of three (3) years following the termination of this Agreement.
IV. Both Parties Agree:
Nondiscrimination: They shall not discriminate against any person on the grounds of
race, creed, color, religion, national origin, sex, sexual orientation, age, marital status,
political affiliation or belief, or the presence of any sensory, mental or physical handicap
in violation of the Washington State Law Against Discrimination (RCW chapter 49.60) or
the Americans with Disabilities Act (42 U.S.C. 12101 et seq.) or any other applicable
state, federal or local law, rule or regulation.
Maintain Confidentiality: The confidentiality and exchange of client information
between YPD and CHC will be governed by the provision of the federal and state
regulations in RCW 71.05; RCW 71.34; and RCW 70.02.
Indemnification and Hold Harmless: The parties agree to mutually protect, defend,
indemnify, and hold harmless the other party, its elected officials, officers, employees
and agents from any and all claims, demands, losses, liens, liabilities, penalties, fines,
lawsuits, and other proceedings and all judgements, awards, costs and expenses
(including reasonable attorney's fees and disbursements) resulting from death or bodily
injury to any person or damage or destruction to a third party or third parties to the extent
caused by any negligent act and/or omission of the Contractor, its officers, employees,
agents, and/or subcontractors, arising out of the performance of this Contract.
Nothing contained in this Section or this Agreement shall be construed to create a
liability or a right of indemnification in any third party.
Termination: This Agreement may be terminated by either party by giving written notice
of termination to the other party. The termination will not be effective until the other party
is in receipt of the notice of termination.
Notices: for purposes of this agreement, all notices and demands shall be in writing and
sent or hand delivered to the parties at their address as follows:

fulfill the terms of this Agreement.
G. Allow the assigned DCR to be screened for a Criminal Background Check to
comply with CJIS security requirements.

H. At all times during performance of the Services, the COMPREHENSIVE staff

V. Property Rights
All records or papers of any sort relating solely to the Contractor's operations and
services to the County and to the project shall be made available for County's review
and a copy shall be provided upon County's reasonable request. All information
concerning the County and said project which is not otherwise a matter of public record
or required by law to be made public, is confidential, and the Contractor will not, in whole
or part, now or at any time disclose that information without the express written consent
of the County.
Notices: for purposes of this agreement, all notices and demands shall be in writing and
sent or hand delivered to the parties at their address as follows:

VI. Term
This agreement shall be from the date of execution until and may be extended on an

effective and confidential services to persons who are contacted by Yakima Police Department and

C. Notify Comprehensive supervisors prior toany D[R interviews pertaining to YPD internal
investigations or other incidents where the DCR did not have direct involvement or did
not witness.
III. It Js mutually agreed -that Comprehensive shall:
A. Screen individuals as requested by YPD officers to determine the need for further
evaluation or provide referral and resource information.
B. Facilitate Diversion referral process if determined appropriate.
C. If the need for further evaluation by a DCR is necessary, will either facilitate referralto
primary D[Rorwill conduct the evaluation untheir own.
D. Provdeconsulta1ionandin*ervicetrainingtostaffoftheYPDwhenneeded,duhng
scheduled hours. This includes assisting the Crisis Negotiations Team with call outs in

F. Bear all expenses relevant to hiring, employing and training the DCR's assigned to the

G. Allow the assigned D[Rto be screened for Criminal Background Check tocomply with
FBI Criminal Justice Information Services (CJIS) security requirements.
H, DCR's will comply with providing written or oral statements with regards to incidents
that they witnessed nrheard asboccurred during their scheduled work shift.
L DCR's will participate in requested interviews that pertain to incidents that they had
direct involvement in or observed.
Atall times during performance ofthe Services, the COMPREHENSIVE staff shall secure
and maintain in effect insurance to protect the City of Yakima (the City) and
COMPREHENSIVE from and against all claims, damages, losses, and expenses arising out
oforresulting from the performance ofCOMPREHENSIVE. COMPREHENSIVE shall
provide and maintain in force insurance in limits no less than that stated below, as

this Contract.
If the negligence or willful misconduct of both COMPREHENSIVE and the City (or a person
identified above for whom each is liable) is a cause of such third party claim, the loss, cost, or
expense shall be shared between COMPREHENSIVE and the City in proportion totheir relative
degrees of negligence or willful right misconduct and the �h� of indemnity will apply for such
proportion. _
Nothing contained in this Section or this Contract shall be construed to create a liability or a
right of indemnification in any third party.
Termination: This Agreement may be terminated by either party by giving written notice of
termination tnthe other party. The termination will not beeffective until the other party bin
receipt of the notice of termination.
V. PropertV Rights.,

This agreement shall be effective for a period of one year from the date of execution by the
parties hereto and may be extended on an annual basis by mutual written agreement of the
