A RESOLUTION authorizing and directing the City Manager of the City of Yakima to execute
Memorandum of Agreement between City of Yakima, Yakima County and
Yakima Waste Systems, Inc. to promote and advertise recycling and refuse
and garbage removal services.
WHEREAS, the City of Yakima wishes to promote and encourage recycling and refuse
and garbage removal within the City; and
WHEREAS, in order to promote and encourage recycling and refuse and garbage
removal it is necessary to advertise the recycling and refuse and garbage removal services
available to the citizens of the City; and
WHEREAS, Yakima County and Yakima Waste Systems, Inc. also wish to promote and
encourage recycling and refuse and garbage removal within their service areas which include the
City; and
WHEREAS, Yakima County and Yakima Waste Systems, Inc. are willing and prepared
to proportionately assist financially in the cost of advertising such recycling and refuse and
garbage removal services; and
WHEREAS, the City Council deems it to be in the best interest of the City of Yakima to
contract with Yakima County and Yakima Waste Systems, Inc. according to the terms of the
attached "Memorandum of Agreement Between Yakima County and the City of Yakima and
Yakima Waste Systems, Inc.," now, therefore;
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA:
The City Manager of the City of Yakima is hereby authorized and directed to execute the
attached and incorporated "Memorandum of Agreement Between Yakima County and the City of
Yakima and Yakima Waste Systems, Inc."

MEMORANDUM OF AGREEMENT
BETWEEN
YAKIMA COUNTY
And
THE CITY OF YAKIMA
And
YAKIMA WASTE SYSTEMS, INC.
THIS MEMORANDUM OF AGREEMENT is between Yakima County, a Washington
State municipal corporation, hereinafter "County", the City of
Yakima, also a Washington State municipal corporation, hereinafter
"City" and Yakima Waste Systems, Inc., a Washington corporation,
"hereinafter "Yakima".
WHEREAS, the parties hereto wish to purchase an approximately 8 -page
section in the 2006 Dex Media Inc. telephone directory for the
purpose of advertising the recycling and garbage services available
within the jurisdictions subject to this agreement; and
WHEREAS, the parties wish to establish the proportionate share that
each will pay to participate in the directory; and
WHEREAS, the parties are in agreement that each will participate in
the percentages set forth below.
The parties therefore agree as follows:
l.The total cost quoted to the parties by Dex Media, Inc. for the
eight -page insert is $10,300. This sum will be divided between the
parties as follows:
a.Yakima and the City will each contribute $2,574 as their share of
the cost.
b.County will pay $5,148 as their share of the cost plus any
overages incurred in the publication of the insert.
c.Any sales tax will be shared between the parties in the same
proportion as set forth in sections a and b.
2.In the event litigation is necessary to enforce the terms of this
agreement the prevailing party shall be entitled to its costs and
reasonable attorneys fees.
MEMORANDUM OF AGREEMENT
3.This Memorandum of Understanding contains the total agreement
between the parties and any verbal agreements in conflict with this
agreement shall be deemed void.

SUMMARY EXPLANATION:
Staff respectfully requests Council consideration of the Resolution authorizing a Memorandum of
Agreement with Yakima County and Yakima Waste Systems Inc. to promote and advertise recycling and
refuse and garbage removal services within the City.
Yakima County and Yakima Waste Systems, Inc also wish to promote and encourage recycling and refuse
and garbage removal within their service areas which include the City. They are also willing and prepared
to proportionately assist financially in the cost of advertising such recyding and refuse and garbage
removal services within the 2006 Dex Media telephone directory. The advertising insert would cost
$10,300. The City's portion is $2,574. Yakima Waste Systems portion is $2,574. Yakima County's portion is
$5,148 plus any overages incurred in the publication of the insert.
