A RESOLUTION authorizing the City Manager of the City of Yakima, or his designee,
to execute a Possession and Use Agreement with the State of
Washington for portions possession by the State of Washington for
portions of Yakima County Assessor's Parcel Nos. 191328-32003,
191328-32004, 191328-33002, 191329-41400, 191329-41404, and
191329-41406, and Real Property Voucher substantially in the form
as attached hereto as Exhibits "A" and "B" respectively, to enable the
State of Washington to prepare for and, if necessary, begin
construction of roadways and appurtenant improvements at the
interchange of Interstate 82 and State Route 24 pending settlement
and/or trial with the State of Washington to determine the fair market
value of the portions of said properties.
WHEREAS, the State of Washington desires to acquire certain real property at
State Route 24 and Interstate 82, Yakima, Washington; and
WHEREAS, RCW Title 35.21 authorizes the City of Yakima to acquire, hold,
possess and dispose of property; and
WHEREAS, the State of Washington desires to purchase certain portions of the
subject properties from the City of Yakima; and
WHEREAS, the City of Yakima has obtained an independent appraisal of the
subject properties which indicates the fair market value of said portions of the subject
properties to be higher than the amount that the State of Washington has offered for
the purchase of said portions of the subject properties; however, the City Council
deems it to be in the best interest of the City of Yakima to grant immediate possession
and use of said portions of the subject properties to the State of Washington to enable
the State of Washington to prepare for and, if necessary, begin construction of
roadways and appurtenant improvements at the interchange of Interstate 82 and State
Route 24 pending settlement and/or trial with the State of Washington to determine the
fair market value of the said portions of the subject properties; now, therefore,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA:
The City Manager of the City of Yakima is hereby authorized and directed to
execute a Possession and Use Agreement and Real Property Voucher substantially in
the form attached hereto as Exhibits "A" and "B". The Possession and Use Agreement
and Real Property Voucher shall be approved as to form by the City Attorney.

This AGREEMENT is made and entered into by and between the State of Washington,
hereinafter referred to as the "State", and the undersigned, hereinafter referred to as the
"Owners":
WITNESSETH
WHEREAS, the State affirms that the Owners' real estate described herein is required by the
State for immediate construction of a transportation project.
AND WHEREAS, the State affirms that any delay in its construction program is contrary to the
public interest;
AND WHEREAS, the State has made a firm and continuing offer to pay the amount of
$91,000.00 in fee, $1,000.00 for a utility easement for transfer and $1,000.00 for a temporary
construction easement a total of $93,000.00 for the purchase of the following described real
estate situated in Yakima County, in the State of Washington:

All that portion of the hereinafter described Parcels A and B lying northerly, westerly,
northwesterly and northeasterly of a line beginning at a point opposite Highway Engineer's
Station (hereinafter referred to as HES) W 10+50 on the W line survey of SR 82, SR 24
Interchange and 35 feet southerly therefrom; thence easterly parallel with said line survey to a
point opposite HES W 19+03.67; thence continuing easterly parallel with said line survey
extended easterly for a distance of 70 feet; thence northerly parallel with said line survey to a
point opposite HES 73+26.12 on the SR 24 Line survey of said highway and 188.68 feet
southwesterly therefrom; thence northeasterly to a point opposite HES 73+90 on said line survey
and 125 feet southwesterly therefrom; thence southeasterly parallel with said line survey to a
point opposite HES 74+60.43 on the SR 24 line survey of said highway, said point also being
opposite HES 74+60.43 on the SR 24 line survey of SR 24, W. Birchfield Road to Riverside
Road and 125 feet southwesterly therefrom; thence continue southeasterly parallel with the SR

Temporary Construction Easement
Tract I:
That portion of the hereinafter described Parcel B lying within a strip of land 100 feet wide,
being southwesterly of, parallel with and contiguous to, the southwesterly right of way line of SR
24, W. Birchfield Road to Riverside Road and extending from a line drawn southwesterly at right
angles to the SR 24 line survey of said Highway from Highway Engineer's Station (hereinafter
referred to as HES) 80+00 southeasterly to a line drawn southwesterly at right angles to said line
survey from HES 86+50.
Tract II:
That portion of the hereinafter described Parcel B lying within a strip of land 25 feet in width,
being southwesterly of, parallel with and contiguous to, the southwesterly right of way line of SR
24, W. Birchfield Road to Riverside Road and extending from a line drawn southwesterly at right
angles to the SR 24 line survey of said Highway from Highway Engineer's Station (hereinafter
referred to as HES) 86+75 southeasterly to a line drawn southwesterly at right angles to said line
survey from HES 101+38.72.
EXCEPT that portion of said strip of land lying within the right of way of said Highway.

Utility Easement For Transfer
That portion of the hereinafter described Parcel A lying within a strip of land 20 feet wide, being
westerly and northwesterly of, parallel with and contiguous to a line described as beginning at
Highway Engineer's Station (hereinafter referred to as HES) 73+43.92 on the SR 82, SR 24
Interchange and 171.67 feet southwesterly therefrom; thence southerly parallel with the W line
survey of said Highway and said W line survey extended southerly a distance of 676.75 feet;
thence south 45° 24' 55" west a distance of 160 ± feet to an existing utility easement and the end
of this line description. The sidelines of said strip of land being lengthened or shortened to
intersect with the sidelines of said existing utility easement; EXCEPT that portion of said strip of
land lying northwesterly of line described as beginning at a point opposite HES 73+26.12 on the
SR 24 line survey of said Highway and 188.68 southwesterly therefrom; thence northeasterly to a
point opposite HES 73+43.92 on said line survey and 171.67 feet southwesterly therefrom and
the end of this line description.
PARCEL A:
The East 250.57 feet of Tract 25 and 32,
EXCEPT that portion of said Tract 25 conveyed to the State of Washington for highway
purposes by deed recorded October 22, 1956, under Auditor's File No. 1641593.
The East 250.57 feet of the North 1/2 of Tract 33;
The South % of Tract 33;
All in GOODWIN'S FIVE ACRE TRACTS, recorded in Volume "A" of Plats, Page 18, records
of Yakima County, Washington.
PARCEL B:
All that part of the West % of the Southwest 1/4 of Section 28, Township 13 North, Range 19,
E.W.M., lying Westerly of the Westerly bank of the Yakima River and Southerly of the
Southerly right-of-way of State Highway 11-A (now SR -24).

The temporary construction rights herein granted shall terminate on June 1, 2006 or upon
completion of the project, whichever comes first.
It being understood and agreed that, upon completion of construction, the utility easement rights
granted herein are to be transferred to the Terrace Heights Sewer District by an appropriate
instrument to be placed of record and that thereafter the rights of the state shall cease and
terminate.
Also, the grantor herein conveys and grants to the State of Washington all rights of ingress and
egress (including all existing, future or potential easements of access, light, view and air) to, from
and between SR 82, SR 24 Interchange and SR 24, W. Birchfield Road to Riverside Road and
remainder of said Parcels A and B.
EXCEPT that the grantor herein reserves for itself, its successors or assigns, the right of
reasonable access to the W Line connection of said SR 82, SR 24 Interchange southerly of HES
W 24+17.55 on said W Line.
The lands herein described contain an area of 362,687 square feet in fee, more or less, 16,539
square feet for utility easement for transfer and 66,210 square feet temporary construction
easement, the specific details concerning all of which are to be found in those certain maps of
definite location now of record and on file in the office of the Secretary of Transportation at
Olympia, and bearing dates of approval March 26, 2004 and January 9, 2004 and revised August
20, 2004 and July 9, 2004 respectively.

POSSESSION AND USE AGREEMENT
AND WHEREAS, the Owners require additional time to evaluate said offer and/or to resolve any
questions concerning just compensation;
NOW THEREFORE, for and in consideration of the payment of said offer, the Owner(s) hereby
grant to the State a right to possess and use the above described real estate and the parties further
agree that:
1. The real estate is necessary for a public use of the State of Washington.
2. The State will issue a warrant in payment to the Owners of the amount of the offer
stated above, subject only to deduction of the value of interests of others therein.
3. Execution of this agreement by the undersigned parties shall not prejudice such
parties' rights to subsequent adjudication of just compensation pursuant to state law,
and neither shall this agreement, nor the basis therefore, be construed as an
admission of fair market value or just compensation by any of the parties named
herein.
4. If it becomes necessary for the State to institute condemnation proceedings, the
Owners have no objection to the State entering an Order Adjudicating Public Use, as
provided by RCW 8.04.070, and agree that this instrument shall be treated as having
the same legal effect as an Order for Immediate Possession provided by RCW
8.04.090, et seq., which, by this reference, are incorporated herein as if fully set
forth.
5. The date of valuation for the determination of just compensation shall be the date
that this agreement is accepted and approved by the Department's Director of Real
Estate Services.
6. The Owners hereby waive the requirement of a written notice to move, as provided
by RCW 8.26.180, and will surrender possession of the above described real estate
to the State not later than date of payment.

POSSESSION AND USE AGREEMENT
It is understood and agreed that delivery of this agreement is hereby tendered and that the
terms and obligations hereof shall not become binding upon the State of Washington unless and
until accepted and approved hereon in writing for the State of Washington, Depaitnient of
Transportation, by the Director of Real Estate Services.

SUMMARY EXPLANATION: The State of Washington has requested to purchase a portion
of City owned property near SR 24 and I-82. This property was formerly part of the Wastewater
Sprayfield adjacent to K -Mart. The City has obtained an independent appraisal of the property,
which indicates a fair market value higher than what the State has offered. While a final
determination as to appropriate value is yet to be negotiated, it is in the best interest of the City to
grant immediate possession and use of the properties to the State of Washington to enable the
preparation, and if necessary, construction of roadways and other improvements at the
interchange of I-82 and SR 24 pending a determination of fair market value.
