A RESOLUTION authorizing and directing the City Manager and the City
Clerk of the City of Yakima to execute an agreement with
Steve Dahl & Associates, Inc., a Washington corporation, for
communication training services.
WHEREAS, the City is in the process of consolidating its fire and police
dispatch services into the new Police Station/Legal Center, and
WHEREAS, a critical element in the successful transition and
consolidation of said services is effective communication between the merging
dispatch units and City management; and
WHEREAS, comprehensive training in the area of individual and group
communications will positively enhance effective communication between the
affected parties; and
WHEREAS, Steve Dahl & Associates, Inc., has the experience and
expertise necessary to provide said communication training and is willing to
provide such training in accordance with the terms and conditions of the
attached agreement; and
WHEREAS, the City Council deems it to be in the best interest of the City
of Yakima to enter into an agreement with Steve Dahl & Associates, Inc., in
accordance with the terms and conditions of the attached agreement; now,
therefore,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA:
The City Manager and the City Clerk of the City of Yakima are hereby
authorized and directed to execute the attached and incorporated agreement
with Steve Dahl & Associates, Inc., a Washington corporation, for
communication training services.

PROFESSIONAL SERVICES AGREEMENT
THIS AGREEMENT is made and entered into by and between the City of
Yakima, a Washington municipal corporation (hereinafter the "City"), and Steve
Dahl & Associates, Inc., a Washington corporation (hereinafter "Consultant").
WHEREAS, the City is in the process of consolidating its fire and police
dispatch services into the new Police Station/Legal Center.
WHEREAS, a critical element in the successful transition and
consolidation of said services is effective communication between the merging
dispatch units and City management.
WHEREAS, comprehensive training in the area of individual and group
communications will positively enhance effective communication between the
affected parties.
WHEREAS, Consultant has the experience and expertise necessary to
perform the services required by the City.
NOW, THEREFORE, in consideration of the mutual covenants, promises,
and agreements set forth herein, it is agreed by and between the City and
Consultant as follows:
1. Scope of Services. Consultant shall provide the City with services in
accordance with the attached and incorporated Exhibit "A."
2. Term. The term of this Agreement shall commence upon execution
hereof and shall terminate upon completion of all services/tasks required
hereunder, unless sooner terminated by either party in accordance with
Section 12.
3. Consideration. As consideration for the services specified in this
Agreement, the City agrees to compensate Consultant in accordance with
Exhibit "A." The total amount of compensation to be paid to Consultant shall
not exceed Two Thousand Forty Dollars ($2,040.00).
4. Status of Consultant. Consultant and the City understand and
expressly agree that Consultant is an independent contractor in the
performance of each and every part of this Agreement. Consultant and its
employees shall make no claim of City employment nor shall claim against the
City any related employment benefits, social security, and/or retirement.
5. Taxes and Assessments. Consultant shall be solely responsible for
compensating its employees and for paying all related taxes, deductions, and
assessments, including but not limited to, federal income tax, FICA, social
security tax, assessments for unemployment and industrial injury, and other
deductions from income which may be required by law or assessed against
either party as a result of this Agreement. In the event the City is assessed a

tax or assessment as a result of this Agreement, Consultant shall pay the same
before it becomes due.
6. Nondiscrimination Provision. During the performance of this
Agreement, Consultant shall not discriminate on the basis of race, age, color,
sex, religion, national origin, creed, marital status, political affiliation, or the
presence of any sensory, mental or physical handicap. This provision shall
include but not be limited to the following: employment, upgrading, demotion,
transfer, recruitment, advertising, layoff or termination, rates of pay or other
forms of compensation, and selection for training.
7. Compliance With Law. Consultant agrees to perform those services
under and pursuant to this Agreement in full compliance with any and all
applicable laws, rules, and regulations adopted or promulgated by any
governmental agency or regulatory body, whether federal, state, local, or
otherwise.
8. No Insurance. It is understood the City does not maintain liability
insurance for Consultant and/or its employees.
9. Indemnification and Hold Harmless. Consultant agrees to protect,
defend, indemnify, and hold harmless the City, its elected officials, agents,
officers, employees from any and all claims, demands, losses, liens, liabilities,
penalties, fines, lawsuits, and other proceedings and all judgments, awards,
costs and expenses (including attorneys' fees and disbursements) resulting
from Consultant's performance and/or non-performance of this Agreement.
10. Delegation of Professional Services. The services provided for herein
shall be performed by Consultant, and no person other than regular associates
or employees of Consultant shall be engaged upon such work or services except
upon written approval of the City.
11. Assignment. This Agreement, or any interest herein, or claim
hereunder, shall not be assigned or transferred in whole or in part by
Consultant to any other person or entity without the prior written consent of
the City. In the event that such prior written consent to an assignment is
granted, then the assignee shall assume all duties, obligations, and liabilities of
Consultant stated herein.
12. Termination. The City or Consultant may terminate this Agreement,
with or without cause, by giving the other party ten (10) days written notice of
termination.
13. No Conflict of Interest. Consultant represents that it or its employees
do not have any interest and shall not hereafter acquire any interest, direct or
indirect, which would conflict in any manner or degree with the performance of
this Agreement. Consultant further covenants that it will not hire anyone or
any entity having such a conflict of interest during the performance of this
Agreement.

14. Severability. If any portion of this Agreement is changed per mutual
agreement or any portion is held invalid, the remainder of the Agreement shall
remain in full force and effect.
15. Integration. This written document constitutes the entire agreement
between the City and Consultant. There are no other oral or written
Agreements between the parties as to the subjects covered herein. No changes
or additions to this Agreement shall be valid or binding upon either party
unless such change or addition be in writing and executed by both parties.
16. Notices. Unless stated otherwise herein, all notices and demands shall
be in writing and sent to the parties to their addresses as follows:

Notices and/or demands shall be sent by registered or certified mail, postage
prepaid. Such notices shall be deemed effective when mailed or hand delivered
at the addresses specified above.
17. Governing Law. This Agreement shall be governed by and construed in
accordance with the laws of the State of Washington.
18. Venue. The venue for any action to enforce or interpret this Agreement
shall lie in the Superior Court of Washington for Yakima County, Washington.

Statement of Work
for
Yakima Police Department and Fire Department Dispatchers
August 23, 1996
BACKGROUND
A new facility was built for the Yakima Police Department and vacated in February
1996. An area of the building was designed so the dispatchers from the police and
fire departments could be housed together to better serve public safety needs. A key
element in the successful transition and ongoing work for any merging groups is
effective communication. This transition could be enhanced positively with a
training on individual and group communications.
TARGET AUDIENCE
The participants of the training will be the fire dispatch bargaining team, the police
dispatch bargaining team, Police Chief Blesio, Fire Chief Chronister, Sheryl Smith
and other management team members identified later.
PROPOSED APPROACH
An eight hour workshop on Tuesday, September 3, 1996 to introduce the
participants to the Meyers -Briggs Type Indicator (MBTI). People learn best by
looking at and understanding themselves first. The MBTI gives you an
understanding of how you take in information, think through information, and put
information out to others.
In this session, you will learn and begin to understand your individual
communication styles via the MBTI. You will also learn how to build on your
strengths and the strengths of those around you. In taking this information a step
further, we will look at how to use the MBTI in teams. We will have an
opportunity to look at what contributes to and hinders team effectiveness.
This learning can be used as a foundation to build ongoing development of
individuals and teams in organizations. To be most effective, after introducing the
MBTI, periodic learning opportunities will allow people to continue taking its use to
deeper levels of understanding.
EXHIBIT A
The steps in this approach are:
1. Informing the participants of the training, the purpose, and management's
expectations of their involvement.
2. Participants take the MBTI in advance of the training. This needs to be arranged
as early as possible in the week of August 26th.
3. I will score the inventories and come prepared with their scores to the training.
4. The training will include materials on three levels - individual, group and
organizational. The resources to be used will be the MBTI, a 4 -phase
change model, the Pinch Theory Model which addresses changing roles and
responsibilities. I will also introduce possible methods for approaching change.
I may use other models or tools in the training that address examples that come
up.
5. A follow-up meeting with the management team to talk about their role in the
follow-up of the training. Further training needs may be identified.

For over 15 years she has helped organizations increase their productivity and
effectiveness by designing and implementing strategic change. She advises top
managers on how to effectively galvanize a workforce. She also coaches first-line
managers and work teams in improving communication, efficiency, and
productivity.
Her interest in helping organizations build highly motivated working teams began
when she owned and managed multiple Diet Centers in Iowa, Illinois, and
Washington. As a small business owner, she was involved in every aspect of
management customer relations, hiring, training, marketing, advertising, site
evaluation, and set up.. Her early business success gave her the skills necessary to
apply her education, experience, and knowledge to the corporate environment.
Until opening Steve Dahl & Associates in 1988, Eileen was employed as an
organization development specialist at Rockwell Hanford Operations and as an
employee relations specialist at Westinghouse Hanford Company.
Eileen's B.A. in Family Life Education gave her a foundation in human behavior
and interpersonal communication issues that lie at the core of today's corporate
communication issues. Her Master of Silence degree in Organization Development,
has allowed her a variety of organizational consulting experiences: from small
businesses to large corporations; with all levels of management and employees; and
from private to public and nonprofit organizations. Her work often addresses one
on one communication skills, strategic planning, organization diagnosis, plan
implementation, quality processes and tools, conflict resolution, personnel issues,
and other change processes.

SUMMARY EXPLANATION:
This Resolution authorizes the execution of a Professional Services Agreement with Eileen
Piersa of Steve Dahl & Associates to conduct communications training. The purpose of this
training is assist in a smooth transition to combine Police and Fire Dispatch operations and will
be conducted prior to beginning the effects bargaining process. The training will focus on
individual and group communication styles. This program will also include training which will
cover different methods for approaching organizational change.
A copy of the training proposal is attached for information purposes.
