R-96115 A RESOLUTION authorizing and directing the City Manager and the City Clerk of the City of Yakima to execute an agreement with PacifiCorp for a design analysis for the Yakima Convention Center. WHEREAS, PacifiCorp has completed an energy analysis of the Yakima Convention Center, and WHEREAS, the energy analysis indicates that there are economic energy savings potentially available at the Yakima Convention Center, and WHEREAS, PacifiCorp has the experience and expertise necessary and is willing to provide a design analysis to the City regarding potential energy efficiency measures in accordance with the attached agreement; and WHEREAS, the City Council deems it to be in the best interests of the City to enter into the attached agreement with PacifiCorp for a design analysis for the Yakima Convention Center, now, therefore, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA: The City Manager and the City Clerk of the City of Yakima are hereby authorized and directed to execute the attached and incorporated agreement with PacifiCorp for a design analysis for the Yakima Convention Center. PacifiCorp has completed an energy analysis of Owner's Facility, described as Yakima Convention Center 3166 located in, Yakima, WA. B. The energy analysis indicated that there are economic energy savings potentially available at the Owner's Facility. A copy of the Energy Analysis Report has been provided to Owner. C. Owner and PacifiCorp desire for PacifiCorp to perform a more detailed design analysis of potential Energy Efficiency Measures (EEMs) that would be economic to the Facility. Owner and PacifiCorp therefore agree: 1 Design Analysis. PacifiCorp will conduct a design analysis and provide a Design Report to the Owner within 90 days of the date of this Agreement. Such report will include design specifications of all EEMs that PacifiCorp and the Owner finds to be cost effective at the Facility, specifications for the installation and operation of the EEMs, the estimated cost of the EEMs, and the mount of energy cost savings and other operating cost savings which PacifiCorp estimates will be achieved by installation of EEMs. The Design Report also will specify the amount Energy Efficiency Payments PacifiCorp will make available to Owner for the installation of the EEMs and all other energy efficiency assistance PacifiCorp will provide in connection with such measures, including training of Owner's employees in the operation of the EEMs, as well as the energy service charge the PacifiCorp will require as compensation. The Energy Efficiency Payments, energy efficiency assistance, and Energy Service Charge Payments will be consistent with the requirements of PacifiCorp's Tariff Schedule 125, which is attached as Exhibit A to this Agreement. During the period in which Design Report is being prepared, PacifiCorp also will complete a credit assessment of Owner, in connection with PacifiCorp's offer of Energy Efficiency Payments and other energy efficiency assistance. PacifiCorp may require such security as is permitted by the Exhibit A tariff, dependent upon the final credit rating assigned to Owner. 3 Cooperation by Owner. Owner agrees to have its employees or contractors cooperate with PacifiCorp and its consultants and to provide reasonable financial data, Facility operating data and energy use evaluation assistance needed for PacifiCorp to timely complete the design analysis and the credit assessment. Owner will complete and return to PacifiCorp the business questionnaire form attached as Exhibit B to this Agreement. 4 Reimbursement. PacifiCorp will complete a Design Report Valued at $ 6,000 at no cost to the Owner, provided that" Recommended EEMs are installed at the facility within 73° days (not to" exceed 730 days). The recommended EEMs installed must achieve 50% of the cost effective kWh savings identified in the Energy Analysis. The EEMs must also be installed consistent with Manufacturers' requirements and industry standards. Owner understands that completing a Design Analysis at the facility represents a significant cost to PacifiCorp and agrees to reimburse PacifiCorp 100% of the cost of the Design Report, an Amount not to exceed $" 6,000 in the event recommended EEMs are not installed or owner does not enter into an Energy Services Agreement with PacifiCorp. Also, if owner terminates this Design Agreement, Owner agrees to pay 100% of the costs incurred by PacifiCorp in connection with preparation of the Design Analysis through the date of termination, Such payments not to exceed $ 6,000 PacifiCorp may terminate this agreement at anytime at no cost to owner. 5 In the event you proceed with the installation, you agree to include in all contracts with suppliers and contractors that all equipment and materials are to be recycled to the extent economically feasible. Contacts are to require that all recycling is to be done on a subcomponent level and, to the extent practical, all equipment or materials are to be disassembled so that they will not be used or useful by you, your contractors, or others. You will also include in such contracts that the due -date for payment of all invoices will be at least 45 days from the date of the invoice to allow adequate review time by you, PacifiCorp and our consultants. 6 If you proceed with installation, you will be fully responsible for paying the contractors and suppliers. PacifiCorp will have no responsibility for the installation or the equipment to verify energy savings. The Agreement for installation will be subject to the prior review by PacifiCorp. 7 PacifiCorp will rely upon you to independently evaluate any advice or direction given by PacifiCorp related to estimates of electric energy and demand savings and the selection or installation of the EEMs to be covered by the Letter of Intent. PacifiCorp and its consultants shall have no responsibility for the discovery, presence, handling, removal, or disposal of shtDesignAgree Page 2 of 3 or exposure of persons to hazardous materials of any kind in connection with your comnwrcial building including, but not limited to asbestos, asbestos products, PCBs, or other toxic substances. In the event of a dispute arising out of or relating to the Letter of Intent, it will be resolved by the Commercial Rules of the American Arbitration Association. This analysis will indicate the economic energy savings potentially available at the Yakima Convention Center for both the existing structure and new expansion area. The cost of this analysis is $6,000.00. If it is necessary for the City to utilize the Energy Efficiency Payments program with PacificCorp as part of the redeveloped Convention Center, this cost will be part of that future contract that would be forthcoming to the Council. Funds for this project design is available from the Convention Center Expansion Project budget. We understand that the City may elect to not utilize this loan, but thought you, Tim Jensen and the legal department might want some familiarity with this document. The good news is that, per Sandra VanKempema, the interest rate for the State of Washington is going down in the next 20 to 30 days. BCIX 1644 YAKIMA, WASHINGTON 98907 (509) 452-0609 MX: (509) 452-0578 RE: Yakima Center Expansion Yakima, Washington Architect's Project No. 95-21 Energy Efficiency Measure • Compact Fluorescent Light Fixtures Dear Glenn: Per our meeting July 18, 1996 regarding the Steering Committee's recommendations to accept the Pacific Power loan (see Item 8 in Steering Committee Meeting Notes attached), will you confine for me what was ultimately decided? My understanding is Traho was to proceed with the electrical engineering needed to define the compact fluorescent energy efficiency measure (EEM) and follow up by getting a cost proposal from the General Contractor for this change. The engineering cost is $6,000; the estimated construction cost is $29,000. Pacific Power will pay the engineering cost up to a point;, we estimate they will cover $4,000 and the City would pay the next $2,000; the total $6,000 fee would be paid by the City if we do not install this EEM. I talked with Pacific Power after our July 18, 1996 meeting, and learned that it takes several weeks of time for the whole engineering cost negotiation and paperwork trail to be complete. Also, the City can decide any time during the construction project whether or not to accept the Pacific Power EEM loan as opposed to paying for the EEM's with the project bond funding; it is preferable to decide as early as possible since, once again, the loan contract and paperwork trail will take about 60 days to complete.
