A RESOLUTION amending the Yakima Downtown Development and Promotion Agreement,
City Contract No. 2024-163.
WHEREAS, the City and DAY have worked together to create a welcoming and successful
downtown Yakima; and
WHEREAS, on or about September 3, 2024, pursuant to Resolution R-2024-170 and City
Contract Number 2024-163, DAY and the CITY entered into an Agreement wherein DAY agreed
to utilize funds from the Main Street Tax Credit Program for various development and promotion
uses in the downtown area of Yakima and the CITY agreed to apply for said tax credit funds; and
WHEREAS, the Agreement originally was through December 31, 2024, but Main Street
Tax Credit Program funds are available in November and may be used during the next year; and
WHEREAS, DAY and the CITY agreed that the CITY would apply for said funds and, if
awarded, DAY will use those for development and promotion in downtown Yakima, including, but
not limited to, lighting projects and improvements to utilities and facilities associated with holiday
lighting displays; and
WHEREAS, DAY and the CITY have been entering into agreements for Main Street Tax
Credit funds for a number of years prior to 2024; and
WHEREAS, it has been determined by both parties that the Agreement should be
amended to extend the agreement in order to utilize Main Street Tax Credit funds obtained in
November of 2024 and to be utilized in 2025;
WHEREAS, the City Council of the City of Yakima finds that it is in the best interest of the
City and its residents, to amend the Yakima Downtown Development and Promotion Agreement
to extend its term through 2025; now, therefore,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA:
The City Manager is authorized and directed to execute the Amendment to the Yakima
Downtown Development and Promotion Agreement between the City of Yakima and the
Downtown Association of Yakima., attached hereto and incorporated herein.

AMENDMENT TO
YAKIMA DOWNTOWN DEVELOPMENT
AND PROMOTION AGREEMENT

THIS AMENDMENT TO THE YAKIMA DOWNTOWN DEVELOPMENT AND
PROMOTION AGREEMENT is made and entered into by and between DOWNTOWN
ASSOCIATION OF YAKIMA ("DAY"), and THE CITY OF YAKIMA, a Washington
municipal corporation ("CITY").
WHEREAS, on or about September 3, 2024, pursuant to Resolution R-2024-170
and City Contract Number 2024-163, DAY and the CITY entered into an Agreement
wherein DAY agreed to utilize funds from the Main Street Tax Credit Program for various
development and promotion uses in the downtown area of Yakima and the CITY agreed
to apply for said tax credit funds; and
WHEREAS, the Agreement originally was through December 31, 2024, but Main

next year; and
WHEREAS, DAY and the CITY agreed that the CITY would apply for said funds

WHEREAS, it has been determined by both parties that the Agreement should
be amended to extend the agreement in order to utilize Main Street Tax Credit funds
obtained in November of 2024 and to be utilized in 2025;
NOW, THEREFORE, in consideration of the mutual covenants, promises, and
agreements set forth herein, it is agreed by and between the CITY and DAY as follows:
Section 1: Section 3: Terms of Agreement, of the attached and incorporated is
amended to read as follows:
This agreement shall commence September 3, 2024, following full execution by the
parties and shall terminate at midnight, December 31, 2025, or on the date upon which
all funds obtained from the City pursuant to the Main Street Tax Credit received in 2024
and/or 2025 are fully expended, whichever occurs later. During the term of this
Agreement, DAY will reserve one board seat for a representative from the City staff to be
designated by the City Manager.
Section 2: A scope of work will be mutually agreed upon for the use of Main Street
Tax Credit funds received in November of 2024, which is anticipated to include, but may
not be limited to, enhanced lighting and associated infrastructure for enhanced lighting in
downtown Yakima, including holiday lighting options.
Section 3: Except as expressly modified herein, all other terms and conditions of the
attached Agreement and its amendments shall remain in full force and effect.
Section 4: Severability. If any section, subsection, paragraph, sentence, clause or
phrase of this Amendment is declared invalid or unconstitutional for any reason, such
decision shall not affect the validity of the remaining portions of this Amendment.

ITEM TITLE: Discussion about Main Street Tax Credit, possible projects, and
consideration of entering into an agreement with the Downtown
Association of Yakima (DAY)

SUMMARY EXPLANATION:
The City was made aware that additional Main Street funding is available this year. The City would need
to apply for the tax credit, enter into an agreement with the Downtown Association of Yakima (DAY), and
pay DAY for new projects identified for this funding. Council needs to decide if the City should apply for
the additional funds and enter into an agreement with DAY.
