HomeMy WebLinkAboutStandard Paint & Flooring, LLC - Capitol Theatre Carpeting CONTRACT LI CAPITOL THEATRE CARPETING THIS AGREEMENT, made and entered into in this 9 day of February, 2016, by and between the CITY OF YAKIMA, hereinafter called the Owner, and STANDARD PAINT & FLOORING, LLC, hereinafter called the Contractor. I. RECITALS A. Owner is a municipal corporation of the State of Washington with City Hall located at 129 North 2nd Street, Yakima, Washington 98901. B. Contractor is a limited liability company duly formed and existing under the laws of the State of Washington, with business address at 409 West Yakima Avenue, Yakima, Washington 98902. Contractor is registered with the State of Washington under registration # STANDPF894L8., and is a participating contractor with the National Joint Powers Alliance (NJPA) with NJPA Contract ID: 022712 - MCD. C. Owner is the owner of the Capitol Theatre in the City of Yakima. Owner and Contractor desire to enter into this Contract whereby Contractor will furnish and install carpet by glue direct, with pull up and removal of existing carpet in lower level foyer, two hallways, reception and green room, first level and second level foyer within the Capitol Theatre as described below. II. AGREEMENT WITNESSETH: That in consideration of the terms and conditions contained herein and attached and made a part of this agreement, the parties hereto covenant and agree as follows: Section 1. The Contractor shall do all work and furnish all tools, materials, labor and equipment for performing the work in accordance with Contractor's Quote dated January 26, 2016 and described as follows: Furnish and install carpet by glue direct, with pull up and removal of existing carpet in lower level foyer, two hallways, reception and green room, first level and second level foyer. CYP 42 oz. cut pile U7078: $ 56,985.00 Performance Bond: $ 2,500.00 Sales Taxes: $ 4,877.77 Total: $ 64,362.77 All material is guaranteed to be as specified. All work to be completed in a workmanlike manner according to standard practices. Any alteration or deviation from above specifications involving extra costs will be executed only upon written orders, and will become an extra charge over and above the estimate. Contractor will not be held responsible for delay or impossibility of performance caused solely by strikes, accidents or delays beyond Contractor's control. Owner has obtained property insurance for the Capitol Theatre and is satisfied with coverage therein. Contractor shall provide coverage for its employees and workers through Workman's Compensation Insurance. Only time preparation, services or products stated above are included in the quotation. Materials ordered for this project are not returnable. Any unforeseen preparation will be an additional cost, and the final invoice will be adjusted accordingly. Payment will be made by Owner within 30 days after completion of the work and acceptance by Owner. Contractor shall provide and bear the expense of all equipment; work and labor of any sort whatsoever that may be required for the transfer of materials and completing the work provided for in this contract and every part thereof, except such as are mentioned in the specifications to be furnished by the City of Yakima. Contractor shall be solely responsible to pay and remit sales taxes to the State of Washington and any other taxes incurred to the appropriate agency. Section 2. The City agrees to pricing per Contractor's Quote as set forth above for the work as set forth in the manner and upon the conditions provided. Section 3. This Agreement contains all terms and conditions agreed upon by the parties. No change or addition to this Agreement shall be valid or binding upon either party unless such change or addition is in writing and executed by both parties. If approved, the change shall take effect thirty (30) days after notification was received by the City of Yakima Purchasing Office. Section 4. Indemnification and Hold Harmless: Contractor agrees to protect, defend, indemnify and hold harmless the City of Yakima,. its elected officials, officers, employees, agents, and volunteers from any and all claims, demands, losses, liens, liabilities, penalties, fines, lawsuits, and other proceedings and all judgments, awards, costs and expenses including reasonable costs and attorney fees) resulting from death or bodily injury to any person or damage or destruction to a third party or third parties to the extent caused by any negligent act and /or omission of the City of Yakima, its officers, employees, agents, volunteers and /or subcontractors, arising out of the performance of this Contract. If the negligence or willful misconduct of both Contractor and the Owner (or a person identified above for whom each is liable) is a cause of such third party claim, the loss, cost, or expense shall be shared between Contractor and the City in proportion to their relative degrees of negligence or willful misconduct and the right of indemnity will apply for such proportion. Nothing contained in this Section or this Contract shall be construed to create a liability or a right of indemnification in any third party. Section 5. It is further provided that no liability shall attach to the Owner by reason of entering into this contract, except as expressly provided herein. Section 6. The Contractor shall provide to the City proof of insurance in the amounts required under the bid specifications. City of Yakima shall be named as an additional insured on said insurance policies and provide the attached additional insured endorsement. Section 7. The parties agree that the Contractor is an independent Contractor and not an agent or employee of the City. Agents, employees, servants, or representatives of the Contractor shall not be deemed to be employees, agents, servants, or representatives of the City for any purpose. Employees of the Contractor are not entitled to any benefits the City provides for City employees. Section 8. The Contractor agrees that it shall not discriminate against any person on the grounds of race, creed, color, religion, national origin, sex, sexual orientation, age, marital status, political affiliation or belief, or the presence of any sensory, mental or physical handicap in violation of the Washington State Law Against Discrimination (RCW chapter 49.60) or the Americans with Disabilities Act (42 U.S.C. 12101 et seq.) In the event the Contractor violates this provision, the City may terminate this agreement immediately and bar the Contractor from performing any services for the City in the future. Section 9. The Contractor shall not assign or subcontract any portion of the contracted activities without obtaining prior written approval from the City. Section 10. The contractor will follow all applicable prevailing wage laws according to RCW 39.12.10 and WAC 296- 127 -023. The contractor will submit Intent to Pay Prevailing Wage statements for the contractor and all sub- contractors prior to the first payment being made. The contractor will submit Affidavits of Wages Paid Statements for the contractor and all sub - contractors at the completion of the project. Section 11. This Agreement, scope of work, conditions, and modifications, applicable provisions of the NJPA authorization, and the Contractor's proposal (to the extent consistent with City of Yakima's documents) constitute the Contract Documents and are complementary. Specific federal and State laws and the terms of this Agreement, in that order respectively, supersede other inconsistent provisions. These Contract Documents are on file in the City of Yakima Engineering Division, 129 No. 2 St., Yakima, Washington, 98901, and are hereby incorporated by reference into this Agreement. One small item to contemplate is you should ask Standard if their employees are doing the install or if they are subcontracting the installation (as they usually do). If this is the case we need to know that either their subs /installers have the same limits, or that Standard Paint's policy doesn't contain a subcontract exclusion or one relating to the work of others. (3 Street side of the Capitol) The bulk of the work will occur in the lower level (Robertson Room and RR Lobby); on the main floor it will be minimal and the remainder of the work will occur on the Mezzanine level. All work will occur without public in the building. The value of the proposal is under $62,000. Standard Paint anticipates 11 -15 working days to complete the work. As this is a small works type proposal where Standard Paint already has an insurance certification on file with the Purchasing Division, I have attached a General Certificate Sample that represents what Purchasing has on hand with a multitude of shovel -ready contractors. Please review the General levels of coverage for this project and let us know if there is adequate coverage or not. Any questions please do not hesitate to ask.
