INTRODUCTION: This SOW outlines the services to be performed as defined herein for CITY OF YAKIMA, Washington [YAKIMA/Customer] by Paradise Canyon Systems, Inc., Honolulu, Hawaii [PARADISE CANYON]. Terms used in this SOW shall have the meanings specified herein. No waiver, modification, or amendment of this SOW shall be valid unless in writing as signed by YAKIMA and PARADISE CANYON. EXECUTIVE YAKIMA has engaged PARADISE CANYON to provide professional services for: SUMMARY: • Configure TransVault Migrator, a purpose-built archive migration solution, to manage and perform the migration. • Assess the Dell EMC Source0ne email archive for migration to Microsoft MS365 Exchange Online. • Define groups of mailboxes for migration and configure and execute migration tasks. • Define appropriate ex-user mailbox mappings to custodian mailboxes and archives. • Monitor the migration and generate daily and intermediate reports on the progress. • Prepare and deliver final Chain of Custody and Executive Summary reports at the completion of the migration. PROJECT YAKIMA has an active DELL Source0ne Email Archive for Microsoft Exchange in a on premise deployment. OVERVIEW: The archive data for active users with shortcuts in their Exchange Mailbox is to be migrated to MS365 Exchange Online mailboxes. Inactive (ex-users) will have data migrated to a series of custodian EXO mailboxes and on-line archive mailboxes. The data to be migrated is based on an estimate of just under 2.5Terabyte of compressed single instanced archive data under Source0ne. This data will be inventoried per mailbox to be migrated from Source0ne to Exchange Online (EXO). As part of the migration, any shortcuts in user mailboxes will be synchronized to folder locations and rehydrated to resolved locations in user mailboxes. All non-shortcut data to be migrated for users can be sent to default locations (Inbox and Sent Items) or to a specified sub-folder in a user's primary EXO mailbox and to the Exchange Online Archive as needed for a user. Experienced PARADISE CANYON engineering personnel will work closely with YAKIMA Infrastructure management staff to ensure proper and best practices are being followed with the least interruption to the User communities. During this engagement, PARADISE CANYON will: O Evaluate YAKIMA environment and consult best practices. O Deploy a TransVault Migrator and configure to connect to Source0ne and the Exchange Online tenant for YAKIMA. o The connection to EXO will require a registered application for a service account to connect to EXO structures and permission and a service account with appropriate permissions to migrate data to user mailboxes and archives. O Review DELL Source0ne errors for remediation if needed. O Process an inventory (Gathering) of the Source0ne archive to catalog all data and association to mailboxes in Exchange. 0 Review migration groups and priority mailboxes from the gathered inventory. O Configure a Pilot migration of up to 5 mailboxes and aggregate of 200,000 messages to validate the migration and connections to EXO. Statement of Work 2 City of Yakima S1 Rehydration Migration August 9th,2024[Revision 2] Statement of Work City of Yakima O Ensure archive mailboxes are mapped as intended by YAKIMA to Exchange Online mailboxes for migration processing. O Synchronize mailboxes and shortcuts for active user migration. o To be performed on mailboxes in Exchange Online. O Configure appropriate mappings of ex-user and inactive mailboxes to defined custodian mailboxes and online archives to contain one or more ex-user archives. O Establish production migration tasks and mailbox groups for processing. O Execute and monitor the migration, performing remediation as appropriate. o Migration of messages and shortcut remediation will be performed directly to Exchange Online mailboxes. O Collect statistics and generate daily migration reports for the length of the migration. O Prepare final Chain of Custody and Executive Summary reports and project closure materials. O Review with YAKIMA stakeholders the final state of the migration and project closure actions. O Throughout the project and at project completion, secure require project acceptance milestones, signoffs, and approvals from YAKIMA. PROJECT There will be multiple project phases as defined in the next section. The overall project is anticipated APPROACH: and planned to be executed via off-site services for all phases and project work. A final report presentation is planned for off-site review to be conducted via a web meeting. The project is designed in Phases and intended to flow as designed to completion, but also to allow for in-project phase modifications as needed to fulfill project objectives and in response to changing business needs. This SOW also defines the appropriate milestones to gauge project progress and success as the project proceeds. All project logistics issues should be brought to the attention of the PARADISE CANYON Project Manager. The PARADISE CANYON Project Engineers will be responsible for Phase and Task execution per the SOW. PROJECT PHASE The migration will have initial tasks for configuring TransVault Migrator and conducting an inventory, DETAIL, OUTPUT migration tasks and group setup, a Pilot migration, and then production migration. The following table SUMMARY, AND summarizes the phase, work items, and assigned Milestones for the phase. The original Milestones 1 MILESTONES: through 4 were completed in the prior execution of the migration. SOURCEONE ARCHITECTURE [SCHEMATIC]: Active Directory Exchange SourceOne Services Mailbox Archive Services Services MIGRATION To manage the migration user email archives from SourceOne to Exchange Online, TransVault migrator ARCHITECTURE will be deployed to connect to SourceOne on-premises and to Exchange Online. This will require a [SPECIFICATIONS]: minimum of one TransVault Migrator application server, and one Microsoft SQL server (to maintain the meta data of the migration process and status). Depending on performance and available throughput, additional application servers may be needed. POST MIGRATION YAKIMA can maintain the SourceOne email Archive for as long as Exchange on-premises is still in operation ARCHITECTURE until SourceOne support ends on December 31, 2024. At its' discretion, YAKIMA can also retire all [SPECIFICATIONS]: resources and storage for SourceOne. No architectural change post migration is needed. At the close of the migration, all servers, services, and resources for TransVault can be decommissioned and retired from the YAKIMA network. A final backup of TransVault and the SQL database for TransVault should be taken for long term preservation per any YAKIMA requirements and standards. TECHNICAL YAKIMA has prepared and will maintain the following for successful execution of this project: PRE-REQUISITES: LI Maintain an account name in Exchange Online that has at a minimum the Application Impersonation role for TransVault migration operations. This account also requires sufficient access to read and write user mailboxes in Exchange Online during the migration. This is required for migrating messages to users. Access less that this will prevent the project from running. This account does not require a mailbox or MS365 licensing other than as needed for access to mailboxes. Statement of Work 6 City of Yakima S1 Rehydration Migration August 9'h,2024[Revision 2] Statement of Work City of Yakima 0 Servers and infrastructure as specified above in physical, virtual, cloud, or hybrid configurations to meet or exceed the specifications given. O The SourceOne Service account will be made a "Local Administrator" on the application and SQL server(s). O Remote access via secure VPN, secure RDP, shared desktop, or similar capabilities per the requirement of the CUSTOMER. o Web meeting style access is not encouraged but can be accommodated. o Access to the TransVault Migrator server and SQL server are required at a minimum. TERMS AND Unless stated otherwise, the parties agree that all services provided herein are quoted on a FIXED FEE CONDITIONS: basis. The following terms and conditions will be effective with the signing of this agreement. VALIDITY: 2 This SOW expires 30 days of the date on the SOW without a signature. 2 Consulting services must commence within 60 days of CUSTOMER signed acceptance date of this SOW unless otherwise authorized by PARADISE CANYON. If services are delayed more than 90-days from acceptance due to CUSTOMER conditions PARADISE CANYON reserves the right to invoice any committed migration tools and expended travel services. Any offered DISCOUNTS may be forfeited. 0 All parties agree that any additional fees and services not currently specified herein shall be set forth in a CHANGE CONTROL REQUEST, or other suitable instrument, for agreement and signing by all parties. PRICING: All services NOT specified in "PROJECT COSTS" are billable at the Time 8 Material rate of $ 325.00 per hour. Applicable product and licensing pricing are as given in summary here, but defined by an accepted "Quote", "Intent to Purchase" or"Purchase Order" and per the project specifications as confirmed with the CUSTOMER. TRAVEL: Travel is not specified for this project, however if requested by YAKIMA, the following conditions for travel expenses shall apply. All business Travel Et Expenses(TEtE)will be procured at the most reasonable, but comfortable rates. All TEtE will be invoiced at actual cost and appear as a separate line item with appropriate and requested supporting receipts. T&E will consist only of necessary expenditures such as: airfare, lodging, transportation, meals, and administrative costs relating to the project. Any stated consulting fees, product licensing fees, or other direct project related expenses do not include any miscellaneous expenses, including travel and per diem. POSTPONEMENT: In the event that CUSTOMER elects to postpone an agreed upon scheduled commencement date of the consulting services set forth in this SOW with less than five(5)business days' notice to PARADISE CANYON, PARADISE CANYON reserves the right to invoice CUSTOMER, and CUSTOMER agrees to pay for any actual out of pocket change fees incurred as a result of such postponement plus actual number of days of services provided at PARADISE CANYON's then standard hourly rates. This policy also applies in the event the CUSTOMER suspends without cause the engagement and provides PARADISE CANYON less than five (5) business days'notice. In this instance,CUSTOMER shall pay for any actual out of pocket expenses incurred (which can include any cancellation, or rebooking fees incurred due to the postponement) as a result of such suspension plus actual number of days of services at PARADISE CANYON's then standard hourly rates. For the purposes of this SOW, a suspension in the engagement is defined as any condition where there is a break in the delivery schedule not created by PARADISE CANYON. CANCELLATION: In the CUSTOMER cancels the consulting services set forth in this SOW, then CUSTOMER shall notify PARADISE CANYON in writing(including via email). If CUSTOMER cancels the consulting services set forth in this SOW less than five (5) days prior to the scheduled start date, PARADISE CANYON shall have the right to invoice CUSTOMER an amount equal to project and payment of any expenses associated with cancellation including, but not limited to,airline tickets and hotel. In addition, Customer will be charged for any expenses that could not be cancelled (i.e. airline ticket, hotel rooms, etc.). ADDITIONAL WORK: The inclusion of any functionality and/or services by PARADISE CANYON Consulting that are beyond the scope of activities described in this SOW justifies supplementary negotiable service fees and may Statement of Work 7 City of Yakima SI Rehydration Migration August 9(^,2024[Revision 2] Statement of Work City of Yakima adversely affect delivery timelines. Any changes to the scope of work will be set forth in writing, via a change order, and signed by both parties. Unless otherwise agreed to in writing by the parties,Consulting Services will be performed during PARADISE CANYON's normal business hours (Monday through Friday, 8:00am to 5:00pm local time to the CUSTOMER, excluding holidays). Delays in the project schedule may result in additional fees and expenses which will be detailed in writing via a change order and signed by both parties.Services performed outside of normal business hours may be subject to an additional charge. If these additional charges are not defined in the Pricing Costs section in this SOW, or if no Project Costs section exists, PARADISE CANYON's default billing rates for non-standard hours will apply. In this instance, a Change Order will be submitted. Non-standard hours are defined as Third Shift work, which is from approximately 11:00pm to 8:00am Sunday through Thursday night;and weekend work,which is from approximately 11:00pm on Friday to 11:00pm on Sunday.Third shift work and weekend work will be billed at 2.0 times the Daily Billing Rate. SEPARARTION: CUSTOMER acknowledges that any purchase of ANY required products and licenses is independent and wholly separate from this purchase of PARADISE CANYON consulting services unless otherwise stated. OWNERSHIP: Customer acknowledges that PARADISE CANYON provides Consulting Services for other products and agrees that nothing in this Agreement shall be deemed or construed to prevent PARADISE CANYON from carrying on such business. CUSTOMER acknowledges and agrees that PARADISE CANYON will retain all rights, title and interest in any know-how or intellectual property related to, in any way, proprietary software or consulting methodology, which it discovers or creates in the course of performing Consulting Services under this SOW. The CUSTOMER and PARADISE CANYON will each retain ownership of their respective pre-existing intellectual property and no transfer of any rights herein is intended.Manufacturer of software used grants the PARADISE CANYON a non-exclusive license, without right of sublicense, to use the Materials, solely for their own business purposes, but not for marketing, distribution, or resale. WARRANTY: PARADISE CANYON warrants that Consulting Services will be performed in a professional and workmanlike manner, without further warranty of any kind, either express or implied. All other warranties, express or implied, are hereby disclaimed. LIABILITY: PARADISE CANYON and/or TransVault will not be liable under any legal or equitable theory, whether based upon contract, tort, or any other basis, arising out of, or relating to this Project Outline for: 1) Any indirect, special, incidental, or consequential damages, however caused. 2) Damages for lost profits or lost data. 3) Cost of procurement of substitute goods or services. 4) Amounts in excess of those received by PARADISE CANYON under this SOW. 5) Warranty Disclaimers and Limitations of Liability will survive expiration of this Project Outline for three months. GENERAL The following assumptions apply to this SOW: ASSUMPTIONS: 0 YAKIMA is responsible for maintaining the operating system installation of the infrastructure and services that will be used in the course of this project and after completion of the project. This will apply to all application and database servers, and all associated storage, and any SaaS or Cloud based solutions. O PARADISE CANYON is responsible for collecting and documenting the configuration and workflow of the environment centered on the applications and services pertinent to this project. O YAKIMA will make staff resources available to review and provide access to appropriately needed messaging, archive, index, database, and storage infrastructure required to complete the delivery of the project. Staff resources will also be made available appropriately for the purpose of defining and describing the current workflows as applicable. O YAKIMA will provide a system that has direct or remote console access to the servers and systems needed for this project while PARADISE CANYON is executing the project. YAKIMA has reviewed and approved all required pre-requisites. Off-Site access to system consoles will be by Webex, Secure Statement of Work 8 City of Yakima S 1 Rehydration Migration August 9th,2024[Revision 2] Statement of Work City of Yakima VPN/Remote Access,or similar access to servers and consoles that are approved and applicable within the YAKIMA security requirements and policies. 0 PARADISE CANYON Consultants and Consulting Team have the necessary skill sets and certifications to perform all tasks. OUT OF SCOPE: PARADISE CANYON is responsible for performing only the services described in this SOW. Any services, application, infrastructure, or any items not defined within the SOW is considered outside the scope of the SOW without exception. Services outside the scope generally shall include, but are not limited to: O Installation/Configuration of Legacy Applications and Server(s). O Any customization, custom queries, or integration of network authentication services other than standard LDAP/Active Directory Best Practices. O Configuration/Integration of any 3rd party security solution, unless explicitly named in this SOW. This includes any and ALL multi-factor authentication or encryption solutions. O Any customization of email notification(s) that are not included in this work package. O Configuration of any network load balancing configuration and solutions. O Installation or configuration of any SSL certificate(s) to be applied to any servers, whether or not those servers are part of the project. O Any activities relative to disaster recovery or business continuity planning, execution of disaster recovery backups, recovery or validation activities, or formal backup/recovery procedures or documentation. O Installation of intranet environments[e.g., HTTP server,J2EE application server, and/or web access] not defined in this SOW. O Policy development, documentation and/or updates relative to data, email, archived data, backup and recovery as well as application and data availability and service levels. 0 Development, troubleshooting, or debugging of end client software distribution scripts, files, processes, or procedures for any end-client software distribution. O Any application or host system access that encompasses coding, scripting, application analysis, system performance, and/or troubleshooting. O Any 0/S, 3rd party application, or hardware tuning, troubleshooting or maintenance steps including patches, upgrades and/or installations/re-installations. O Any CPU, server, or mid-range host and system monitoring and management solutions and console operations (i.e. HP BTO [OpenView], BMC Patrol, IBM CEtSI [Tivoli]). O Troubleshooting, performance tuning, or configuration of CUSTOMER messaging environment. O Any storage solution installation, implementation, configuration, or reconfiguration not specifically described in this SOW. O Network [LAN, WAN, Internet Point of Presence, Ingress/Egress] support of day-to-day operations, resolution of network connectivity or security access issues. O PARADISE CANYON will not be responsible for the performance of any third-party products in the CUSTOMER environment, including but not limited; database management, applications, web servers and services, operating system, backup/restore/recovery, clustering and high availability, security and encryption, anti-virus/anti-spam, network security and authentication, system and network management and monitoring. O Installation,certification or configuration,and support of any physical plant infrastructure,including; electrical services, network wiring and cabling, telecommunications, any environment not described in the SOW, cabling infrastructure and data center components. O Development of any custom solutions including scripting. O Modification to CUSTOMER application software. O Creation and/or follow-up on support tickets opened through the CUSOTMER Support Desk which is not related to this Service. SOFTWARE CUSTOMER shall be responsible for the development of any scripts, procedures, installation files, or DISTRIBUTION: processes necessary to distribute any required end-client software. PERMISSIONS: CUSTOMER will provide all the necessary access and permissions required to deliver services outlined herein. All requirements will be communicated to the CUSTOMER prior to the engagement. Unless specified, in writing, by the CUSTOMER, PARADISE CANYON will not be unduly denied access to systems defined for delivering the project. Refer to Technical Pre-Requisites.
