R-94- 41 A RESOLUTION authorizing the execution of a professional services agreement with Trade and Development Consortium, Inc. WHEREAS, the City of Yakima desires to submit a grant application for status as a Federal Enterprise Community; and WHEREAS, the City does not have staffing levels or specialized expertise to prepare the grant application and conduct the necessary support activities towards Federal Enterprise Community designation; and WHEREAS, the City Council has determined that it is in the best interest of the City to contract with Trade and Development Consortium, Inc. to utilize their expertise in accordance with the terms of the attached agreement, now, therefore, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA: The City Manager and City Clerk are hereby authorized and directed to execute the attached and incorporated "Professional Services Agreement" with Trade and Development Consortium, Inc. for the purpose of submitting a Federal Enterprise Community grant application. Professional Services Agreement April 12,1994 THIS AGREEMENT is made and entered into this / day of p , 1994, by and between the City of Yakima, hereinafter the "City", and Trade and Development Consortium, Inc., hereinafter "TRADEC". WHEREAS, the City needs professional services to assist in submitting a grant application for status as a Federal Enterprise Community, hereinafter "FEC." WHEREAS, TRADEC has the experience, expertise and professional staff to assist the City in developing a FEC under the terms and conditions set forth in the Agreement. NOW, THEREFORE, in consideration of the mutual convenants, promises, and agreements set forth herein, it is agreed by and between the City and TRADEC as follows: L EXECUTIVE SUMMARY A. Project Approach With the recent approval of the Economic Empowerment Act, some sixty U.S. cities can qualify for status as "enterprise communities". As recognized by city officials and other economic development experts in the community, an opportunity exists for the City of Yakima to attain this status and as a result of the status, derive a significant number of additional benefits for the City's economic development efforts, We are very pleased to have been asked to submit a proposal to work with the City on this endeavor. TRADEC proposes a Scope of Work which focuses on working with City officials in three areas: first, developing a Federal Enterprise Community (FEC) concept paper; second, developing a marketing strategy and support materials for the overall FEC package; and third, scheduling and staffing strategic meetings in Washington, D.C. to leverage the final FEC grant application. B. Background on Firm TRADEC is a domestic and international marketing firm based in Seattle, Washington and works closely with municipalities, public agencies, non-profit trade associations and industry networks on both a regional and national level to develop and implement comprehensive economic development strategies and marketing initiatives. Specifically, TRADEC not only manages these initiatives, but equally 1 important, emphasizes identifying and securing the funding sources necessary to make the initiatives successful. Professional excellence since 1989 continues to characterize TRADEC. Substantial year -by -year growth and an expanding list of new and repeat clients are testimony to the firm's integrity and expertise. The firm's success continues to be built on the following primary principals: 1. All services performed represent high professional quality; 2. Projects are produced and delivered on time; 3. Plans and reports are accurately prepared and presented in an organized, understandable manner; and 4. Senior staff members. are personally involved in the services delivered for each client. Steadfast adherence to these principles has resulted in our expanding list of repeat clients. Professional staff members at TRADEC have worked extensively with the agricultural community in Washington state including small farms, growers, packers, shippers, processors, commodity commissions, Washington State University Coop Extension and the IMPACT Center as well as the Washington State Department of Agriculture and the U.S. Department of Agriculture. We have an extensive knowledge of natural resource -dependent communities and the challenges those communities face related to economic development, job stimulation and raising the standard of living for its citizens. TRADEC also works very closely with the Pacific Northwest forest products industry including value-added timber products, small mills and minor forest products on the Olympic Peninsula. We have worked with the American Plywood Association, the Western Wood Products Association, the American Hardwood Export Council, the National Association of Independent Forest Mills and Wood Net, a model flexible manufacturing network in the Northwest. Again, this work illustrates our familiarity with natural resource-based economies and the inherent challenges to economic development and diversification in these communities. TRADEC often serves as a liaison for its clients in Washington, D.C. Although we are not registered Lobbyists, TRADEC staff understand the importance of linkages to our nation's capital including elected officials and key federal agencies. TRADEC has excellent working relationships with Washington state's congressional delegation, both in the U.S.. House of Representatives and the U.S. Senate. Similarly, TRADEC staff, through its wide variety of clients, has established good relationships with the U.S. Department of Agriculture, the U.S. Economic Development Administration, the U.S. Small Business Administration, the U.S. 2 Department of Commerce, and the U.S. Department of Housing and Urban Development. TRADEC has also worked extensively with minority populations including American Indian tribes and Hispanics. Two TRADEC principals are women and the professional staff is two-thirds women. We have one national Korean and one national German on staff as well. This represents staff language fluency in German, French and Korean. In summary, TRADEC has the expertise and commitment to economic development initiatives in Central Washington which will allow our firm to successfully complete the proposed scope of work. IL SCOPE OF SERVICES This scope of work represents benchmark activities and is not intended to be a comprehensive list of tasks to be accomplished. A Comprehensive Action Plan will be developed and serve as the overall management document and will detail tasks and responsibilities as well as establish a timeline for execution. ACTIVITY I April - May 1994 Draft the actual Strategic Plan for submittal with FCC application. • Provide description and census information on the proposed Zone. • Identify and describe critical needs within the proposed Zone. • Identify and describe strengths of the proposed Zone and tie to existing needs. • Highlight City's objectives in utilizing Zone designation. • Identify and describe the various programs affected/initiated by FEC designation. • List the various constituencies involved and tie their participation to the different programs. • Identify key funding sources • Identify potential barriers and possible solutions. • Describe a plan of action for implementing the Strategic Plan upon designation. 3 DELIVERABLE Strategic Plan ACTIVITY II DELIVERABLE May - June 1994 Execute Targeted Meetings to leverage support or input on the EEC application and designation. Meetings with local, State, and Federal Officials III. TERM OF AGREEMENT AND COMPENSATION TRADEC will work closely with the City to coordinate and accomplish the afore mentioned activities as they relate to the City's stated goals and objectives. A. Term of Agreement The City of Yakima agrees to retain TRADEC for a period of 8 weeks beginning April 12, 1994 and ending June 30, 1994. to execute activities I - II. B. Consideration Compensation to TRADEC for its services will be an amount not to exceed $4,500 total, payable in equal installments on April 30, 1994 and June 30, 1994. TRADEC shall also be reimbursed for its expenses as documented including but not limited to phone, fax, postage, mileage, copies/printing, airfare, hotel and per diem expenses. Such expenses must be reasonable and must receive prior approval from the City Director of Community & Economic Development before the City will reimburse TRADEC. C. Documentation TRADEC will submit an invoice upon execution of this contract for the first installment of the retainer amount, payable prior to the last day of that month. Documentation of services performed, hours worked and expenses incurred for that month will be submitted the following month. D. Exclusiveness TRADEC will provide Enterprise Community, Enterprise Empowerment, and Rural Empowerment Community services exclusively to the City of Yakima. No employee or independent contractor of TRADEC may supply support of any other community application in the State of Washington towards empowerment or enterprise community during the term of this agreement. 4 IV. PROJECT MANAGEMENT AND STAFFING REQUIREMENTS The majority of coordinator's work will be conducted from TRADEC's Yakima office with on-site work in Seattle and Washington D.C. as required. Project management and staffing: The project manager will be Leslie Flath Ganz, Vice President of TRADEC. Ms. Ganz will have overall responsibility for the project and for ensuring the timely completion of each component within the project budget and for liaison with the client. Michelle Bogard in TRADEC's Yakima office will be responsible for all day- to-day activities and will serve as the principal liaison with the client. She will be assisted by Shelly Glover. Serving as Senior Advisor on the project will be Scott Jackson, President and C.E.O., of TRADEC. Mr. Jackson will be involved primarily in analytical activities including overall project development and strategic planning. Key personnel biographical sketches Scott Jackson, President & Chief Executive Officer Mr. Jackson received his Masters in International Business from the University of Edinburgh as a Rotary Foundation Scholar. His professional experience includes positions in both the public and private sectors. As District Director for former Congressman Don Bonker, Mr. Jackson was responsible for international trade policy and legislative work including the 1988 Omnibus Trade Act, the U.S. Department of Commerce and the U.S. Department of Agriculture. Mr. Jackson has been directly responsible for numerous international marketing and promotion events and activities resulting in opening up new markets for businesses, which includes identifying and securing seed and programming funds for economic development initiatives - Leslie Flath Ganz, Vice President Ms. Ganz holds a Bachelor of Arts degree in Government from Georgetown University and has held positions with the International Monetary Fund, the Pathfinder Corporation for International Trade and Pacific Northwest Ballet's marketing department. Ms. Ganz was responsible for overall project development and execution of the 1990 Goodwill Games International Trade Exhibition, the Washington State Agricultural Showcase and the 1993 Export Expo in Buffalo, NY. Ms. Ganz is proficient in French and her responsibilities at TRADEC include project management and business development. 5 Michelle D. Bogard, Associate Ms. Bogard holds a Bachelor of Arts in Intentional Studies from Southern Oregon State College and has experience in public sector funding procurement research, event planning and international promotion through her work with the International Trade Institute in Portland, OR and a hardwood veneer import/export company. Ms. Bogard is fluent in German and manages the promotional marketing division at TRADEC. Shelly Glover, Associate Ms. Glover is certified in tourism and hospitality through the American Hotel and Motel Association Education Institution. She has gained extensive intentional marketing experience through volunteer work for the Central Washington International Trade Resource Center. Shelly is responsible for providing assistance to Senior Associate Michelle Bogard on Washington State Agricultural Showcase as well as other Central Washington accounts. V. ADDITIONAL TERMS A. Status of TRADEC TRADEC and the City understand and expressly agree that TRADEC is an independent contractor in the performance of each and every part of this Agreement. TRADEC shall have no authority to nor shall TRADEC represent that it has authorization to bind the City in any manner. TRADEC shall make no claim of City employment nor shall claim any related employment benefits, social security, and/or retirement. B. Taxes and Assessments TRADEC shall be solely responsible for and shall pay all taxes, deductions, and assessments, including but not limited to, federal income tax, withholding tax, social security tax, and other deductions from income which may be required by law or assessed against either party as a result of this Agreement. In the event the City is assessed a tax or assessment as a result of this Agreement, TRADEC shall pay the same before it becomes due. C. Non -Discrimination During the performance of this Agreement, TRADEC shall not discriminate on the basis of race, color, sex, religion, national origin, creed, or the presence of any sensory, mental, or physical handicap. 6 D. Compliance With Law TRADEC agrees to perform all services under and pursuant to this Agreement in full compliance with any and all applicable laws, rules, and regulations adopted or promulgated by any governmental agency or regulatory body, whether federal, state, local, or otherwise. E. No Insurance It is understood the City does not maintain liability insurance on TRADEC. F. Hold Harmless TRADEC shall defend, indemnify, and hold harmless the City, its agents, officers, and employees from any and all liability or loss, and against all claims or actions based upon or arising out of damage or injury, including death, to persons or property caused by or sustained in connection with TRADEC's performance of this Agreement. G. Delegation of Professional Services Services provided for herein shall be performed by TRADEC, and no person other than regular associates or employees of TRADEC shall be engaged upon such work or services except upon written approval of the City. H. Assignment This Agreement, or any interest herein, or daim hereunder, shall not be assigned or transferred in whole or in part by TRADEC to any other person or entity without the prior written consent of the City. In the event that such prior written consent to an assignment is granted, then the assignee shall assume all duties, obligations, and liabilities of TRADEC as stated herein. I. Termination The City may terminate this Agreement, with or without cause, by giving TRADEC ten (10) days written notice of termination. J. Severability If any portion of the Agreement is changed per mutual agreement or any portion is held invalid, the remainder of the Agreement shall remain in full force and effect. 7 K. Integration This written document constitutes the entire agreement between the parties. No changes or additions to this Agreement shall be valid or binding upon either party unless such change or addition be in writing and executed by both parties. L. Notices Unless stated otherwise herein, all notices and demands shall be in writing and sent to the parties at their addresses as follows: To City: To Contractor City Manager City of Yakima 129 North 2nd Street Yakima, WA 98901 TRADEC Trade and Development Consortium, Inc One Union Square 600 University Street, Suite 2801 Seattle, WA 98101 or to such addresses as the parties may hereafter designate in writing. Notices and/or demands shall be sent by registered or certified mail, postage prepaid. Such notices shall be deemed effective when mailed or hand -delivered at the addresses specified above. M. Attorneys' Fees In the event that any suit or action is instituted by either party to enforce compliance with or interpret any of the terms, covenants, or conditions of this Agreement, the prevailing party shall be entitled to collect, in addition to necessary court costs, such sums as the court may adjudge as reasonable attorneys' fees. The venue for any action to enforce or interpret this Agreement shall lie in the Superior Court of Washington for Yakima County, Washington.
