A RESOLUTION authorizing the execution of an agreement with
the State of Washington for the construction of a
park and ride lot at Chesterly Park.
WHEREAS, the State of Washington is in need of a park and
ride lot in the vicinity of the state highway system and North
40th Avenue; and
WHEREAS, the City of Yakima has developed a project
entitled Chesterly Park Improvement, which will include ap-
proximately 38 park and ride recreational parking stalls on
the west side of Chesterly Park; and
WHEREAS, the proposed park and ride use and recreational
use are generally complementary to one another in time and
purpose; and
WHEREAS, the State of Washington has requested and been
assured of $30,000.00 of funding from the Power 'Washington
Funds to be applied to the aforementioned park and ride lot;
and
WHEREAS, City Council deems it to be in the best interest
of the City of Yakima to enter into an agreement pursuant to
the terms of RCW 47.28.140 with the State of Washington, now,
therefore
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA:
The City Manager and City Clerk are hereby authorized and
directed to execute the attached and incorporated agreement
with thestate of Washington entitled "Agreement GC -9329" for
the construction of a park and ride lot at Chesterly Park
within the City of Yakima.

AGREEMENT GC - 9329
THIS AGREEMENT, made and entered into this )€D fh day
of Ar i ( , 19,�'2.between the STATE OF WASHINGTON,
Department of Transportation, acting by and through the
Secretary of Transportation, hereinafter called the 'STATE',
and the City of Yakima, 129 North Second Street, Yakima,
Washington 98901 acting through the City Manager hereinafter
called the LOCAL AGENCY.
WHEREAS, the STATE is in need of a Park and Ride Lot in
the vicinity of the state highway system and North 40th
Avenue, and
WHEREAS, the LOCAL AGENCY has developed a project
titled Chesterly Park Improvement, which will include
approximately 38 park and ride and recreational parking
stalls on the west side of the Park, and
WHEREAS, the park and ride use and the recreational
parking use will be in generally complementary time
periods, and
WHEREAS, this construction will facilitate additional
future parking construction, and
WHEREAS, the STATE has requested and been assured of
$30,000 from the Power Washington Funds to be applied to
park-and-ride lot construction in the Yakima area, and
WHEREAS, it is deemed in the best public interest for
the STATE to participate in the LOCAL AGENCY'S construction
contract proposed for the above -noted project.
NOW THEREFORE, by virtue of RCW 47.28.140 and in
consideration of the terms, conditions, covenants, and
performances contained herein, or attached and incorporated
and made a part hereof, IT IS MUTUALLY AGREED AS FOLLOWS:
I
GENERAL
The LOCAL AGENCY, as agent acting by and on behalf of
the STATE, agrees to construct the above-mentioned park and
ride lot.
Plans, specifications and cost estimates shall be
prepared by the LOCAL AGENCY. The LOCAL AGENCY will
advertise the resulting project for bid and, assuming bids
are received and a contract is awarded, administer the
contract. The LOCAL AGENCY may alternately construct this
facility with its own forces.
The LOCAL AGENCY agrees to submit plans and
specifications for the described work as shown on Exhibit
"B",attached hereto and by this reference made a part of
this AGREEMENT, to the STATE for approval of the project.
The STATE may, if it desires, furnish an inspector on
the project. Any costs for such inspection will be borne
solely by the STATE. All contact between said inspector and
the LOCAL AGENCY'S contractor shall be through the LOCAL
AGENCY'S representative.

PAYMENT
The STATE, in consideration of the faithful performance
of the work to be done by the LOCAL AGENCY, agrees to
reimburse the LOCAL AGENCY for 100% of the actual direct and
related indirect cost of the work. The total amount of the
reimbursement under this Agreement shall not exceed thirty
thousand dollars ($30,000).
An itemized estimate of cost for work to be performed
by the LOCAL AGENCY is marked Exhibit "A", and is attached
hereto and by this reference made a part of this AGREEMENT.
Partial payments shall be made by the STATE, upon
request of the LOCAL AGENCY, to cover costs incurred. These
payments are not to be more frequent than one (1) per month.
It is agreed that any such partial payment will not
constitute agreement as to the appropriateness of any item
and that, at the time of the final audit, all required
adjustments will be made and reflected in the final payment.
The LOCAL AGENCY agrees to submit a final bill to the
STATE within forty-five (45) days after the LOCAL AGENCY has
completed the work.
During the progress of the construction and for a
period not less than 3 years from the date of final payment
to the LOCAL AGENCY, the records and accounts pertaining to
the construction of the project, and accounting
therefore,are to be kept available for inspection and audit
by the State and/or Federal Government and copies of all
records, accounts, documents, or other data pertaining to
the project will be furnished upon request.
III
OPERATIONS AND MAINTENANCE
The site shall be signed as a Park and Ride Lot. The
LOCAL AGENCY agrees to operate and maintain the Park and
Ride Lot for a minimum of 5 years from date of completion.
The LOCAL AGENCY at their option may enter into an agreement
with either a public entity or a private corporation for the
operation and maintenance of the facility. The State
reserves the right to enter the premises and maintain the
Park and Ride Lot if the maintenance level is inadequate to
provide a safe and functional facility. the LOCAL AGENCY
shall reimburse the State for such maintenance expenses
within 30 days of billing.
Iv
LEGAL RELATIONS
No liability shall attach to the STATE or the LOCAL AGENCY
by reason of entering into this AGREEMENT except as.
expressly provided herein.
IN WITNESS WHEREOF, the parties hereto have executed this
AGREEMENT as of the day and year first above written.

SUMMARY EXPLANATION:
The Washington State Department of Transportation is interested in estab-
lishing a Park and Ride Lot at Chesterley Park and is willing to contribute
$30,000 to the funding of this project.

STAFF RECOMMENDATION: Authorize the City Manager to enter into an Agree-
ment with the Washington State Department of Transportation.
BOARD/COMMISSION RECOMMENDATION: Parks and Recreation Commission con-
cur with proposal and City Council Transit Committee has discussed at their
meeting of September 1991.
