A RESOLUTION authorizing and directing the City Manager of the
City of Yakima to execute a Service Agreement
between the City and the Kittitas-Yakima Resource
Conservation and Economic Development District
(Ki -Yak).
WHEREAS, the Kittitas-Yakima Resource Conservation and
Economic Development District (hereafter "Ki -Yak") is the
organizer- of the 1992 Washington State Agricultural Showcase
(hereafter "Ag Showcase"), taking place in the Yakima Valley
Sundome, Yakima, Washington, on August 19-21,1992; and
WHEREAS, the Ag Showcase is planned to exhibit Washington
State agriculture to the world, for which purpose no less than
one hundred attendees are expected from Europe, Asia, Austra-
lia, and other foreign locations, which people together with
prospective national and state attendees will use within the
City of Yakima and its neighboring areas food, entertainment,
transportation, and lodging facilities, and will view products
produced locally, as well as tour local production areas, all
of which activities will promote economic development and
secondary economic activity to the City's benefit; and
KHEREAS, Ki -Yak has expertise and experience to produce a
well -attended and successful event and has agreed to the terms
and conditions of a service agreement proposed by the City;
and
WHEREAS, the City has authority pursuant to RCW 35.21.700
and 35.60.030 to participate as a sponsor of the Ag Showcase,
now, therefore,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA:
The City Manager and City Clerk of the City of Yakima are
hereby authorized and directed to execute a Service Agreement
with the Kittitas-Yakima Resource Conservation and Economic

Development "District, a copy of which agreement is attached
and incorporated herein by this reference.

SERVICE AGREEMENT FOR 1992 WASHINGTON STATE
AGRICULTURAL SHOWCASE
WHEREAS, the City of Yakima (hereafter "the City") seeks to
enhance tourism and economic development within its boundaries,
including increase of commercial, industrial, and other business
activity; such enhanced economic development will aid in improving
the quality of life for City residents by providing a more diversi-
fied economic base, employment opportunities, and greater prosperi-
ty; and
WHEREAS, Kittitas-Yakima Resource Conservation and Economic
Development District (hereafter "Ki -Yak") employs staff who possess
expertise in community economic development, and has resources,
facilities, and services available to assist the City in enhancing
its tourism and economic development; and
WHEREAS, Ki -Yak has proposed to produce an international trade
showcase scheduled for the Yakima Sundome during August 1992, and
benefits of this trade showcase to the City include but are not
limited to the following:
1. Potential for expansion of wholesale trade services;
2. Potential for increasing the competitiveness of existing local
agricultural industries;
3. Increased retail sales;
4. Opportunities for air freight to international destinations;
5. Development of Sundome as a destination for agricultural -
related trade events;
6. Increasing year-round shipments by trucking terminus; and
WHEREAS, the City desires to memorialize the terms of its
showcase sponsorship with Ki -Yak,
THEREFORE, in consideration of the mutual promises contained
herein, and the mutual benefit resulting from the performance of
this Agreement, and for other good and valuable considerations
including payment by the City to Ki -Yak in the sum of $5,000.00,
the parties agree as follows:
1. Ki -Yak shall plan, promote, produce, and hold an international
trade showcase at the Yakima Sundome on or about August 1992,
as set forth in the attached proposal for sponsorship num-
bering four (4) pages, which are attached hereto and incorpo-
rated by reference as Exhibit "A".
2. The City shall be entitled to and shall receive all benefits
given to other $5,000.00 sponsors including but not limited to
(a) being entitled to appoint a voting member to the Showcase
Advisory Committee; (b) the name "City of Yakima" and/or a
logo approved by the City shall appear on signage and
advertising promoting the international showcase; the City
shall be given the opportunity to review and approve all such

signs or advertising prior to publication, distribution or
dissemination; (c) option of hosting special events for
showcase participants and delegations; (d) option of hosting
tours of Yakima for showcase participants and delegations; (e)
introduction of City officials and personnel to international
delegates; (f) option of City officials and personnel to
participate in special events with showcase participants and
international delegates; (g) promotion to and walk through
traffic of direct buying customers from Washington State and
the greater Pacific Northwest at the showcase event.
3. Ki -Yak shall submit to the City a written report no less than
two months after the international trade showcase which shall
discuss the impacts of the showcase on promotion of economic
development in Yakima, with detailed description of the fol-
lowing related to the showcase event:
(A) Identify all foreign delegations attending the showcase;
(5) Identify and describe sales leads made;
(C) Identify and describe economic development impact in
terms of high value markets represented at the showcase;
(D) Identify and describe the potential increase, if any, of
agricultural and other industry development. in Yakima;
(E) Identify the number of lodging rooms utilized both in
Yakima and within Yakima County generally, due to the
showcase event;
(F) Identify the potential impact of freight transportation
industry on Yakima due to the showcase event.
4. The records and documents with respect to all matters covered
by this Agreement are subject at all reasonable times to
inspection, :review, and audits by the City and/or feder-
al/state officials, including but not limited to the
Washington State Auditor.
5. During the term of this Agreement, Ki -Yak shall not discrimi-
nate on the basis of race, color, sex, religion, nationality,
creed, marital status, age, or handicap in employment or
application for employment or in the administration or deliv-
ery of services or other benefits under this Agreement.
6. Ki -Yak shall defend, indemnify, and hold harmless the City and
its officers, employees, and agents from any and all liabili-
ty, injury or damage arising out of its performance of this
Agreement.
7. Ki -Yak shall not assign any of its duties under this Agreement
without prior written consent of the City.
8. The City of Yakima will cooperate with Ki -Yak in producing
printed and photocopied material for distribution to showcase
participants.

9. This Agreement may be amended by written consent of both
parties without need of additional consideration.
10. Venue under this Agreement shall be Yakima County, Washing-
ton.

OVERVIEW _
Washington State's agricultural industry boasts one of the most diverse bases of crop and livestock
production in the world and an equally diverse set of agribusinesses. The 1992 Washington State
Agricultural Showcase will provide an opportunity for exhibitors throughout the state to exhibit
their products and related technologies to industry and government leaders and select international
buying delegations from around the world.
• International Participation: Targeted buyer delegations from between 4 - 6 countries will
travel to Washington learn more about the state's rich agricultural base. International participants
will be hosted in Yakima Valley where they will have the opportunity to meet individual food and
ag producers during the Valley's peak harvest time. International buyers will participate in special
events with exhibitors as well as take off-site tours through the Valley's production areas.
• Leadership Tours: Leadership Tours will be conducted during the course of the Showcase
where groups of organizations from throughout the Pacific Northwest will tour the Showcase
exhibit. Broad groupings will include elected officials and public sector representatives, trade
service organizations and the food -related industry.
• Export Training Seminars: Export training seminars will be conducted for exhibitors prior
to the Showcase. Participation in all educational programming is included in the exhibitor
registration fee.
