RESOLUTION NO.
A RESOLUTION authorizing the execution of an agreement for
services between the City of Yakima and Yakima
County Fire Protection District #10.
WHEREAS, the territory of Yakima County Fire Protection
District #10 lies within the boundaries of the City of Yakima
urban area; and
WHEREAS, the City of Yakima has heretofore annexed por-
tions of Yakima County Fire District #10; and
SHEREAS, the City of Yakima plans to annex, through a
ser]es of annexations, the remainder of the territory of
Yakima County Fire Protection District *10; and
WHEREAS, the annexation process will cause a loss of
revenue to the District and create an obligation by the Dis-
trict to pay a portion of its assets to the City; and
hHEREaS, the City of Yakima and Yakima County Fire Pro-
tection District t10 desire to maintain during the annexation
transition period, fire suppression and emergency medical
srr.ices at the same or better level that existed in the past;
and
WHEREAS, the City of Yakima and Yakima County Fire Pro-
tection District #10 wish to provide for the orderly tran-
sition of the District's property, assets, personnel, and
obligations upon annexation of fifty percent (50%) of the
District's assessed valuation to the City of Yakima, now,
therefore,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA:
The City Manager and the City Clerk are hereby authorized
and directed to execute the attached and incorporated "City of

CITY OF YAKIMA AND YAKIMA COUNTY FIRE PROTECTION DISTRICT #10
AGREEMENT FOR SERVICES
This Agreement is entered into between the CITY OF YAKIMA, a
municipal corporation, hereafter referred to as "City" and YAKIMA
COUNTY FIRE PROTECTION DISTRICT NO. 10, a municipal corporation,
hereafter referred to as "District."
A. This Agreement is entered into by the City under the
authority of RCN 35,22.280 and the District under the authority of
RCW 52.12.031 and in conformity with RCW 39,34, the Interlocal
Cooperation Act.
B. The District and the City currently each maintain and
operate their own fire departments to provide fire protection, fire
suppression, and emergency medical services in their respective
areas.
The District intends to contract with the City for vehi-
cle and radio maintenance and assistance in answering calls for
fire suppression and emergency medical service to the area within
the boundaries of the District.
D. The City plans to annex substantial portions of
the area
of the District which will affect the ability of the District to
maintain the same quality of fire prevention, suppression, and
emergency medical services throughout the remainder of the Dis-
trict. The District wishes to mitigate mandated reductions in taK
revenue and payments to the City upon annexation by creating a
service Agreement with the City which assures the orderly transfer
of revenue, assets, and employees to the City from the District in
exchange for City services. The intent of both parties is to
maintain or improve the fire protection and emergency medical
services to the citizens of the District and to provide for a

tion of the District into the City of Yakima Fire Department.
E. It is the purpose of this Agreement to provide the terms
and conditions under which the City will provide services to the
District.
To carry out the purposes of this Agreement and in consider-
ation of the mutual benefits to be received by each party, the
parties mutually agreed as follows:
1. Term. This Agreement shall commence on the first day of
January, 1991, and shall continue for a term of five years termi-
nating on December 31, 1996. Provided, however, this Agreement

2. Service to be provided by City.

materials, and spare parts, exclusive of motor fuel, necessary for
such maintenance, service, and repair. The District shall reim-

($50) per radio per year. The City reserves the right to refuse to
maintain, repair, or service those District vehicles and radios

After payment of the Districts expenses as itemized above,
the balance of the funds shall be paid to the City each Year in
equal semi-annual installments on or before June 30 and December
31. The first installment shall be due and payable June 30, 1991.
All payments shall be made to the City Director of Finance and
Budget at City Hall in Yakima.
It is agreed and understood that if the payments do not cover
the actual, reasonable, and necessary costs of vehicle maintenance,
repair, and service, fire suppression, and emergency medical ser-
vices to the District, and that if the additional rewired revenues
are not provided through an approved excess levy, that the services
provided by the City to the District shall be reduced to a level
commensurate with the funds available, as directed by the City and

approved by the District. Such approval shall not be unreasonably
withheld by the District.
4. Property and Vehicle Liability Insurance, The District
shall provide fire and casualty insurance coverage for all build-
ings owned by the District. The District shall provide vehicle
liability, comprehensive, and collision Insurance for all District
vehicles with amounts of coverage to be mutually agreed by the
District's Commissioners and the City Fire Chief. In the event of
any loss, the proceeds of such insurance shall be used to restore
or re -acquire the property subject to the loss provided both par-
ties mutually agree.
Property Ownership. All real property currently owned by
the District is described in Attachment 2 which is attached and
incorporated herein. Attachment 3, which is attached and incorpor-
ated herein, describes all personal property which is presently
owned b' the District. The District shall not acquire or dispose
of any of its real and personal property without the mutual consent
of the City and District.
All District -owned real and personal property shall remain the
property of the District until such time as Distric,, territory

valuation or one hundred fifty million, three thousand five, nine
hundred eighty nine dollars ($150,305,989) is annexed by the City
in either single or multiple annexations. At such time title to
all District assets, Including but not limited to real and personal
property, shall pass to the City. Such conveyance shall include
after acquired personal property. The District shall execute all
necessary deeds and transfer documents to the City on or before the
effective date of the aforementioned annexation or annexations,

The City waives its rights to payments from the District upon
annexation of its territory under RCW 35.02.200.
6. Disso1uton. Upon passage of District and personal
property to the City under the terms of Section 5 herein, the
commission of the District shall petition the Yakima County Superi-
or Court under RCW 53.48 for the dissolution of the District. The
City and District shall mutually use their best efforts to dissolve
the district at such time.
7. Equipment Marking. All equipment and personal property
that has been or will be purchased by the District shall be dis-
tinctly marked as property of the District until such time as that
property passes to the City under Section 5 of this Agreement.
8. Operation of District Facilities. Until such time as
ownership passes to the City, the District shall have possession of
and the right to the use of all District real and personal property
which the District possesses currently or may acquire. In the
event of expiration of this Agreement and ownership of District
real and personal property has not passed to the City pursuant to
Section 5 of this Agreement, all such real and personal property
shall remain under the ownership of the District.
The District shall not acquire or improve any additional
property, real or personal, employ any personnel other than autho-
rized herein, incur any indebtedness, or engage in any act or
omission which would reduce the revenues to be paid to the City
under this Agreement unless mutually agreed to by the City and the
District.
9. Indebtedness. When the term of this Agreement has ex-
pired, the City shall assume all District indebtedness with the
exception of bonded indebtedness provided the City has assumed

ownership of all District real and personal property under Section
5 of this Agreement.
10. Normal Maintenance of District Facilities. The District
shall maintain and repair all District owned real property in as
good a condition as it exists upon execution of the Agreement.
11. District Personnel. Except as otherwise provided in this
Agreement, the District shall not employ any other person during
the term of this Agreement without the mutual consent of the Dis-
trict and City.

call volunteer fire fighters shall likewise be separated from
service. The City shall allow such on-call, volunteer fire fight-
ers to join its auxiliary fire fighter force in the event such an
auxiliary force shall exist, provided further, that they shall meet
the City's standards for admission.
12. Termination of Agreement. This Agreement shall not be
terminated prior to its expiration without the mutual consent of
the parties.
13. Liability. The City shall, at all times, be solely
responsible and liable for the acts or the failure to act of its
agents, officers, and employees and those District personnel which

it directs under this Agreement, that occur or arise in any way out
of the performance of this Agreement. The City shall defend,
indemnify, and hold harmless the District, its commissioners,
employees, volunteers, and agents from all costs, expenses, losses,
and damages, including costs of defense, incurred as a result of
any acts or omissions of the City or District employees, directed
by the City personnel,relating to the performance of this Agree-
ment.
The District shall, at all times, be solely responsible and
liable for the acts and failure to act of its agents, volunteers,
commissioners, and employees and those City personnel which it
directs under this Agreement that occur or arise in any way out of
the performance of this Agreement. The District shall defend,
indemnify, and hold harmless the City, its officials, employees,
and agents from all costs, expenses, losses, and damages, including
cost of defense, incurred as a result of any acts or omissions of
the District's commissioners, employees, volunteers, and agents in
the performance of this Agreement which acts or omission are not at
the direction of the City.
14. Annual Meeting. The Board of Commissioners of the Dis-
trict and the City Council shall hold an annual joint meeting to
review the operation of the Fire Department during the preceding
year and to discuss the service levels and equipment to be provided
during the next Year. The meeting shall be scheduled at an agree-
able time on or before July 1 of each year. The City may request
special meetings of the Board of Commissioners (or vice versa) as
the need arises.
15. CommissionersMeetings. The City Manager of the City or
an officer representing the Fire Department Administration may
attend all regular and special meetings of the District Board of

Commissioners and shall attend such meetings when requested by the
Board of Commissioners.
16. Modification. This instrument constitutes the entire
agreement between the parties and supercedes all prior agreements.
No modification or amendment shall be valid unless evidenced in
writing, properly agreed to, and signed by both parties. In the
event that either of the parties shall desire to renegotiate any of
the provisions of this Agreement, such party shall notifv the other
party in writing of its intent.
17. Severability. If anv provision of this Agreement or its
application is held invalid, the remainder of the Agreement or the
application of the remainder of the Agreement shall not be affect-
ed.
18. Benefits, This Agreement is entered into for the benefit
of the parties to the Agreement only and shall confer no benefits,
direct or implied, on any third person individually or as a class.
19. Mutual Aid, Any Mutual Aid Agreements whereby the City
formerly agreed to aid and assist the District in fire suppression,
fire prevention or emergency medical services is hereby termi-
nated.
2O Breach. In the event of breach of this Agreement, either
party may seek specific performance against the other party in
addition to damages. Venue shall be in -the Yakima County Superior
Court. The prevailing party shall be entitled to reasonable attor-
ney fees. Failure by a party to assert rights and remedies granted
under this Agreement shall not be deemed to constitute waiver.
21. Notices. All notices, requests, demands, and other
communications required by this Agreement shall be in writing to

the addresses written below and the undersigned official and,
except as expressly provided elsewhere in this Agreement, shall be
deemed to have been given at the time of delivery if personally
delivered or at the time of mailing if mailed by first class,
postage prepaid and addressed to the party at its address as stated
in this Agreement or at such address as either party mav designate
at any time in writing.

Dear Commissioners:
On June 26 and 28, 1991 Jim Kennard and I conducted an inventory of Fire District
#10 property. While some discrepancies were noted, they were minor in nature.
Since the inventory was conducted over 8 months ago and all the equipment has been
in use since then, these variances were expected.
The inventory list was not extremely accurate. Many items were added on the
inventory report that I have submitted.
The inventory of the radio and pager equipment will be complete after June 30, 1991
because many of these items are still being used by District #10 Firefighters.

with the. specifications and within time
of delivery specified on the face of the
bid form. This bond shall insure the

bidder to promptly correct all
discrepancies in manufacture, materials,
quality of workmanship, appearance of
the finished article. A certified or
