RESOLUTION NO.
5766
A RESOLUTION authorizing the City Manager and the City Clerk
of the City of Yakima to execute an agreement
with Huibregtse, Louman Associates, Inc., an
independent contractor to perform automated
mapping personal services in an amount not to
exceed $5,000.00.
WHEREAS, the City is implementing a Computer -Aided Geo-
graphical Information System (GIS) requiring the digitizing of
the City Quarter -Section Parcel Maps into the City's Prime
9955 Computer, and
WHEREAS, the City has approximately two hundred and
eight-\. (280) City Qualter-Section Parcel Maps to digitize into
the City's Prime 9955 Computer, and
WHEREAS, the City has inadequate staff to digitize the
Citl Quarter -Section Parcel Maps into the City's Prime 9955
Cumputer, and
WHEREAS, the Contractor has been trained in the use of
the Citv's GIS hardhare and software and is skilled in the
digitizinri of the City's Quarter -Section -Parcel Maps, now,
thPrefore,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA
The City Manager and City Clerk of the City of Yakima are
hereh\ authorized to execute the attached Automated Mapping
Personal Services Agreement which is attached hereto and by
reference made a part hereof.

AGREEMENT
Automated Mapping Personal Services Agreement
THIS AGREEMENT is entered into on this 29th day of June
1990, by and between the City of Yakima, herein called the City, and
Huibregtse, Louman Associates, Inc., an independent contractor, and herein
called the Contractor.
Recitals
A. WHEREAS, the City is implementing a Computer -Aided Geographical
Information System (GIS) requiring the digitizing of the City Quarter -Section
Parcel Maps into the City's Prime 9955 Computer; and
B. WHEREAS, the City has approximately two hundred and eighty (280)
City Quarter -Section Parcel Maps to digitize into the City's Prime 9955
Computer; and
C. WHEREAS, the City has inadequate staff to digitize the City Quarter -
Section Parcel Maps into the the City's Prime 9955 Computer; and
D. WHEREAS, the Contractor has been trained in the use of the City's GIS
hardware and software and is skilled in the digitizing of the City's Quarter -
Section Parcel Maps.
NOW, THEREFORE, the City and the Contractor mutually agree as follows:
Terms
1. DUTIES AND RESPONSIBILITIES
1.1 The Contractor shall digitize the City Quarter -Section Parcel
Maps into the City's Prime 9955 Computer system using the City's
ARC -INFO mapping system according to the following steps 'a'
through 'n':
a. copy a Tile Boundary from the ARC -INFO library into a
work area;
b. select a City Quarter -Section Parcel Map and fasten it onto
the digitizing board;
c. register the City Quarter -Section Parcel Map tic marks to
the copied Tile Boundary tic marks;

d. digitize each parcel outline;
e. enter label points for each parcel;
f. enter parcel numbers from the Yakima County Parcel
Maps into the proper Parcel;
g. digitize existing lot lines;
h. select -out lot line and save them into a lot line coverage;
i. enter Street Name Annotation onto the proper streets;
j. CLEAN the parcel coverage;
k. correct any errors
1. repeat steps 'j' and 'k' until all errors are corrected
m. calculate the number of Parcel Lines, Lot Lines and Parcel
IDs.
n. perform all other necessary requirments to fulfill the
duties of the Contractor as outlined herein.
1.2. The Contractor shall have completed the Parcel Coverage when
the coverage has been cleaned, all polygons are closed and the section
number and parcel numbers have been updated in the Parcel Coverage.
1.3. The Contractor shall complete a Parcel Map Digitizing Outline,
as contained in Exhibit A, for each City Quarter -Section Parcel Map
completed and give the completed form to the City's Information
Systems Manager.
1.4. The City's Information Systems Manager shall verify the Item
Counts and indicate agreement by initialing the indicated space on the
Parcel Map Digitizing Outline.
2. TIME
2.1. The Contractor shall complete the digitization process for all
Quarter -Section Parcel Maps by August 31, 1990.

3. TOOLS, MATERIALS AND PLACE OF WORK.
3.1. The City shall provide to the Contractor in a timely fashion all
information, maps, charts, files and materials necessary for the
Contractor to perform this contract.
3.2. The City, if the Contractor lacks appropriate equipment, shall
make available to the Contractor the Mapping Work Station, all other
equipment and the computer access necessary to perform the contract.
4. CONSIDERATION
4.1. The City shall pay the contractor four cents ($0.04) per Parcel Line
digitized, four cents ($0.04) per Parcel ID entered, eight cents ($0.08) per
lot line digitized and five dollars ($5.00) per Quarter Section completed.
4.2. The Contractor shall submit to the City by the first day of each
month an itemized bill for work completed and verified by the City on
the Parcel Map Digitizing Outlines in accordance with Term 1.4 of this
Agreement.
4.3 The City shall pay to the contractor the amount of the bill within
ten days of receipt of the bill.
4.4 The maximum total amount to be paid to the Contractor under
the terms of this agreement is five -thousand dollars ($5,000.00). Once
the Contractor has performed five -thousand dollars ($5,000.00) worth
of service as computed by section 4.1 above, the Contractor will only be
responsible for additional work if the City approves in writing a new
maximum amount to be paid to the Contractor. If the City authorizes
additional work the Contractor will perform the additional work at the
same terms, price, and conditions as otherwise set forth in this
agreement.

5. STATUS
5.1. The parties hereto agree that the relationship between them is
solely that of independent contractors and not that of joint ventures.
Huibregtse, Louman Associates, Inc. is acting for its own account, and
has no right or authority to assume or create any obligation of any kind
or to make any representation or warranty on behalf of or binding
upon the City. The Contractor shall be solely responsible for payment
of state, federal and local taxes which may be assessed as the result of
the performance of this agreement, including but not limited to, FICA,
Federal Income Tax, and Social Security Taxes. In the event the City
shall be required by the State of Washington or the United States or any
department thereof to pay any tax, penalty, fee, assessment or any
charge whatsoever arising out of the performance of this agreement,
the Contractor shall immediately pay back to the City the amount of
any such tax, penalty, fee, assessment or other charge whatsoever.
6. ASSIGNMENT
6.1. The Contractor's duties under this agreement shall not be
assigned in any way without the written consent of the City.

7. TERMINATION
7.1. In the event the Contractor fails to comply with any of the terms
and conditions of this agreement, the City may terminate this
agreement after giving the Contractor five (5) days written notice of
termination specifying the reasons for such termination. Furthermore,
either party may terminate this agreement by giving the other party
written notice at least fourteen (14) days prior to the effective date of
rmination. Notices provided for herein shall be personally delivered
or sent certified mail, return receipt requested, to the address of the
proper party designated at the end of this agreement.
7.2. In the event of early termination of this agreement, the
Contractor shall be paid for the work completed to the City's
satisfaction up to the time of the termination.
7.3. Upon early termination, the Contractor shall immediately turn
over to the City his work product together with all materials furnished
to him by the City.

8. MODIFICATION
8.1. No change or addition to this agreement shall be valid or
binding upon either party without the written consent of the other.
9. VENUE
9.1. In the event of litigation between the parties of this agreement,
the parties agree that the venue shall be in the Superior Court for
Yakima County.
