PROFESSIONAL SERVICES CONTRACT

THIS CONTRACT is made and entered into in duplicate originals by and between Yakima
Valley Office of Emergency Management, a Special Purpose Organization of Yakima County, with
its office located at 128 North 2 "d Street, Yakima Washington 98901, hereinafter " YVOEM," and The
City of Yakima Police Department, with their principal office at 200 South 3`d Street, Yakima, WA,
98901 hereinafter "CONTRACTOR."

3. SERVICES: PROVIDED BY YVOEM
In order t 8ssist the CONTRACTOR in fulfilling its duties under this Contract, YVOEM shall
provide the following:
a. Relevant information as exists to assist the CONTRACTOR with the
performance of the CONTRACTOR'S services.
b. Coordination with other Counties or other Consultants as necessary for the
performance of the CONTRACTOR'S services.

to be performed by the CONTRACTOR under this Contract and such failure has not been cured
within ten (10) days following notice from YVOEM, then YVOEM may, in its sole discretion, upon

written notice to the CONTRACTOR, withhold any and all monies due and payable to the
CONTRACTOR, without penalty, until such failure to perform is cured or otherwise adjudicated.
"Substantial" for purposes of this contract means faithfully fulfilling the terms of this contract with
variances only for technical or minor omissions or defects.
f. Unless otherwise provided for in this Contract or any exhibits or attachments
hereto, the CONTRACTOR will not be paid for any billings or invoices presented for payment prior to
the execution of this Contract or after its termination.
6. AMENDMENTS AND CHANGES IN WORK
a. No amendment, modification, or renewal shall be mad&,to this Contract unless
set forth in a written Contract Amendment, signed by both parties and attached to this.,�Contract.
Work under a Contract Amendment shall not proceed until the Contract Amendment is dul,iAbxecuted
by YVOEM.
7. HOLD HARMLESS AND INDEMNIFICATION
a. The CONTRACTOR does release, indemnify, and promise to defend and save
harmless YVOEM, its elected officials, officers, employees and agents from and against any and all
liability, loss, damages, expense,, action , and claims; inc(uding� costs;1and seasonable attorney's fees
incurred by YVOEM, its elected officials, officers, employees and agents in defense thereof, asserting
or arising directly or indirectly on account of or`out,of tI16,performance of service pursuant to this
agreement. In making such assurances, the„ contractor specifically agrees to indemnify and hold
harmless YVOEM from any and all bodHy,,Jhjury claim`s: brought by employees of the contractor and
expressly waives its immunity under the fndustrial�Insuran'ce,Act as to those claims which are brought
against the YVOEM. Provided, however, this paragraph does not purport to indemnify YVOEM
against the liability for damages ansir%g out of bodily injuries to person or damages caused by or
resulting from the sole negligence:of YV.OEM, its elected officials, officers, employees and agents.

CONSULkI, might have had under such laws. By executing the Contract, the CONSULTANT
acknowledges that the,.foregoing waiver has been mutually negotiated by the parties and that the
provisions�r1of_ this Section shall be incorporated, as relevant, into any contract the CONSULTANT
makes with`�any,asubcontractor or agent performing work hereunder.
C. The CONTRACTOR'S obligations hereunder shall include, but are not limited to,
investigating, adjusting and defending all claims alleging loss from action, error or omission, or
breach of any common law, statutory or other delegated duty by the CONTRACTOR, the
CONTRACTOR'S employees, agents or subcontractors.

What is "Debarment, Suspension'; Ineligibility, and Voluntary Exclusion "?
These terms refer to the status of a person or company that cannot contract with or receive grants
from a federal agency.
In order to be debarred, suspended or ineligible, or voluntarily excluded, you must have:
Had a contract or grant with a federal agency, and
Gone through some process where the federal agency notified or attempted to notify you that
you could not contract with the federal agency.
Generally, this process occurs where you, the contractor, are not qualified or are not
adequately performing under a contract, or have violated a regulation or law pertaining to the
contract.

Executive Order 12549 refers to Federal Executive Order�Number�1.2549:':The executive order was
signed by the President and directed federal age nciesto'ensure that federal agencies, and any state
or other agency receiving federal funds were not pontracting, or awarding grants to persons,
organizations, or companies who'have been excluded. fromparticipating in federal contracts or

10. TERMINATION
a. YVOEM may terminate this Contract in whole or in part whenever YVOEM determines,
in its sole discretion that such termination is in the best interests of YVOEM. YVOEM may terminate
this Contract upon giving ten (10) days written notice by Certified Mail to the CONTRACTOR. In that
event, YVOEM shall pay the CONTRACTOR for all cost incurred by the CONTRACTOR in
performing the Contract up to the date of such notice. Payment shall be made in accordance with
Section 5 of this Contract.
b. In the event that funding for this project is withdrawn, reduced, oK,Iimited n any way
after the effective date of this Contract, YVOEM may summarily;.,termi is Contract
notwithstanding any other termination provision of this Contract. Terminationb;under?this paragraph
shall be effective upon the date specified in the written notice of termination sentby YVOEM to the

regulations.
13. COMPLIANCE WITH LAWS
The CONTRACTOR shall comply with all applicable federal, State and local laws, rules and
regulations in performing this Contract.
Non - federal contractors receiving financial assistance of $500,000 or more�.,n, federal funds from all
sources, direct and indirect, are required to have a single or program - specific audit conducted in
accordance with the Office of Management and Budget (OMB) Circular A- 133 -Audit of States, Local
Governments, and Non - Profit Organizations (revised June 27, 2003effective for fisayears ending
after December 31, 2003). Non - federal entities that spend less tt ari $5.00,000 a�year in federal
awards are exempt from federal audit requirement for that year, exci as, noted in Circular No. A-

The Contractor shall maintain `records a'nd accounts so as to facilitate the audit requirement

and shall ensure that any subccAtryactors also maintain auditable records.
The Contractor is resp.onsibleA," any audit exceptions incurred by its own organization or that
of its subcontractors. F2esponses to,; any unresolved management findings and disallowed or
questioned costs shalF be included with the audit report. The Contractor must respond to YVOEM
requests for inform on ori,•corcect ue action concerning audit issues within 30 days of the date of
request. YVOEM reservkes the right to recover from the Contractor all disallowed costs resulting from
the audit.��
Once the single audit has been completed, the Contractor must send a full copy of the audit to
YVOEM and a letter stating there were no findings or if there were findings, the letter should provide
a list of thefindings. ,The Contractor must send the audit and the letter no later than nine (9)
months aftJ`er")the,Aip� of the Contractor's fiscal year(s) to:

In addition to sending a copy of the audit, the Contractor must include a corrective action plan for any
audit findings and a copy of the management letter if one was received.
14. INSPECTION OF BOOKS AND RECORDS

YVOEM may, at reasonable times, inspect the books and records of the
CONTRACTOR relating to the performance of this Contract. The CONTRACTOR shall keep all
records required by this Contract for five (5) years after termination of this Contract for audit
purposes.
15. NONDISCRIMINATION
The CONTRACTOR, its assignees, delegates, or subcontractors shall not discriminate against
any person in the performance of any of its obligations hereunder on the basis of race, color, creed,
religion, national origin, age, sex, marital status, Veteran status, sexual orientation or the presence of
any disability. Implementation of this provision shall be consistent with Initiative 200, Sec. 1 (effective
12/3/98).
16. DISPUTES

17. CHOICE OF LAW, JURISDICTION AND VENUE

If a court of cornp_etent jurisdiction holds any part, term or provision of this Contract to be

illegal, or invalid inwhole o`r;;in part; the validity of the remaining provisions shall not be affected, and
the partiest nghts a ' &--obligations shall be construed and enforced as if the Contract did not contain
the particular provision'`teld to be invalid.

19. ENTIRE AGREEMENT
The parties agree that this Contract is the complete expression of its terms and conditions.
Any oral or written representations or understandings not incorporated in this Contract are specifically
excluded. This contract in no way supersedes the requirements of exhibit C.
20. NOTICES

Any notices shall be effective if personally served upon the other party or if mailed registered
or certified mail, return receipt requested, to the addresses set out in Section 4. Notice may also be
given by facsimile with the original to follow by regular mail. Notice shall be deemed to be given
three days following the date of mailing or immediately if personally served. For service by facsimile,
service shall be effective upon receipt during working hours. If a facsimile is sent after working hours,
it shall be effective at the beginning of the next working day.
The parties to this Contract have executed this Contract in original duplicates as of the date
written below.
This Contract shall take effect on the date of final Signature on the Cover Page
