R 2001 - 165 A RESOLUTIONauthorizing and directing the City Manager of the City of Yakima to execute the attached amendment to extend the agreement with A & A Motorcoach, Inc., whereby said entity shall operate City of Yakima Transit Division Fixed -Route #3 through February 28, 2002. WHEREAS, the City of Yakima desires to extend the existing agreement with A & A Motorcoach Inc., to operate Transit Division Fixed -Route #3 through February 28, 2002; and WHEREAS, A & A Motorcoach, Inc. is willing to operate Transit Division Fixed -Route #3 through February 28, 2002 in accordance with the terms and conditions of the attached amendment and the existing agreement; and WHEREAS, the City Council deems it to be in the best interest of the City of Yakima to extend the agreement with A & A Motorcoach to operate Transit Division Fixed -Route #3 through February 28, 2002, now, therefore, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA: The City Manager of the City of Yakima is hereby authorized and directed to execute the attached amendment to extend the agreement with A & A Motorcoach, Inc., whereby said entity shall operate City of Yakima Transit Division Fixed -Route #3 through February 28, 2002. ADOPTED BY THE CITY COUNCIL this 18th day of December 2001. ATTEST: I/7 z.„ City Clerk Place, Mayor Amendment to Agreement Between The City of Yakima and A & A Motorcoach, Inc. This Amendment to an existing Agreement (City Contract # 99-93) between the City of Yakima (hereinafter the "City"), and A & A Motorcoach, Inc., a Washington Corporation (hereinafter the "Contractor"), is made and entered into this —;76 day of December, 2001. Whereas, the City entered into City Contract Number 99-93 with the Contractor for operation of Transit Division Fixed -Route #3; and Whereas, said Contract will terminate on December 31, 2001; and the City desires to extend said Contract through February 28, 2002; and Whereas, the Contractor is willing to continue to operate Transit Division Fixed - Route # 3 in accordance with the terms and conditions of this Amendment and the existing Agreement through February 28, 2002. Now, therefore, the City and the Contractor agree to the following extension and amendment of the existing Agreement: The term of the Agreement (City Contract # 99-93) is hereby extended through midnight February 28, 2002, at which time said Agreement shall terminate, unless sooner terminated by either party in accordance with Section 33 of the Agreement. The City shall pay the Contractor an amount not to exceed Twenty - Four Thousand Dollars ($24,000.00) for operation of Transit Division Fixed -Route #3 from January 1, 2002, through midnight February 28, 2002. Payment shall be made in accordance with the terms and conditions of the Agreement. Except as expressly modified herein, all other terms and conditions of the Agreement between the City of Yakima and A & A Motorcoach, Inc. (City Contract Number 99-93) shall remain in full force and effect. ' 575-6005 SUMMARY EXPLANATION: A majority of Council members voted at their December 4, 2001 Business Meeting to table action (until January 15, 2002) on whether or not the City should award the operation of Fixed -Route #3 (Mead/Fruitvale) to A & A Motorcoach, Inc. for an additional five—year term. The action to table was at the request of recently elected Council Member, Mr. Paul George. Mr. George requested that the seated Council Members allow him time to study the contracting issue and to vote on the matter since this transportation service contract would likely carry through his full term in office. In the interim period, it is recommended that the current Agreement with A & A Motorcoach be extended for an additional two months (January 1 -February 28, 2002). The estimated cost for providing a two-month extension to A & A Motorcoach is $24,000. The two-month extension does not require any budget appropriation. The amount required to cover the extension expenditure is budgeted in the 2002 Transit Operating Budget. 1\1r. Ammerman indicated to Staff that he is willing to accept the City's extension proposal.
