R-2006 - 28 A RESOLUTION authorizing and directing the City Manager to amend that certain Project Management Services Agreement by and between the City of Yakima and G.H. Pechtel & Associates, Inc., a Washington corporation, to provide for a termination date of not later than May 31, 2007. WHEREAS, the City of Yakima and G.H. Pechtel & Associates, Inc., entered into an agreement on or about July 5, 2005, to provide for project management services associated with the Old North Yakima National Historic District Renovation Project and the Yakima Avenue Downtown Futures Project (the "Agreement"); and WHEREAS, the Agreement specifies at Section 2 therein that it "shall terminate upon the earlier of (a) the performance of the maximum number of hours of work contemplated under Section 4(c) of this Agreement, (b) May 31, 2006, or (c) the date the Agreement is terminated by either party in accordance with Section 3."; and WHEREAS, a copy of the Agreement is attached hereto as Exhibit A, and incorporated herein by this reference; and WHEREAS, the parties to the Agreement have determined that the above -quoted clause providing for termination under certain circumstances but not later than May 31, 2006, was in error and that the same clause should have provided the date of May 31, 2007; and WHEREAS, the parties now wish to amend the Agreement to substitute the date of May 31, 2007, in lieu of May 31, 2006, at the relevant portion of Section 2 by executing Amendment One to Project Management Services Agreement as attached hereto as Exhibit B and incorporated herein by this reference; now, therefore BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA: The City Manager of the City of Yakima is hereby authorized and directed to execute Amendment One to Project Management Services Agreement in the form attached hereto as Exhibit B. ADOPTED BY THE CITY COUNCIL this 7th da of March, 2006 ATTEST: KtAa-v, Clerk David Edler, Mayor PROJECT MANAGEMENT SERVICES AGREEMENT THIS AGREEMENT is made and entered into by and between the City of Yakima, a Washington municipal corporation (hereafter the "City"), and G. H. Pechtel & Associates, Inc., a Washington corporation (hereafter the "Project Manager"). WHEREAS, the City desires to engage the Project Manager to perform professional project management services on an independent contractor basis as "Project Manager" for the following two projects: A. The "Old North Yakima National Historic District Renovation Project"; and B. The "Yakima Avenue Downtown Futures Project" (hereinafter referred to collectively as the "Projects"). WHEREAS, the principal of the Project Manager has the experience and expertise necessary to provide said independent contractor services in furtherance of the Projects and related developments in the Yakima community and is willing to provide such services in accordance with the terms and conditions of this Agreement and the City desires to employ the Project Manager to supply such services to it. NOW, THEREFORE, in consideration of the mutual covenants, promises, and agreements set forth herein, it is agreed by and between the City and the Project Manager as follows:. 1. Scope of Services. a. The Project Manager shall perform, through its principals and employees (except as otherwise set forth herein) to the best of its ability, normal and customary "project manager" services for the City relating to the Projects. The Project Manager understands that such duties are diverse and are not fully set forth in this Agreement, but include such work as: i. Manage the progress and construction schedule for the Projects in order to avoid unnecessary delays in and satisfactory completion of the Projects. ii. Prepare progress reports respecting the Projects to the City Manager and the Yakima City Council (or committees thereof) (the "Council") as required or requested by the City Manager or the Council. b. The scope of the Project Manager's duties under this Agreement includes the tasks set forth below, with the presently anticipated time commitments required for the Project Manager to complete such tasks, provided, however, that (i) the Project Manager shall be entitled to re -allocate time commitments among the tasks as the Project Manager deems appropriate and (ii) in no event shall the Project Manager provide more than the number of hours of work set forth below and in Section 4(c) of this Agreement: 1 ANTICIPATED TASK TIME (HOURS) 1.1 Project Design Elements 40 1.2 Council/Citizen Committees 140 1.3 Public/Private Meetings 80 1.4 Project Marketing/Public Relations 190 1.5 Project Scheduling, Business Communications, Written and Oral Reports 640 1.6 Future/Additional Project Funding 20 1.7 Project Management/Quality Control 130 1.8 Photo File 30 1.9 Ground Breaking/Project Completion Ceremonies 30 TOTAL HOURS 1300 c. The City shall provide the Project Manager with all requested information reasonably necessary for the Project Manager to carry out its services under this Agreement. 2. Term. The term of this Agreement shall be deemed to have commenced on June 1, 2005 (specifically for purposes of determining the date when the Project Manager shall be entitled to charge the City for work hereunder), and shall terminate upon the earlier of (a) the performance of the maximum number of hours of work contemplated under Section 4(c) of this Agreement, (b) May 31, 2006, or (c) the date the Agreement is terminated by either party in accordance with Section 3. 3. Termination. Either party may terminate this Agreement at any time, with or without cause, by providing the other party with written notice of termination no less than thirty (30) calendar days prior to the effective date of termination. In the event of such termination, the City shall compensate the Project Manager for services provided through the effective date of termination. 4. Consideration. a. The City shall pay the Project Manager for services rendered hereunder at the rate of One Hundred Thirty and 77/100 Dollars ($130.77) per hour, which rate shall not be required to be billed in less than one-quarter (1/4) hour increments. Except as otherwise provided herein, said hourly rate includes all expenses, costs and overhead (including but not limited to costs for secretarial and administrative support) of Project Manager in performing and providing the services required under this Agreement. The Project Manager shall submit to the City monthly invoices adequately describing all work performed and itemizing all hours worked by date. Upon receipt of said monthly invoice, the City shall make payment to the Project Manager within thirty (30) calendar days thereafter, provided, however, that all payments are expressly conditioned upon the Project Manager's providing services that are satisfactory to the City. The Project Manager shall 2 maintain adequate time records or logs reasonably necessary to substantiate all amounts itemized on the monthly invoices. b. In the event that either party exercises its right to terminate this Agreement in accordance with Section 3, the Project Manager shall be compensated in accordance with the above terms for all satisfactory services provided to the City up to the effective Agreement termination date. c. Unless otherwise amended in writing by the parties, the total amount of compensation paid to the Project Manager by the City under this Agreement shall not exceed One Hundred Seventy Thousand and No/100 Dollars ($170,000.00), which corresponds to One Thousand Three Hundred (1,300) hours of work. d. The City shall further supply, without cost to the Project Manager, the following during the term of this Agreement: i. A "Blackberry" or similar personal digital assistant/email/telephone device; ii. A web site (and development and maintenance costs thereof) for the Projects; iii. Secretarial assistance in connection with preparing mailings to the public or other interested persons regarding the Projects ("Project Mailings"); iv. All printing services associated with Project Mailings; and v. All handling, postage charges and other expenses incurred in connection with or associated with Project Mailings. 5. Inspection and Audit. The Project Manager shall maintain books, accounts, records, documents and other evidence pertaining to the costs and expenses allowable and consideration paid under this Agreement in accordance with generally accepted accounting practices. All such books of account and records required to be maintained by this Agreement shall be subject to inspection and audit by representatives of the City and/or of the Washington State Auditor at reasonable times, and the Project Manager shall afford the proper facilities for such inspection and audit. Such books of account and records may be copied by representatives of the City and/or of the Washington State Auditor where necessary to conduct or document an audit. The Project Manager shall preserve and make available all such books of account and records for a period of three (3) years after final payment under this Agreement. 6. Status of Project Manager. The Project Manager and the City understand and expressly agree that the Project Manager is an independent contractor in the performance of each and every part of this Agreement. The Project Manager, as an independent contractor, assumes the entire responsibility for carrying out and accomplishing the services required under this Agreement. The Project Manager expressly represents, warrants and agrees that its status as an independent contractor in the performance of the work and services required under this Agreement is consistent with and meets the six -part independent contractor test set forth in RCW 51.08.195. The Project Manager and its employees, agents and/or subcontractors shall make no claim of City employment nor shall claim against the City any related employment benefits, social security, and/ or retirement. Nothing contained herein 3 shall be interpreted as creating a relationship of servant, employee, partnership or agency between the Project Manager and the City. 7. Taxes and Assessments. Except for the responsibility of the City under Section 4 hereof, the Project Manager shall be solely responsible for compensating its employees, agents, and/or subcontractors and for paying all related taxes, deductions, and assessments, including but not limited to federal income tax, FICA, social security tax, assessments for unemployment and industrial injury, and other deductions from income which may be required by law or assessed against either party as a result of this Agreement. In the event the City is assessed a tax or assessment as a result of this Agreement, the Project Manager shall pay the same before it becomes due. 8. Nondiscrimination Provision. During the performance of this Agreement, the Project Manager shall not discriminate on the basis of race, age, color, sex, religion, national origin, creed, marital status, political affiliation, or the presence of any sensory, mental or physical handicap. This provision shall include but not be limited to the following: employment, upgrading, demotion, transfer, recruitment, advertising, layoff or termination, rates of pay or other forms of compensation, selection for training, and the provision of services under this Agreement. 9. Americans with Disabilities Act. The Project Manager shall comply with the Americans with Disabilities Act of 1990, 42 U.S.C. § 12101 et seq. (ADA), and its implementing regulations, and Washington State's anti -discrimination law as contained in RCW Chapter 49.60 and its implementing regulations, with regard to the activities and services provided pursuant to this Agreement. The ADA provides comprehensive civil rights to individuals with disabilities in the area of employment, public accommodations, public transportation, state and local government services, and telecommunications. 10. Compliance with Law. The Project Manager agrees to perform those services under and pursuant to this Agreement in full compliance with any and all applicable laws, rules, and regulations adopted or promulgated by any governmental agency or regulatory body, whether federal, state, local, or otherwise. 11. No Conflict of Interest. The Project Manager covenants that it does not have any interest and shall not hereafter acquire any interest, direct or indirect, which would conflict in any manner or degree with the performance of this Agreement. The Project Manager further covenants that it will not hire anyone or any entity having such a conflict of interest during the performance of this Agreement. 12. No Insurance. It is understood the City does not maintain liability insurance for the Project Manager and/or its employees. 13. Indemnification. a. The Project Manager agrees to hold harmless, indemnify, and defend the City, its elected officials, officers, employees, and agents from and against any and all suits, actions, claims, liability, damages, judgments, costs and expenses (including reasonable attorney's 4 fees) to the extent resulting from or arising out of the negligence of the Project Manager in connection with or incidental to the performance or non-performance of this Agreement. b. In the event that both the Project Manager and the City are negligent, each party shall be liable for its contributory share of negligence for any resulting suits, actions, claims, liability, damages, judgments, costs and expenses (including reasonable attorney's fees). c. The foregoing indemnity is specifically and expressly intended to constitute a waiver of the Project Manager's immunity under Washington's Industrial Insurance Act, RCW Title 51, as respects the other party only, and only to the extent necessary to provide the indemnified party with a full and complete indemnity of claims made by the Project Manager's employees. The parties acknowledge that these provisions were specifically negotiated and agreed upon by them. d. Nothing contained in this Section or this Agreement shall be construed to create a liability or a right of indemnification in any third party. e. The provisions of this Section shall survive the expiration or termination of this Agreement with respect to any event occurring prior to such expiration or termination. 14. Insurance Provided by the Project Manager. a. On or before the date this Agreement is fully executed by the parties, the Project Manager shall provide the City with a certificate of insurance as proof of commercial liability insurance with a minimum liability limit of One Million Dollars ($1,000,000.00) per occurrence/aggregate limit bodily injury and property damage. The certificate shall clearly state who the provider is, the amount of coverage, the policy number, and when the policy and provisions provided are in effect. Said policy shall be in effect for the duration of this Agreement. The policy shall name the City, its elected officials, officers, agents, and employees as additional insureds and shall contain a clause that the insurer will not cancel or reduce in limits the insurance without first giving the City thirty (30) calendar days' prior written notice. The insurance shall be with an insurance company or companies rated A - VII or higher in Best's Guide and admitted in the State of Washington. b. Industrial Insurance. The Project Manager shall comply with the provisions of RCW Title 51, Industrial Insurance. For the duration of this Agreement, the Project Manager shall provide or purchase industrial insurance coverage for its employees, as may be required of an "employer" as defined in RCW Title 51, and shall maintain full compliance with RCW Title 51. c. Insurance Provided by Subcontractors. The Project Manager shall ensure that all subcontractors it utilizes for work/services required under this Agreement shall comply with all of the above insurance requirements. d. Survival. The provisions of this Section shall survive the expiration or termination of this Agreement with respect to any event occurring prior to such expiration or termination. 15. Delegation of Professional Services. The services provided for herein shall be performed by the Project Manager, and no person other than the principals, regular 5 associates or employees of the Project Manager shall be engaged upon such work or services except upon written approval of the City. 16. Assignment. This Agreement, or any interest herein or claim hereunder, shall not be assigned or transferred in whole or in part by the Project Manager to any other person or entity without the prior written consent of the City. In the event that such prior written consent to an assignment is granted, then the assignee shall assume all duties, obligations, and liabilities of the Project Manager stated herein. 17. Waiver of Breach. A waiver by either party hereto of a breach by the other party hereto of any covenant or condition of this Agreement shall not impair the right of the party not in default to avail itself of any subsequent breach thereof. Leniency, delay or failure of either party to insist upon strict performance of any agreement, covenant or condition of this Agreement, or to exercise any right herein given in any one or more instances, shall not be construed as a waiver or relinquishment of any such agreement, covenant, condition or right. 18. Confidentiality. The Project Manager agrees to maintain total confidentiality with regard to information discerned from access to City records, except as otherwise required by law. Such information shall be held in strict confidence in accordance with the standards of conduct of the Project Manager Profession. 19. Severability. If any portion of this Agreement is changed per mutual agreement or any portion is held invalid, the remainder of the Agreement shall remain in full force and effect. 20. Neutral Authorship. Each of the provisions of this Agreement has been reviewed and negotiated and represents the combined work product of all parties hereto. No presumption or other rules of construction which would interpret the provisions of this Agreement in favor of or against the party preparing the same shall be applicable in connection with the construction or interpretation of any of the provisions of this Agreement. 21. Integration. This written document constitutes the entire agreement between the City and the Project Manager. There are no other oral or written Agreements between the parties as to the subjects covered herein. No changes or additions to this Agreement shall be valid or binding upon either party unless such change or addition be in writing and executed by both parties. 22. Notices. Unless stated otherwise herein, all notices and demands shall be in writing and sent or hand delivered to the parties to their addresses as follows: TO CITY: City Manager City Hall 129 North Second Street Yakima, WA 98901 6 TO PROJECT MANAGER: G. Notices and/or demands shall be sent by regular mail, postage prepaid, or hand delivered. Such notices shall be deemed effective when mailed or hand delivered at the addresses specified above. 23. Third Parties. The City and the Project Manager are the only parties to this Agreement and are the only parties entitled to enforce its terms. Nothing in this Agreement gives, is intended to give, or shall be construed to give or provide, any right or benefit, whether directly or indirectly or otherwise, to third persons. 24. Survival. Any provision of this Agreement which imposes an obligation after termination or expiration of this Agreement shall survive the term or expiration of this Agreement and shall be binding on the parties to this Agreement; provided, however, that 110 action may be commenced under this Agreement by either party later than three (3) years after the termination of this Agreement. 25. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Washington. 26. Venue. The venue for any action to enforce or interpret this Agreement shall lie in the Superior Court of Washington for Yakima County, Washington. 27. Counterparts. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which shall constitute one and the same Agreement. CITY OF YAKIMA By� R. A. Pechtel and Associates (GHP) regarding Agreement Duration SUBMI1"1'ED BY: Chris Waarvick, Director of Public Works George Pechtel, Project Coordinator CONTACT PERSON/TELEPHONE: Chris Waarvick, 576-6411 SUMMARY EXPLANATION: The 2005 State Legislative Session provided the City nearly $4.8 million to begin a four-year $18 million revitalization of Yakima's downtown public places. Engineering and consulting contracts have been put in place, design themes identified, detailed design is nearly complete, and the first piece of the construction project has just recently begun in North Front Street Historic District (utility renovation and under -grounding). According to the current schedule, the bids for the Yakima Avenue element of the project will be opened on March 8, 2006. The bids for the North Front Street project are scheduled to be opened on April 4, 2006. Construction should be substantially completed by fall of 2006. Construction activity on Yakima Avenue will commence with the northern 2 block faces (construction on one side of the Avenue) from 3`d Street to Naches Avenue. This will bring the public frontage abutting the Hilton Garden Hotel into completion. The construction will then proceed in "2 block face" sections throughout the project. A new section cannot begin until the concrete work is started on the last section. R-2006-28 Downtown Yakima Futures Initiatives March 7, 2006 Page two One lane of travel on Yakima Avenue will be dosed in front of the work area to allow a safe work zone. The lighting and banner pole fixtures have been ordered, and as previously reported, using the buying power of a large purchasing consortium, nearly $450,000 have been saved over list price. Also attached are cut sheets of the tree and shrub plantings planned for their project. They were selected for size and shape, theme color, hardiness and appropriateness to the setting. Through January 2006, Huibregtse Louman and Associates (HLA) have billed the City $328,772 of a $1.1 million engineering contract. George H. Pechtel (GHP) has billed the City $53,213 of a $170,000 consulting project coordination contract. Reimbursement billings to the state are submitted monthly with a total of $307,972 received to date. Attached is the most recent schedule of events for the three construction elements of this project: Front Street Utilities, Yakima Avenue sidewalks, and Front Street sidewalks. The bid on the North Front Street Utilities construction was $282,703; $104,938 of that from Wastewater to replace an aging and failing sewer line down the alley. Cost for underground of power was $35,500. George Pechtel interviewed all the business interests in the project area along Yakima Avenue. Their comment and concerns have been incorporated as best as possible into the design and construction plan for the project. For example, drinking fountains were suggested by numerous interviewees. A limited number have been incorporated into the design. The challenge, however, is that the installation may be prohibitively expensive due to construction requirements. An error has been discovered in the GHP contract. The termination date in Section 2(b) states May 31, 2006. This is incorrect. The date was intended to match the current grant life and should read May 31, 2007. A contract amendment is attached for your action. Staff recommends approval. No other changes to the contract are offered. The State Legislature is in the process of developing the 2007 budget. The City continues to request financial assistance for the nearly $18 million Downtown Yakima Futures Initiatives Project (see attached map). At this moment, it is hopeful that the City will be awarded an additional $2.5 million to proceed west on Yakima Avenue from Front Street to 7th Avenue. The need for this project element is estimated at $3.4 million. A delegation of West Side Merchants, North Front Street Historic District members, City staff, and importantly, City Council members, went to Olympia on February 15, 2006, to inform and introduce the project request to members of the State Legislature. Responses were positive and the outlook is hopeful, yet not certain. Variously called French Lavender, True Lavender, English Lavender, or Common Lavender, it is native of the entire Mediterranean regions to as far north as Switzerland. Hidcote's steam -distilled flowers provide the purest of all lavender scents for soaps, cosmetics & perfumes. Its use as a toiletry scent is ancient, & the very word lavender means "to wash." The species name angustifolium means "narrow -leafed," though it is often mispelled augustifolium which means "supreme -leafed" which is a pretty good name too. Leaf: Opposite, evergreen to semi -evergreen, 1 to 2 inches long, elliptical (shapes vary with cultivars), finely serrated, dark green with lighter veins (some cultivars variegated), lighter beneath. Flower: Perfect, inconspicuous (1/4 inch), creamy green or yellow -green appear in small bunches in leaf axils in summer. Fruit: Dry capsules (1/3 inch) that split open to reveal small orange seeds, ripen in fall and persist into winter. Twig: Slender, green, slightly angled; buds pointed, green to reddish green. Aerial roots present when climbing. Bark: Light brown to reddish brown, rough with numerous aerial rootlets when climbing.
