ITEM TITLE: Resolution authorizing an Interlocal Agreement with Yakima County
Fire District#4, East Valley Fire Dept. for temporary access and use
of City Knox Box Master Keys (No budgetary impact)

SUMMARY EXPLANATION:
Fire Department key boxes are located in a high number of commercial buildings and authorized to be
installed in accordance with the authority having jurisdiction and the IFC Chapter 506. These key boxes
contain a master key to the building and provide the Fire Department access to the interior during
emergencies. They also prevent unnecessary damage to expensive doors when investigating automatic
alarms when a fire is not obvious upon arrival. Due to the change of fire service in the City of Union Gap
there will need to be a change of the Knox Box Master Key system but that will take time. Until the
transition can be completed, this Interlocal Agreement will allow Yakima County Fire District#4 to utilize
our Master Key in order to gain access to Knox Boxes located within the City of Union Gap.

RESOLUTION NO. R-2026-
A RESOLUTION authorizing an Interlocal Agreement with Yakima County Fire District#4
for temporary use of City Knox Box master keys.
WHEREAS, Knox Box master keys are utilized by Fire Agencies to support emergency
response activities; and
WHEREAS, the City of Union Gap Knox Boxes are currently keyed to the City of Yakima
Knox Box master key; and,
WHEREAS, Yakima County Fire District #4 currently provides fire service to the City of
Union Gap; and
WHEREAS, the City of Yakima has available keys to temporarily provide to Yakima
County Fire District#4 so that they may access the Knox Boxes in the City of Union Gap; and
WHEREAS, the City of Union Gap is transitioning all Knox Boxes within the city limits to
a City of Union Gap Knox Box master key, now, therefore,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA:
The City Manager is hereby authorized to execute an Interlocal Agreement with Yakima
County Fire District#4 for temporary use of the City of Yakima Knox Box master keys, attached
hereto and incorporated herein by this reference.

INTERLOCAL AGREEMENT
TEMPORARY USE OF CITY KNOX BOX MASTER KEYS
Between
Yakima Fire Department(City)
and
Yakima County Fire District#4(District)
This Interlocal Agreement("Agreement") is made and entered into as of January 12 ,2026
("Effective Date"), by and between the Yakima Fire Department, a department of the City of Yakima,
Washington ("City"), and Yakima County Fire District#4,a Washington municipal corporation
("District").
RECITALS
A.The parties are public agencies authorized to enter into interlocal agreements under chapter 39.34
RCW (Interlocal Cooperation Act).
B. Certain Knox Box® key cores located within the City of Union Gap are currently keyed to the City's
Knox Box master key system.
C.The District has requested temporary access to the City's Knox Box master keys to support emergency
response activities within the City of Union Gap until all Knox Box key cores within the City of Union Gap
have been re-cored to the Union Gap system.
D.The City is willing to provide temporary use of its Knox Box master keys, including an access code to
the Secure4 System,to the District under the terms and conditions set forth below to protect public
safety and maintain key control and security.
NOW,THEREFORE, in consideration of the mutual covenants contained herein,the parties agree as
follows:
1. PURPOSE AND SCOPE
1.1 Purpose.The purpose of this Agreement is to allow the District temporary use of the City's Knox Box
master keys (the "Keys") solely for emergency response and authorized fire/life safety operations that
require access to Knox Box key cores located within the City of Union Gap that are presently keyed to
the City's system.
1.2 No Transfer of Ownership.The Keys remain the property of the City at all times.The City grants a
limited, revocable license for the District to use the Keys strictly as described in this Agreement.
1.3 No Duplication.The District shall not copy, duplicate, alter, re-key, or otherwise reproduce the Keys
or any related key blanks, and shall not permit any third party to do so.

2. TERM AND TERMINATION
2.1 Term.This Agreement begins on the Effective Date and continues until the earlier of: (a)the date
when all Knox Box key cores within the City of Union Gap have been changed out such that the Keys are
no longer required for District operations in Union Gap; or(b)termination under Section 2.2.
2.2 Termination. Either party may terminate this Agreement for any reason upon thirty(30) days'
written notice to the other party.The City may terminate immediately upon written notice if the City
determines that key control or security has been compromised or if the District materially breaches this
Agreement.
2.3 Return of Keys. Upon expiration or termination of this Agreement,the District shall immediately
return all Keys and any City-issued key-holding devices to the City, and shall certify in writing that it has
returned all such items and that no copies were made.
3. KEYS PROVIDED; INVENTORY
3.1 Keys Provided.The City will provide the District access to three Keys for temporary use under this
Agreement that are secured on each of the Union Gap apparatus with a Key Secure 4 access control box
from Knox Company.
3.2 Key Custodian. The District Fire Chief will be the primary Key Custodian and the Deputy Fire Chief
shall be the alternate Key Custodian responsible for the receipt, secure storage, issuance, tracking, and
return of the Keys.
3.3 Audit. Upon request,the District shall provide the City reasonable access to audit key security and
inventory.
4. KEY CONTROL AND SECURITY REQUIREMENTS
4.1 Secure Storage.When not in operational use,the Keys shall be stored in a locked, access-controlled
container with access limited to authorized District personnel.
4.2 Operational Carry. Keys shall not be left unattended in vehicles or unsecured locations.
4.3 Access Limitation.The District shall restrict access to the Keys to District personnel with a legitimate
operational need.The District shall promptly remove access for any person who no longer requires
access.
4.4 Prohibited Uses.The Keys shall not be used for non-emergency entry, administrative inspections
unrelated to public safety, or any purpose outside the scope of this Agreement.
5. LOST OR COMPROMISED KEY; NOTICE; COSTS
5.1 Immediate Notice.The District shall immediately notify the City's designated representative (Section
11) upon discovering or reasonably suspecting that any Key is lost, stolen, duplicated, compromised, or
otherwise unaccounted for(each a "Key Incident").

5.2 District Responsibility for Rekeying in City of Yakima. If any Key is found to be lost, stolen, or
unaccounted for,the District shall be responsible for and shall pay all costs necessary to have all Knox
Box key cores within the City of Yakima changed out to restore key security(the "Yakima Rekey").
5.3 Scope of Costs.The Yakima Rekey costs may include, without limitation: replacement cores, parts,
labor, programming/records updates(if applicable),vendor charges, and reasonable administrative
expenses incurred by the City to manage and document the Yakima Rekey.
5.4 Payment.The City shall provide the District an itemized invoice for Yakima Rekey costs.The District
shall pay the invoice within thirty(30) days of receipt unless the parties agree in writing to a different
payment schedule.
5.5 Mitigation and Cooperation.The parties shall cooperate in good faith to mitigate risks following a
Key Incident, including coordinating temporary access procedures and operational communications.
6. UNION GAP KEY CORE CHANGEOUT
6.1 Coordination.The parties acknowledge that the Keys are being provided as a temporary measure
until all Knox Box key cores within the City of Union Gap have been changed out.The District shall use
reasonable efforts, consistent with its authority and coordination with the City of Union Gap and any
applicable Knox Box service provider,to support timely completion of the Union Gap changeout.
6.2 Notice of Completion.When the District believes the Union Gap changeout is complete,the District
shall notify the City in writing. Upon confirmation,the District shall return the Keys pursuant to Section
2.3.
7. LIABILITY; INDEMNIFICATION
7.1 Responsibility for Acts. Each party shall be responsible for the acts and omissions of its own officers,
employees, and agents to the extent permitted by Washington law.
7.2 No Waiver of Immunities. Nothing in this Agreement waives any immunities or limitations on liability
available to either party under Washington law.
7.3 Key Incident Costs.The cost responsibility in Section 5 is a specific contractual allocation of expenses
and is in addition to any other remedies available at law or in equity.
8. INSURANCE
Each party shall maintain insurance or self-insurance coverage as required by law and as is customary
for similarly situated public agencies, sufficient to cover its obligations and risks under this Agreement.
9.ADMINISTRATION; PROPERTY DISPOSAL(RCW 39.34)
9.1 Administrators.The City's administrator for this Agreement is the Yakima Fire Chief(or designee).
The District's administrator for this Agreement is the Fire Chief of Yakima County Fire District#4(or
designee).
9.2 No Joint Property.This Agreement does not create or require the acquisition of joint property.The
Keys remain City property.

9.3 Disposal. Upon termination or expiration, all Keys and any City-provided devices shall be returned to
the City as set forth in Section 2.3.
10. NOTICES
All notices required or permitted under this Agreement shall be in writing and delivered by personal
delivery, certified mail (return receipt requested),or email with confirmation of transmission,to the
following representatives(or such other addresses as a party may designate by notice):

11. GENERAL PROVISIONS
11.1 Independent Agencies.The parties are independent governmental entities. Nothing in this
Agreement creates a partnership,joint venture,or agency relationship between the parties.
11.2 Non-Assignment.The District may not assign or transfer any rights or obligations under this
Agreement without the City's prior written consent.
11.3 Amendment.This Agreement may be amended only by a written instrument executed by both
parties.
11.4 Severability. If any provision of this Agreement is held invalid or unenforceable,the remaining
provisions shall remain in full force and effect.
11.5 Entire Agreement.This Agreement constitutes the entire agreement between the parties regarding
the subject matter and supersedes all prior or contemporaneous discussions or understandings.
11.6 Governing Law and Venue.This Agreement shall be governed by the laws of the State of
Washington.Venue for any action related to this Agreement shall be in Yakima County,Washington.
11.7 Counterparts; Electronic Signatures.This Agreement may be executed in counterparts, each of
which is deemed an original, and signatures transmitted electronically shall be treated as originals to the
extent permitted by law.
