For Meeting of: December 9, 2025 ITEM TITLE: Resolution authorizing a contract amendment with Transportation Demand Management LLC for senior tours transportation services for the Harman Center(Special Revenue) SUBMITTED BY: Scott Schafer, Director of Public Works Christina Payer, Buyer II, Purchasing * Ken Wilkinson, Parks and Recreation Manager SUMMARY EXPLANATION: The current contract between the City of Yakima (City) and Transportation Demand Management LLC is set to expire on December 9, 2025. A formal Request for Proposal (RFP) process was completed, with an RFP submittal due date of November 6, 2025. No RFP submittals were received. Transportation Demand Management LLC has agreed to a contract extension. The extension will be for one year, or until an award under a new RFP process has been completed; allowing the Harman Center to continue uninterrupted services for the 2026 tour schedule. The estimated cost of this amendment is $49,926 which will be funded by the participants of the senior trips with no General Funds utilized. A new RFP will be completed and awarded prior to the expiration date of the contract amendment. Enclosed for City Council review is the contract amendment with Transportation Demand Management LLC. R-2025- A RESOLUTION authorizing a Contract Amendment with Transportation Demand Management LLC for senior tours transportation services. WHEREAS, the City of Yakima (City) and Transportation Demand Management LLC have previously entered into a contract for senior tours transportation services on December 9, 2020, City Contract Number 2020-213, Resolution Number R-2020-145; and WHEREAS, the current contract with Transportation Demand Management LLC is set to expire on December 9, 2025; and WHEREAS, a formal Request for Proposal (RFP) process was completed by the City, with an RFP submittal due date of November 6, 2025 with no RFP submittals received; and WHEREAS, Transportation Demand Management LLC has agreed to a contract extension for one year, or until an award under a new RFP process has been completed; allowing the Harman Center to continue uninterrupted services for the 2026 tour schedule; and WHEREAS, the parties wish to amend the contract pursuant to Section 3 of the initial contract as follows; Contract No. 2020-213 is in effect until the sooner of: 5:00 p.m. on December 9, 2026, or upon the effective date of any new contract between the City and any vendor for senior tours transportation services, unless terminated sooner by either party in accordance with the terms of the Contract; and WHEREAS, the estimated cost of this amendment is $49,926 which will be funded by the participants of the senior trips with no General Funds utilized; and WHEREAS, a new RFP will be completed and awarded prior to the expiration date of the contract amendment, now, therefore, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF YAKIMA: The City Manager is hereby authorized to execute a Contract Amendment with Transportation Demand Management LLC, for senior tours transportation services, attached hereto and incorporated herein by this reference. ATTEST: Patricia Byers, Mayor Rosalinda Ibarra, City Clerk 62 AMENDMENT NO. 1 TO PROFESSIONAL SERVICES AGREEMENT FOR SENIOR TOURS TRANSPORTATION SERVICES Whereas, the City of Yakima and Transportation Demand Management, LLC. have previously entered into a contract for senior tours transportation services on December 9, 2020, City Contract Number 2020-213, resolution number R-2020-145; and Whereas, City Contract 2020-213 is set to expire on December 9, 2025; and Whereas, the parties wish to amend the contract to allow for an additional one-year extension, or until a new contract for senior tours transportation services is awarded to any vendor; whichever comes first; and Now, Therefore, City and Transportation Demand Management agree to amend Section 3 of the Agreement to read as follows: 3. Contract Term Contract No. 2020-213 is in effect until the sooner of: 5:00 p.m. on December 9, 2026, or upon the effective date of any new contract between the City of Yakima and any vendor for senior tours transportation services, unless terminated sooner by either party in accordance with the terms of the Contract. Except as expressly modified herein, all other terms and conditions of the above- referenced Contract No. 2020-213 between the City of Yakima and Transportation Demand Management, LLC shall remain in full force and effect. This amendment shall become effective once authorized signatories of both Transportation Demand Management, and the City of Yakima have signed this Amendment.
